,. The Plaintiff, Redco Associates, Inc., is a Pennsylvania corpol'lltlon dolnl
business as Redco Realty, Inc., with 118 place of business at 11 Brenneman Circle,
Mechanicsburg, Pennsylvania 110~~.
2. The Defendant, PNC Bank Corporation, (hereinafter "PNC") \., a Pennsylvania
corpomtlon with an address for doing business at 4242 Carlisle Pike, Camp Hili, Pennsylvania
17011.
3. PNC Bank has acquired CCND Bank, N.A., (hereinafter "CCND") and its
Interests and obligations.
4. Since 1979, CCNB and the principal of Redco Associates, Inc. doing business as
Redco Realty, Inc., Robert B. Diehl, have had a continuing relationship for various financing
agreements for Ihe purchase and development of real property,
~. In June of 1992, Ihe Defendant PNC foreclosed on property located at
17 Brenneman Circle and assumed management of the property.
6. The properties at 13 and 11 Brenneman Circle were owned by Plaintiff Robert
B. Diehl.
1. In the course of the Defendant's management of the property, they have paid real
estate commissions to both CIR Realty and landmArk Realty for having procured various
tenants.
8. During the same time period from June 1992 to the present, the Defendant has
refused to pay the same real estate cllllllnlssions to the Plaintiff Redco Associates, Inc., doing
business as Redco Realty, Inc.
9. The Plaintiff has a demand to PNC fur the realeslate cmnmiuions which aJ'll due
and owlnllln the total amount of $16,711.64 as J'llnecled in the invoice dated Auaust 26, 1993
which Is hoJ'llby allached as Exhibit" A".
10. Despite repeated demand for payment, the Defendant has failed to remit the
commissions which are due and owlnlltu Plaintiff In the amount of $16,711.64,
II. The Plaintiff has perfunned all cundltlons required (If lito receive the real eslllte
commissions.
12, The Defendant Is liable 10 the Plaintiff In the amuunt of $16,711.64, plus pre-
judllmentand post-judament Interesl costs and allumey's fees on theories of quantum mendt,
breach of warranty.
13. The Defendant Is liable lu the Plaintiff for various breaches of both common law
and statutory ubllaatiuns.
14. Defendant's falluretu pay the real eslale c()Inmlsslons which aJ'll due Is without
lellal cause or justlncatloll.
I~. Defendant's failure to pay real eslale cOlllJnlssions to the Plaintiff where they have
paid real eSlllte commissions to both elR Realty and Landmark Really constllutes arbllmry and
vexatious conduct for which Plaintiff demands allomeys fees.
WHEREFORE, Plaintiff demands judament against the Defendant In the amount of
$16,711.64, plus pre-judgment and post-judgment Interest cosls and attorney's fees.

have had a continuing relationship for varl()us financing agreements f()r the purchase and

~. In June of 1992, the Defendant PNC foreclosed on property located at
17 Brenneman Circle and assumed management ()f the property.
6. The properties atl3 and 17 Brenneman Circle were owned by Robert E. Diehl.
7. In the course ()f the Defendant's management of the property, they have paid real
estate c()mmlssl()ns to Mth CIR Realty and Landmark Realty for having procured various
tenants.
8. During the same time period from June 1992 to the present, the Defendant has
refused to pay the same real estate commissions to the Plaintiff Redco Associates, Inc.
9. The Plaintiff has a demand to PNC for the 1\\11 estate commissions which are due
and owln,ln the total amount of $19,817.33 aSl\lllected In the Invoice dated March 31, 1994
which Is hel\lby attached as Bxhlblt ., A",
10. Despite I\lpelted demand for payment, the Defendant has failed to I\lmlt the
commissions which al\l due and owlnato Plaintiff In the amount of $19,817.33.
II. The Plaintiff has perfonned all conditions required of It to receive the 1\\11 estate
commissions.
12. 'rhe Defendant Is liable to the Plaintiff In the amount of $19,817.33, plus pre-
jud,ment and post-judament interest costs and attorney's fees on theories of quantum meruit,
breach of warranty.
13. The Defendant Is liable to the Plaintiff for various breaches of both common law
and statutory obllaatlons,
14. Defendant's fallul\lto pay the 1\\11 estate commissions which are due Is without
leaal cause or justification.

Plaintiff, Redco Associates, Ino., has tiled a olaim
aqainst the Defendant, PNC Bank corporation, claiminq
Defendant haB failed and refused to pay real .state
commissions allegedly owed to Plaintiff, Redco Associates,
Inc., d/b/a Redco Real ty, Inc. for management of certain
properties at 13 and 17 Brenneman Circle, camp Hill,
Pennsylvania.
(See paragraphs 1, 2, 5, 6, 7 and 8 of
Plaintiff's Amended Complaint). Exhibit "A" attached to the
Complaint is an invoice addressed to Defendant for real
estate commissions apparently owed to Robert E. Diehl, Ino.
dated August 26, 1993.
The verification attached to the
complaint is signed by Robert E. Diehl, president of Redco
Real ty, Inc.
A search of the records of the Department of state,
corporation Bureau does not reflect either the incorporation
of an entity known as Redco Realty, Inc. or the registration
of the fictitious name, Redco Realty, Inc.

The Plaintiff has identified Redco Realty, Ino. as the
fictitious name of Redoo Associates, Ino.
Redoo Realty,
Inc. is not an inoorporated flntity registered or
inoorporated in the Commonwealth of Pennsylvania. Moreover,
using the fictitious name, Redco Realty, Ino., as a
fictitious name would require Redco Associates, Inc. to
register the fictitious name with the Pennsylvania
Department of State. Specifically, section 303(b)(1) of the
Fiotitious Name. Act (54 Pa.C.S.A. !301 ~ ~.) require the
followingl

(b) CIVIL PENALTY before any entity may
institute any action in any tribunal in this
Commonwealth on any cause of action arisinq out of
any transaction in respect to which such entity
used a fictitious name prior to the date of the
reqiatration of such fictitious name or after the
date of its reqistration under this chapter was
canoelled or otherwise terminated as to such
entity, the entity shall pay to the Department for
the use of the Commonwealth's civil penalty of
five hundred dollars ($500.00).
It is clear that under the provisions of the
Pennsylvania Fiotitious Names Act that prior to bringinq any
oausing of action arising out of any transact. ion which
occurred prior to the date of the registration of the
fictitioue name, a five hundred dollar ($500.00) penalty
must tirst be paid to the Department of state. The events
from whioh this matter arose olearly took place prior to
the filing of the fictitious name by Redco Realty, Ino. with
the Department of state or incorporation of Redoo Realty,
Inc. with the Department of state. Plaintiff has yet to pay
the five hundred dollar ($500.00) penalty to the Department
of state.
Until compliance with the payment of the civil
penalty, Plaintiff lacks capaoity to maintain this action in
the name of Radoo Realty, Inc.

1. The Plalndff, Redco Really, Inc., Is a Pennsylvania corporation wllh lis place of
business at 17 Brenneman Circle, Mechanlcsbur, Pennsylvania 17055.
2. The Defendant, PNC Bank Corporadon, (hereinafter "PNC") Is a Pennsylvania
corporation wllh an address for doing business at 4242 Carlisle Pike, Camp Hili, Pennsylvania
17011.
3. PNC Bank has acquired CCNB Bank, N,A" (hereinafter "CCNB") and lis
Interests and obllaatlons.
4. Since 1979, CCNBand the principal of Redco Rcalty, Inc., RobertB, Diehl, have
had a contlnulna relationship for various financing agreements for the purcha~e and development
of real property,
5. In June of 1992, the Defendant PNC foreclosed on property located at 17
Brenneman Circle and assumed management of the property.
6. The properties at 13 and 17 Brenneman Circle were owned by Plaintiff Robert
B. Diehl.
7. In the course of the Defendant's management of the property, they have paid real
estate commissions to both CIR Realty and Landmark Realty for having procured various
tenants.
8, During the same time period from June 1992 to the present, the Defendant has
refused to pay the same real estate commissions to the Plalndff Redco Realty, Inc.
9, The Plaintiff has a demand to PNC for the real estate commissions which are due
and owln, in the total amount of $16,711.64 as reflected In the Invoice dated Au,ust26, 1993
which Is hereby allached as Bxhlblt "A".
