LEASE AGREEMENT
THIS AGREEMENT MADE THIS SEVENTH DAY OF NOVEMBER, 1992 BETWEEN MARVIN
W. MIKEL (HEREINAFTER REFERRED TO AS "LESSOR>>), PARTY OF THE FIRST
PART,

BEN CARNS (HEREINAFTER REFERRED TO AS "LESSEE>>), PARTY OF THE SECOND
PART.
WITNESSETH, IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINED HEREIN,
AND INTENDING TO BE LEGALLY BOUND, THE PARTIES HERETO AGREE AS
FOLLOWS:
1. LESSOR DOES HEREBY DEMISE AND LEASE UNTO LESSEE CAR LOT ON WEST
SIDE OF BUILDING AND TWO GROUND FLOOR OFFICES PLUS AREA ON SHOWROOM
KNOWN AS TOWER SITUATE AT 6515 CARLISLE PIKE, MECHANICSBURG PA,
2. THIS LEASE SHALL EXTEND ON A MONTH TO MONTH BASIS BEGINNING
NOVEMBER 7, 1992.
3. LESSEE AGREES TO PAY LESSOR FOR THE USE OF SAID PREMISES RENT
IN THE SUM OF ONE HALF OF INCOME FROM BUSINESS AFTER EXPENSES UP
TO THE MAXIMUM OF THREE THOUSAND DOLLARS ($3.000) MONTHLY. A
MINIMUM OF $1,000 WILL BE PAID AT THE BEGINNING OF EACH MONTH.
4. NO WASTE SHALL BE COMMITTED; AND AT THE END OF THE SAID TERM
THE DEMISED PREMISES SHALL BE DELIVERED IN AS GOOD CONDITION AS
AT THE COMMENCEMENT THEREOF, ORDINARY WEAR AND TEAR AND
UNAVOIDABLE DAMAGE BY FIRE, TEMPEST AND LIGHTNING EXCEPTED.
5. THE RENT RESERVED SHALL BE PROMPTLY PAID ON THE SEVERAL DAYS
AND TIMES HEREIN SPECIFIED WITHOUT DEDUCTION OR ABATEMENT, AT THE
RESIDENCE OF THE SAID LESSOR.
6. IF LESSEE SHOULD DEFAULT IN PAYMENT OF RENT FOR A PERIOD OF
TEN DAYS AFTER DUE, WITHOUT NOTICE, OR IF ANY OTHER DEFAULT BY
THE LESSEE REMAINS UNCORRECTED FOR THIRTY(30) DAYS AFTER RECEIPT
OF WRITTEN NOTICE, THE SAID DEFAULT WILL THEM AND THEREUPON
BECOME AN "ENFORCEABLE DEFAULT" SO AS TO GIVE RIGHT TO THE
REMEDIES SET FORTH HEREAFTER.
7. LESSEE SHALL NOT MAKE ANY PERMANENT IMPROVEMENTS OR
MODIFICATIONS TO THE DEMISED PREMISES WITHOUT THE PRIOR WRITTEN
CONSENT OF LESSOR. WHICH CONSENT SHALL NOT BE UNREASONABLE
WITHHELD. AT THE EXPIRATION OF THE TERM, THE DEMISED PREMISES
WILL BE RESTORED, AT THE OPTION OF LESSOR. IN THE SAME CONDITION
IN WHICH THEY WERE AT THE COMMENCEMENT OF THE TERM NORMAL WEAR
AND TEAR EXCEPTED, AND THE COST OF THE SAID RESTORATION SHALL BE
PAID BY LESSEE, WHICH COST WILL BE TREATED AS ADDITIONAL RENT DUE
AND OWING UNDER THE TERMS OF THE LEASE. PROVIDED, HOWEVER. THAT
LESSEE SHALL NOT BE REQUIRED TO RESTORE ANY IMPROVEMENTS OR
MODIFICATIONS TO THE DEMISED PREMISES WHICH ARE MADE WITH THE
WRITTEN CONSENT OF LESSOR.
8. SAID LESSEE SHALL NOT CARRY ON ANY UNLAWFUL OR IMMORAL
BUSINESS IN OR ABOUT THE DEMrSED PREMISES~ AND SHALL NOT CARRY ON
ANY BUSINESS WHICH WILL ENDANGER THE BUILDING FROM FIRE OR CAUSE
EXHIBIT "1"
A fORfEITURE Of ANY FIRE INSURANCE THAT LES~OR HAS OR MAY
HEREAFTER HAVE ON SAID BUILDING.
9. LESSEE AGREES TO PAY ALL BILLS WHICH MAY BE INCURRED FOR
LIGHT, HEAT, OR OTHER UTiliTIES USED OR CONSUMED UPON THE DEMISED
PREMISES DURING THE TERM OF THE LEASE. LESSEE AGREES TO PAY ONE
HALf OF WATER, SEWER AND SMALL SECURITY LOT LIGHTS. SHOULD
LESSEE FAIL TO PAY ANY BILL~ AS AFORESAID, LESSOR SHALL HAVE THE
RIGHT TO PAY THE SAME, AND THE AMOUNT AS PAID SHALL BE CHARGEABLE
TO LESSEE AS ADDITIONAL RENT.
10. LESSEE AGREES TO KEEP THE EXTERIOR AND THE INTERIOR OF THE
DEMISED PREMISES IN A GOOD CONDITION OF REPAIR. SHOULD LESSEE
FAIL TO COMPLY WITH THE PROVISIONS OF THIS CLAUSE OF THE LEASE,
LESSOR MAY ENTER THE PREMISES AND MAKE SAID REPAIRS OR DO ALL
OTHER THINGS AS HEREIN PROVIDED TO BE DONE BY LESSEE AT THE
EXPENSE OF LESSEE, AND SAID EXPENSE THUS INDURRED MAY ALSO BE
COLLECTED AS ADDITIONAL RENT UNDER THE LEASE. LESSEE SHALL
MAINTAIN AT ITS EXPENSE THE EXTERIOR OF THE BUILDING INCLUDING
THE ROOF, SIDEWALKS AND PARKING LOTS INCLUDING ANY TRASH AND SNOW
REMOVAL.
II. IN THE EVENT OF THE FILING OF A PETITION IN BANKRUPTCY,
WHETHER VOLUNTARY OR INVOLUNTARY BY OR AGAINST LESSEE HEREIN,
THERE SHALL BECOME DUE IMMEDIATELY UPON THE FILING OF SAID
PETITION, RENT FOR THE REMAINING TERM UNDER THIS AGREEMENT OF
LEASE, AND LESSOR SHALL HAVE THE FURTHER RIGHT IN THE SAID EVENT,
TO FORFEIT AND TERMIN^TE THIS LEASE. THE SAID FORFEITURE TO BE
AFFECTED BY GIVING NOTICE IN WRITING TO LESSEE HEREIN OR TO THE
PERSON THEN IN CHARGE OF THE DEMISED PREMISES.
11\ IN THE EVENT THAT THE PREMISES OCCUPIED BY LESSEE SHALL
DURING SAID TERM BE TOTALLY DESTROYED BY FIRE, THEREBY MAKING THE
PREMISES UNTENANTABLE AND UNFIT FOR OCCUPANCY SO THAT THE OWNERS
THEREOF DEEM IT ADVISABLE TO CONSTRUCT A NEW BUILDINGt LESSOR
SHALL THE~EUUPON HAVE THE RIGHT TO CANCEL AND TERMINA E THIS
LEASE UPON GIVING FIFTEEN (15) DAYS NOTICE IN WRITING TO LESSEE
AND THE TERM OF THE LEASE SHALL THEREUPON CEASE AT THE EXPIRATION
OF FIFTEEN (15) DAYS AFTER THE RECEIPT OF SAID NOTICE. IN THE
EVENT, HOWEVER. THAT THE SAID BUILDING SHALL BE DAMAGED BY FIRE,
BUT NOT DESTROYED, LESSOR WILL THEREUPON CAUSE THE SAME TO BE
REPAIRED AND RESTORED TO ITS FORMER CONDITION WITHIN NINETY (90)
DAYS FROM THE OCCURRENCE OF SAID FIRE OR OTHER CASUALTY, LESSOR
TO ACT WITH THE GREATEST POSSIBLE DILIGENCE, AND IF SAID FIRE
SHALL HAVE RENDERED THE PREMISES UNTENANTABLE, PAYMENT OF THE
RENT HEREUNDER SHALL BE SUSPENDED FROM THE TIME WHEN LESSEE
HEREIN SHALL NOTIFY LESSOR OF SUCH CONDITION, UNTIL SUCH TIME AS
THE BUILDING IS SO REPAIRED AND AGAIN READY FOR OCCUPANCY, AND
LESSEE HEREIN AGREES THAT IN THE EVENT THAT THE BUILDING SHALL BE
SO PARTIALLY DESTROYED BY FIRE AS TO RENDER SAID REPAIRS
NECESSARY THAT THE SAID LESSOR SHALL THEREUPON HAVE THE RIGHT
THROUGH ITS SERVANTS AND AGENTS AND THAT THE SERVANTS AND AGENTS
OF ANY CONTRACTOR EMPLOYED BY LESSOR SHALL HAVE THE RIGHT TO TAKE
POSSESSION OF THE PREMISES FOR THE PURPOSE OF MAKING SUCH
REPAIRS, AND THE SO TAKING OF POSSESSION SHALL NOT BE AN EVICTION
OF LESSEE HEREIN AND SHALL IN NO MANNER AFFECT THE TERM OF THIS
LEASE.
13. (A) IF THE WHOLE OR A SUBSTANTIAL PART OF THE LEASED PREMISES
SHALL BE TAKEN OR CONDEMNED BY ANY COMPETENT AUTHORITY FOR ANY PUBLIC
PURPOSE, THIS LEASE SHALL THEN, AS OF THE DATE OF THE CONDEMNING
AUTHORITY TAKES POSSESSION, TERMINATE AUTOMATICALLY, AND THE PARTIES
WILL THEREUPON BE RELIEVED OF ANY FURTHER LIABILITY HEREUNDER.
(B) IF PART OF THE LEASED PREMISES IS TAKEN OR CONDEMNED BY ANY
COMPETENT AUTHORITY FOR ANY PUBLIC PURPOSE SO AS TO PREVENT LESSEE
FROM CONDUCTING ITS BUSINESS ON THE LEASED PREMISES IN SUBSTANTIALLY
ITS CUSTOMERY MANNER, LESSEE MAY AT ITS OPTION CANCEL THIS LEASE BY
GIVING NOTICE TO LESSOR WITHIN FIFTEEN (16) DAYS AFTER SUCH TAKING OR
CONDEMNATIONI OR LESSEE MAY AT ITS OPTION tONTINUE THIS LEASE AS TO
THE REMAINING PORTION ON THE SAME TERMS HEREOF, AND LESSEE'S LIABILITY
FOR RENT SHALL BE ABATED PROPORTIONALLY.
(C) LESSOR SHALL BE ENTITLED TO CLAIM, PROVE AND RECEIVE IN A
CONDEMNATION PROCEEDING SUCH AWARDS AS MAY BE ALLOWED FOR THE
IMPROVEMENTS, FIXTURES AND EQUIPMENT AND PROPERTY INSTALLED BY IT, ITS
MOVING EXPENSES, AND THE VALUE OF ITS LEASEHOLD ESTATE. LESSOR SHALL
aE ENTITLED TO SO CLAIM, PROVE AND RECEIVE SUCH AWARD AS MAY BE
ALLOWED FOR ITS INTEREST IN THE LEASED PREMISES. IF LESSOR AND LESSEE
SHALL BE UNABLE TO AGREE UPON A PROPER DIVISION BETWEEN THEM OF ANY
CONDEMNATION AWARD! EACH SHALL SELECT AN APPRAISER (WHO SHALL BE AN
M.A.I. OR OF EQUIVALENT QUALIFICATIONS) WHOSE DECISION AS TO SUCH
DIVISION SHALL BE BINDING ON THE PARTIES. EACH PARTY SHALL BEAR THE
EXPENSE OF THE APPRAISER APPOINTED BY IT HEREUNDER, AND THE PARTIES
SHALL EACH BEAR ONE-HALF OF THE EXPENSE OF THE THIRD APPRAISER.
(01 IF THE TEMPORARY USE OF ALL OR ANY PORTION OF THE LEASED
PREMISES SHALL BE TAKEN OR CONDEMNED BY ANY COMPETENT AUTHORITY FOR

PROPORTIONATELY ABATED UNTIL SUCH TEMPORARY USE HAS CEASES.

FOR HIM AND CONFESS JUDGEMENT FOR THE RENT RESERVED UNDER THIS
AGREEMENT, TOGETHER WITH AN ATTORNEY'S COMMISSION OF FIVE PERCENT FOR
COLLECTION. AND EXECUTION MAY BE ISSUED THEREAFTER FROM TIME FOR ANY
RENT DUE AND OWING UNDER THIS LEASE.
15. IN THE EVENT OF AN "ENFORCEABLE DEFAULT" WITHIN THE MEANING OF
THIS LEASE, LESSEE AUTHORIZES ANY ATTORNEY OF RECORD IN PENNSYLVANIA
OR OTHERWISE TO APPEAR FOR IT AND CONFESS JUDGEMENT IN EJECTMENT AND
ISSUE EXECUTION FOR POSSESSION OF THE SAID PREMISES.
16. IT IS AGREED AND UNDERSTOOD THAT LESSOR, ITS HEIRS AND ASSIGNS.
MAY ENTER THE PREMISES HEREBY LEASED AT ANY TIME DURING THE TERM AFTER
HAVING GIVEN ADVANCE WRITTEN NOTICE AND DURING NORMAL BUSINESS HOURS
FOR THE PURPOSE OF ASCERTAINING WHETHER SAID PREMISES ARE KEPT IN GOOD
ORDER AND REPAIR.
17. LESSEE WILL BEAR. PAY AND DISCHARGE WHEN AND AS SAME BECOME DUE
AND PAYABLE ALL JUDGMENTS AND LAWFUL CLAIMS FOR DAMAGES OR OTHERWISE
AGAINST LESSOR ARISING FROM LESSEE'S USE OR OCCUPANCY OF THE LEASED
PREMISES. LESSEE WILL ASSUME THE BURDEN AND EXPENSE OF DEFENDING ALL
SUCH SUitS. WHETHER OR NOT BROUGHT BEFORE THE EXPIRATION OF THIS LEASE
AND WILL PROTEST, INDEMNIFY AND SAVE HARMLESS THE SAID LESSOR BY
REASON OF OR ON ACCOUNT OF THE USE OR ALLEGED MISUSE OF THE PREMISES
HEREBY LEASED OR ANY PART HEREOF. DUE TO THE NEGLIGENCE OF THE LESSEE
OR HIS AGENTS. LESSEE SHALL PAY ONE HALF OF BUILDING INSURANCE
(APPROXIMATELY $1400.001 AND ONE HALF OF GENERAL LIABILITY INSURANCE
(APPROXIMATELY $1900.00 .
18. IN CONSIDERATION OF SECURING THE WITHIN LEASE AT THE A80VE STATED
RENT, SAID LESSEE DOES HEREBY RELEASE AND DISCHARGE SAID LESSOR, FROM
ANY ANO ALL LIABILITY FOR DAMAGE THAT MY RESULT FROM THE BURSTING,
STOPPAGE AND LEAKAGE OF ANY AIR LINE WATER PIPE. GAS PIPE, SEWER,
BASIN, WATER eLOpET, STEAM PIPE AND DRAIN, AND FROM ALL LIABILITY FOR
ANY AND ALL DAMAGE CAUSED BY THE WATER, GAS, STEAM, WASTE, AND
CONTENTS OF SAID WATER PIPES, GAS PIPES, STEAM PIPES, SEWERS. BASIN,
WATER CLOSETS, AND DRAINS.
19. IN ADDITION TO THE RENTAL PAYMENTS SET FORTH IN PARAGRAPH 3 OF
THIS AGREEMENT, LESSEE SHALL PAY, AS ADDITIONAL RENTAL, ONE HALF REAL
ESTATE TAXES IMPOSED AGAINST THE PREMISES. REAL ESTATE TAXES FOR THE
CURRENT YEAR WILL BE PRORATED AS OF THE EFFECTIVE DATE OF THIS LEASE.
20. ~ESSEE, AT HIS EXPENSE, SHALL COMPLY WITH THE REQUIREMENTS OF ANY
AND ALL NOTICES ISSUED AFTER THE DATE OF HIS POSSESSION OF THE
PREMISES FOR VIOLATIONS CAUSED THROUGH IS OCCUPANCY BY ANY MUNICIPAL
OR OTHER GOVERNMENTAL AUTHORITY REQUIRING OR CALLING ATTENTION TO THE
NEED FOR ANY WORK, REPAIRS, CONSTRUCTION, OR INSTALLATION ON, ABOUT OR
IN CONNECTION WITH THE PREMISES, INCLUDING THE PAYMENT OF ANY FINES,
INTEREST OR PENALTIES WHICH MAY BE CHARGED AGAINST LESSEE DUE TO ANY
SUCH NOTICE NOT HAVING BEEN COMPLIED WITH. LESSOR HEREBY WARRANTS THAT
HE HAS NO KNOWLEDGE OF ANY SUCH ASSESSMENTS AGAINST THE PREMISES FOR
MUNICIPAL NOTICES.
21. LESSEE WILL NOT CREATE OR PERMIT TO BE CREATED OR REMAIN. AND
WILL DISCHARGE, ANY LIEN, ENCUMBRANCE OR CHARGE LEVIED ON ACCOUNT OF
ANY MECHANIC'S, LABORER'S OR MATERIALMAN'S I.IEN WHICH MIGHT BE FILED
AGAINST THE PREMISES DURING THE TERM OF THIS LEASE.
22. ALL NOTICES SHALL BE IN WRITING AND SENT BY REGISTERED OR
CERTIFIED MAIL, AND THE DATE OF DEPOSITING ANY NOTICE IN THE UNITED
STATED POST OFFICE SHALL BE TAKEN AS THE DATE OF GIVING THEREOF.
NOTICE TO LESSEE SHALL BE ADDRESSED TO LESSEE AT 6515 CARLISLE PIKE,
MECHANICSBURG, PENNSYLVANIA, AND NOTICE TO LESSOR SHALL BE ADDRESSED
TO LESSOR AT 4902 SHASTA WAY, MECHANICSBURG. PENNSYLVANIA.
23. (A) LESSEE WILL NOT, WITHOUT LESSOR'S WRITTEN CONSENT, WHICH
SHALL NOT BE UNREASONABLE WITHHELD, ASSIGN OR SUBLET THE LEASED
PREMISES OR ANY PART THEREOF, EXCEPT THROUGH MERGER, CONSOLIDATION OR
COMBINATION ON LESSEE WITH ANOTHER CORPORATION.
(B) LESSOR MAY, IF REQUESTED BY ANY MORTGAGEE, ASSIGN ITS
INTEREST HEREIN TO SUCH MORTGAGEEE OR OTHER PARTY WITHOUT NOTICE TO OR
APPROVAL OF LESSEE.
24. ALL THE COVENANTS AND AGREEMENTS HEREIN CONTAINED SHALL EXTEND TO
AND FIND AND BENEFIT THE SUCCESSORS AND ASSIGNS OF THE PARTIES HERETO.
25. THIS LEASE CONTAINS THE ENTIRE AGREEMENT OF THE PARTIES AND

eufficient to form a belief as to the truth of the averment that

THIS AGREEMENT MADE THIS SEVENTH DAY Of NOVEMBER, 1992 BETWEEN MARVIN
W. MIKEL (HEREINAFTER REFERRED TO AS "LESSOR-), PARTY Of THE FIRST

WITNESSETH, IN CONSIDERATION OF THE MUTUAL COVENANTS CONTAINEO HEREIN,
AND INTENDING TO BE LEGALLY BOUND, THE PARTIES HERETO AGREE AS
FOLLOWS:
t. LESSOR DOES HEREBY DEMISE AND LEASE UNTO LESSEE CAR LOT ON WEST
SIDE OF BUILDING AND TWO GROUND FLOOR OFFICES PLUS AREA ON SHOWROOM
KNOWN AS TOWER SITUATE AT 6515 CARLISLE PIKE, MECHANICSBURGPA.
2. THIS LEASE SHALL EXTEND ON A MONTH TO MONTH BASIS BEGINNING

3. LESSEE AGREES TO PAY LESSOR FOR THE USE OF SAID PREMISES RENT
IN THE SUM OF ONE HALF OF INCOME FROM BUSINESS AFTER EXPENSES UP
TO THE MAX IMUM OF THREE THOUSAND DOLLARS ($3,000) MONTHLY. A
MINIMUM OF $1,000 WILL BE PAID AT THE BEGINNING OF EACH MONTH.
4. NO WASTE SHALL BE COMMITTED; AND AT THE END OF THE SAID TERM
THE DEMISED PREMISES SHALL BE DELIVERED IN AS GOOD CONDITION AS
AT THE COMMENCEMENT THEREOF, ORDINARY WEAR AND TEAR AND
UNAVOIDABLE DAMAGE BY FIRE, TEMPEST AND LIGHTNING EXCEPTED.

9. LESSEE AGREES TO PAY ALL BILLS WHICH MAY BE INCURRED FOR
LIGHT, HEAT, OR OTHER UTILITIES USED OR CONSUMED UPON THE DEMISED
PREMISES DURING THE TERM OF THE LEASE. LESSEE AGREES TO PAY ONE
HALF OF WATER, SEWER AND SMALL SECURITY LOT LIGHTS. SHOULD
LESSEE FAIL TO PAY ANY BILLS AS AFORESAID, LESSOR SHALL HAYE THE
RIGHT TO PAY THE SAMEI AND THE AMOUNT AS PAID SHALL BE CHARGEABLE

10. LESSEE AGREES TO KEEP THE EXTERIOR AND THE INTERIOR OF THE
DEMISED PREMISES IN A GOOD CONDITION OF REPAIR. SHOULD LESSEE
FAIL TO COMPLY WITH THE PROVISIONS OF THIS CLAUSE OF THE LEASE,
LESSOR MAY ENTER THE PREMISES AND MAKE SAID REPAIRS OR DO ALL
OTHER THINGS AS HEREIN PROVIDED TO BE DONE BY LESSEE AT THE
EXPENSE OF LESSEEt AND SAID EXPENSE THUS INDURRED MAY ALSO BE
COLLECTED AS ADDI IONAL RENT UNDER THE LEASE. LESSEE SHALL
MAINTAIN AT ITS EXPENSE THE EXTERIOR OF THE BUILDING INCLUDING
THE ROOF, SIOEWALKS AND PARKING LOTS INCLUDING ANY TRASH AND SNOW
REMOVAL.
11. IN THE EVENT OF THE FILING OF A PETITION IN BANKRUPTCY,
WHETHER VOLUNTARY OR INVOLUNTARY BY OR AGAINST LESSEE HEREIN,
THERE SHALL BECOME DUE IMMEDIATELY UPON THE FILING OF SAID
PETITION, RENT FOR THE REMAINING TERM UNDER THIS AGREEMENT OF
LEASE, AND LESSOR SHALL HAVE THE FURTHER RIGHT IN THE SAID EVENT,
TO FORFEIT AND TERMINATE THIS LEASE. THE SAID FORFEITURE TO BE
, AFFECTED BY GIV~NG NOTICE IN WRITING TO LESSEE HEREIN OR TO THE
PERSON THEN IN CHARGE OF THE DEMISED PREMISES.
12. IN THE EVENT THAT THE PREMISES OCCUPIED BY LESSEE SHALL

AND THE TERM OF THE LEASE SHALL THEREUPON CEASE AT THE EXPIRATION
OF FIFTEEN (15) DAYS AFTER THE RECEIPT OF SAID NOTICE. IN T~E
EVENT, HOWEVER, THAT THE SAID BUILDING SHALL BE DAMAGED BY FIRE.
BUT NOT DESTROYED, LESSOR WILL THEREUPON CAUSE THE SAME TO BE
REPAIRED AND RESTORED TO ITS FORMER CONDITION WITHIN NINETY (90)
DAYS FROM THE OCCURRENCE OF SAID FIRE OR OTHER CASUALTY, LESSOR
TO ACT WITH THE GREATEST POSSIBLE DILIGENCE, AND IF SAID FIRE
SHALL HAVE RENDERED THE PREMISES UNTENANTABLE. PAYMENT OF THE
RENT HEREUNDER SHALL BE SUSPENDED FROM THE TIME WHEN LESSEE
HEREIN SHALL NOTIFY LESSOR OF SUCH CONDITION, UNTIL SUCH TIME AS
THE BUILDING IS SO REPAIRED ANO AGAIN READY FOR OCCUPANCY, AND
LESSEE HEREIN AGREES THAT IN THE EVENT THAT THE BUILDING SHALL BE
SO PARTIALLY DESTROYED BY FIRE AS TO RENDER SAID REPAIRS
NECESSARY THAT THE SAID LESSOR SHALL THEREUPON HAVE THE RIGHT
THROUGH ITS SERVANTS AND AGENTS AND THAT THE SERVANTS ANO AGENTS
OF ANY CONTRACTOR EMPLOYED BY LESSOR SHALL HAVE THE RIGHT TO TAKE
POSSESSION OF THE PREMISES FOR THE PURPOSE OF MAKING SUCH
REPAIRS, AND THE SO TAKING OF POSSESSION SHALL NOT BE AN EVICTION
OF LESSEE HEREIN AND SHALL IN NO MANNER AFFECT THE TERM OF THIS
LEASE.

(B) IF PART OF THE LEASED PREMISES IS TAKEN OR CONDEMNED BY ANY

FROM CONDUCTING ITS BUSINESS ON THE LEASED PREMISES IN SUBSTANTIALLY
ITS CUSTOMERY MANNER, LESSEE MAY AT ITS OPTION CANCEL THIS LEASE BY
GIVING NOTICE TO LESSOR WITHIN FIFTEEN (15) DAYS AFTER SUCH TAKING OR
CONDEMNATION; OR LESSEE MAY AT ITS OPTION tONTINUE THIS LEASE AS TO
THE REMAINING PORTION ON THE SAME TERMS HEREOF, AND LESSEE'S LIABILITY
FOR RENT SHALL BE ABATED PROPORTIONALLY.
(C) LESSOR SHALL BE ENTITLED TO CLAIM, PROVE AND RECEIYE IN A
CONDEMNATION PROCEEDING SUCH AWARDS AS MAY BE ALLOWED FOR THE
IMPROYEMENTS, FIXTURES AND EQUIPMENT AND PROPERTY INSTALLED BV IT, ITS
MOYING EXPENSES, AND THE YALUE OF ITS LEASEHOLD ESTATE. LESSOR SHALL
BE ENTITLED TO SO CLAIM, PROVE AND RECEIYE SUCH AWARD AS MAY BE
ALLOWED FOR ITS INTEREST IN THE LEASED PREMISES. IF LESSOR AND LESSEE
SHALL BE UNABLE TO AGREE UPON A PROPER DIVISION BETWEEN THEM OF ANY
CONDEMNATION AWARD, EACH SHALL SELECT AN APPRAISER (WHO SHALL BE AN
M.A.I. OR OF EQUIVALENT QUALIFICATIONS) WHOSE DECISION AS TO SUCH
DIVISION SHALL BE BINDING ON THE PARTIES. EACH PARTY SHALL BEAR THE
EXPENSE OF THE APPRAISER APPOINTED BY IT HEREUNDER, AND THE PARTIES
SHALL EACH BEAR ONE-HALF OF THE EXPENSE OF THE THIRD APPRAISER.
(D) IF THE TEMPORARY USE OF ALL OR ANY PORTION OF THE LEASED
PREMISES SHALL BE TAKEN OR CONDEMNF.D BY ANY COMPETENT AUTHORITY FOR
ANY PUBLIC PURPOSE, THE RENT PAYABLE HEREUNDER SHALL BE
PROPORTIONATELY ABATED UNTIL SUCH TEMPORARY USE HAS CEASES.
14. IN THE ENVENT AN "EN~ORCEABLE DEFAULT" SHALL HAVE OCCURRED WITHIN
THE MEANING OF THIS LEASE, THEN LESSEE HEREBY AUTHORIZES ANY ATTORNEY
OF RECORD IN THE COMMONWEALTH OF ~ENNSYLVANIA OR ELSEWHERE TO APPEAR
FOR HIM AND CONFESS JUDG~MENT FOR THE RENT RESERYED UNDER THIS
AGREEMENT, TOGETHER WITH AN ATTORNEY'S COMMISSION OF FIVE PERCENT FOR
COLLECTION, AND EXECUTION MAY BE ISSUED THEREAFTER FROM TIME FOR ANY
RENT DUE AND OWING UNDER THIS LEASE.
15. IN THE EVENT OF AN "ENFORCEABLE DEFAULT II WITHIN THE MEANING OF
THIS LEASE, LESSEE AUTHORIZES ANY ATTORNEY OF RECORD IN PENNSYLVANIA
OR OTHERWISE TO APPEAR FOR IT AND CDNFESS JUDGEMENT IN EJECTMENT AND
ISSUE EXECUTION FOR POSSESSION OF THE SAID PREMISES.
16. IT IS AGREED AND UNDERSTOOD THAT LESSOR, ITS HEIRS AND ASSIGNS,
MAY ENTER THE PREMISES HEREBY LEASED AT ANY TIME DURING THE TERM AFTER
HAVING GIVEN ADVANCE WRITTEN NOTICE AND DURING NORMAL BUSINESS HOURS
FOR THE PURPOSE OF ASCERTAINING WHETHER SAID PREMISES ARE KEPT IN GOOD

19. IN ADDITION TO THE RENTAL PAYMENTS SET FORTH IN PARAGRAPH 3 OF
THIS AGREEMENT, LESSEE SHALL PAY. AS ADDITIONAL RENTAL, ONE HALF REAL
ESTATE TAXES IMPOSED AGAINST THE PREMISES. REAL ESTATE TAXES 'OR THE
CURRENT YEAR WILL 8E PRORATED AS OF THE EFFECTIVE DATE OF THIS LEASE.
20. LESSEE, AT HIS EXPENSE. SHALL COMPLY WITH THE REQUIREMENTS OF ANY
AND ALL NOTICES ISSUED AFTER THE DATE OF HIS POSSESSION OF THE
PREMISES FOR VIOLATIONS CAUSED THROUGH IS OCCUPANCY 8Y ANY MUNICIPAL
OR OTHER GOVERNMENTAL AUTHORITY REQUIRING OR CALLING ATTENTION TO THE

STATED POST OFFICE SHALL BE TAKEN AS THE DATE OF GIVING THEREOF.

MECHANICSBURG, PENNSYLVANIA, AND NOTICE TO LESSOR SHALL BE ADDRESSED
TO LESSOR AT 4902 SHASTA WAY, MECHANICSBURG. PENNSYLVANIA.
23. (A) LESSEE WILL NOT, WITHOUT LESSOR'S WRITTEN CONSENT. WHICH
SHALL NOT BE UNREASONABLE WITHHELD, ASSIGN OR SUBLET THE LEASED
PREMISES OR ANY PART THEREOF, EXCEPT THROUGH MERGER. CONSOLIDATION OR
COMBINATION ON LESSEE WITH ANOTHER CORPORATION.
