I, Ann Croushore, a resident of and domiciled in the Borough
of New Cumberland, County of Cumberland and Commonwealth of
Pennsylvania, do hereby make, publish and declare this as and for
my Last Will and Testament, hereby revoking all wills and codicils
heretofore made by me.

I appoint my son, Bruce J. Croushore of Mobile, Alabama as
Executor hereunder. If my son shall fail for any reason to qualify
as Executor hereunder or, having qualified, shall cease for any
reason to act, then I appoint my son, Paul N. Croushore of
Pittsburgh,
Pennsyl vania Executor hereunder in his place.
Hereafter I shall use t.he singular word "Executor" but, except
where a different meaning is required by the context, such word
shall be taken to mean the individual or individuals, or
corporation, or combination thereof, at the time in office <J

the same rights, powers, duties, authority, privileges and

A. I give and bequeath all my tangible personal property
(other than money), of whatever nature and. wherever located, and
all club memberships to my husband, or, if he shall not survive me,
to such of my children as shall survive me, to be divided among
them in such equal or unequal shares as they shall agree upon or,
if they shall be unable to agree upon such division or if any of
them shall be minors, in such equal or unequal shares as my
Executor shall determine in my Executor's absolute discretion or,
if there shall be no such children I direct my Executor to dispose
of all such personal property as part of my residuary estate.
B. All expenses incurred by my Executor during the
administration of my estate in storing, packing, shipping,
de1.i.vering or insuring any article of tangible personal property
bequeathed by any provision of this Will shall be charged against
the principal of my residuary estate and treated as an expense of
administering my estate.

Residential Real prooertv
I. give, devise and bequeath any residential real property
which I may own or in or to which I may have any right, title or
interest at the time of my death, wherever located, together with

any buildings and improvements thereon,
including without
limitation our residence located at 85 Carol Place, New Cumberland,
Pennsylvania and our condominium at 2144 Market Street, Camp Hill,
Pennsylvania, to my husband, or if he shall not survive me, with
the exception of said condominium, to such of my children as shall
survive me, such children to take title to such property as tenants
in corrrnon and not as Joint tenants or, if only one of my children
shall survive me, the whole thereof to such survivor or, if there

shall be no such children, I direct my Executor to dispose of all
such residential real property as part of my residuary estate.
With regard to said condominium, so long as my sole daughter shall
have remained current in her obligations to me, which determination
I leave exclusively to my Executor at his sole discretion, I givf:,
devise and bequeath said condominium to said daughter. The
decision of my Executor as to which parcels of real property shall
constitute residential real property shall be binding and
conclusive on all persons.

All of the rest, residue and remainder of my estate, real or
personal, of whatever nature and wherever located, to which I ahall
be in any way entitled at the time of my death, including any
legacy or devise which may lapse or be invalid or for any other
reason fail to take effect (but excluding any property over which

I may have at the time of my death any power of appointment or
disposal, it being my express intention not to exercise any such
power by this Will), I give, devise and bequeath to my husband, or,
if he shall not survive me, to such of my children as shall survive
me or, if there shall be no such of my children, to such persons as
would have inherited the same and in the same proportions as they
would have taken if I had died intestate at the time of my death
and as if, in applying the laws of intestate succession then in
force, all such property were treated as personal property and as
the only property owned by me.

Presumotions as to the Order of Deaths
A. In the event that my husband and I shall both die under
such circumstances that the order of our deaths cannot be
established by proof, then I direct that for the purposes of this
Will my husband shall be deemed to have survived me.
B. Notwithstanding any of the foregoing provisions of thi$
Will, in the event that any beneficiary under this Will other than
my husband shall not survive me by at least ten days, then I direct
that for all purposes of this Will such beneficiary shall be deemed.
to have predeceased me.

Investment and Manaaernent
A. In addition to the powers conferred upon executors by
law, I authorize my Executor, in my Executor's absolute discretion,
with respect to any property, real or personal, left by me or at
any time held or acquired by my Executor, including any stock of
any bank or trust company acting hereunder (or any stock of any
corporation which owns any stock of any such bank or trust
company), any property generally or specifically bequeathed or
devised or forming part of my residuary estate and any property
which may pass by intestacy and any accumulated income, and without
authorization by any court:
To retain such property; to sell, mortgage, lease or otherwise
dispose of any or all thereof upon any terms I to l'etain cash
without investment thereof for such period of time as my Executor
shall deem advisable whenever my Executor shall determine that it
is inadvisable to invest such cash; to invest and reinvest in any
securities or other property, real or personal, domestic or
foreign, income or non-income producing, including insurance on the
life of any person, preferred and common stocks, interests in open
or closed end mutual funds, interests in investment trusts and
participations in any legal or discretionary common trust funds
maintained by any bank or trust company at any time bcting in any
fiduciary capacity hereunder, all without regard to any law
concerning the investment of funds by fiduciaries; to manage,

maintain, alter, improve, develop or abandon any real or personal
property; to grant any options in connection with any of the
foregoing; to foreclose mortgages or to continue mortgage
investments; to consent to the modification or extension of any
note, bond, mortgage, open account indebtedness or other
obligation, whether or not secured 01' evidenced by any writing; to
exercise or dispose of any options, privileges or rights of any
nature; to vote by discretionary proxy or otherwise; to become a
party to any voting trust agreement; to assent to, participate in
or oppose any type of reorganization, readjustment,
recapitalization, consolidation, merger, dissolution of or other
action with respect to any corporation and to take any action in
connection therewith; to carry on any business owned by me or in
which I may be engaged at the time of my death and to carry on with
other partners any business in which I may be a partner at the time
of my death for any period of time and to invest additional moneys
in or make loans to any such business or partnership or to sell or
liquidate the same; to adjust, compromise and settle or refer to
arbitration any claim in favor of or against my estate; to borrow
money for any purpose; to employ and PilY the compensation of
accountants, custodians, legal or investment counsel and other
agents provided, however, that so long as a bank or trust company
shall be acting as Executor no payments shall be made for custodian
or investment counsel service; to exercise any options or elections
available to nw Executor pursuant to the provisions of any income,
estate or gift tax law applicable to me or my estate; to file joint

income tax returns with my husband and to consent to treat gifts
made by my husband prior to my death as being made one-half by me
for the purpose of any gift tax law, and to pay the entire amount
of the tax due with respect to any such income tax return of gifts,
or pay a lesser amount of any such income or gift tax which my
Executor, in my Executor's absolute discretion, shall deem
advisable; to hold property in my Executor's name without
designation of any fiduciary capacity or in the name of a nominee
or unregistered; to form corporations and to transfer any proper.ty

Death Taxes
All estate, transfer, succession, legacy, inheritance or other
death taxes or duties, and any interest and penalties thereon

(herein collectively called death taxes), which may be payable upon
or with respect to any property included in my gross estate or
taxable to any beneficiary receiving the same under the provisions
of any tax law of the United States or any state thereof or any
foreign country or subdivision or possession of any of the
foregoing, regardless of whether such property passes under this
Will or outside of this Will (including any property constituting
a part of my residuary estate), shall be paid by my Executor out of
the principal of my residuary estate prior to any division thereof
into parts or shares and treated as an expense of administering my
estate and shall not be apportioned; provided, however, that any
death taxes which may be imposed because I shall have (or shall
have had, exercised or released) a power of appointment given to me
by some other person shall be apportioned, to the extent provided
or permitted by any law applicable thereto, among the persons
beneficially interested in or charged against the property subject
to such power of appointment, whether or not such persons are
residents of the state in which I shall die domiciled.

Interest on Leqacies
All legacies shall be satisfied as soon as compatible with
proper administration of my estate and without waiting for the
lapse of any period specified by any law. My Executor shall not be

Concernina Guardians and ~xecutors
A. No bond, surety or other security shall be required of
any Executor or Guardian acting hereunder, any law of any state or
jurisdiction to the contrary notwithstanding.
B. The individual Executor acting hereunder may resign at
any time without court application or consent by an instrument in
writing executed by such Executor and filed in the Court in which
this Will shall be admitted to probate and delivered in counterpart
to the other Executor and the successor ExecutoI', if any.
C. The individual Executor act ing heI'eunder may delegate any
or all of his or her rights, powers, duties, authority and
privileges, whether or not discretionary, to the other Executor by
an instrument in writing signed and acknowledged and delivered to
the other Executor provided, however, that any such instrument
shall be revocable at any time.
D. If at any time there shall be no individual acting as
Executor hereunder, then Cumberland County National Bank shall act
as sole Executor hSI'e\mder.
