LAST WILL lIND TESTAMENT OF EMMA M. SHUTT
I, EMMA M. SHUTT, of the Townshlp of Lower
Allen, County of cumberland and State of Pennsylvania,
being of sound and disposing mind, memory and under-
standing, do make, publiSh and declare this to be my
Last Will and Testament.
1.
I direct the payment of all my just debts
and funeral expenses as soon as oonvenient1y may be
after illY decease.
2.
All the rest, residue and remainder of my es-
tate, real, personal and mixed, whatsoever and whereso-
ever situate, I give, devise and bequeath to my beloved
husband, F.ar1 W. Shutt, to his own use and benefit abso-
lutely.
3.
In the event, however, that my said husband
should predecease me, or should die at, about the same
time as I do, such as in a disaster common to both of
us, I give, devise and bequeath my said estate to my
daughters, Joanne M. Lilly and Virginia L. Baker, in
equal shares.

LASTLY, I nominate, constitute and appoint
my husband, Earl W. Shutt, to be the Executor of this,
my Last Will and Testament. If he should predecease

to be the Executrix in his place and stead. I direot
that she shall not be required to file bond or other
security in the office of the Register of Wills for
the purpose of administering my estate.

AGREEMENT OF SALE FOR REAL 1!l.!Un
THIS AGREEMENT is entered into this n day of ,- ('(... U"I~I

1994, by and between VIRGINIA L. BAKER, Executrix of the Estate
and under the Last Will and Testament of Emma M. Shutt, Deceased,
late of East Pennsboro Township, Cumberland County, Pennsylvania,
hereinafter called "SELLER",
AID2
JUDITH N. PARRY, of 67 West Vine Street, Shiremanstown,
Cumberland County, Pennsylvania, hereinafter called "PURCHASER".
IT IS MUTUALLY AGREED AS FOLLOWS:
1. PREMISES. The Seller agrees to sell, grant and convey
to the Purchaaer, and the Purchaser agrees to purchase and accept
the conveyance of the following described real estate situate in
Lower Allen TownShip, Cumbsrland County, Pennsylvania, described
as follows:
BEING all that certain piece or parcel of real estate
having erected thereon a dwelling house being known and
numbered as 17 Walnut street, Camp lIill, Pennsylvania.
A copy of deed is attached hereto marked Exhibit "A"
and incorpol'atod herein.
2. PURCHASE PRICE. The Purchaser agrees to pay the sum of
$83,000.00 to the Seller, as the full purchase price and consid-
eration for the premises, payable as follows: $1,000.00 on the
signing of this Agreement, receipt of which is hereby acknowl-
edged/ and $82,000.00 in cash unless otherwise herein provided at
settlement of this transaction as scheduled and provided
hereinbelow.
3. SETTLEMENT. Final settlement of this transaction shall
be made at the law offices of James D. Bogar, Esquire, or any
other mutually agreed upon location and shall be made on or
before April 29, 1994, at which time of settlement the Seller
shall tender to the Purchaser a properly drawn and executed deed
of special warranty, conveying to the Purchaser a good and
marketable title in fee simple, clear of all liens and
encumbrances, except easements or building and use restrictions
visible on the ground or of prior record, title to be such as
will be insured by a reputable title insurance company in the
central Pennsylvania geographical area without exception or
reservation at regular rates. Should Seller be unable to deliver
such title, Purchaser shall have the option of either cancelling
this Agreement of Sale for Real Estate and receiving back any
monies paid as a deposit or accepting such title as Seller can
give without offset, adjustment, or abatement of the purchase
price. Time is of the essence of this Agreement of Sale for Real
Estate.
4. TRANSFER-TAXES AND APPORTIONMENT OF REAL EST~~
RENTS AND EXPENSES. All realty transfer taxes shall be paid
equally by the Seller and Purchaser, with Purchaser paying one
percent (1%) and Seller paying one percent (1%). Current real
estate taxes, utility charges and any municipal service fees or
rents will be prorated at and to the date of settlement.
5. E9SSESSION. Seller shall deliver possession of the said
premises to Purchaser at the time of final settlement.

6. CONDITION OF ERQPERTY AND RISK OF LOSS. The Selle~
ag~ees that the property shall remain in sUbstantially ita
present oondition until date of settlement, and if it is not, the
Purchaser may rescind this contract. Seller shall bear the risk
of loss from fire or other casualty until time of settlement.
7. DEFAULT. Should Purchaser default in performing this
Agreement, any sum or sums paid on account of the purchase prioe,
by way of down-payment or otherwise, shall be retained by Seller,
either on account of the purchase money, the balanoe of whioh
shall be recoverable in an action of assumpsit, or as liquidated
damages, as Seller ahall elect, and in the latter case this
Agreement shall become null and void.
Should Seller default in performing this Agreement,
Purchaser shall have the right of having this Agreement deolared
null and void and, further, having any sum or sums paid on
aooount of the purchase price, by way of down-payment or other-
wise, returned in full or Purchaser, at purchaser's option, oan
avail itself to any other remedies at law or in equity.
8. CONTINGENCIES. ThJ.s Agreement of Sale for Real Estate
is subjeot to and contingent upon the ooourrence or nonoccurrenoe
of the following events, as the case may be:
A. Purchaser Obtaining a conventional mortgage
(specifioally exoluding FilA or VA financing) in an amount not to
exoeed Sixty Thousand and 00/100 ($60,000.00) Dollaro, under
prevailing terms, rates and conditions, a written oommitment f.or
said mortgage to be obtained and delivered to Seller on or before

April 1, 1994. Purchaser will be required to exercise good faith
efforts in an attempt to obtain said mortgage.
9. ~R~. If the Purchaser should determine the need for
a current survey of the premises, the cost and expense thereof
shall be borne exclusively by the Purohaser.
10. STATUS OF SEWER ~ND WATER. The property is served by
public sewer and water.
11. MUNICIPAl, IMPROVEMENTS. Seller has no notice of munici-
pal improvement a including, but not being limited to, sidewalk
and curbing.
12. ZONING OR DEED RE~. Seller warrants that the
present use of the property violates no existing zoning ordinance
or regulation or deed restrictions. Furthermore, Seller has no
notice of any pr.oposed zoning change or change in use or
restrictions.
13. LNSPECTIONLHAERANTY, It is understood that Purchaser
has inspected the above-referred to property and is not relying
upon any representations made by Seller or by Seller's agent(~).
Seller agrees to sell and Purchaser agrees to purohase the above-
desoribed property "as is", there being no warranties, either
expressed or implied, as to the oondition of the property.
Furthermore, Purchaser expressly represents that Purchaser has
had ample opportunity to inspect the above-referred to property
and to investigate and have answered by third parties any ques-
tions Purchaser has regarding the property and the present condi-
tion of same and that Purchaser has not, in entering into this

Agreement of Sale for Real Estate, accepted or relied upon any
statements or representations made to Purchaser by Seller. This
provision shall su~vive settlement.
14. PERSONALTX. The following specifically enumerated items
of personalty or personal property are included in the within
salel Gas dryerl all existing curtains, rods and drapes.
15. BROKERS AND AGE~. Seller and Purchaser both represent
that they have dealt with no real estate brokers or agents in
connection with this sale and that no brokers or real estate
agent's commission is due any person on account of this sale.
Each party shall indemnify and hold harmless the other party trom
the claim or demand of any broker or agent for any commission
which any such broker or agent may claim to be due him or her as
a result of this sale.
For the performance of this Agreement and intending to be
legally bound hereby, the parties bind themselves, their heirs,
personal representatives, successors and assigns, as witness
their hands and seals the day and year first above written.

WHEREAS, the said EMMA M. SlIll'l"r by her Last Will and Testament,
duly proved and recorded in the Cumberland county Register of
Wills Office, Pennsylvania, in Docket Dook 2194-0037, Letters
Testamentary being issued on January 14, 1994, provided, in
pertinent part, as follows:
~LAUSE 4: LASTLY, I nominate, constitute and appoint my husband,
Earl W. Shutt, to be the Executor of this, my Last will and
Testament. If he should predecease me, or for any other r.eason
is unable to act as such Executor, I appoint my daughter,
Virginia L. Daker, to be the Executrix in his place and stead. I
direct that she shall not be required to file bond or other
security in the office of the Register of Wills for the purpose
of administering my estate.
NOW THIS INDENTURE WITNESSETH, that the said party of the first
part, by virtue of the power and authority aforesaid, in said
Will contained, and in consideration of the sum of Eighty-three
Thousand Dollars ($S3,000.00) to her paid by the said party of
the second part, at and before the ensealing and delivery of
these presents, the receipt whereof is hereby acknowledged, she
has granted, bargained I sold and conveyed, and she does hereby
grant, bargain, sell and convey to the said party of the second
part, her heirs and assigns forever:
ALL THAT CERTAIN piece or parcel of land situate in Lower Allan
Township, Cumberland County, Pennsylvania, bounded and described
as follows, to wit:
BEGINNING at a point on the South side of Walnut Street at the
corner of Lot No. 34, in the hereinafter mentioned Plan of Lotsl
thence along the line of Lot No. 34 South thirteen (13) degrees
thirty-four (34) minutes East one hundred fifty-one and thirty-
one hundredths (151.31) feet to a pointl thence along the line of
Lots Nos. 27 and 26 in the hereinafter mentioned Plan of Lots
North seventy-four (74) degrees forty-six (46) minutes thirty
(30) seconds East eighty and three-hundredths (00.03) feet to a
polntl thence along the line of Lot No. 32 in the hereinafter
mentioned Plan of Lots North thirteen (13) degrees thirty-four
(34) minutes Wost one hundred forty-eight and ninety-nine hundre-
dths (148.99) feet to a point on the South side of Walnut str~etl
thence along the South side of Walnut Street South seventy-six
(76) degrees twenty-six (26) minutes West eighty (80) feet to a
point, the place of BEGINNING.
BEING Lot No. 33 in the Plan of Lots of Robert T. Stoner and
Charlotte J. stoner/ his wife, made August 31/ 1954/ revised
April 30, 1957 and recorded in the Recorder's Office in and for
Cumberland County, Pennsylvania in Plan Book 9, Page 5
HAVING erected thereon a dwelling house being known and numbered
as 17 Walnut street, Camp lIill, Pennsylvania.
DEING the same premises lihich M. R. Campbell, Inc. / a Pennsyl-
vania Corporation, by deed dated November 5/ 1957 and recorded
November 6/ 1957 in the Cumberland County Recorder of Deeds
Office in Deed Dook "0", Volume 10/ Page 44/ granted and conveyed
unto Earl W. Shutt and Emma M. shutt I his wife. The said Earl W.
Shutt died January 24, 1991 whereupon full and complete title to
the within described real estate became vested solely in Emma M.
Shutt, surviving spouse, the decedent herein.
TOGETIIER with all and singular the rights, liberties, privileges,
hereditaments and appurtenances whatsoever thereunto belonging or
in anywise appertaining, and the reversions and remainders,
rents, issues and profits thereof, and all the estate, right,
title, interest, property, claim and demand whatsoever of the
said Emma M. Shutt at and immediately before the time of her
decease, in law or equity or otherwise howsoever, oft in, to or
out of the same:
TO JIAVE AND TO IIOLD the said granted premises to the said party
of the second part/ her heirs and assigns forever.
AND the said Virginia L. Daker, Executrix of the Last Will and
Testament of Emma M. Shutt, does covenant, promise, grant and
agree/ to and with the said party of the second part, her heirs
and assigns, by these presents, that Virginia L. Baker, the said
Executrix of the Last will and Testament of Emma M. Shutt, has
not done, committed, or knowingly or willingly suffered to be
donEl, any act, matter or thing whatsoever, whereby the premises
aforesaid, or any part thereof, is, are/ shall or may be charged
or incumbered, in title, charge or estate/ or otherwise how-
soever.
