KlOD, a resident of 5422 oxford Drive, Meohaniosburg, cumberland county, Pennsylvania being of sound mind, memory and understanding, do hereby make, publish and deolare this to be my Last Will and Testament, hereby revoking all Wills and Codicils heretofore made by me. ITEM 1: I direct that all my just debts, the expenses of my last illness and funeral expenses be paid as soon after my decease as the same can conveniently be done. CHUBB and STEPHEN R. KIDD, provided, however, that they survive me and are living sixty (60) days after the date of my death, as follows: A. Two-thirds (2/3) of my estate unto my daughter, BARBARA J. CHUBB; and B. One-third (1/3) of my estate unto my son, STEPHEN R. RIDD. RIDD, Deceased IN THE COURT OF COMMON PLEAS CUMBERLAND COUNTY, PENNSYLVANIA I ORPHANS' COURT DIVISION No. 21-94-107 AUDITOR'S MEMORANDUM O~ PRI-HEARING CONfERENCE A pre-hearing oonference was held before the Auditor 'on Monday, April 29 at 10:00 a.m. The Executrix of the Estate, Barbara J. Chubb was represented by Anthony L. DeLuca, Esquire. The Objeotor, Stephen R. Kidd, is not represented by legal oounsel. Mr. Kidd was advised of his right to retain legal oounsel and encouraged to do so. I. s.ourity for r... and Ixp.n.... The Auditor pointed out to the parties that the remairling balance in the Estate, according to the Aooount, was the sum of $1,761.09. The Auditor advised both parties that $1,760 would not be sufficient to cover the potential fees and costs of the audit. Further, those oosts and fees could be awarded against either party or allocated between the parties. The Auditor referred both parties to Pennsylvania Orphans' Court Rule 8.8 which allows for the posting of security as prerequisite for the hearing. The Auditor advised the parties that formal proceedings to have the seourity ordered by the Court and posted in a formal manner would add to the costs and fees of the audit. Both parties agreed to the Auditor's suggestion that eaoh would pay the requested sum of $2,500 to the Estate, whioh sums would be deposited in the Estate ohecking account. Attorney DeLuoa is in physioal possession and control of the Estate oheok~ng aooount and will not allow any further disbursements to be made except pursuant to a final decision. Attorney DeLuca is directed to advise the undersigned Auditor immediately when the required and agreed upon deposits have been placed in the Estate cheoking account. Should either or both parties fail to post security as they have agreed, not later than Monday, June 17, 1996, the hearing sohedule for June 20, 1996, will be cancelled, the Auditor will file an appropriate Petition with the Court and an allocation of costs incurred in such proceedings will be imposed upon the breaching party/parties. II. Settlement Neqotiations. Following the discussions which will be detailed later in this Memorandum, the parties requested. time to pursue settlement negotiations. Initially the time was extended until May 22, 1996. At that time an additional extension was requested and allowed through June 3, 1996. The parties having failed to advise the Auditor that a settlement agreement has been reached within the time allowed. Therefore, a hearing has been scheduled for June 20, 1996. The parties were advised of the date initially by letter dated May 24, 1996. At any point during the proceedings, if the parties arrive at an agreement on all issues, including the allocation of fees and costs of this audit, such written Agreemont will set forth the amendments, if any, to the final Account filed in the Estate and be presented by the Auditor to the Court for approval by -2- final Order of Court. In the absenoe of suoh u settlement, these prooeedinqs will continue. It is further noted that the parties were advised on April 29, 1996 that if the prooeedings cannot be completed by July 8, 1996, the Auditor will be required to petition the court for additional time. The parties were aware when they requested the time to pursue settlement negotiations that the delay would make it virtually impossible for the Auditor to complete his dutisy within the 90 days of his original commission. III. completion of Discovery. Both parties were advised in advance of the pre-hearing conference to provide a pre-trial memorandum listing witnesses and documentary evidence. Mr. Kidd requested deferment of the requirement that he present a formal dooument at that time. Both parties were, however, verbally advised at the pre-hearing conference, are formally advised by virtue of this Memorandum and were also reminded by Auditor's letter dated May 24 that a list of witnesses and documentary exhibits must be exchanged, with copies provided to the Auditor not later than June 10. All dooumentary evidence except that whioh iB already on file with the Auditor must be copied and provided to opposing oounsel not later than June 10, 1996. Additionally, Mr. Kldd has physical items which he wishes to " show to the Auditor, which items were brought to the pre-hearing oonference but not carefully examined. Any items whioh either party may wish the Auditor to examine, shall be brought to the first floor and left on the outside patio. They may be -3- , \ , " inspected. However, this is not the type of evidence which would be admitted and preserved by the Auditor and/or the Clerk of the Orphany' Court. Any physi~al items may and should be photographed and the photographs offered for admission into evidence. ?'he photographs need not be exchanged prior to the hearing so long as physioal evidence is available at the hearing for inspect.ion. Any party which fails to provide a complete disclosure of witnesses and evidence as aforesaid may be precluded from Offering such evidence at the Auditor's hearing. IV. I..u... The Auditor reviewed the issues with the parties. FOllowing is the summary of the preliminary observations made by the Auditor. The following are merely observations and are not to ba considered final determinations. The purpose of the initial observations is to assist the parties. The purpose of the hearing is to provide evidence and argument. During the hearing, the Auditor will make rulings and following the hearing will file a Report which mayor may not be consistent with the following summary of issues: 1. The first objection allegee a discrepancy of $25,588 between the Inheritance Tax returns and the Accounts. The Auditor reviewed both documents with the parties and sees no discrepancy in that regard. If one does exIst, the Objector has thy burden of identifying it. The Objector also states that there is a differential in disbursements of $203. At the hearing, the Objector must precisely identify any difference -4- between the Aocount and the Inheritanoe Tax return in that regard. Chanoes are there were expenses not refleoted on the Inheritanoe Tax return, whioh happeps all of the time. What is important is that the Aocount was accurate in regard to disbursements. 2. The objector asserts that the Executrix was paid an excessive oommission. The Auditor provided the parties with a published chart showing allowable percentages for Executor's fees, as approved by court decision. Based upon the Auditor's review of the documents, it appears that a full Exeoutor's commission of five (5%) peroent was charged on substantial non- probate assets for which the maximum allowed commission is one (1%) peroent. Based upon those computations the Executor appears to have been paid $1,365 in excess of allowed amounts. If the Executor's fees were based upon an hourly rate or some other acceptable means of determining Executor's commission, whioh would support the amount paid, that evidenoe should be presented at the hearing by the Exeoutor. 3. The objector states that he was given a bunch of "junk" I with a few usable items valued by his appraiser at $464 whioh weren't refleoted on the Aocount. The Auditor notes that frequently auotioneers and appraisers place zero value on suoh . items whioh are not worth trying to sell at an auotion. To the best of the Auditor's knowledge the Pennsylvania Department of Revenue has never questioned suoh jUdgments. Reviewing briefly -5- the Objeotor's appraisal it does not appear, at brief glanoe, to list anything of real value. The important part of Exoeption No. 3 goes together with . Exoeption No.4. It is an assertion that there was property of value which has not been aocounted for. It is the objeotor's responsibility to offer evidence as to the existence of such property in order to challenge the accuracy of the Account. 4. objection No.4 is similar to Objection No.3. It states that there are items other than those itemized and appraised which were retained or otherwise disposed of by the Executor and not acoounted for. Again, it is the objeotor's burden to prove that such items existed. Item No. III of the decedent's Will gave the Executor "her choioe of my furniture, owned by me at the time of my death". The Acoount reflects that all inventoried furniture was kept by the Exeoutor, none distributed to the Objector. However, the Account alao reflects that the value of those items waa distributed in aocordance with Item IV of the Will, 2/3 to the Executor, 1/3 to the Objeotor. To the extent that the Aocount was complete and that the items all constituted "fur.niture", it does not appear that the Objector can complain that his sister decided to keep everything. That was her right under the Will, regardless whether it was a nice way to treat her brother. Blac~'s Law Dictionary states that the term "furniture" includes "that which furniShes, or with which anything is furnished or Eupplied; whatever must be -6- supplied to a house, room, plaoe of business, or publio building or the like, to make it habitable, oonvenient or agreeable/ goods, vessels/ utenails and other appendages neoessary or oonvenient for housekeeping/ whatever is ftdded to the interior of a house or apartment, for use or convenience". In the absence of a better definition or one mandated by Pennsylvania Courts, furniture seems to encompass everything in the house. The issue therefore becomes whether there were items of tangible personal property furniture or otherwise owned by the deoedent at her death whioh have not been accounted for by the Executor. It is noted that either party is qualified to testify to his/her opinion of value. Absent agreement of the parties, however, a written appraisal is admissible only when testimony is presented by the appraiser. 5. The objector questions a $356 moving expense and a $207.41 storage charge which was imposed against him. The Auditor notes that an expense of $356 to remove items from a residenoe being sold, whether they be usable or junk, is certainly well within the norm for such expenses. It is the Objector's burden to prove that this expense is, in this case/ unreasonable. On the other hand, the items which the Objector brought to the Auditor's office and his desoription of the items he received, assuming it is accurate/ certainly fit the definition of "junk". Moreover, typioally, when items are distributed in kind, it is the obligation of the Estate to pay charges attendant to delivery. Chubb, Exeoutrix of the .Estate of the above named deoedent, filed a First and Final Account. Thereafter on March 5/ 1996, Stephen R. Kidd, a residuary beneficiary of the Estate, file Exceptions to the Account. On April B, 1996, the undersigned was appointed by Honorable Harold E. Sheely to pass on the Objections. The undersigned Auditor offioially assumed his duties on April 10, 1996. On April 29, 1996, a pre-hearing oonferenoe was ~eld before the AUditor. The Executrix was represented by her attorney, Anthony L. Deluoa, Esquire. The Objeotor appeared without legal counsel. FOllowing the pre-hearing oonference, the parties entered into settlement negotiations and scheduling of a Hearing was deferred. The parties not having reached an agreement, on June 4, 1996 a hearing was soheduled to be conducted on June 20/ 1996. On June 18/ 1996/ the AUditor was oontaoted by Susan J. otto, Esquire, who advised the undersigned she had been retained to represent the objector. On June 19/ 1996, Attorneys Deluoa and otto advised the undersigned that they had reaohed a settlement. The undersigned requested that they prepare an appropriate Agreement and file it with the AUditor to be inoorporated into his Report. Therefore, the Auditor makes the following Report: The parties have reached a written Agreement being filed simultaneously with this Report, whioh makes amendments to the First and Final Account and contains a withdrawal of Objeotions. Also filed simultaneously herewith is a Release of the Exeoutor by the Objeotor. At the request of the Auditor, each party posted seourity of $2,500 to cover the anticipated costs and fees of the audit as confirmed by Attorney Deluca's letter of June 17, 1996, attached 88 Exhibit "A". The Agreement of the parties provides that they shall divide equally the costs and fees of the audit. The fees and expenses in connection with the audit are as followSl 1.
