After reusonable investigation IInd belief, Defendant is without sufficient knowledge to form a belie! as to t.he aVerments contalned in Paragraph 4. However, Do fendant specifically deny that Plaintiff could have accepted payment for work on its books for the account of Wellington Farms when said work had not been completed, and no installation had occurred. None of the precedent Gondit ions to Plainti f f receiving payment for work have been met. Moreover, the necessary work was not perfor.med and completed by Plaintiff. 5. Denied. After reasonable investigation and belief, Defendant is without Bufficient knowledge or information to form a belief as to when the Plaintiff was advised that the check Was refused for payment on or.dor of Defendant. 6. Penied. Defendant expreusly denies that Plaintiff has at all times been entitled to the funds allegedly paid to it by the attached instrument and Defendant further denies that demand was made on it as alleged by Plaintiff for failing or refusing to make payment of the same. Plaintiff has failed to fulfill the precedent conditions to receiving the funds in question and Defendant would further incorporate by reference its response to Paragraph 4 of Plaintiff's Complaint. WHEREFORE, Defendant demands judgment in its favor and against Plaintiff dismissing Plaintiff's Complaint with prejudice and without cost to Defendant. NEW WJI.'l"ft;fl. 7. Defendant herein incorporates by reference its responses to Paraqraphs 1-6 inclusive to Plaintiff's Complaint as if tully Bet forth herein at lenqth. 9. Plaintiff has failed to alleqe or attach a written contractual aqroement between Plaintiff and Defendant. 9. Plaintiff has failed to make proper demand upon Oefendant. 10. Plaintiff has failed to fulfill the precedent conditions for it to have received the Nineteen Thousand Twenty- nine Thousand ($19,029.00) Oollars in question. Said performance on the part of the Plaintiff to have been completed before payment was to be made, and Plaintiff failed to provide that performance. (See Attached Proposal, Exhibi t "A") 11. No contract existed with Plaintiff because no consideration was given. 12. If, however, a contract is found to exist, there was a failure of consideration on the part of Plaintiff because it failed to perform the installation work pertaining to Defendant's heatinq facility causinq the Defendant to be exposed to delay, loss/ damaqes and risk. 13. In pertinent part, Plaintiff breached its proposal which included the warranty or guaranty that I "all work to be completed in a workmanlike manner according to standard Ii I' p~'actiC(ls", because l'lainLiff tHIS failed to tImely perform the instalLatlon of the hoating and oLher equipment under the proposaL causing Defendant deLay, LOBS and damages. (See attached Proposal, Exhibit "A") 14. Defendant had the implied or express expectation of having a new furnace system installed in its plant prior to the major portion of the heating season or, at the latest, the late fall of 1993, but Plaintiff failed to meet those expectations and was unable to complete timely the installation of the aforementioned system. Plaintiff did not complete the installation but merely delivered the equipment, and, therefore, is not entitled to the balancF.l due upon completion which would have been the Nineteen Thousand Twenty-nine Thousand 1$19,029.00) Dollars. (Sel!! attached Proposal, Exhibit "A") 15. C & M Mechanical Contractl.~s, Inc. was paid Twenty- three Thousand ($23,000.00) Dollars in full satisfaction by Phoenix Poultry Corporation upon dellvery of the equipment by Phoenix. 16. As a result of the failure to perform timely by C & M Mechanical Contractors, Inc., Phoenix Poultry corporation found it necessary to mitigate its damages by employing another contractor to install the heating equipment and complete the project. 17. As a result of having to hire another contractor to complete the work for the above referenced project, Phoenix Poultry Corporation had to pay Nineteen 'l'housand 'l'wenty-nine ($19,029.00) Dollars for the completion of that project to a third party contractor, and accordingly is entitled to that amount as a setoff against Plaintiff's claim. 10. The third party contractor fulfilled the performance of the contract which had been loft unperformed by c & M Mechanical contractors, Inc. but for tho delivery of the equipment itself Which had previously been paid for by Phoenix Poul try corporation. WHEREFORE, Defendant respectfully requests this Court enter judgment against Plaintiff, diemissing Plnintiff's Complaint with prejudice and without cost to Defendant. COUN-rEa CLAIM PHOENIX POULTRY CORPORATION V. C , M MECHANICAL CONTRACTORS, INC. COUNT I - ASSUMPSIT 19. Defendant incorporates by reference its responses to Paragraphs 1-10 inclusive as if fully set forth herein at length. 20. As a resul t of the delay of C & M Mechanical contractors, Inc. in the performance under the Proposal, Phoenix Poultry Corporation experienced delay damages at its production plant due to the late winter seaRonal installation of its neW furnace system. 21. The damages incurred by Phoenix Poultry Corporation which occurred as a direct result of the Plaintiff's failure to t I 24. The neqligence, carelessness, and recklessness of C , M Mechanical Contractors, Inc. was the direct and proximate cause of the damages and losses complained of heretofore in Phoenix's Answer, New Matter, and Counterclaim.
