DIVORCE SEITLEMENT AGREEMENT
THIS AGREEMENT is made this,.,)5"/lday of "J, >.,J, ,1998, by and between
WILLIAM D, GRIFFITHS, of 64 Old Stonehouse Road, Carlisle. Cumberland County,
Pennsylvania, hereinafter called "Husband", and BARBARA J. GRIFFITHS, of 54 Third Avenue,
Pottsville, Schuylkill County, Pennsylvania, hereinafter called "Wife".
WITNESSETH:
WHEREAS, Husband and Wife were married on September 5, 1987; and
WHEREAS, one child was born of this marriage: BRlIT ANY JADE GRIFFITHS, born
September 7, 1989; and
WHEREAS, differences hove arisen between Husband and Wife as a consequence of
which they have been living separate and apart from each other since on or before November of
1991; and
WHEREAS, Husband has commenced on action in divorce in the Court of Common Pleas
of Cumberland County, Pennsylvania docketed to No, 909 Civil 1994 ("Divorce Action"); and
WHEREAS, Husband and Wife desire to settle and determine all of their respective rights
and obligations and 011 claims that hove been or could hove been raised in the Divorce Action;
NOW, THEREFORE, in consideration of the premises and covenants contained herein,
it is hereby agreed by and between the parties hereto as follows:
1. Senarution, It shall be lawful for eaeh party at all times hereafter to live separate
and apart from each other at such place as he or she from time to time shall choose or deem fit.
The foregoing provision shall not be taken as an admission on the part of either party of the
lawfulness or unlawfulness of the causes leading to their living apart.
2, Interference, Eaeh party shall be free from the interference, authority and control
by the other, as fully as if he or she were single and unmarried, except as may be necessary to
carry out the provisions of this Agreement. Neither party shall molest or attempt or endeavor to
molest the other, nor in any way to harass or malign the other, nor in any other way interfere
with the peaceful existence, separate and apart, of the other. Each of the parties hereto
understands and agrees that neither shall do or say anything to the child of the parties at any time
which might in any way influence the child adversely against the other party.
3. Personal PronertvlPersonal Belonl!inl!s. Except as herein otherwise specifically
provided, the parties have heretofore divided between themselves to their mutual satisfaction all
of their respective furniture. furnishings. dishes, jewelry. clothing and other miscellaneous
personal property to their mutual satisfaction, and each hereby waives, relinquishes and quitclaims
to the other any right, title, interest or claim he or she may have in and to any personal property
which, as of the date of the execution hereof, is in the possession, custody or control of the other
party. The foregoing notwithstanding, Wife shall provide Husband with copies of all family
photographs and videos which Wife heretofore removed from the marital home. especially those
photographs or videotapes of the parties' minor child, Brittany. If requested by Wife. Husband

shall arrange for the copying of such photographs and videotapes and provide such copies to
Wife.
Should it become necessary at any time for either party to execute any titles or other
documents to give effect to this Paragraph 3, it shall be done immediately upon the request of
the other party.
4. Bank Accounts. Retirement Funds. Business Interests. Wife hereby waives,
relinquishes and quitclaims to Husband any and all right, title, interest or claim she has, may have
or which may have arisen, by virtue of the marital relationship of the parties or otherwise, in and
to any shares of stock, partnership interests or any other interest in or asset owned or held by or
in Husband's name or for his behalf in Remco, Inc.. a Pennsylvania corporation, Hampden Area
Development, a Pennsylvania partnership, and/or UML Development, a Pennsylvania partnership,
or any predecessor or successor corporations, partnerships or entities, expressly including but not
limited to any right, title, interest or claim she has! may have or may have ever had with respect
to any employment benefit, insumnce coverage, retirement fund, pension benefits, deferred
compensation plans or any other income from or interest in any such business entity.
Further, each of the parties hereto waives, relinquishes and quitclaims to the other party
any right, title, interest or claim he or she may have in and to any individual retirement account,
employment benefit, pension fund, retirement account, deferred compensation account or any
other employee-related or retirement-related accounts or funds held in the name of or for the
benefit of the other party.

5. Real Propertv. Wife shall. contemporaneously with the execution hercof, executc
and deliver to Husband a Quitclaim Deed to transfer and release to Husband any and all of her
right, title and interest in and to the real property known as 64 Old Stonehouse Road, Silver
Spring Township, Cumberland County, heretoforc titled in the names of Husband and Wife
jointly; under and subject. however, to any liens, mortgages or other matters of record as of the
date hereof.
6. Cash Pavments to Wife. In consideration of and in cxchange for Wifc's transfer,
quitclaim and rclease of any interest she may have in the real propcrty of the parties and/or of
any right, title, intercst or claim with regard to any business or business intcrests in which
Husband has or has had an interest and/or of any other rights or claims arising from or out of the
marital rclationship, Wife acknowledges that she has hcrctoforc received from Husband the total
sum of Fifty-Nine Thousand Five Hundred Dollars ($59.500.00). Within ten (10) days of the
entry of a final Decree in Divorce in the Divorce Action as hereinafter provided, Husband shall
pay to Wife an additional sum of Fifty Thousand Dollars ($50,000.00); and, in addition, Husband
shall pay to Wife, without intcrest, the sum of Forty Thousand Dollars ($40,000.00) on the first
anniversary of the Decree in Divorce, Thirty Thousand Dollars ($30,000.00) on the second
anniversary of the Decree in Divorce, and Thirty Thousand Dollars ($30,000.00) on the third
anniversary of the date of the entry of the Decree in Divorce.
7. Alimonv. Alimonv Pendente Lile. Spousal SuPPort. Each party hercby waives,
relinquishes and quitclaims to the other party any right to or right to claim from thc other party

the payment of spousal support, alimony pendente lite or alimony following the entry of a Deeree
in Divorce or any other similar payments one to the other. Wife shall, contemporaneously with
the execution hereof, tcnder to Husband's attorney such documents as may be rcasonably required
to withdraw, terminate and discontinue any such actions or claims for spousal support. alimony
pendente lite, alimony or any similar claim which may be pending in the Divorce Action or in
any other proceedings in any jurisdiction, including but not necessarily limited to the case
docketed to No. 212 S 1994, PACSES No. 132000031 (DR 22393) in the Court of Common
Pleas of Cumberland County, Domestic Relations Section.
8. Custodv. The parties hereto acknowledge that the parties have reached an
understanding through the Court in the Divorce Action and further acknowledge that custody and
visitation with respect to such child shall be liS established by the Order heretofore entercd by the
Court, which said Order incorpomtes the terms and conditions of the agreement rcached by the
parties.
The parties each acknowledge that the arrangements concerning custody and visitation may
be subject to modification and each party retains the right to seek modification of such custody
or visitation arrangements by petition or other request presentcd to a court of competent
jurisdiction seeking such modification.
9. Child SuPPort. Husband and Wife agree that Husband shall continue to pay to
Wife the sum required to be paid under the current recommended child support Order in existence
in the action docketed to No. 212 S 1994, P ACSES No. 132000031 (DR 22393) in the Court of

Common Pleas of Cumberland County, Domestie Relations Section. an amount which the parties
acknowledge to be Three Hundred Fifty Dollars ($350.00) per week as support for the parties'
minor child, Brittany Jade Griffiths. Wife hereby instructs her attorney to withdraw and
terminate any appeal from the recommended Order entered in this action which Wife or Wife's
attomey may have previously filed.
If there is no material change in the financial circumstances of the parties at that time.
commencing with the first full week of September, 1998. Husband's weekly payments to Wife
as child support for Brittany shall be increased to Four Hundred Dollars ($400.00) per week, and,
in the first full week of January, 1999, said wcekly payments shall be increased to Four Hundred
Fifty Dollars ($450.00) per week as support for the minor child. Husband and Wife shall
cooperate and execute such stipulations or other documents as may be required to modify any
then-existing support orders to provide for the levels of payments as herein provided.
Anything in this section to the contrary notwithstanding, the parties acknowledge that
either party may petition for adjustment and/or modification of the levcl of support upon a
showing of material change of circumstances, and either party may, with a showing of such
material change of financial circumstances, petition a court of competent jurisdiction for such
modification or adjustment.
10. Additional Child Financial Arranl!ements. So long as Husband's weekly support
obligation is not modified or adjusted above the levels as provided in Paragraph 9 hereof,
Husband shall, on the first anniversary of the entry of a Decree in Divorce, pay for the benefit

of the minor child, Brittany Jade Griffiths, a sum of Two Thousand Fivc Hundred Dollars
($2,500.00) and, on each anniversary of the Decree in Divorce so long as the child, Brittany Jade
Griffiths, is under the age of eighteen (18) years, Husband shall deposit or make such payment
in the same amount, increased by Five Hundred Dollars ($500.00) annually. The said annual
payments shall be made by Husband directly to Wife and all such sums shall be held by Wifc
for the sole and exclusive benefit of Brittany Jade Griffiths and for extraordinary expenses and
needs of such child. The foregoing notwithstanding, Wife agrees that she shall deposit a sum not
less than one-half of the amount of each annual payment received into a trust or savings account
under the Uniform Gift for Minors Act or such similar account which shall be for the sole and
exclusive benefit of the child, Brittany Jade Griffiths. and to be paid over to the child upon her
attaining the age of eighteen (18) years. Wife agrees that she shall not make any withdmwals
of principal or of interest from such account or trust except for extraordinary needs of the child
and not without the prior written consent of Husband. Wife further agrees and acknowledges that
the child, Brittany Jade Griffiths, is an intended third-party beneficiary of this Section 10 of this
Agreement. In the cvent the child should die prior to attaining the age of eighteen (18), all sums
deposited in such account, together with all accrued interest and earnings thereon. shall be divided
equally between Husband and Wife. Wife specifically understands that the sole purpose of all
such funds to be paid by Husband under this Section 10 is to provide a source of payment for
extmordinary needs or expenses, including educational needs, of the parties' child in the future

and for any extraordinary or emergency needs of the child which may arise from time to time
before the child attains the age of majority.
II. Post-Secondary Educational Expenses. Each of the parties hereto acknowledges
and understands the importance of post-secondary education for their daughter and each
acknowledges that it is his and her present intention to contribute toward such post-secondary
educational expenses as may be necessary in order for the parties' minor child to attend such
collegc, university or other institution of higher education for which the child may then have an
aptitude and desire to attend. Nothing in this Paragraph II, however, is intended to nor shall be
deemed to create, in any fashion, any legally binding or enforceable contractual obligation on the
part of either party, neither to the other party to this Agreement nor to any third party, including
but not necessarily limited to the parties' minor child.
12. Medical/Dental Insurance. Husband and Wife shall cooperate to provide Blue
CrossIBlue Shield medical and dental coverages, or equivalent coverages, for the child as may
be available through either party's employment. Husband and Wife each acknowledge that
Husband is currently providing such coverages through his businesses or employment and shall
continue to do so as long as his employment and business relationships remain unchanged and
such coverage remains available through such business or employment at current rates. In the
event Husband shall no longer be able to provide such coverage through his current business or
employment, and in the event neither Husband's nor Wife's employer makes such insurance
coverages available for the child or does not make such coverage available without additional

charge, Husband and Wife shall share the costs of obtaining such coverages as may be available
from employer-provided insurance coverages or through private medical/dental insurance policies
in proportion to their then-annual net incomes. All non-covered medical. dental or other health-
related expenses for the child shall be borne and paid in such proportions by Husband and Wife
as well.
13. Tax on ProDertv Division. The parties hereby agree and express their intent that
any transfers of property pursuant to this Agreement shall be within the scope and applicability
of the Deficit Reduction Act of 1984 or other similar tax aets (hereinafter the "Act"), specifically,
the provisions of the said Act pertaining to transfers of property between spouses or former
spouses. The parties agree to sign and cause to be filed any elections or other documents
required by the Internal Revenue Service to render the Act applicable to the transfers set forth
in this Agreement, without recognition of gain on such transfers and subject to the carry-over
basis provisions of said Act. As to transfers to which the Act may not or does not apply,
Husband shall be solely responsible for any and all taxes that may be assessed or become due
from Husband, and Wife shall be solely responsible for any and all taxes that may be assessed
or become due from Wife as a result of or arising from this Agreement.
14. Full Disclosure. Each of the parties acknowledges that he or she is fully aware
of the nature and extent of the assets and liabilities of each of the parties hereto and is also fully
aware that, under the Pennsylvania Divorce Code and the Pennsylvania Rules of Civil Procedure,
each party to a divorce action has the right to require the filing of an Inventory and Appraisement

of assets and liabilities as well as a Statement of Income and Expenses and to undertake
discovery with regard to financial issues. To the extent such proceedings have not taken place
or been required, each party knowingly waives the right to require any such filing or to proceed
with such discovery. Each party enters into this Agreement without reliance on any
representations by the other party but, instead, is relying on his or her own knowledge of the facts
and circumstances as he or she knows them. Each party, therefore. releases the other from any
claims, actions, causes of action, suits, demands, claims or anything of like or similar nature
arising from or out of the failure of either party to disclose assets and/or liabilities, and neither
party will bring an action against the other based on any allegation of the failure of either party
to make such disclosures.
IS. Additional Instruments. Each of the parties shall on demand execute and deliver
to the other any deeds. bills of sale, car titles, assignments. consents, tax returns and any other
documents and shall do or cause to be done any other act or thing that may be necessary or
desirable to the provisions and purposes of this Agreement.
16. Wife's Debts. Wife represents and warrants to Husband that she has not and in
the future she will not contract or incur any debt or liability for which Husband or his estate
might be responsible and shall indemnify and save Husband harmless from any and all claims
or demands made against him by reason of debts or obligations incurred by her.
17. Husband's Debts. Husband represents and warrants to Wife that he has not and
in the future he will not contract or incur any debt or liability for which Wife or her estate might

be responsible and shall indemnify and save Wife harmless from any and all claims or demands
made against her by reason of debts or obligations incurred by him.
18. Waivers of Claims. Except as herein otherwise provided, each party may dispose
of his or her property in any way. and each party hereby waives and relinquishes any and all
rights he or she may now have or hereafter acquire. under the present or future laws of any
jurisdiction, to share in the property or the estate of the othcr as a result of the marital
relationship, including without limitation. dower, curtcsy, statutory allowance, widow's allowance,
right to take in intestacy, right to take against the Will of the other, right to claim or seek
equitable distribution of property, alimony, alimony pendente lite, spousal support, counsel fees
or expenses, and right to act as administrator or executor of the other's estate, and each will, at
the request of the other, exccute, acknowledge and deliver any and all instruments which may be
necessary or advisable to carry into effect this mutual waiver and relinquishment of all such
interests, rights and claims.
19. Lel!al Representation. Husband and Wife acknowledge that Husband has been
represented with respect to the Divorce Action and with respect to the negotiation and entering
into this Agreement by Bruce F. Bratton, Esquire, and that Wife has been represented with
respect to the Divorce Action and with respect to the negotiation and entering into this Agreement
by John E. Jones, III, Esquire. Each party further acknowledges that he or she has had full
opportunity to review this document with his or her attorney and acknowledges that he or she
fully understands the legal impact of this Agreement and intends to be legally bound by the terms

hereof. Each of the parties also acknowledges that he or she has had the opportunity to consult
with any other person or professional of his or her choosing and has arrived at the decision to
enter into this Agreement without any threat or coercion but, instead, he or she is executing this
Agreement knowingly and after due consideration of all of the circumstances of the parties and,
except for the parties' respective attorneys, not in reliance upon any representation, promise or
statement of the other party not herein contained or made by any other advisor.
20. Counsel Fees and EXDenses. Simultaneously with the first payment to Wife as
provided in Paragraph 6 hereof and upon receipt of reasonable proof of the extent of Wife's
obligations for attorneys' fees, costs and expenses, Husband shall pay to Wife a sum not to
exceed Ten Thousand Dollars ($10,000.00) as his sole and exclusive contribution to Wife's
attorneys' fees, costs and expenses. Except as to the foregoing, each party shall bear his or her
own legal fees, costs and expenses.
21. Voluntarv Execution. The provisions of this Agreement are fully understood by
both parties. and each party acknowledges that this Agreement is fair and equitable, that it is
being entered into voluntarily and that it is not the result of any duress or undue influence.
22. Action in Divorce. Simultaneously herewith. Husband and Wife shall execute
Affidavits of Consent to the entry of a Decree in Divorce in the Divorce Action and shall deliver
to Husband's attorney all such Affidavits and any and all other documents required to obtain a
Decree in Divorce in the Divorce Action. In the event a Decree in Divorce is entered, the terms

of this Agreemcnt shall be incorporated in such Decree and shall not be modified or affected by
such Decree.
23. Breach. In the event either party to this Agreement shall breach any term,
covenant or other obligation herein, the non-breaching party shall be entitled, in addition to all
other remedies available at law or in equity, to recover from the breaching party all costs which
the non-breaching party may incur, including reasonable attorneys' fees, in any aetion or
proceeding to enforce the terms of this Agreement.
24. Entire Agreement. This Agreement contains the entire understanding of the
parties, and there are no representations, warranties, covenants or undertakings other than those
expressly set forth herein.
25. Modification and Waiver. Any modifieation or waiver of any provision of this
Agreement shall be effective only ifmade in writing and executed with the same formality as this
Agreement. The failure of either party to insist upon strict perfonnance of any of the provisions
of this Agreement shall not be construed as a waiver of any subsequent default of the same or
similar nature.
26. Governing Law. This Agreement shall be governed by and shall be construed in
accordance with the laws of the Commonwealth of Pennsylvania.
27. IndeDendent SeDamte Covenants. It is specifically understood and agreed by and
between the parties hereto that each paragraph hereof shall be deemed to be a sepamte and
independent covenant and agreement.

28. Void Clauses. I f any term. condition. clause or provision of this Agreement shall
be determined or declared to be void or invalid in law or otherwise, then only that term,
condition, clause or provision shall be stricken from this Agreement and in all other respects this
Agreement shall be valid and continue in full force, effect and operation.
IN WITNESS WHEREOF, the parties hereto, intending to be legally bound hereby, have
hereunto set their hands and seals the day and year first above written.

COMPLAINT UNDER SECTION 3301(c)
OF THE DIVORCE CODE
1, Plaintiff is William D. Griffiths, who has resided at 64
Old Stone House Road, Carlisle, Cumberland County, Pennsylvania,
for the last five (5) years.
2. Defendant is Barbara J. Griffiths, who has resided at 64
Old Stone House Road, Carlisle, Cumberland County, Pennsylvania,
for the last five (5) year.
3. Plaintiff and Defendant have been bona fide residents in
the Commonwealth for at least six (6) months immediately previous
to the filing of this Complaint.
4. The Plaintiff and Defendant were married on September 5,
1987 in Baltimore, Maryland.
5. There have been no prior actions of divorce or for
annulment between the parties.
6. Neither of the parties in this action is presently a
member of the Armed Forces.
7. The Plaintiff and Defendant are both citizens of the
United States,
8. Plaintiff has been advised of the availability of marriage
counseling and that he may have the right to request the Court to
require the parties to participate in such counseling. Being so
advised, Plaintiff does not request that the Court require the
parties to participate in counseling prior to a divorce decree
being handed down by the Court.
COUNT I - DIVORCE
9. The plaintiff avers that the grounds on which the action
is based are as follows:
(a) That Defendant has offered such indignities to the
Plaintiff, the injured and innocent spouse, so as to make
Plaintiff's condition burdensome and life intolerable;
(b) That the marriage is irretrievably broken.
COUNT II - EOUITABLE DISTRIBUTION
10. During the marriage, Plaintiff and Defendant have acquired
various items of marital property, both real and personal, which
are subject to equitable distribution under Chapter 35 of the
Divorce Code.
COUNT III - CUSTODY
11. There is one child born to this marriage, namely,
Brittany.
12. Plaintiff desires shared legal ~nd physical custody of the
minor child and is capable of giving said child the necessary
parental care and a proper and healthful environment.
13. The Plaintiff avers that he is a fit person to raise the
minor child and that by awarding him shared custody, the best

interest and permanent welfare of the child will thereby be
promoted.
14. The parties' minor child has resided at 64 Old Stone House
Road, Carlisle, Cumberland County, Pennsylvania, since birth.
15, Plaintiff has not participated in any other
litigation concerning the custody proceedings in a court of this
or any other state, nor does he know of any person not a party to
these proceedings who has had physical custody of the child or
claims to have custody or visitation rights.
16. The Plaintiff requests that a reasonable shared
custody schedule be set up by the Court regarding custody of the
parties' minor child.
WHEREFORE, Plaintiff requests this Honorable Court:
(A) Enter a decree of divorce;
(B) Equitably distribute all property, both personal
and real, owned by the parties;
(C) Award shared custody of the child to the
Plaintiff and establish a reasonable shared custody schedule for
Defendant;
(D) Grant such further relief as the Court may deem
equitable and just.

Bratton is the attorney of record. However, Mr. Jones has filed
an appearance but Mr. Wagner has not filed a withdrawal. Mr.
Wagner entered his appearance on August 23, 1994. Mr. Jones
entered his appearance on July 24, 1997, but Mr. Wagner has not
withdrawn his appearance.
A divorce complaint was filed on February 25, 1994,
raising grounds for divorce of irretrievable breakdown of the
marriage and the economic claim of equitable distribution. An
affidavit under section 3301(d) was filed by the Plaintiff on
July 31, 1997, and a counter-affidavit was filed by the
Defendant on August 4, 1997. The Defendant has indicated that
the marriage is not irretrievably broken and that she wishes to
claim economic relief. However, the only economic issue pending
before the Master is the claim of equitable distribution which
was raised in the complaint.

matter, I was recently retained by Mrs, Griffiths to serve as her counsel, replacing her prior
attorney, Lee Smigel.
It is evident from the correspondence in this matter that Attorney Bratton has his marching
orders and is intent upon moving this case forward. However, I am constrained to state that I
have just this week received !he tile from Lee Smigel's office after a protracted delay caused not
by my fault or my client's, but frankly by Smigel's office inappropriately withholding the file, It is
evident to me that we will have to conduct some additional discovery, since there are substantial
items of marital property in play in this case, Additionally, I am certain that we will have to raise
some additional issues before the Master, including alimony lInd costs,
I wanted to provide the Master with all of this information now rather than to appear at a
proceeding and indicate at that time that we are unable to meaningfully proceed on Mrs. Griffiths'
behalf. I am attempting with all dispatch to do the necessary to prepare this case for hearing;
however, I would respectfully submit that it is somewhat prematurely before the Master, and that
we ought to have at least several months as additional time to complete the above noted matters,

I have just received Mr. Jones' letter to you dated August 29,
1997 (my copy of which was unsigned) .
With all due respect, of course, we disagree that this matter
is not now ready for hearing before a Master or that the matter
should be continued for any purpose. Contrary to Mr. Jones'
position, Mrs. Griffiths had been represented by counsel throughout
the entire three years that this divorce has been pending. She had
engaged in a mediation process through which all of the information
concerning marital assets and liabilities was shared not only with
her but also.with her legal counsel. (In fact, a tentative
agreement had even been reached, although Mrs, Griffiths later
disavowed the agreement.) Her new attorney's plea for additional
time, therefore, has a very hollow ring to it. Any difficulties
between Mrs. Griffiths and her prior counsel are, frankly,
irrelevant and have been the subject of proceedings within this
divorce action which, we submit, indicate that the true source of
problems may well have been Mrs. Griffiths herself.
We are prepared to proceed, upon reasonable prior notice, with
the prosecution of this case through a Master's Hearing. I am in
the process of preparing a pre-hearing memorandum and I see no

3. Witnesses' testimony,
In addition to the foregoing, Plaintiff will also testify
as to the agreement reached and his performance thereof
as well as to the facts and circumstances of his marriage

the parties in January of 1992.
Plaintiff reserves the right to call additional witnesses
as may be appropriate to rebut defense witnesses.
4, Exhibits.
Plaintiff has not determined what exhibits may be offered
into evidence at this time. Plaintiff attaches hereto a
copy of the marked-up and initialed memorandum of the
parties' understanding reached in November of 1996 which
Plaintiff expects to offer as an exhibit to establish the
terms of the parties' agreement and partial performance
thereof. Plaintiff reserves the right to supplement this
Statement with additional exhibits, including but not
limited to, financial statements of the various
businesses in which Plaintiff has or had an interest, tax
returns, etc., as well as the records of the credit
balance, an amount of approximately $30,000.00, to his
account on a support order, DR 22,393, Cumberland County
Court of Common Pleas,
5. Income.
Although Plaintiff does not know Defendant's current
employment earnings, Plaintiff believes that Defendant is
a salaried person making no less than $40,000.00 per
year.
Plaintiff is a businessman whose earnings fluctuate
greatly depending on market conditions, etc. His
1996 Form 1040 is attached hereto. The current year's

income from business interests of Plaintiff is and is
expected to be much reduced from 1996.
6. Expenses.
Plaintiff does not intend at this time to offer any
evidence of any extraordinary expenses, reserving the
right to offer such evidence or testimony as to his
businesses and his performance of the terms of the
agreement reached with Defendant in 1996 as may be
appropriate.
7. Pensions, etc.
Plaintiff's deferred compensation/retirement fund,
sometimes referred to as his "trust fund", had a value at
the date of marriage of about $12,500.00 and at
separation of about $13,700.00 as evidenced by the
statements regarding this fund attached hereto,
8, Counsel fees,
Plaintiff does not seek counsel fees, expenses, etc,
9. Tangible personal property.
Plaintiff believes there are no current disputes
regarding the tangible personalty of the parties.
10. Debts.
Plaintiff believes that the only marital debt of
significance which remains is the mortgage on the
residence which is taken into account in the equity
valuation accepted by the parties as $60,000.00.
Plaintiff has been solely paying such mortgage (s) and all
other costs of maintaining the residence since
separation.
11, Proposed resolution.
Plaintiff submits that the agreement reached by the
parties in 1996, as evidenced by the memorandum attached
hereto, constitutes a fairly reached compromise
settlement of the parties' economic claims and should be
enforced as such. Further, although not reduced to a
more formal writing, the memorandum has been performed in
all material respects by the Plaintiff, including the
payment to Defendant of $52,000.00 prior to the
conclusion of the settlement agreement and another

electronics contracting firm. The parties had agreed, after review
of financial data with a third-party mediator, that the
appreciation in value of the interest of the Plaintiff during the
marriage was approximately $151,425,00,
Remco of Allentown. Inc. This affiliated Pennsylvania
corporation was formed in 1990. At the time of formation and of
the separation of the parties, Plaintiff's interest was
2,000 shares of a total of 8,000 shares issued. The parties had
agreed, as previously described, that the value of Plaintiff's
interest in this S-Corporation for equitable distribution was
$5,741.00. In early 1996, Remco of Allentown, Inc. was merged with
Remco, Inc, Plaintiff's interest in the surviving corporation is
now approximately 26% of the total shareholders' interests.
Hampden Area Development. This partnership, formed in 1987,
owns two parcels of land in Cumberland County. Plaintiff is a
1/3 partner. By agreement of the parties, the net value of
Plaintiff's share has been established at $20,643.00.
UML Development. Plaintiff owns a 1/4 share in this
partnership which owns one parcel of land in Allentown. The
partnership was not formed, however, until October of 1992 and is
not, therefore, marital property.

COURT ORDER
AND NOW, this l\o day of March, 1998, upon consideration of the
attached Custody Conciliation Report, it is ordered and directed as
follows:
1. The Father, William D. Griffiths, and the Mother, Barbara J.
Griffiths, shall enjoy shared legal custody of Brittany J.
Griffiths, born September 7, 1989.
2. The Mother shall enjoy primary physical custody of the minor
child.
3. The Father shall enjoy temporary physical custody of the minor
child as follows:
A. On alternating weekends from Friday at 6:00 p.m. until
Sunday at 6:00 p.m.
B. At such other times as agreed upon by the parties.
4. The parties shall alternate custody on major holidays to
include New Year's Day, President's Day, Easter, Memorial Day,
July 4, Labor Day and Thanksgiving. The schedule shall be
from 6:00 p.m. the day before the holiday until 6:00 p.m. the
day of the holiday.
5. For the Christmas holiday, the minor child shall be with the
Mother on Christmas Eve and on Christmas Day. Custody shall
be delivered to the Father at 3:00 p.m. on Christmas Day and
he shall have custody until December 27 at 6:00 p.m.
6. Father shall enjoy s:Jmmer vacation with the child. For 1998,
Father shall have custody from July 3 through July 17. This
period of time shall be when Father is off work and available
with the child. Father shall also have an additional week
this summer which is understood to be at this point August 8
through August 15. This week may be modified by agreement of
the parties in the event it interferes with any of the child's
school or athletic activities.
7. The Mother shall always have custody of the minor child on
Mother's Day and the Father shall always have custody on
Father's Day with this provision to supersede any other

provisions of this Order. The Mother's and Father's Day shall
be handled like a holiday which would be 6:00 p.m. on that
Saturday until 6:00 p.m. on Sunday.
8. For exchange of custody, Father will pick up the child at Exit
30 on Interstate 81 at the beginning of the custody and Mother
will pick up the child at Exit 28 on Interstate 81 at the
conclusion of Father's period of temporary custody.
9. This Order is entered pursuant to an agreement reached between
the parties at a Custody Conciliation Conference. In the
event either party is in any way dissatisfied with this Order,
that party may petition the Court to have the Order modified.
10. Father shall enjoy reasonable telephone contact with the minor
child when she is in the Mother's custody, this contact to be
a minimum of approximately three calls per week. When the
child is with the Father for her weeks in the summer, Mother
shall enjoy similar telephone contact.
11. The parties to this Order acknowledge that Schuylkill County
is the appropriate jurisdiction to litigate any further
modifications of this Order. On that issue, legal counsel for
the parties shall obtain a certified copy of this Order from
the Cumberland County Prothonotary and docket that Order with
the appropriate offices at Schuylkill County for purposes of
any future proceedings in this case to be held in Schuylkill
County rather than Cumberland County. Upon the docketing of
this Order at Schuylkill County, Cumberland County
relinquishes jurisdiction of the Custody ~ssues in this case.

DEFENDANT'S PRE-TRIAL STATEMENT
Defendant, BARBARA J. GRIFFITHS, by and through her counsel,
John E. Jones, III, Esquire, hereby renders the following Pre-Trial
Statement in accordance with Pa.R.C.P. ~1920.33(b):
I. FACTS:
The parties hereto separated in 1994. On February 25, 1994,
Plaintiff William D. Griffiths filed a divorce complaint raising
the issues of divorce (both no-fault and indignities), equitable
distribution, and custody.
Subsequently, on July 15, 1994, Defendant filed a Motion for
Leave to Take Discovery and to Compel Production of Documents,
which was granted by Order of the Honorable Harold E. Sheely on
July 22, 1994.
Also on July 15, 1994, Defendant petitioned the Court for
alimony pendente lite and counsel fees, costs and expenses.
Subsequently, an Order for child support for the parties' minor
daughter, Brittany J. Griffiths, who resides with Defendant, was

entered in the amount of $188.00 per week, and Plaintiff provided
an additional $262.00 in support and a.p.l. per week on a voluntary
basis, for a total of $450.00. Plaintiff now appears to be
reducing that amount, and Defendant's most recent check was in the
amount of $116.86,
Plaintiff has filed an Affidavit under 53301(d) of the Divorce
Code, and Defendant has filed the requisite Counter-Affidavit under
the same section.
It appears that the major issues or items for the Master to
determine in this case, aside from the divorce, are the valuations
and distribution as a result of those valuations of the following
business entities: Remco, Inc., Remco of Allentown, and Hampden
Area Development. In addition, Plaintiff has occupied the former
marital residence at 64 Old Stonehouse Road in Carlisle virtually
since the separation of the parties in 1994, and has had exclusive
enjoyment of the same.
Defendant's counsel is successor counsel to Attorney Leroy
Smigel, Counsel's review of the file received from Defendant's
prior attorney indicates that while there had been discovery in
this case, it was insufficient to allow Defendant to adequately and
accurately determine the value of the marital estate.
Attached hereto are letters, collectively marked as Exhibits
"A", which appear to have been substantially not answered by
Plaintiff. They are: ~ September 12, 1994 letter from Defendant's
then-expert, David B. Shatto, to Plaintiff's CPA, requesting
information; a February 28, 1997 letter from Attorney Smigel to
Attorney Bratton, which also requests discovery information; and
finally, a September 4, 1997 letter to Attorney Bratton from
Defendant's current counsel requesting comprehensive discovery.
To be sure, it appears that some of the requested discovery
items were produced, mainly in the form of tax returns for selected
entities for 1992 and 1993. However, it is absolutely impossible
for Defendant's counsel to construct accurate valuations at present
based upon the paucity of financial data with respect to
Plaintiff's substantial interests in the various companies as set
out above. Defendant is entitled to the requested discovery as a
matter of law.
II. WITNESSES:
In addition to calling both parties, Defendant intends to call
John Stemmler, CPA, who will testify concerning his valuation of
the marital estate. Defendant reserves the right to call other
fact witnesses as necessary, and with appropriate notification to
Plaintiff's counsel and the Master.
III. EXHIBITS:
When received, Defendant will introduce as exhibits all
financial documents which support her expert's valuation of the
marital estate, together with any appraisal of the former marital
home or any other real estate which must be valued pursuant to her
expert's analysis.
IV. INCOME:
Defendant's income and expenses are attached hereto, made a
part hereof, and marked as Exhibit "B".
V. PENSION OR RETIREMENT BENEFITS:
It is unknown as to whether Plaintiff possesses any pension or
retirement benefits which would be subject to equitable
distribution at this time.
VI. COUNSEL FEES:
Defendant has incurred in excess of $5,000.00 for counsel fees
with her prior attorneys, and based upon the complexity of this
case expects to incur amounts possibly in excess of that sum in
order to litigate this case to its conclusion.

VII. MARITAL DEBTS:
A mortgage against the former marital home is currently in
existence, and Defendant is aware that Plaintiff possesses other
business debts, the precise amounts of which are unknown to
Defendant.
VIII. PROPOSED RESOLUTION:
Defendant acknowledges that Plaintiff has heretofore made
distributions to her, which will be credited as advance
distributions of her share of the marital estate, in the
approximate amount of $59,000.00. However, as set forth above,
there is simply no way that Defendant or her counsel can actively
engage in either settlement negotiations or a Master's hearing on
the equitable distribution aspects of this case without further and
more exhaustive discovery.
Plaintiff's position, as stated in prior correspondence,
appears to be that Defendant is in some way estopped from engaging
in further discovery or negotiations due to the fact that there was
a prior non-binding submission of this matter to a divorce
mediator, and that there were allegedly verbal agreements between
the parties as a result. The existence of any binding verbal
agreements is strictly denied by Defendant.
Defendant respectfully submits to the Master that either prior
or subsequent to a conference of this matter, open discovery should
take place within a specified time frame in order to prepare the
case for hearing, or alternatively to allow discussions to take
place in meaningful fashion for the purpose of attempting an
amicable settlement.

Dear Bruce:
We have had an opportunity to review your letter of January
6, 1997 and the proposed Harriaga Settlement Agreement with Hrs.
Griffiths.
At this time, we are unable to advise Mrs. Griffiths as to
whether or not the equitable distribution proposed in the
agreement is fair since all of the assets have not been
identified and \-Ie do not have any supporting documentation.
Therefore, we will need the current tax returns as well as
financial statements before we can assess the agreement. In the
alternative, a summary ,lith ~Ihich both parties are "omfortable
might also suffice. We will need to know the value of all assets
as of November 19, 1994. 'l.'he documentation provided should
verify the value of Romeo, Inc. as llell as Hampden Area
Development and/or UML Development. The agreement does not
reference Reme:o of Allentown. Please do not forget to provide
documentation for that, as ~Iell as any other partnerships which
have not been mentioned in the proposed agreement. Please
forward this documentation as soon as possible so that we may
move forward llith resolving this matter.
In addition to verification of the assets, we also need
verification as to your client's current salary. with this
information we will be able to verify that the proposed child
support is acceptable.
Please speak to your client regarding his prior agreement to
pay ~lrs. Griffiths' counsel fees. He has not followed through
with this and we are requesting that he pay the counsel fees that
she has incurred to data upon recoipt of this letter. If this is
done, it will obviate the need for us to prepare a petition for
counsel fees, costs and expenses. Language regarding'his
agreement to pay counsel fees needs to be added to your proposed
document.

There is also an error regarding the amount of alimony.
Mrs. Griffiths informed us that she had asked for $22,000 in
alimony and your agreement only provides for $20,000.
We would also like the custody agreement prepared
separately. In doing so, please modify the agreement as follows.
Mrs. GrIffith will agree that Father can have partial
custody/visitation on alternate \~eekends from Friday evening at
6:00 p.m. through Sunday evening at 6:00 p.m. He may also have
visitation one evening per \~eek from approximately 6: 00 p.m.
until 8:00 p.m. During Father's periods of partial
custody/visitation he will be responsible for all transportation.
Holiday visitation shall occur as the parties can agree with
the exception of Christmas Eve when the child will be Mother
every year. As for summer vacation, Mother will agree that
Father may have the chid for blO non-consecutive weelcs during the
summer months.
The agreement is also lacking an indemnification clause and
therefore we suggest the addition of the following:
"Each party represents and warrants to the other that
he or she has not incurred any debt, obligation, or
other li~bility, other than described in this
Agreement, on ~Ihich the other party is or may be
liable. Each party covenants and agrees that if any
claim, action or proceeding is hereinafter initiated
seeking to hold the other party liable for any other
debts, obligations, liability, act or omission of such
party, such party will at his or her sole expense,
defend the other against any such claim or demand,
whether or not well-founded, and that he or she will
indemnify and hold harmless the other party in respect
of all damages as resulting therefrom. Damages as used
herein shall include any claim, action, demand, loss,
cost, expense, penalty, and other damage, including
without limitation, counsel fees and other costs and
expenses reasonably incurred in investigating or
attempting to avoid same or in opposing the imposition
thereof or enforcing this indemnity, resulting to
Husband or Wife from any inaccurate representation made
by or on behalf of either Husband or Wife to the other
in this Agreement, any breach of any of the warranties
made by Husband or Wife in this Agreement, or breach or
default in performance by Husband or wife of any of the
obligations to be performed by such party hereunder.

written notice of any litigation threatened or

AND NOW, comes Defendant/Movant, BARBARA GRIFFITHS, by her
attorneys, SMIGEL, ANDERSON & SACKS, and avers as follows:
1. Movant is Defendant in the above-captioned matter.
2. On February 25, 1994 Plaintiff/Respondent WILLIAM GRIFFITHS
instituted this divorce action by filing a Complaint in Divorce
seeking a divorce under Section 3301(c) of the Divorce Code, equitable
distribution and custody of the parties' minor child, Brittany.
3. The parties own substantial marital assets including but not
limited to real estate; retirement accounts; life insurance;
financial investments and accounts; automobiles; household furnishings
and personalty; and interests in certain business enterprises.
4. Discovery is required to determine the nature and value of
all of the marital assets in this case.
5. Defendant/Movant believes and therefore avers that
Plaintiff/Respondent has access to copies of personal and corporate
tax returns for the last five years. Despite repeated written
requests for the aforesaid documents, Plaintiff/Respondent has failed

to produce the personal and corporate tax returns for the years 1989
through 1992, inclusive. See Defendant/Movant's Exhibit A attached
hereto.
6. without said discovery, Defendant/Movant will be unable to
value the parties' marital assets for which discovery is sought and
thus will be unable to adequately prepare for the trial of this
action.
7. Defendant/Movant is without sufficient means to pay the
costs, counsel fees and expenses associated with this action and
particularly incident to this Motion and the discovery to be taken.
8. Plaintiff/Respondent has sufficient means to pay all costs,
counsel fees and expenses associated with this action and particularly
incident to this Motion and the discovery to be taken.
WHEREFORE, Defendant/Movant requests the Court to enter an Order:
(1) Granting Defendant/Movant leave to take discovery
including, but not limited to, the production of personal
and corporate tax returns of the years 1989 through 1992,
inclusive;

situation as it actually occurred, I can only conclude that it
was sent primarily for client consumption. I am no longer going
to take the time, Maria, to tell you how completely inappropriate
your handling of the case is. I am just going to tell you that I
need the financial information before we can complete this case.
As has been customary in practicing with you, it will probably
cost your client and my client a lot more in counsel fees than it
should.

petitions this Honorable Court as follows:
1. Defendant is BARBARA J. GRIFFITHS, who presently resides at
54 Third Avenue, Pottsville, Pennsylvania 17901-9017.
2. By letter dated March 9, 1994, Defendant secured the
services of your Petitioner as counsel.
3. SUbsequently, Petitioner, SMIGEL, ANDERSON' SACKS, entered
an appearance on behalf of the Defendant.
4. Defendant and Petitioner have been unable to effectively
communicate during the pendency of this matter and develop an
appropriate course of action to resolve this matter.
S. Given the lack of effective communication between Defendant
and Petitioner, Petitioner i. unable to effectively represent
Defendant.
I. Defendant currently has an outstanding bill for legal
services in the amount of $3,524.60 due and owing to Petitioner.
7. Despite repeated requests, Defendant has not made regular
payments towards reducing her outstanding bill.

.. On April 23, 1997, Petitioner forwarded correspondence to
Defendant requestinq that she consent to Petitioner's request to
withdraw as counsel.
t. In a phone conference between Petitioner and Defendant,
Petitioner explained the reasons he was seekinq to withdraw. Despite
this, Defendant has refused to consent.
10. It would be in the best interests of both parties if
Petitioner is permitted to withdraw as counsel.
WBBRKrORB, based upon all of the foreqoinq, Petitioner
respectfully requests that this Honorable Court issue an Order

AND NOW, comes the Defendant, by her attorneys, smigel,
Anderson & Sacks, and avers as follows:
1. Defendant, Barbara J. Griffiths, hereinafter "Wife", is an
adult individual residing at 122 North Street, Minersville,
Pennsylvania.
2. Plaintiff, William D. Griffiths, hereinafter "Husband", is an
adult individual residing at 64 Old Stone House Road, Carlisle,
Pennsylvania.
3. Husband and Wife were married on September 5, 1987, in
Baltimore, Maryland.
4. Husband and Wife are the parents of one minor child, namely
Brittany, born of the marriage on September 7, 1989.
S. On February 25, 1994, Husband filed a Complaint in Divorce
under Section 3301(C) of the Divorce Code alleging indignities by
Wife.
6. Husband and Wife are currently living separate and apart.
COUNT I
ALIMONY PENDENTE LITE AND
COUNSEL FEES. COSTS AND EXPENSES
7. Paragraphs 1 through 6 are incorporated herein by reference.
8. Wife is currently unemployed and is without sufficient means
to support herself during the pendency of this action.
9. Wife is without adequate funds to meet the counsel fees,
costs and expenses of this litigation.
10. Husband has a substantial earning capacity in excess of
$200,000.00 per year which is available to provide alimony pendente
lite and to pay Wife's interim counsel fees, costs and expenses.
11. Husband has not paid support payments to Wife in over two
(2) months.
12. A recommended Court Order was entered on April 13, 1994,
requiring Husband to pay $188.00 per week and 16% of the net proceeds
from any employment bonuses he receives, effective March 8, 1994,
directly to Wife for the support of their daughter.
13. Without an award of alimony pendente lite, and interim
counsel fees, costs and expenses, Wife will be placed at a significant
disadvantage in her ability to prepare for and defend Husband's claims
under the Divorce Code.
14. Without an award of alimony pendente lite, and counsel fees,
costs and expenses, Wife will be unable to pay her counsel fees, costs
and expenses due to the complexity of this case and the vigorous
defense necessary to rebut Husband's claims.
15. Wife's counsel anticipates that her counsel fees, costs and
expenses will exceed $7,500.00.

16. The undersigned counsel is experienced in matters relating
to Domestic Relations and has agreed to handle Wife's case at a rate
of $175.00 per hour.
WHEREFORE, Defendant/Wife respectfully requests:
A. Husband to pay reasonable alimony pendente lite;
B. Husband to pay interim counsel fees, costs and
expenses in the amount of $7,500.00; and
C. such other relief as the Court deems appropriate.
COUNT II
REOUEST FOR HEARING DATE REGARDING
ALIMONY PENDENTE LITE. AND
COUNSEL FEES, COSTS AND EXPENSES
17. Paragraphs 1 through 16 are incorporated herein by
reference.
18. Wife has filed a Petition for Spousal Support.
19. Husband raised the defense of entitlement to Wife's Petition
for Spousal Support.
20. Husband knew his defense of entitlement was not meritorious
and raised it solely to gain a tactical advantage in the divorce and
support proceedings.
21. Wife has requested a hearing de novo before the Court of
Common Pleas of Cumberland County in connection with the Recommended
Order of Court entered on April 13, 1994.
22. Wife has a right to receive alimony pendente lite, counsel
fees, costs and expenses.
WHEREFORE, Defendant/Wife respectfully requests that in the
interest of justice and fairness, this Honorable Court consider the

aforementioned Petition for Alimony Penctente Lite and Counsel Fees,
Costs and Expenses prior to or contemporaneously with the support
entitlement appeal.
