COMPLAINT
1. plaintiff Prepared Millwork, Inc. is a Pennsylvania
corporation with its principal office located at 419 East High
Street, Carlisle, Cumberland county, Pennsylvania.
2. Defendant Better-Bilt Homes, Inc. is a pennsylvania
corporation with its principal office located at 2050 Lincoln
Highway East, Lancaster, Lancaster County, Pennsyvania.
3. Defendant John R. Hoffer is an adult individual whose
place of employment is Better-Bilt Homes, Inc., located at 2050
Lincoln Highway East, Lancaster, Pennsylvania 17602.
4. Plaintiff Prepared Millwork, Inc. is in the business
of manufacturing custom made wood products, including doors and
trim and the supply of other custom manufactured building
products.
5. On or about April 30, 1993 Prepared Millwork, Inc.
entered into an arrangement with Better-Bilt Homes, Inc. to
supply Better-Bilt Homes, Inc.. In connection with that
arrangement, Better-Bilt Homes, Inc. agreed to terms and
conditions of sale. A copy of the said terms and conditions of
sale signed by Garry Gutshall, secretary/treasurer of
Better-Bilt Homes, Inc. is attached hereto, incorporated by
reference and marked "Exhibit A".
6. On or about April 30, 1993, in connection with the
above-referenced arrangement between Better-Bilt Homes, Inc.
and Prepared Millwork, Inc., John R. Hoffer signed a Customer
Credit Application which included a personal guarantee of
payment. A copy of the said Customer Credit Application is
attached hereto, incorporated by reference and marked "Exhibit
BII.
7. The aforementioned personal guarantee also provided
that defendant agreed to pay all collection costs, attorney
fees and court costs, as reference to Exhibit "B" will show.
8. For the period of time extending from June 23, 1993
through September 28, 1993, Prepared Millwork, Inc. furnished
Better-Bilt Homes, Inc. with materials as more fully set forth
on invoices attached hereto, incorporated by reference and
marked as "Exhibit C".
9. The prices charged for said building materials were
the usual and ordinary prices therefor and the prices which
defendants agreed to pay.
10. The total of the above-referenced invoices is
$6,792.04. Defendant Better-Bilt Homes, Inc., after numerous
requests, has failed to make any payments on said invoices.
11. Defendant John R. Hoffer has failed to make payment on
the above-referenced invoices, said payment being due under the
guarantee contained in the customer credit application set
forth in Exhibit A.
WHEREFORE, Plaintiff prays this Honorable Court enter
judgment against Defendants in the amount of $6,792.04 plus
interest, costs and attorney fees.

NEW MATTER
12. The answers set forth in paragraphs 1 through 11 are
incorporated herein by reference.
13. On or about April 30, 1993, the Defendant Better-Bilt
Homes, Inc. by and through their manager, Bruce Barnett, contacted
the Plaintiff and requested the Plaintiff extend a credit line to
the Defendant Better-Bilt Homes, Inc.
14. Bruce Barnett presented the application form to John R.
Hoffer, an officer of the corporation, who is not actively
involved in the day-to-day management, for his signature.
15. The Defendant John R. Hoffer signed the application as
President of Better-Bilt Homes, Inc. and not in his individual
capacity.
16. The application clearly sets forth that the credit is to
be extended to a corporation and not to'an individual.
17. The application form is a ~nntract of adhesion,
unconscionable, and misleading in that it requires the principal
of a corporation to sign the application and imn.ediately bind
himself as a guarantor.
lB. Defendant John R. Hoffer did not intend to bind himself

individually and did not read the credit application that only the
corporation, Better-Bilt Homes, Inc, had requested.
19. The Plaintiff did not explain to Defendant John R.
Hoffer that he would be personally responsible for the obligations
of the Defendant Better-Bilt Homes, Inc. Furthermore, the
guarantee provisions of the application form were not separate and
apart from the application form to be submitted by the Defendant
Better-Bilt Homes, Inc. and was not clearly marked as a guarantee.
WHEREFORE, Defendant John R. Hoffer requests that judgment be
entered in favor of the Defendant and against the Plaintiff.
