COMPLAINT
1. Plaintiff, Conrad Fafard, Inc. is a corporation organized and
doing business under the laws of the State of Massachusetts, taving an
office in Agawam, Massachusetts.
2. Defendant, Davis Greenhouse, Inc., is a corporation, doing
business at R.D. #1, Hammond Road, Shippensburg, Cumberland County,
Pennsylvania.
3. On or about January 6, 1992, Plaintiff sold and delivered to
the Defendant at the Defendant's request, certain goods at a total
price of Nine Hundred Twenty-Nine and 25/100 Dollars ($929.25), which
goods the Defendant received and accepted and promised to pay Plaintiff
therefore on the terms set forth on the invoices hereinafter referred
to. By such terms interest at a rate of eighteen percent (18%) per
annum became due any payable from an average due date of February 6,
1992.

4. Attached hereto, made a part hereof and marked Exhibit "1" is
a true and correct copy of Plaintiff's invoice to the Defendant for the
said goods. Said invoice fully describes the goods, shows quantities
ordered and shipped, unit and extended prices, which were the fair and
reasonable prices at the time and place of sale, and show the invoices
number, date and terms of sale.
5. Although the Defendant received and accepted said goods, and
promised to pay Plaintiff's therefore, no payment has been made despite
numerous demands by Plaintiff to do so.
WHEREFORE, Plaintiff requests judgment in its favor and against the
Defendant in the principal sum of Nine Hundred Twenty-Nine and 25/100
Dollars ($929.25), with interest at a rate of eighteen percent (18%),
thereon from February 6, 1994.

2. Admitted.
3. Admitted in part and denied in part. It is admitted that an order was
placed by the Defendant with Plaintiff for peat moss in the amount of $929.25. It is
denied that Defendant agreed to pay interest at the rate of 18% per annum from an
average due date of February 6, 1992, and strict proof to the contrary is demanded at
trial. By way of further answer, the goods in question were not delivered to the
Defendant, but to another greenhouse located in Sheppardstown, West Virginia. Also,
by way of further answer, the peat moss order arrived in unmarked bags, wss of
questionable quality and was short in that neither Defendant nor anyone else received
175 bales of peat moss as contracted. Total shortages on this order approximate
$148.68 as best Defendant can calculate at this point in time.
4. Denied as stated. The invoice marked Exhibit 01 does not show quantities
actually shipped. Defendant's answer to paragraph 3 of the Complaint is incorporated
herein by reference thereto.
5. Admitted in part and denied in part. It is admitted that Defendant received
and accepted portions of the goods in dispute. Defendant never promised to pay for
goods delivered as agreed. By way of further answer, Plaintiff's representative
assured the Greenhouse where the goods were delivered that the matter had been
resolved and no further payments would be necessary.

WHEREFORE, Defendant, Davis Greenhouse, respectfully requests this Court to
dismiss Plantiff' s Complaint and to award it costs and such other relief as may be
just and proper.
COUNTERCLAIM
6. Paragraphs 1 through 5 of this Answcr to the Complaint are incorporated
herein by reference thereto.
7. On or about January 27, 1992, Defendant purchascd a quantity of growing mix
from Plaintiff at a contract price of $6,220.00, a copy of said invoice is attached
hereto and marked Defendant's Exhibit 01.
8. Defendant paid the full contract price of $6,220.00 by check dated April 27,
1992, a copy of which is attached hereto and marked Defendant's Exhibit 02.
9. During January or February of 1993, suit was filed by Defendant's agent-
distributor, George K. Groff, Inc. in the amount of $1,262.62 claiming that a penalty
was due for not paying the above referenced contract price by May I, 1992, as
required under the contract terms.
10. Judgment was subsequently entered by default in Lancaster County,
Pennsylvania. The amount of said Judgment, $1,262.62, was paid by the Defendant on
March 31. 1993. A copy of Defendant's check in full payment of said penalty is
attached hereto, made a part hereof, and marked Defendant's Exhibit 03.
11. Said penalty was erroneously charged by Plaintiff's agent as evidenced by
undated communication from Conrad Fafard, Inc., a copy of which is attached hereto,
msde a part hereof, and marked Defendant's Exhibit 04.
12. At all times relevant hereto, George K. Groff, Inc. was acting in an agency
capacity on behalf of and for the benefit of the Plaintiff.
13. Said growing mix order WIlS also short in that the full amount of the
quantities ordered were not delivered to the Defendant liS agreed. The amount of said
shortages total $73.80.

WHEREFORE, Defendant requests Judgment in its favor and against the Plaintiff on
Defendant's Counterclaim in the principal SUID of $1,336.42 ($1,262.62 penalty and
costs plus $73.80 shortage) with interest thereon at the legal rate from March 31,
1993.
