Spangler and Michelle Carrlcato Spangler, are adult Individuals residing ilt 430 Hummel Avenue, Lllmoyne, Cumberland County, Pennsylvania. 2. The defendants, Eugene Rotl and Oma Rotl, are adult Individuals residing at 1106 Easy Road, Carlisle, Cumberland County, Pennsylvania. 3. The defendants, Eugene Rotz and Oma Rotz, t/a/d/b/a H&:R Custom Buill Homes, Inc., are adult Individuals residing at 1106 Easy Road, Carll,le, Cumbetland County, Pennsylvania. 4. The defendant, H&:R Custom Built Homes, Inc., Is an alleged corporatlon existing under the laws of the Commonwealth of Pennsylvania and was Incorporated on April 17, 1991. The registered addres~ of the aforesaid Is 1106 Easy Road, Carlisle, Pennsylvania. 5. The defendant Eugene 1. Rotl, holds himself out as chief executive officer of the alleged corporation and Omn D. Rotz, holds herself out as secretary of the alleged corporation. 6. Defendant company has never had, and does not have now, any genuine or separate corporate existence, but has been used and exists for the sole purpose of permitting Eugene Rotz and Oma Rotz, to transact a portion of their h\dlvldual business under a corporate guise. 7. The defendants Eugellll Rotl and Oma Rotz hold themselves out as officers of the corporation. They, R5 alter egos of the corporation, have been conducting, managing, and controlling the affairs of the corporation since Its IncorporaUon on April 17, 1991, as though It were their own business, and they have used defendant corporatlon for the purpose of defrauding the plaintiffs, and othen similarly situated, as hereinafter set forth. 8. The alleged defendant corporation was, and Is, a mere sham, ()rganlzed and operated as the alter ego of the Individual defendants for their personal benefit and advantage, In that Individual defendants have at all times herein mentioned, exercised total dominion and control over corporate defendant, Individual defendants own or control all of the stock of corporate defendant H&:R Custom Homes, Inc. (or no shares of stock of corporate defendant have ever been Issued). Individual defendants and corporate defendant have so Intermingled their personal and financial affairs that corporate defendant Was, and Is, the alter ego of the Individual defendants. 9, On August 2, 1993, the plaintiffs l!Otllrlld into il contrilct with the defendants to build a home. The contract Is allached hllreto and made a part hereof. 10. Paragraph 7,2 of the allached contract required the defendants to purchase contractualUablllty Insurance which they did not purchase, 11. The home In question was to be started by October 1, 1993, and be substanllally completed by February 1,1994. 12. The home In question was not started on October I, 1993 nor was it substanllally completed by February I, 1994. 13. The defendants took the first draw under the contract but did not complete the work required nor did they pay the subcontractors who performed the parllal w(lrk that was done, 14. The amount of the first draw taken by the defendants was Fifteen Thousand Three Hundred Fifty Dollars ($15,350,lJO). 15. The defendants have breeched the contract and absconded with the moneys of the plalnllffs and have faUed to render villue therefor, 16. When the defendants had taken the aforesaid draw, they had no intention of complellng the contract In question, 17. The defendants have converted the aforesaid funds for their own personal use. 18. The plaintiffs have been the vlcllm of mIsrepresentations and fraudulent conduct by the defendants, 19. The conduct of the defendants has been reckless, wanton and willful and has caused the plaintiffs to IlUffer emotional distress, aggravotlon, Incol\venlenct' and to Incur additional costs and expenses.
