Plaintiff's Complaint regarding her residency, Accordingly, these

In Count XVII of the Fourth Amended Master Complaint,
Plaintiff alleges a cause of action for successor corporate
liability against unidentified successor defendants,
Plaintiff
alleges successor corporate liability is proper because cer~ain
unidentified defendants either expressly or impliedly agreed to

aSlfume any and all obligations of the yelling manuhcturer or
because the purchasing manufacturer acquired all or substantially
all of the manufacturi.ng assets of the selling manufacturer and
undertook essentially the same manufacturing, selling and/or
distributing operations as the selling manufacturer,
Count XVII of the Master Complaint sets forth bare
conclusions of law without any factual averments to sustain the
allegations containlld therein or to identify which manufacturers
should be liable under what theory and why the imposition of
successor liability is appropriate,
WHEREFORE, MeGhan, 3M and INAMED request that this
Honorable Court dismiss Count XVII of the Master Complaint in its
entirety with prejudice,

Certain defendants labeled as successor defendants in
the Master Complaint cannot be held liable under the product line

exception, because the predecessor corporations are still viable,
and Plaintiff has adequate pote~tial remedies against these
predecessors,
Furthermore, Plaintiff's conclusory allegations in Count
XVII are totally devoid of any factual averments that would support
a cause of action for successor corporate liability under
Pennsylvania law as to any of the defendants,
Accordingly, Plaintiff cannpt state a proper cause of
action for successor corporate liability against any of the
manufacturer defendants,
For the reasons stated above, MeGhan, 3M and INAMBD's
demurrer to Count XVU of Plaintiff's Master Complaint must be
sustained,

16. Although defendants McGhan, 3M and !NAMED deny the
allegations o~ Plaintiff's Complaint as to the injuries and damages
alleged, these injuries and damages, if any, were caused by the
unauthorized, unintended or improp~r use of the product complained
of and/or as a result of the failure to exercise reasonable and
ordinary care, caution or vigilance over parties over whom MeGhan,
3M and INAMED exercised no control and for which McGhan, 3M and
!NAMEP are not liable or responsible,
17. Any foreseeable and unreasonable risk to the
physical well-being of Plaintiff was a risk which McGhan, 3M and
INAMED did not create and could not reduce or el imJ,nate,
18, McGhan, 3M and I NAMED aver that any product
designed, manufactured and/ox' sold by McGhan or 3M was not
designed, manufactured and/or sold in a defective condition.
19. If it is established at. trial that any product
manufactured or sold by McGhan or 3M was implanted in Plaintiff
in a defective condition, which is specifically denied, then
McGhan, 3M and INAMEP aver, in the alternative, that the product.
has undergone and has been subjected to a substantial change in the
condition it was in when J.t left the hands of McGhan or 3M either
by way of subsequent handling, abnormal use or other causes outside
the control of McGhan or 3M,

26, The risks and complications attendant to the use of
the subj ect breast implants, if any, were well known by the medical
community, and defendants McGhan, 3M and INAMED arB not required
to provide warnings or instructions with regard to those risks and
complications, Further, any cause of action based on any alleged
failure of defendants McGhan, 3M or INAMED to provide sufficient
warnings to Plaintiff is barred by the learned intermediary
doctrine,
27, To the extent that Plaintiff's breast implants may
be subject to governmental regulation, they are so regulated by
federal laws and statutes and the regulations of federal agencies,
28, Plaintif f 's claims are preempted by the federal
governmental statutes, standards, and regulations applicable to
medical d'llvice manufacturers and applicable to the design, testing,

29, To the extent that punitive or exemplary damages
are sought by Plaintiff I such claim for damages is barred by the
