COMPLAINT
1. Plaintiff is VERNE L. WADEL, of Newburg, Hopewell Township, Cumberland County,
Pennsylvania, trading and doing business as WADEL'S EXCAVATING.
2. Defendanl is WORTH and COMPANY, INC., a Pennsylvania Corporation, with its principal
office located at 180 Harvey Avenue. Doylestown, Bucks County, Pennsylvania,
3. On or about January 19, 1993, Plaintiff contracted with Defendant to provide labor and
equipment to perform excavation and boring on the Contract between Defendant and the SHIPPENSBURG
BOROUGH AUTHORITY, in a project identified as "the Southside Water System Improvement. Component
I, 12,inch water main." Said Contract is attached hereto as Exhibit "A" and incorporated herein,
4. During the months of April, May and June. 1993, Plaintiff performed certain work under said
Contract, for which Defendant has not paid him,
5. Said work consisted of labor and excavation equipment and was specifically requested by
Defendant's agent and foreman, FRANK SHUEY, who was specifically authorized to request such work
on behalf of WORTH and COMPANY, INC,
6, There remains unpaid on accounl of said work $8,659,12, as shown on bills submitted to
Defendant dated September 24, 1993, attached hereto as Exhibit "B" and incorporated herein,
7. Despite Defendant's repeated requests, Defendant has failed and refused to pay said invoices.

WHEREFORE, Plaintiff prays your Honorable Court 10 enter its judgment in the amount of
$8,659.12, plus interest from October 1, 1993 together with costs of suit, said amounts being within
the limits for mandatory arbitration.

PRELIMINARY OBJECTIONS
Defendant Worth and Company, Inc. by Its attorney, Howland, Hess, Guinan
& Torpey, hereby flies the following preliminary objections to the Plaintiff's Complaint:
1. Plaintiff on or about March 30, 1994 flied a Complaint against Worth and
Company for the labor and equipment to perform excavation and boring on the
contract between Defendant and the Shlppensburg Borough Authority in a project
Identified as "the Southslde Water System, Improvement, Component I, 12-lnch water
main".
2. Plaintiff was a subcontractor to the Defendant Worth.
3. Plaintiff attached as Exhibit" A. to the Complaint the contract entered
Into between the Plaintiff and the Defendant.
4. In Article 6 of said contract, Exhibit "A" to Complaint. this provides that
all disputes, controversy or claims between the contractor and subcontractor arising
out of the contract .shall be settled by arbitration". (See Section 6.1, Article 6,
"Arbitration", Exhibit "A" to Complaint.)
5. After the filing of the Complaint by Plaintiff, Defendant engaged counsel
who then communicated with Plaintiff's counsel In an attempt to settle and/or move
this dispute Into the American Arbitration Association pursuant to Article 6 of the
contract. Attached hereto and made a part heraof Is Defendant's counsel's letter
dated June 21, 1994 marked "Exhibit "A".
6. It Is submitted that the Plaintiff had agreed to submit this matter to
Arbitration as evidenced In a letter from Plaintiff's attorney dated December 20, 1994,
a true and correct copy of which Is attached hereto and marked as "Defendant's
Exhibit "6".
7. Plaintiff now requires the Defendant to proceed with this lawsuit as flied
contrary to the terms of the contract and their prior agreement to submit this matter
to Arbitration.
8. It Is submitted that all disputes pursuant to the claim flied by Plaintiff
under the terms of the contract attached as Exhibit "A" to Its Complaint must be
submitted to Arbitration pursuant to Article 6 of said contract. See Exhibit" A" to
Plaintiff's Complaint.
WHEREFORE, Defendant Worth and Company, Inc. hereby demands that the
Plaintiff's Complaint be dismissed without prejudice so that Plaintiff can file a claim
with the American Arbitration Association In accordance with the terms of the
contract.
