REPLY TO NEW MATTER
AND NOW, comes Plaintiff, Mark B. Brown, by and through his
attorney, William J. Fulton, who makes this Reply to the New Matter
of the Defendant, Cinemagic, Inc., as follows:
13. The averment of paragraph 13 of Defendant's New Matter
constitutes a conclusion of law to which no response is required.
If, however, it be deemed an averment of fact, then it is denied.
It is denied that the doctrine of estoppel has any applicability to
this matter.
14. The averment of paragraph 14 of Defendant's New Matter
constitutes a conclusion of law to which no response is required.
If, however, it be deemed an averment of fact, then it is denied.
It is denied that the doctrine of accord and satisfaction bars
Plaintiff's claim.
15. The averment of paragraph 15 of Defendant's New Matter
constitutes a conclusion of law to which no response is required.
If, however, it be deemed an averment of fact, then it is denied.
Plaintiff at all times held up his end of his bargain with the
Defendant.
16. The averment of paragraph 16 of Defendant's New Matter
constitutes a conclusion of law to which no response is required.

Defendant's termination of Plaintiff's employment was unilateral
and preceded by no breach or anticipatory breach of contract by the
Plaintiff.
17. Denied. Plaintiff at all times performed his duties in
accordance with the contract. Moreover, Plaintiff's performance is
irrelevant in any event because his claim is merely for commissions
and other benefits earned.
WHEREFORE, Plaintiff prays for judgment against the Defendant
and in his favor as demanded in his Complaint.

AND NOW, this S~ day of April, 1994, comes the Plaintiff,
MARK B. BROWN, by and through his attorney, WILLIAM J. FULTON, and
files this Complaint upon a cause of action of which the following
is a statement:
1. Plaintiff is Mark B. Brown, an adult individual residing
at 2717 North Fourth street, Harrisburg, Dauphin County,
Pennsylvania
17110.
2. The Defendant, Cinemagic, Inc., is a Pennsylvania Business
Corporation having an office and a principal place of business at
2101 Orchard Road, P.O. Box 992, Camp Hill, Cumberland County,
Pennsylvania
17011.
3. From on or about August 31, 1992 until May 25, 1993,
Plaintiff was employed by Defendant as telemarketing advertising
account representative.
4. Under letter dated May 25, 1993, Plaintiff's employment
was terminated by the defendant.
5. Under the terms of the employment agreement between
Plaintiff and Defendant, Defendant promised and agreed to pay
Plaintiff an hourly wage D.ml commissions equal to twenty (20%)
percent of the gross profit on sales generated by Plaintiff.

A copy of a Cinemagic "Magic Memo" dated August 31, 1992 which
memorializes the terms of employment, including the promise of
commissions, is attached hereto as Exhibit
incorporated herein by this reference.
6. Although Defendant paid Plaintiff the sum of $307.60 upon

and is
termination in consideration of his last week's wages, mileage and
unused sick days, Defendant has refused and neglected and has
continued to refuse and neglect to pay Plaintiff commissions which
Plaintiff earned and are otherwise due.
7. Plaintiff believes and avers that Commissions are due and
payable to him on the following accounts in the approximate amounts
indicated:
Watermaster (photo shoot)
High Industries (video & brochures)
Pretzyl Time
Earth Information Services
Besco (May 1993)
Total Unpaid Commissions

8. Under the terms of the employment agreement between
Plaintiff and Defendant, Defendant promised and agreed to provide
health insurance coverage and did not do so for the final month of
Plaintiff's employment: as a result, Defendant is indebted to
Plaintiff in the amount of $73.00.
9. Despite demands for payment, Defendant has failed to pay
Plaintiff the sums alleged to be due.
10. The above-pled payments have not been made and were not
paid by the time required by 43 P.S. SS 260.3 and 260.5.

11. As a result thereof, plaintiff is further entitled to
liquidated damages and attorney's fees pursuant to 43 P.S. !it
260.9a(f) and 260.10.
12. The amount at issue in this matter requires submission of
the case to Compulsory Arbitration.
WHEREFORE, Plaintiff prays for compensatory damages in the
amount of $2,463.00; together with liquidated damages, reasonable
attorney's fees, and interest and costs of suit as provided for by
law.

WITH NEW MATTER
NOW COMES Defendant, Cinemagic, Inc., by and through its
counsel, Robert W. Waeger, Esquire, and makes the following Answer
to Complaint of Plaintiff:
1. Admitted.
2. Admitted.
3. Denied. Plaintiff was an independent contractor
with Defendant's company from August 31, 1992 until AprilS, 1993,
at which time Plaintiff's probationary employment began, with
Plaintiff's employment ending on May 25, 1993.

Exhibit A was not attached to said
Complaint. By way of further answer, if the Exhibit A memo is
identical to the one attached to this Answer, then said memo
specifically mentions 10% commission on gross profits. However, it
is specifically denied that said memo memorializes Plaintiff's
terms of employment.

6. Denied. Defendant's paid Plaintiff's earned
commissions in a timely manner following or concurrent with his
termination.
7. Denied. Defendant specifically denies that
Plaintiff earned commissions on the alleged accounts. By way of
further answer, the accounts listed as High Industries and Earth
Info systems were only proposals to which neither company provided
purchase orders to this date. Besco & Pretzel Time commissions
earned during Plaintiff's employment were paid to Plaintiff, and
the Watermaster invoice was paid by Watermaster after Plaintiff was
terminated.
8. Denied. Defendant's Exhibit "B" is proof payment

9. Denied. Defendant, in a letter dated June 15, 1993,
outlined its position and offered to make a compromise.
10. Denied. It is Defendant's contention that there
were no payments to be made.
11. Denied. Defendant contends there is a good faith
contest or dispute regarding Plaintiff's wage claim including a
good faith assertion of a right of a set off in favor of Defendant.

Employment Positions with Cinemagic Inc.

We hllVe an immediate opening for a telemarketing-appointment getter that will work
on a part-time basis of 15 hours per week. These hours would be flexible, but would
be from 9-12 every morning. Your primary responsibility would be to obtain
appointments for our employees. MY calls that eventually lead to sales would provide
you with a commission of 20 percent of the Gross Profit on that sale.
This is an excellent opportunity for you to become involved with our company and
get a good education on how we operate. We would pay you $5.00 per hour with a
maximum planned time of 15 hours per week. Payments would be made directly to
you as an independent, and you will be responsible for declaring your own taxes.
During your off-time you could go home, or you could go on appointments with our
staff or be involved in production. You would not be required to be here during non-
scheduled time. Nor would you be responsible for any projects or other jobs unless
specifically approved by the Director of Operations and mutually agreed to by you.
Four to six weel:s after your start date we MAY have an employment opportunity
available. The compensation plan we estimate at this time would be as follows:
a. You would receive a fixed salary of $200 per week. Subject to increase if your
work performance provides substantial revenues for Cinemagic.
b. You would receive commissions of 10 percent above and beyond salary of all
gross profits on any business you initiate. We estimate that sufficient
commissions could allow you to make between $17,000 and $30,000 per year.
c. You will receive additional bonuses for exceptional work on individual projects
that create more business for Cinemagic.
d. You will receive stock options to purchase stock for investment and voting rights
in the company.
e. You would be eligible for our health insurance plan which includes a $10,000 life
insurance policy and dental coverage.
f. Any mileage expenses for going on appointments will also be provided at the

standard government rate.
Under any of the above programs, you will be reqUired to sign a confidentiality
agreement and non-compete agreement with our company. This agreement would
prevent your divulging any information about the company, its clients, and resources.

NOW COMES Defendant, Cinemagic, Inc., by and through its
counsel, Robert W. Waeger, Esquire, and makes the following Answer
to Complaint of plaintiff:

plaintiff was an independent contractor
with Defendant's company from August 31, 1992 until April 5, 1993,
at which time plaintiff's probationary employment began, with
Plaintiff's employment ending on May 25, 1993.

Exhibit A was not attached to said
Complaint. By way of further answer, if the Exhibit A memo is
identical to the one attached to this Answer, then said memo
specifically mentions 10% commission on gross profits. However, it
is specifically denied that said memo memorializes plaintiff's
terms of employment.

Defendant's paid Plaintiff's earned
commissions in a timely manner following or concurrent with his
termination.

Defendant specifically denies that
Plaintiff earned commissions on the alleged accounts. By way of
further answer, the accounts listed as High Industries and Earth
Info Systems were only proposals to which neither company provided
purchase orders to this date. Besco & Pretzel Time commissions
earned during Plaintiff's employment were paid to Plaintiff, and
the Watermaster invoice was paid by Watermaster after Plaintiff was
terminated.
8. Denied. Defendant's Exhibit "B" is proof payment
was made.
9. Denied. Defendant, in a letter dated June 15, 1993,
outlined its position and offered to make a compromise.
10. Denied. It is Defendant's contention that there
were no payments to be made.
11. Denied. Defendant contends there is a good faith
contest or dispute regarding Plaintiff's wage claim including a
good faith assertion of a right of a set off in favor of Defendant.

MAGIC MEMO
We have an immediate opening for a telemarketing-appointment getter that will work
on a part-time basis of 15 hours per week. These hours would be flexible, but would
be from 9-12 every moming. Your primary responsibility would be to obtain
appointments for our employees. Any calls that eventually lead to sales would provide
you with a commission of 20 percent of the Gross Profit on that sale.
This is an excellent opportunity for you to become involved with our company and
get a good education on how we operate. We would pay you $5.00 per hour with a
maximum planned time of 15 hours per week. Payments would be made directly to
you as an independent, and you will be responsible for declaring your own taxes.
During your off-time you could go home, or you could go on appointments with our
staff or be involved in production. You would not be required to be here during non-
scheduled time. Nor would you be responsible for any projects or other jobs unless
specifically approved by the Director of Operations and mutually agreed to by you.
Four to six weeks after your start date we MAY have an employment opportunity
available. The compensation plan we estimate at this time would be as follows:
a. You would receive a fixed salary of $200 per week. Subject to increase if your
work performance provides substantial revenues for Cine magic.
b. You would receive commissions of 10 percent above and beyond salary of all
gross profits on any business you initiate. We estimate that sufficient
commissions could allow you to make between 517,000 and $30,000 per year.
c. You will receive additional bonuses for exceptional work on individual projects
that create more business for Cinemagic.
d. You will receive stock options to purchase stock for investment and voting rights
in the company.
e. You would be eligible for our health insurance plan which includes a 510,000 life
insurance policy and dental coverage.
f. Any mileage expel1S~s for going on appointments will also be provided at the
standard government rate.
Under any of the above programs. you will be required to sign a confidentiality
agreement and non-compete agreement with our company. This agreement would
prevent your divulging any information about the company, its clients, and resources.
