WAIVER OF RIGHT TO FILE
AND STIPULATION AGAINST MECHANICS' LIENS

HIGH CONSTRUCTION, INC., herein called the "CONTRACTOR" has
entered into a contract with HIGH HOTELS, LTD., herein called the
"OWNERS" to erect for Owners a 84 room, Homewood Suites Motor Inn
providing all the materials and labor, upon the following lot or
tract of land of Owners: LOT B-4A, RITTER ROAD, LOWER ALLEN
TOWNSHIP, CUMBERLAND COUNTY, PENNSYLVANIA,
NOW THEREFORE, it is hereby stipulated and agreed by and
between the Owners and the Contractor as part of the contract and
for the consideration therein set forth that the right to file a
Mechanics' Lien claim is waived and that neither the undersigned
Contractor, nor any subcontractor materialman, laborer, or any
other person furnishing labor or materials to the Contractor or
the Owners shall file a claim or lien commonly called a
Mechanics' Lien, for work done or materials furnished to the
proposed construction, the land appurtenant thereto, or any part
thereof.
This Stipulation is made and intended to be filed with the
Office of the Prothonotary of the above County, Pennsylvania,
prior to the commencement of the work upon the aforesaid lot of
land, and the Contractor hereby agrees that no authority has been
given to. him to proceed with the work prior to the execution and
filing ~f this Waiver,
