DAVID AIELLO and CUMBERLAND EQUITIES, INC. Qflt:!!QN Plaintiff's complaint centers on a consultant agreement that plaintiff and defendant entered Into on September 14, 1993. The agreement provided that plaintiff would perform various engineering and architectural work on behalf of defendant Aiello In connection with the Eden Distribution Center Project, Pursuant to the agreement, plaintiff performed $29,301,57 In engineering services for Aiello, Count I of the complaint alleges that defendant Aiello is liable to plaintiff for the work performed, Count II alleges that defendant Aiello fraudulently misrepresented to the plaintiff's representatives that he owned the property known as the Eden Distribution Center, when, In fact, the properties are owned by John M, and Beulah B, Lippert and General Signal Corporation. Plaintiff alleges that the defendant's fraud and misrepresentation Induced plaintiff to do the work and that plaintiff would not have performed If the true state of facts were known, In Count III, plaintiff alleges that defendant Aiello was acting as an agent for and on behalf of Cumberland Equities, Inc. Plaintiff requests damages in excess of $10,000 for .. . 94.2114 CIVIL TERM Counts II and III of the complaint. Defendant filed preliminary objections as to Counts II and III, alleging that plaintiff failed to state a cause of action with respect to the fraud claim. DIscussIon We begin by granting the objection to Count III of the complaint. Count III claims the same relief as Count II. It appears that Count III was meant to be framed against Cumberland Equities, Inc, on an agency theory; however, It Is unclear whether Count III Is a fraud claim or a contract claim. It Is Improper to lump the two claims together, Plaintiff may amend the complaint to state a cause of action against Cumberland Equities, Inc, We also grant the objection to Count II of the complaint, Count II appears to allege that, but for the Improper Inducement by defendant Aiello, plaintiff would not have entered Into the consulting agreement. However. we find no language In the consulting agreement that provides for ownership of the real estate as part of the bargain, There Is no clause stating that plaintiff ordinarily requires advance payment but waives this requirement if ownership Is demonstrated, Plaintiff falls to refer us to any clause In the contract that supports the fraud claim, It Is well established in Pennsylvania that averments of fraud or mistake must be pleaded with particularity, Pa,R,C,P. ~1019(b). '. .. .".''".-......... 94-2114 CIVIL TERM ml8take Is merely a legal conclusion; therefore. a detailed statement of the facts sustaining It Is required, pwyer v, B21hman, 288 Pa. Super. 256. 431 A.2d 1035 (1981). A plaintiff alleging fraud must set forth the exact statements or actions alleged to constitute the fraudulent misrepresentation. ~. 363 Pa. Super. 88. 525 A,2d 732 (1987), Fraud must be averred with particularity as to the following elements: (1) a misrepresentation; (2) a fraudulent utterance thereof; (3) the maker's Intent that the recipient be Induced thereby to act; (4) the recipient's justifiable reliance on the misrepresentation; and (5) damage to the recipient as the proximate result. Standard Pa, Practice 2d ~16:59. Although It Is Impossible to establish precise standards as to the degree of particularity required, two conditions must be met: (1) the pleadings must adequately explain the nature of the claim to the opposing party so as to permit the preparation of a defense; and (2) they must be sufficient to convince the court that the averments are not merely subterfuge, Martin v. Lancaster Batterv Co.. 530 Pa, 11. 606 A,2d 444 (1992), Defendant's preliminary objection to Count II appears to be in the nature of a demurrer. COMPLAINT 1. Plaintiff is Johnson, Mirmiran & Thompson P.C., with a place of business at 2555 Kingston Road, Suite 130, York, Pennsylvania, 17402. 2. Defendant, David Aiello, is an adult individual with places of business at 3438 Trindle Road, Camp Hill, Cumberland County, Pennsylvania, 17011, and 1104 Fernwood Avenue, Suite 203, Camp Hill, Pennsylvania, 17011. 3. Defendant, Cumberland Equi ties, Inc. is a corporation with a place of business at 1104 Fernwood Road, Suite 203, Camp Hill, Cumberland County, Pennsylvania, 17011. 4. On or about September 14, 1993, Plaintiff and Defendant Aiello entered into a Consultant Agreement, a copy of which is attached hereto, made a part hereof and marked Exhibit "A". 5 Pursuant to the consultant Agreement, Plaintiff provided services to Defendant Aiello, the total due for which is presently $29,301.57, including interest. 6. At all times pertinent hereto, Defendant Aiello fraudulently misrepresented to Plaintiff 's representatives that he owned the property known as the Eden Distribution Center, and designated as tax parcels 50-08-0581-003 and 50-08-0579-002. Defendant Aiello made these representations so that he would appear to be financially sound, and thus induce Plaintiff to provide substantial services without advance payments. 7. Plaintiff believes and therefore avers that at all times pertinent hereto, Defendant Aiello was acting as an agent for and on behalf of Cumberland Equities, Inc. COUNT I JOHNSON, MIRMIRAN & THOMPSON, P.C. V. DAVID AIELLO 8. The allegations of Paragraphs 1-7 are incorporated herein by reference. 9. Defendant Aiello is liable to Plaintiff for $29,301.57 plus interest, by virtue of the Consultant Agreement and the work done pursuant thereto, which was accepted by Defendant without objection. WHEREFORE, Plaintiff requests this Honorable Court to enter judgment against Defendant Aiello in the amount of $29,301.57 plus interest and costs of suit. COUNT II JOHNSON, MIRMIRAN & THOMPSON, P.C. Defendant's fraud and misrepresentation induced Plaintiff to do the work for which it claims compensation, which work it would not have done if the true state of facts were known. WHEREFORE, Plaintiff requests judgment against Defendant in an amount in excess of $10,000.00. COUNT II I JOHNSON, MIRMIRAN & THOMPSON, P.C. V. DAVID AIELLO 12. The allegations of Paragraphs 1-7 are incorporated herein by reference. 13. Plaintiff claims the same relief as requested in Counts I & II against Defendant Aiello, by virtue of the fact that Defendant Aiello was at all times acting as an agent for and on behalf of Cumberland Equities, Inc. WHEREFORE, Plaintiff requests judgment againt Cumberland Equities, Inc., in the amount of $29,301.57 plus interest and for an amount in excess of $10,000.00 plus interest and costs of suit. COUNT IV JOHNSON, MIRMIRAN & THOMPSON P.C. V. DAVID AIELLO AND CUMBERLAND EQUITIES, INC. 14. Defendants Aiello and Cumberland Equities, Inc. agreed to indemnify Plaintiff for any claims incurred as a result of Plaintiff succeeding J. Michael Brill & Associates, Inc. in providing engineering services to Plaintiff. A copy of the indemnity letter is attached hereto, made a part hereof and marked Exhibit "B". - <:J!, ,- . 15. Plaintiff was sued by J. Michael Brill & Associates, Inc. They incurred $5,319.09 in defending said case. Defendants are therefore obligated to pay to Plaintiff an additional amount of $5,319.09 plus interest. WHEREFORE, Plaintiff requests this Honorable Court to enter judgment against Defendants and in favor of Plaintiff in the amount of $5,319.09 plus interest and costs of suit. CONSULTANT AGREEMENT THIS AGREEMENT is made by and between Johnson, Hirmiran , Thompson, P.C. 2555 Kingston Road, Suite 130 York, PA 17402 the prime Consultant hereinafter called "JMT" and David Aiello 3438 Trindle Road Camp Hill, PA 17011 hereinafter called "OWner"! to provide engineering and/or architectural work and serv ces in connection with Eden Distribution Center and WHEREAS, OWner desires JMT to perform certain work and services set forth in this Agreement: and WHEREAS, JMT has expressed a willingness to perform said work and services, hereinafter referred to only as "services" specified in this Agreement, and enumerated under Section 2 hereof. NOW, THEREFORE, the parties agree as follows: Ei /uAU.-I /',4 /( 2.- SECTION 1. JHT shall furnish and pay for all labor, tools, materials, equipment, suppl ies, transportation, and management necessary to perform all services set forth in "Section 2" hereof on behalf of the OWner in accordance with the applicable terms, conditions, and provision of this Agreement. SECTION 2. The following services when authorized in writing by a notice to proceed shall be performed by JMT in accordance with the OWner's requirements: (See Attachment "A" for the scope of JMT's services.) SECTION 3. OWner shall pay JHT for all services authorized in writing and properly performed by JHT on the following basis, subject to additions or deletions for changes or extras agreed upon in writing: Cost plus fixed fee with a maximum amount payable under this Agreement of $19,868.06 for a Highway Occupancy Permit and $9,995.65 for Structure T. S. & L's as described in Attachment "An. Partial payment will be made based on regular monthly billings. Payments will become due within 30 days of the date shown on the invoice. All invoices shall show the job designation _ Eden Distribution Center date and invoice number (consecutive numbers) and will utilize invoice forms approved by the Owner. All direct costs included in the invoice will be documented with appropriate receipts. Monthly invoices presented to Owner for payment shall be based upon the actual payroll costs plus the surcharge of 130\ of the certified payroll burden and indirect costs plus a profit of 15\. SECTION 4. JHT shall perform all services as provided for under this Agreement in a proper, efficient, and professional manner and as per the OWner's requirements. All services for design including plans, specifications and estimates shall be completed wi thin four (4) weeks (Highway Occupancy Permit) and three (3) weeks (Structure T. S. & L.'s) from the execution of this contract. .1f",,~,W;"..' 3> , In the event JMT's performance of this Agreement is delayed or interfered with by acts of the Owner, or others, JHT may request an extension of time for the performance of same, as hereinafter provided , but shall not be entitled to any increase in fee or price or to damages or additional compensation as a consequence of such delays. SECTION 5. All instruments of service (including in part, plans, specifications, drawings, reports, designs, computations, computer programs, estimates, surveys, other data, or work items, etc.) prepared under this Agreement shall be submitted for approval of the OWner. JMT shall not be responsible and shall be held harmless for the use of such materials on any other project. All instruments of service shall be professionally sealed as may be required by law or by the OWner. SECTION 6. OWner may suspend or terminate this Agreement for cause or without cause at any time by giving written notice to JHT. In event suspension or termination is without cause, payment to JMT will be made on the basis of services satiSfactorily performed to date of suspension or termination. Such payment will be due upon delivery of all instruments of service to owner, subject to approval thereof by OWner. SECTION 7. . JMT shall provide and maintain Workmen's Compensation and Employer'S Liability Insurance for the protection of JMT's employees, as required by law of an employer. JMT shall also provide and maintain in full force and effect during the time of this agreement, insurance (including but not limited to insurance covering the operation of automobiles, trucks, and other vehicles) in a company satisfactory to Owner, protecting JHT and OWner against liability from damages because of injuries, including death, suffered by any person or persons other than employees of JMT, and liability or damages to property arising from or growing out of JMT's operations in connection with the performance of this Agreement. Such insurance covering person and bodily injuries or death shall be in the sum of not less than $100,000 for one person and not less than $100,000 for anr one occurrence. Insurance covering damage to property shall be n the sum of not less than $100,000 for anyone occurrence and $100,000 aggregate. JHT shall also provide and maintain Professional Liability Insurance coverage to protect JHT and Owner from liability arising out of performance of professional services, if any, under this Agreement. Such coverage shall be in the sum of not less than $1,000,000.00. it I' ~_;:-:~".f .. SECTION 8. JHT further specifically obligates to owner in the following respects, to wit: JHT shall be responsible for all damage to life and property due to his activities or those of his subcontractors, agents, or employees in connection with the services required under this Aireement. Further, it is expressly understood that JHT shall ndemnify and save harmless Owner, and their officers, agents, and employees from and against all claims, suits, jUdgements, expenses, actions, damages, and costs of every name and description arising out of or resulting from the negligent acts, errors, and omissions of JHT under this Agreement. SECTION 9. JHT shall not assign or sublet this Agreement or any part thereof without the written consent of owner. SECTION 10. JHT shall comply with all Federal, State, County, Municipal Laws, ordinances, regulations, safety orders, resolutions, and Construction Codes relating or applicable to the services to be performed under this Agreement. SECTION 11. In the event JHT fails to comply or becomes disabled and unable to comply with the provision of this Agreement as to the quality or character of the service or time of performance, and the failure is not corrected within ten (10) days after written notice by Owner to JHT, Owner may without prejudice to any other right or remedy: (1) Terminate this Agreement and be relieved of the payment of any further consideration to JHT. (2) Owner may, without terminating the Agreement or taking over the services, furnish the necessary materials, equipment, supplies, and/or help necessary to remedy the situation, at the expense of JHT. SECTION 12. No claims for extra, additional, or changes in services will be made by JHT without a written agreement with owner prior to the performance of such services. SECTION 13. This Agreement will be effective upon its execution by and between JHT and Owner. SECTION 14. This Agreement contains the entire understanding of bhe parties with respect to the subject matter hereof and there are no oral understandings, statements, or stipulations bearing upon the meaning or effect of this Agreement which have not been incorporated herein. This Agreement may only be modified, amended, supplemented, or waived by a written instrument executed by the parties except as may be otherwise provided herein. c; ". SECTION 15. All notices, demands, and communications hereunder shall be in writing and may be served or delivered personally upon the party for whom intended or mailed to the party for whom intended at the address set forth on the signature page of this Agreement.
