EDWARD D. SNELL and PHIL BEACHEY, Defendants CIVIL ACTION - LAW COMPLAINT 1. Plaintiff 355 Associates is a Limited Partnership doing business in the Commonwealth of Pennsylvania, with a place of business located at P. O. Box 188, Camp Hill, PA 17011-0188. 2. Plaintiff Rothman, Schubert & Reed Realtors, t/d/b/a RSR, is a corporation licensed to do business in the Commonwealth of Pennsylvania with a place of business located at P. O. Box 188, Camp Hill, PA 17011-0188. 3. Defendant Edward D. Snell is an individual and citizen of the Commonwealth of Pennsylvania residing at 2120 Walnut Street, Harrisburg, Dauphin County, Pennsylvania. 4. Defendant Phil Beachey is an individual and citizen of the Commonwealth of Pennsylvania residing at R. D. #1, Box 241K, New Bloomfield, PA 17068. 5. Plaintiff 355 Associates is the owner of premises situate 355 North 21st street, Camp Hill Borough, Cumberland County, Pennsylvania, known more particularly as The Wagner Building. 6. At all times relevant hereto, Plaintiff 355 Associates maintains leases with as many as twenty (20) tenants who rent commercial space in The Wagner Building. 7. At all times relevant hereto, Plaintiff Rothman, Schubert & Reed Realtors, by and through its employees, agents, servants and designated representatives, acts as real estate agents in the listing and sale of both commercial and residential properties. 8. Plaintiff Rothman, Schubert and Reed Realtors, has been retained by 355 Associates, owners of The Wagner Building, to manage and maintain The Wagner Building. Management of the building includes, but is not limited to, collecting rent from tenants, listing for rent available office space in the building, and arranging for the maintenance of the building. 9. Commencing March 1, 1994, Plaintiff 355 Associates leased a suite of professional offices to Harrisburg Reproductive Health Services who offers abortion counseling and services to its patients. 2 COUNT I 355 ASSOCIATES AND ROTHMAN, SCHUBERT , REED, REALTORS VB. EDWARD D. SNELL INTENTIONAL INTERFERENCE WITH PROSPECTIVE BUSINESS RELATIONS INTENTIONAL INTERFERENCE WITH CONTRACTUAL RELATIONS 10. Paragraphs 1 through 9 are incorporated herein by reference. 11. Commencing on or about February 5, 1994, Defendant Edward D. Snell has demonstrated and picketed on the premises of The Wagner Building. Defendant Snell, on a weekly basis, has placed numerous signs on the premises of The Wagner Building. Some of these signs read, "Don't Give This Killing Center Your Baby", "They're Killing Babies Here", "RSR Brings Abortion To Camp Hill", "Doctor Train Kills Unborn Babies", "Fear God - Don't Even Think Of Killing Your Baby Here", and "Equal Rights Begin In The Womb". 12. Defendant Snell on February 5, 1994, and on subsequent dates, displayed on the premises of the Wagner Building, a large sign, approximately 1 1/2 feet x 2 feet, depicting a fully developed, post-term, decapitated, bloody infant containing the description "ABORTED 7-MO. BABY BOY." Tenants have complained to Plaintiff/owners that they are offended and repulsed by the display of this sign. 3 13. Tenants have complained to plaintiff/owners of The Wagner Building that they have been physically approached by Defendant Snell, who attempts to hand to them anti-abortion literature. Tenants have described this conduct to Plaintiff/Owners as harassment. 14. Tenants of The Wagner Building have complained to Plaintiff/Owners that they have been harassed and intimidated by Defendant Snell. 15. Tenants have complained to Plaintiff/Owners that they find the other numerous signs placed on the property perimeter by Defendant Snell to be offensive and to have a negative impact on their respective businesses. 16. Plaintiff 355 Associates leases professional offices in The Wagner Building to the law offices of zeigler and Zimmerman, P.C. On March 2, 1994, and on subsequent dates, Defendant Snell displayed a sign on the premises of The Wagner Building, approximately 2 feet by 3 feet containing the words, "Law Firm of zeigler & Zimmerman Hired to Protect Baby Killers." 17. The law firm of zeigler & Zimmerman, P.C. does not represent Harrisburg Reproductive Health Services, or any other client who offers abortion services. 18. On or about March 2, 1994, Paul L. Zeigler, Esquire, expressed his displeasure and concern to Plaintiff 355 Associates regarding the sign. 4 19. Defendant Snell has repeatedly handed to tenants, their employees, clients, customers and patients handbills stating, "Warning Rothman, Schubert & Reed Bring Abortion to Camp Hilll" and "Workers From Harrisburg Reproductive Have Shown Aborted Babies to Pro-Life Protestors". 20. Matchmaker International is a tenant leasing offices in The Wagner Building. One of the services offered by Matchmaker International is a dating service. Matchmaker International has requested to be permitted to terminate its lease with Plaintiff 355 Associates. One of the stated reasons for the request to terminate the lease is the picketing activity of Defendant Snell and others on The Wagner Building premises. Defendant Snell has repeatedly entered onto the premises of The Wagner Building in order to distribute anti-abortion literature to tenants, tenants employees, customers and clients. 21. The Wagner Building is only open to the public for the purpose of transacting business. Both The Wagner Building, and the perimeter of the property, are posted with Notice that unauthorized solicitation for any purpose, or unauthorized entry onto the premises, is strictly prohibited. 22. On or about April 19, 1993, Defendant Snell caused unknown individuals to enter onto the premises of The Wagner 5 Building for the purposes of surveying the premises. 23. On or about September 14, 1993, Plaintiff Rothman, Schubert & Reed Realtors entered into a listing agreement with Jon W. Sherman to list for sale Mr. Sherman's residential real estate situate 3543 North 6th street, Harrisburg, Dauphin County, Pennsylvania. 24. Plaintiff Rothman, Schubert & Reed Realtors maintains a "For Sale" sign on the premises owned by Jon W. Sherman. This sign indicates that RSR Realtors lists the property for sale. 25. On or about April 11, 1994, Defendant Snell was witnessed to place anti-abortion literature in the doorway to Mr. Sherman's home at 2543 North 6th Street, Harrisburg, PA, This literature included a leaflet which read, "RSR REALTORS PROFIT FROM ABORTION INDUSTRY!"; and "Workers from Harrisburg ReprOductive Have Shown Aborted Babies to Pro-life protestors.", and "Please contact Schubert about his 'business decision', and request that he not rent space to the abortion center." Copies of these leaflets are attached as Exhibit A. 26. Mr. Sherman expressed his extreme displeasure at receiving the leaflet to Plaintiff Rothman, Schubert & Reed Realtors. 6 27. The purpose and intent of the conduct of Defendant Snell is to harm Plaintiff Rothman, Schubert & Reed Realtors by inducing clients to terminate their listing agreements, or to otherwise not patronize RSR. 28. The purpose and intent of the complained-of conduct of Defendant Snell is to harm Plaintiff 355 Associates by inducing tenants to terminate their leases. 29. Defendant Snell acted intentionally, knowingly and without justification for the purpose of inducing tenants of The Wagner Building to terminate their leases with Plaintiff 355 Associates. 30. Defendant Snell acted intentionally, knowingly and without justification for the purpose of inducing clients of RSR Realtors to terminate their listing agreements or otherwise sever their contractual relations with RSR Realtors. 31. The complained-of conduct on the part of Defendant Snell constitutes tortious interference with prospective business relations. 32. The complained-of conduct on the part of Defendant Snell constitutes tortious interference with contractual relations. 33. The complained-of conduct on the part of Defendant Snell was improper, and occurred in the absence of privilege or justification on the part of Defendant Snell. 7 34. Plaintiff 355 Associates has suffered damages as a result of the actions of Defendant Snell, including, but not limited to the hiring security personnel, survey costs in order to ascertain property lines, as well as other non-economic damages, including the prospective termination of tenant leases. 35. Plaintiff Rothman, Schubert & Reed Realtors t/d/b/a RSR has suffered damages, both economic and non-economic as a result of the actions of Defendant Snell, including, but not limited to, interference with prospective business relations. WHEREFORE, Plaintiffs seek judgment from Defendant Snell of damages in an amount in excess of $20,000.00, both compensatory and punitive, and for such other relief as the Court ,lay deem appropriate. COUNT II 355 ASSOCIATES AND ROTHMAN, SCHUBERT , REED, REALTORS VB. PHIL BEACHEY INTENTIONAL INTERFERENCE WITH PROSPECTIVE BUSINESS RELATIONS INTENTIONAL INTERFERENCE WITH CONTRACTUAL RELATIONS 36. Paragraphs 1 through 35 are incorporated herein by reference. 8 37. Defendant Beachey has disseminated anti-abortion literature to the tenants, employees, clients and customers of tenants of The Wagner Building which states, "Rothman, Schubert and Reed Bring Abortion To camp Hill . . . How Sad That Thousands of Babies will Soon be Murdered in Camo Hill." (emphasis in original) . 38. In a radio interview with WHP on February 3, 1994, Defendant Beachey repeatedly stated his intentions to induce tenants to leave The Wagner Building. Specifically, Defendant Beachey stated, "I hope that the owners lose more money by people leaving than by [Harrisburg Reproductive Health] coming there . . I hope that, in the end, jt costs them money, that's that, plain and simple. We'll be there regularly with our signs. . There's other pressures then that come on businesses . . . See, the picketers, the kinds of things that takes place most people don't want that happening out in front of their business; that's the problem that they have and we will be there." 39. Defendant Snell and Defendant Beachey work in concert to organize the disruptive demonstrations. 40. The purpose and intent of the conduct of Defendant Beachey is to harm Plaintiff 355 Associates by inducing the tenants of The Wagner Building to terminate their leases. 41. The purpose and intent of the conduct of Defendant 9 Beachey is to harm Plaintiff Rothman, Schubert and Reed Realtors by inducing clients and prospective clients to terminate their listing agreements, sever their contractual relations or otherwise not patronize RSR. 42. The complained-of conduct on the part of Defendant Beachey constitutes intentional tortious interference with contractual relations. 43. The complained of conduct on the part of Defendant Beachey constitutes intentional tortious interference with prospective business relations. 44. The complained-of conduct on the part of Defendant Beachey was improper, and occurred in the absence of privilege or justification on the part of Defendant Beachey. 45. Defendant Beachey acted intentionally, knowingly and without justification for the purpose of inducing tenants of The Wagner Building to terminate their leases with Plaintiff 355 Associates. 46. Defendant Beachey acted intentionally, knowingly and without justification for the purpose of interfering with prospective business relations. 47. Plaintiff Rothman, Schubert and Reed Realtors has suffered damages both economic and non-economic as a result of the complained of conduct of Defendant Beachey including, but not limited to, hiring security personnel and prospective loss of business clientele. 48. Plaintiff 355 Associates has suffered damages both 10 economic and non-economic as a result of the actions of Defendant Beachey, including, but not limited to, prospective termination of leases. WHEREFORE, Plaintiffd seek judgment from Defendant Beachey for damages in an amount in excess of $20,000.00, both compensatory and punitive, and for such other relief as the Court may deem appropriate. Rothman Schubcrt and Rccd (RSR) Rcaltors, 600 North 12th Strcet, Lemoync are renting space in the Wagner Building to Harrisburg Reproductive Health Services. The Wagncl' Building is at the corner of 21st Street and Route 11/15, Camp Hill, dircctly across from the Holy Spirit Hospital. Harrisburg Reproductive will pay $2,000 per-month rent. Harrisburg Reproductive Health Services aborts up to 40 babies a week. They will abort babies up to 17 weeks of age, Harrisburg Reproductive was evicted frolll its previous location in Harrisburg, and has decided to move to the West ShOl'e. Workers frolll Harrisburg Reproductive have shown aborted babies bodies to pro-life protestors, The abortionist is Doctol' Henry Train. Dr. Train is vel'y conh'oversial, because at the previous location of the abortion center he would deliver a baby at Harrisburg Hospital and then immediately walk across the sll'eet to Harrisburg Reproductive and abol't babicil. Dr. Train has been observed leaving the abortion center in a hospital gown and returning to the hospital, If you would like to contact Dr. Tl'Rin and request that he stop aborting babies, he can be reached at (717)545-8846. Chuck Schubert of RSR Realtors is responsible for renting to Harrisburg Reproductive, Schubert is reported as saying that renting to Harrisburg Reproductive was "Just a business decisIon," Please contact Schubert about his "business decision," and request that he not rent space to the abortion center. Snell and Phil Beachey unlawfully entered ~'-,..,~'--'~~-....... .'- .--- North 21st st., Camp Hill Borough, Pennsylvania, for the purposes onto the Plaintiffs' premises known as The Wagner Building, 355 - . --.'-- of picketing, praying, demonstrating and passing out prO-life literature. The purpose and intent of the conduct of the Defendants, the Complaint alleges, is to harm Plaintiffs 355 Associates by inducing the tenants of The Wagner Building to terminate their leases. The Complaint also alleges that Defendant Snell placed anti-abortion literature at the site of a listing agreement property, and that the intent and purpose of placing that literature there was to induce the client to terminate his listing ..--- , agreement with RSR Realtors, Inc. Defendants seek to have the Complaint dismissed on the basis that Defendants "are merely exercising their specifically protected constitutional right of free exercise of religion". (Defendants' Preliminary Objections p. 4). Plaintiffs filed a response to Defendants' Preliminary Objections on June 14, 1994. II. ISSOES PRESENTED: A. Does Plaintiffs' Complaint sufficiently state causes of action sounding in tortious interference with contractual relations? (Suggested Answer: Yes) B. Must Plaintiffs' counsel be disqualified pursuant to Pennsylvania Rule of Professional Conduct 3.7(a)? (Suggested Answer: No) III. ARGUMENT A. The facts cleaded in Plaintiffs' Comclaint are leaallv sufficient to cermit the action to continue. Defendants Snell and Beachey have filed Preliminary Objections which Defendants have identified as being in the nature of a demurrer. (Preliminary Objections of Defendant Phil Beachey, p. 4; 2 ~ Preliminary Objections of Defendant Edward D. Snell, p. 4). Preliminary Objections in the nature of demurrer admit every well pleaded fact and all inferences reasonably deducible therefrom. McGaha v. Matter, 365 Pa. Super. 6, 8, 528 A.2d 988, 989 (1987). A Preliminary Objection in the nature of a demurrer tests the legal sufficiency of the Complaint and should be sustained only in cases where the pleader has clearly failed to state a claim for which relief may be granted. Mudd v. Hoffman Homes for Youths, Inc., 374 Pa. Super. 522, 524, 543 A.2d 1092, 1093 (1988). If there is any doubt as to whether a claim for relief has been stated, the court should resolve it in favor of overruling the demurrer. Mull v. Kerkstetter, 373 Pa. Super. 228, 229, 540 A.2d 951, (1988). Therefore, it is appropriate for this court to review the averments of the Complaint to determine whether they are sufficient to state a cause of action for intentional interference with a contractual relationship and/or intentional interference with a prospective contractual relationship. The elements necessary to state a cause of action for tortious interference with prospective business relations are as follows: 1. A prospective contractual relation; 2 . The purpose or intent to harm the Plaintiff by preventing the relation from occurring; 3 " . 3. The absence of privilege or justification on the part of the Defendant; and 4. The occasioning of actual damage resulting from the Defendant's conduct. Vintaae Homes. Inc. v. Levin, 382 Pa. Super. 146, 554 A.2d, 989, allocator denied 524 Pa. 622, 571 A.2d, 384 (1989). Plaintiffs' Complaint sufficiently alleges facts in support of these necessary elements. Paragraph 7 of Plaintiffs' Complaint alleges that Plaintiff Rothman Schubert and Reed Realtors, Inc., by and through its employees, agents, servants and designated representatives acts as real estate agents in the listing and sale of both commercial and residential properties. This averment is sufficient to meet the requirement of a prospective contractual relation. Our Pennsylvania Supreme Court has held that prospective contractual relations are, by definition, not as susceptible of definite, exacting identification as is the case with an existing contract with a specific person. Among relations protected against intentional interference is the opportunity to sell or buy real property. Glenn v. Point Park Colleae, 441 Pa. 474, 272 A.2d 895 (1971); Restatement (second) of Torts Section 766(B), comment c. Plaintiffs' Complaint further avers that the complained of 4 conduct on the part of Defendants Snell and Beachey was intended to harm the Plaintiffs, was improper, and occurred in the absence of privilege or justification on the part of Defendants. (Complaint Paragraphs 27-30 and !s 41-46). Finally, the complaint specifically avers that Defendants' conduct resulted in actual damage to the Plaintiff, both economic and non-economic, including, but not limited to, prospective termination of leases. (Complaint! 34-35, 47-49). Defendants challenge the legal sUfficiency of the Complaint by arguing that their conduct is privileged and protected by the First Amendment. It is noted, however, that a qualified constitutional privilege may not be raised by Preliminary Objection. Burke v. Trianale Publications. Inc., 225 Pa, Super. 272, 302 A.2d 408 (1973). Even so, our Supreme Court has set forth the factors to be considered in determining whether interference is improper. In determining whether an actor's conduct in intentional interfering with the contract, or a prospective contractual relation, of another is improper or not, consideration is given to the following factors: (a) the nature of the actor's conduct (b) the actor's motives (c) the interest of the other with which the actor's conduct interferes 5 (d) the interest sought to be advanced by the actor (e) the social interest in protecting the freedom of action of the actor and the contractual interest of the other at the proximity or remoteness of the actor's conduct to the interference (f) the relation between the parties. The averments in the Complaint to support an absence of privilege or justification on the part of the Defendant are as follows: that Defendant Snell displayed a large sign, 2Jl ~ DrODertv approximately one and one-half feet by two feet depicting a fully developed post-term decapitated bloody infant containing the description "aborted 7-mo. baby boy", and that tenants complained to Plaintiffs that they were offended and repulsed by the display of this sign (Complaint Paragraph No. 12); that on March 2, 1994, and on subsequent dates, Defendant Snell displayed a sign on the premises of The Wagner Building approximately 2' x 3' containing the words, "Law Firm of Zeigler and Zimmerman hired to protect baby killers." The Complaint goes on to aver that the law firm of Zeigler & Zimmerman, P.C. does not represent Harrisburg Reproductive Health Services, or any other client who offers abortion services (Complaint Paragraph 16, 17); that The Wagner Building is only open to the pUblic for the purpose of transacting 6 business and that the perimeter of the property is posted with Notice that unauthorized solicitation for any purpose, or unauthorized entry onto the premises is strictly prohibited, and that Defendant Snell has repeatedly entered onto the premises of The Wagner Building in order to distribute anti-abortion literature to tenants and to approach prospective customers, clients and patients (Complaint !s 20, 21); and that Defendant Snell caused unknown individuals to enter onto the premises of The Wagner Building on April 19, 1993 for the purposes of surveying the property. (Complaint! 22). Regarding Defendant Beachey, the Complaint specifically alleges that in a radio interview with WHP radio on February 3, 1994, Defendant Beachey repeatedly stated his intentions to induce tenants to leave The Wagner Building. specifically, Defendant Beachey stated, "I hope that the owners lose more money by people leaving than by [Harrisburg Reproductive Health] coming there. . . I hope that, in the end, it costs them money that's that, plain and simple. We'll be there regularly with our signs. . . there's other pressures then that come on businesses. . . see, the picketers, the kinds of things that take place -- most people don't want that happening out in front of their businesses; that's the problem that they have and we will be there." (Complaint! 38). The First Amendment does not protect the Defendants' conduct 7 on private property owned by Plaintiffs. The First and Fourteen Amendments are limitations on state action, not on action by the owner of private property used only for private purposes. Central Hardware Co. v. National Labor Relations Board, 407 U.S.539, 92 S.Ct.2238 (1972). Plaintiffs' property is open to the public only for the purpose of transacting business. Defendants have no First Amendment rights to enter the premises, which the Complaint alleges they have done repeatedly, and which they continue to do. This Court may be guided by the Superior Court's holding in Crozer Chester Medical Center v. Mav, 352 Pa. Super. 51, 506 A.2d 1377 (1986). There the Court upheld the restrictions imposed by the Lower Court on anti-abortion protestors' activities outside the boundaries of the Plaintiff's private property. Those restrictions included the prohibition of photographing patients, employees or staff; the limitation to ten pickets at one time; the requirement of constant motion and a distance of at least 5 feet apart; and the prohibition on obstructing ingress and egress to Plaintiffs' private property. These restrictions were reasonable, the Court said, because the Defendants were provided with a feasible alternative to engage in expressional activity. The restrictions, the Court said, allowed the Defendants a reasonable opportunity to voice their opinion while at the same time provided protection for the rights of the hospital and its patients. This holding 8 illustrates that the Defendants' conduct is improper and is not protected by the First Amendment. As such, the averments of the Complaint are sufficient to state a cause of action for intentional interference with a contract or a prospective contractual relation. B. Counsel for Plaintiffs need not be disaualified from actina as advocate Dursuant to Professional Rule of Conduct 3.7 because she will not be called as a witness in the matter before the court. Defendants seek to have counsel for Plaintiffs disqualified because they allege she may be called as a witness. Plaintiffs will not call counsel as witness. Defendants have set forth no facts from which to conclude that defendants would be prejudiced by present counsel's continued representation or that Defendants will call counsel as a witness.
