Contractor, for and in consideration of the sum of ($1.00) Dollar to

is hereby acknowledged, and the further consideration mentioned in the
agreement aforesaid, for themselves and their subcontractors, and all
parties acting through or under them, covenant and agree that no
mechanic's liens or claims shall be filed or maintained by them or any
of them against the said buildings and the lot of ground appurtenant
thereto for or on account of any work done or materials furnished by
them or any of them under said contract or otherwise, for, towards,
in, or about the erection and construction of the said buildings on
the lot above described and the said Contractor, for themselves, their
subcontractors and others under them hereby expressly waive and
relinquish the right to have, file, and maintain any mechanic's liens
or claims against the said buildings or any of them, and agree that
this instrument, waiving the right of lien, shall be an independent
covenant.

Defendants, The Terminix International Company L.P. and Joseph
P. Holtzinger (hereinafter collectively referred to as "Terminix") ,
hereby move for Summary Judgment under Pennsylvania Rule of civil
Procedure 1035, and in support of this Motion aver as follows:
1. On November 18, 1994, Plaintiff filed with this Court a
Complaint in which she alleges that the several defendants are
liable to them for the misrepresentation of termite infestation
during the purchase of her premises in June, 1992.
(A copy of
Plaintiff's Complaint is attached hereto as Exhibit "A").
2. with regard to Terminix, Plaintiff has alleged that
Terminix's employee, Joseph P. HOltzinger, misrepresented the
extent of termite infestation and damage on the premises in
lquestion by failing to disclose treatments and inspections which

purportedly took place in March and April, 1992, in a Wood
Destroying Insect Information Report and an Inspection Report for
Real Estate Transfers both dated April 28, 1992, and that this
misrepresentation was foreseeable by Terminix. (~Exhibit "A").
3. Plaintiff has admitted that Terminix had been retained by
the property's prior owners, stephen L. Hess and Gail F. Hess, to
provide termite-control services under a contract known as a
Termite Service Plan.
(~ Exhibit "A"; Plaintiff's Answers to
Terminix's Requests for Admissions, a copy of which is attached
hereto as Exhibit "B").
4. Plaintiff has admitted that she assumed the Termite
Service Plan between the Hesses and Terminix "sometime after
settlement." (~Exhibit "B," Admission No.6).
5. Furthermore, Plaintiff has admitted to the existence of
the following limitations of liability in the Termite Service Plan
between herself and Terminix:
Due to the nature of the construction and/or
the extent of existing damage of the
identified property, this agreement does not
guarantee against present or future damage to
property or contents, nor provide for repairs
or compensation thereof.

identified property, Terminix does not

or compensation thereof. Terminix' s liability
under this Guarantee is limited to re-
treatment only.
BXISTIHG DAllAGB. Terminix is not responsible
for repair of either visible damage (noted on
the attached Inspection Graph) or hidden
damage eXisting as of the date of this

agreement. Because damage may be present in
areas which are inaccessible to visual
inspection, Terminix does not guarantee that
the damage disclosed on the Inspection Graph
represents all of the existing damage as of
the date of this agreement.

6. Plaintiff has admitted that the April 28, 1992 Wood
Destroying Insect Information Report which she alleges contains
misrepresentations provides as follows:

representative of this company has conducted
an inspection to determine the presence or
absence of visible evidence of infestation
from termite or other wood destroying insects
and/or damage resulting from their
infestation. It was made only in those areas
which were readily accessible and was made in
areas where infestations were most likely to
occur. No inspection was made in areas which
required the breaking apart, dismantling,
removal of any object including, but not
limited to: moldings, floor coverings, wall
coverings, siding, ceilings, insulation,
floors, furniture, appliances, and/or personal
possessions, nor were areas inspected which
were obstructed and/or inaccessible for
physical access.

7. Plaintiff also admitted that the Inspection Report for
Real Estate Transfers,
which Plaintiff claims contains
misrepresentations, provides as follows:

of the damage which may exist as of the date
of the inspection. '1'erminix shall not be
responsible for repair of any existing damage,
including without limitation any damage which
existed in areas or in structural members
which were not accessible for visual
inspection as of the date of this report.

8. Plaintiff has produced no evidence showing that, prior to
Plaintiff's assumption of the Termite Service Plan or at any other
time, she and '1'erminix had a contractual relationship, confidential
relationship, or a fiduciary relationship.
9. '1'0 the contrary, prior to Plaintiff's assumption of the
Termite Service Plan, '1'erminix could only have been the fiduciary
of the Hesses not of Plaintiff.
10. Under Pennsylvania law, a duty to disclose information is
imposed only where the party charged with a misrepresentation and
the party Claiming injury are in a confidential or fiduciary
relationship.
11. Because Plaintiff and '1'erminix were not in any
confidential or fiduciary relationship, '1'erminix had no duty to
disclose any information regarding putative termite infestation at
the relevant property, and, therefore, '1'erminix cannot be liable to
Plaintiff on her misrepresentation claim.
12. Even if '1'erminix could be found liable on Plaintiff's
misrepresentation claims, the limitations of liability contained in
the Termite Service Plan, Wood Destroying Insect Information Report
I and Inspection Report for Real Estate Transfers dated April 28,
1992, and admitted to by Plaintiff, limit Plaintiff's recovery to

re-treatment of her property only.
13. Under the above-quoted limitations of liability,
Plaintiff may not assert any claim for damages against Terminix,
and her causes of action against Terminix in the present matter
therefore should be dismissed.
13. Because Terminix cannot be found liable to Plaintiff for
misrepresentation, and because Plaintiff's claims are barred by the
contractual limitations of liability, there are no genuine issues
of material fact and Terminix is entitled to jUdgment as a matter
of law.
WHEREFORE, Defendants, The Terminix International Company L.P.
and Joseph P. Holtzinger, respectfully request that this Honorable
Court, pursuant to Pa. R.C.P. 1035, grant this Motion for Summary
Judgment and dismiss Plaintiff's claims against Terminix with
prejudice.

A. IIlTRODUCTIOIII
Defendants, The Terminix International Company L.P. and Joseph
P. Holtzinger (collectively referred to as "Terminix"), have filed
the attached Motion for Summary Judgment on two grounds. First,
contrary to Plaintiff's allegations that Terminix reportedly made
misrepresentations while preparing a termite inspection report in
connection with Plaintiff's purchase of property, Terminix had no
duty to disclose to Plaintiff any information regarding termite
infestation at that property. Second, even if Terminix had a duty
to disclose such information to Plaintiff, limitations of liability
in the Termite Service Plan assumed and admitted to by Plaintiff
above-quoted
statements

limit Plaintiff's recovery to re-treatment of her property. As a
result, Plaintiff cannot recover from Terminix and an entry of
summary judgment in favor of Terminix is proper.
B. PLAIBTIWW'S ALLBGATIOHS AHD ADKISSIOHSI
Plaintiff filed this action with this Court on November 18,
1994.
(A copy of Plaintiff's Complaint is attached hereto as
Exhibit "A"). In her Complaint, Plaintiff has alleged that the
several Defendants are liable to her for failing to disclose the
extent of termite infestation at her property located at 1937
Chatham Drive, Camp Hill, cumberland County, PA, which Plaintiff
purchased on June 9, 1992.
According to Plaintiff, Joseph P.
HOltzinger was the authorized representative of Terminix who
conducted an inspection of the premises and prepared and submitted
an inspection report. This report, consisting of a Wood Destroying
Insect Information Report and an Inspection Report for Real Estate
Transfers, states that "visible evidence of previously treated
infestation, which is now inactive, was observed. II The report
further explained that "possible hidden damage may exist behind
enclosed walls, ceilings and floors [.]

Terminix on 4/2/86. II
(A copy of this report is attached to
Plaintiff's Complaint as Exhibit "2"). Plaintiff claims that the
misrepresentations because Mr. Holtzinger failed to disclose
inspections and treatment of the premises conducted in 1992.

which Plaintiff has answered,
and which set forth Terminix' s

involvement with the premises in question. (A copy of Plaintiff's
Admissions is attached hereto as Exhibit "B"). The former owner of
the premises, Ronald Y. Eyler, purchased a Termite Service Plan
from Terminix on March 31, 1986, for the period April 1986 through
April 1987.
(A copy of the Termite Service Plan is attached to
Plaintiff's Response to Terminix's Requests for Admissions). This
Termite Service Plan was then assumed by Co-Defendants, Stephen L.
Hess and Gail F. Hess, then was assumed by Plaintiff sometime after
she purchased the premises.
c. TBRKINIX LIMITATIONS O~ LIABILITY'
The Termite Service Plan contains the following provisions:
Due to the nature of the construction and/or
the extent of existing damage of the
identified property, this agreement does not
guarantee against present or future damage to
property or contents, nor provide for repairs
or compensation thereof.
~UTURB DANAGB, LIMITATION O~ LIABILITY. Due
to the nature of the construction of the
identified property, Terminix does not
guarantee against future damage to the
property or contents, nor provide for repairs
or compensation thereof. Terminix' s liability
under its Guaranty is limited to re-treatment
only.
BlISTIHG DANAGB. Terminix is not responsible
for the repair of either visible damage (noted
on the attached Inspection Graph) or hidden
damage existing as of the date of this
agreement. Because damage may be present in
areas which are inaccessible to visual
inspection, Terminix does not guarantee that
the damage disclosed on the Inspection Graph
represents all of the existing damage as of
the date of this agreement.

'l'he Wood Destroying Insect Information Report prepared by
Joseph Holtzinger on April 28, 1992, provides, in part, as follows:
'l'his report is indicative of the condition of
the structure(s) on the date of inspection and
is not to be construed as a guaranty or
warranty against future infestation or damage.
Any such warranty must be provided as a
separate service contract with specific
provisions outlined in a separate document.
SCOPB AND LIMITATION OF INSPBCTION. A
representative of this company has conducted
an inspection to determine the presence or
absence of visible evidence of infestation
from termite or other wood destroying insects
and/or damage resulting from their
infestation. It was made only in those areas
which were readily accessible and was made in
areas where infestations were most likely to
occur. No inspection was made in areas which
required the breaking apart, dismantling,
removal of any object including, but not
limited to: moldings, floor coverings, wall
coverings, sidings, ceilings, insulation,
floors, furniture, appliances and/or personal
possessions, nor were areas inspected which
were obstructed and/or inaccessible for

prepared by Holtzinger on April 28, 1992, provides in part as

Il: . ARGUJlJDl'l' I
In the present matter, Terminix is entitled to summary
judgment because of Plaintiffs' claims against it either attempt to
impose on Terminix a duty not recognized under Pennsylvania law or
to circumvent clear limitations of Terminix's liability. Under
Pa.R.C.P. 1035, "[s]ummary judgment is proper when the pleadings
[and] admissions . . . show that there is no genuine issue of
material fact."
Cosmas v. Bloominadales Bros.. Inc., 451 Pa.
Super. 59, 660 A.2d 83, 85 (1995); DeWesse v. Anchor Hockina, 427
Pa. super. 47, 628 A.2d 42l, 422 (1993). As Plaintiff has admitted
to those facts which prevent her recovery from Terminix, no genuine
issue of material fact exists and Terminix is entitled to judgment
as a matter of law.

BAD 110 DUTY TO DISCLOSB AllY FACTS TO
PLAIIITIFF.
As the inspector hired by Co-Defendants, Stephen L. Hess and
Gail F. Hess, to prepare an inspection report for sale of the
premises in question, Terminix owed Plaintiff no duty to disclose
any information regarding possible termite infestation at the
premises. Under Pennsylvania law, "an omission is actionable only
where there is an independent duty to disclose the omitted
information." staff in v. Greenbura, 672 F.2d 1196, 1202 (3d Cir.

1982). This independent duty exists in Pennsylvania only where
there is a confidential or fiduciary relationship between the party
who is alleged to be under an obligation to disclose and the party
seeking disclosure. Federal Land Bank of Baltimore v. Fetner, 269
Pa. Super. 455, 410 A.2d 344, 348 (1979), cert. denied, 446 U.S.
918, 100 S.ct. 1853 (1980). A confidential or fiduciary
relationship exists where the relationship involves trust reposed
in the skill or integrity of another who has also accepted the
fiduciary relationship. Citv of Harrisbura v. Bradford Trust Co.,
621 F. supp. 463, 473 (D.C. Pa. 1985) (citing Consolidated Oil &
Gas. Inc. v. Rvan, 250 F. Supp. 600, 604 (W.O. Ark. 1966)).
In the present matter, no confidential or fiduciary
relationship existed between Terminix and Plaintiff so as to impose
a duty to disclose on Terminix. Holtzinger, the representative of
Terminix, was not retained by Plaintiff to perform the inspection
at issue; rather, Terminix, at the time of the inspection, had been
retained by Co-Defendants, the Hesses, pursuant to the Termite
service Plan discussed above. ThUS, assuming for the purposes of
this Motion that Terminix knew that the inspection reports were
prepared for review by Plaintiff, that fact alone is not sufficient
to have created a fiduciary or confidential relationship between
the parties.
Moreover, Pennsylvania courts have never held that a termite
inspector hired by a property seller has an affirmative duty to
disclose information regarding termite-control treatment of that
property. Instead, those courts have only imposed that duty on the

property sellers and their real estate agents.

Renaut, 387 Pa. Super. 299, 564 A.2d 188, 192 (1989); Glanski v.
Ervine, 269 Pa. Super. 182,409 A.2d 425,430 (1979). As Terminix
was not under any duty to disclose termite-control treatment
information to Plaintiff at the time it prepared the Wood
Destroying Insect Information Report and the Inspection Report for
Real Estate Transfers, Terminix cannot be liable under the causes
of action alleged by Plaintiff.

All of the documents upon which Plaintiff could conceivably
rely to assert her claims against Terminix contain limitations of
liability which prevent Plaintiff from recovering anything besides
re-treatment of her property. These limitations are valid under
Pennsylvania law and therefore are enforceable against Plaintiff.
As a result, assuming Terminix ever had a duty to disclose termite-
control treatment information other than that contained in the
April 28, 1992 report, Plaintiff cannot obtain from Terminix
anything other than re-treatment of her property.
1. The Inspeotion Reports and Teraite Servioe Plan
Contain Clear Liaitations of Terainiz's Liability
To plaintiff.
In two separate provisions in the Wood Destroying Insect
Information Report dated April 28, 1992 and prepared by HOltzinger,
the following limitations of liability are set forth:
[This report] is not to be construed as a
guaranty or warranty against future
infestation or damage. Any such warranty must
be provided as a separate service contract

with specific provisions outlined in a
separate document.
A representative of this company has conducted
an inspection to determine the presence or
absence of visible evidence of infestation
from termites or other wood destroying insects
and/or damage resulting from their
infestation. It was made only in those areas
which were readily accessible and was made in
areas where infestations were most likely to
occur.

The report containing the
above-quoted provisions thus establishes that any guarantees or
warranties for which Terminix may be found liable must be contained
in a separate document and that one of the reasons for such
limitation is the restricted scope of the inspection.
The Terminix Inspection Report for Real Estate Transfers sets
forth a similar limitation on Terminix's liability to Plaintiff.
As admitted by Plaintiff, this document states:
Terminix is not responsible for repairs to
damages disclosed above. In addition, hidden
damage may exist in concealed or inaccessible
areas. Terminix cannot guarantee that the
damage disclosed by visual inspection of the
premises shown above represents the entirety
of the damage which may exist as of the date
of the inspection. Terminix shall not be
responsible for the repair of any existing
damage, including without limitation any
damage which existed in areas or in structural
members which were not accessible for visual
inspection as of the date of this report.
(~ Exhibit "B," Admissions 11-12).
Through the above-quoted
language, Terminix expressly disclaimed any liability for possibly
hidden damage to the property that Plaintiff subsequently bought.
In light of this limitation on Terminix's liability, Plaintiff
cannot assert this document as the basis for her claims against

Terminix.
The only other document on which Plaintiff could possibly rely
to hold Terminix responsible for termite damage is the Termite
Service Plan. Plaintiff has admitted that she assumed the Termite
Service Plan with respect to the premises in question sometime
after her purchase of the premises. (~Exhibit "B," Admissions
1-6). The Termite Service Plan contains the following limitations
of Terminix's liability:
Due to the nature of the construction and/or
the extent of existing damage of the
identified property, this agreement does not
guarantee against present or future damage to
property or contents, nor provide for repairs
or compensation thereof . . . .
Due to the nature of the construction of the
identified property, Terminix does not
guarantee against future damage to the
property or contents, nor provide for repairs
or compensation thereof. Terminix' s liability
under its Guarantee is limited to re-treatment
only . . . .
Terminix is not responsible for the repair of
either visible damage . . . or hidden damage
existing as of the date of this agreement.
Because damage may be present in areas which
are inaccessible to visual inspection,
Terminix does not guarantee that the damage
disclosed on the Inspection Graph represents
all of the existing damage as of the date of
this agreement.
(~ Exhibit "B," Nos. 1-6). By including these limitations in the
Termite Service Plan, Terminix clearly represented that it
disclaimed any liability, other than for re-treatment of the
premises, because of the effect of the property's structure on
Terminix's ability to identify the extent of termite-caused damage.

2. The LimitatioD. of Liability Are Valid.
Plaintiff's claims against Terminix are barred by the
limitations of liability that restrict Terminix's liability to re-
treatment of Plaintiff's premises.
Under Pennsylvania law,
"contractual provisions limiting warranties, establishing repair or
replacement as the exclusive remedy for a breach of warranty and
excluding liability for special, indirect and consequential damages
in a commercial setting are generally valid and enforceable." He
York state Elec. & Gas. CorD. v. Westinohouse Elec. CorD., 387 Pa.
Super. 537, 564 A.2d 919, 924 (1989) (citing 13 Pa.C.S.A. S2719);
Kaaar v. Lifetime. Inc., 187 Pa. Super. 143, l44 A.2d 747 (1958)).
Limitations of liability are subject only to the following
restrictions:
1. The exclusive remedy must be expressly
stated;
2. The exclusive remedy must not fail of its
essential purpose; and
3. The limitation must be conscionable.
Jim Dan. Inc. v. O.K. Scott & Sons. Co., 785 F. Supp. 1196, 1198
(W.O. Pa. 1992).
a. All limitatioDs of liability are expressly
stated.
In the Wood Destroying Insect Information Report and
Inspection Report for Real Estate Transfers, both dated April 28,
1992, Terminix clearly stated that the contents contained therein
were not warranties as to future damage to the premises. Terminix
further stated that any warranty would have to be provided as a
separate service contract with specific provisions outlined in a
separate document. Terminix therefore made it clear to Plaintiff

that the statements made in those reports should not be relied
upon. Moreover, Terminix specifically referred Plaintiff to the
need for separate documentation if Plaintiff wanted to obtain a
warranty or a guarantee upon which she could seek compensation for
damages.
Moreover, in the Termite Service Plan, as discussed above,
there are limitations of liability that prevent Plaintiff from
recovering from Terminix the damages alleged in her Complaint.
Under Pennsylvania law, a limitation is clear and conspicuous "if
a reasonable person would have noticed it and understood it." ~
Brace & Sons v. Ciba-Geiov CorD., 708 F. Supp. 708, 709 (W.O. Pa.
1989). The limitations provided for in the Termite Service Plan
are clear and can be easily understood by a reasonable person. The
limitations regarding guaranties of present or future damage to the
identified property are repeated several times throughout the
Termite Service Plan.
Furthermore, the Termite Service Plan
"clearly and plainly states that the only remedy available to"
Plaintiff will be re-treatment. ~ Jim Dan, 785 F. Supp. at 1199.
Finally, Terminix even provided a reason for the presence of the
limitations in the contract when it stated that the construction of
Plaintiff's property made it impossible to discover all types of
damage. ~ Earl Brace, 708 F. Supp. at 709 (limitations upheld
where seller explained presence of limitations). These limitations
are clear and should have been understood by Plaintiff to limit her
remedy to Obtaining only re-treatments of her property by Terminix.

Under Pennsylvania law, "[t]he existence of unknown or
undeterminable risks justifies using a limitation and provides a
reason for a defendant to offer an exclusive remedy . .
. .
In
such cases, a limited remedy operates exactly as intended and does
not fail of its essential purpose." Jim Dan, 785 F. Supp. at 1199;
Posttace Assoc. v. Eastman Kodak Co., 450 F. Supp. 407, 411-12
(E.D. Pa. 1979). In the present matter, Terminix expressly stated
in the Termite Service Plan that Terminix's inability to
investigate inaccessible areas on Plaintiff's premises because of
the construction of Plaintiff's property was the reason for the
inclusion of limitations of liability. Terminix did not expressly
guarantee the prevention of present or future property damage to
Plaintiff's property and properly limited its liability
accordingly. As stated in Earl Brace, "[t]here can be no breach
where the warranty has been disclaimed . . . and no consequential
damages where there is no breach." Earl Brace, 708 F. Supp. at
711. Because Terminix expressly disclaimed all warranties
regarding present and future property damage, Plaintiff did not
lose the substantial value of her bargain, and the limitations of
liability did not fail.

For the same reasons that the limitations do not fail in their
essential purpose, those limitations are also conscionable with
regard to Plaintiff. Under Pennsylvania law, a contract provision
is unconscionable only if the

provision unreasonably favors the

party asserting it, or otherwise oppresses and unfairly surprises
the other party on the grounds of superior bargaining power. ~
J2An, 785 F. Supp. at 1200; Dilinoer. Inc. v. Dendler, 415 Pa.
Super. 164, 608 A.2d 1061 (1992). "Mere unequal bargaining power
between the parties, standing alone, will not make the contract
unconscionable." Jim Dan, 785 F. Supp. at 1200. Failure to read
the contract provisions is not an excuse that will forestall the
limitations' enforceability. ~.
In the present matter, Terminix made clear in all of the
documents received by Plaintiff the extent of its guaranties,
warranties and potential liabilities under its contract with
Plaintiff. Terminix's position is reasonable because, as noted
throughout the Termite Service Plan, the construction of the
property made it impossible for Terminix to guarantee that present
property damage existed and/or that future property damage would
occur. Terminix did not seek to have Plaintiff absorb losses
incurred because of Terminix; rather, Terminix properly indicated
it would not assume liability for damage it could have no control
over when providing its services. This allocation of risks by
Terminix was proper and should not be disturbed. ~ ~.; Stanlev
A. KloDD. Inc. v. John Deere Co.. Inc., 510 F. Supp. 807 (E.D. Pa.
1981), aff'd, 676 F.2d 688 (3d cir. 1982).
III. CONCLUSION I
For the foregoing reasons, Terminix respectfully requests that

12. At all times between January 1992 and settlemcntlln June 9, 1992. HARRIET
JENAKOVICH was a licensed real estatc agent and associatcd wilh the real estate ofticc of JOHN
GLISE, INC., with JOHN GLlSE as rCl~istered brllker.
13, In January or February 1492. the Plaintiff, KATHl.EE~ M. NYE, and another adult,
Deanna L. Ouo, contacted Defendant HARRIET JENAKOVICIIIll provide assistance in linding a
house to buy.
14, HARRIET JENAKOVICH agreed to assist KATHLEEN M. NYE and Deanna L. OUo
in locating a house to purchase, and III this end HARRIET JE~AKOVICH provided information to
KATHLEEN M. NYE and Deanna L. OUo regarding houses which were for sale, and HARRIET
JENAKOVICH also went with KATHLEEN M. NYE and Deanna L. Ouo, or one of them, to look
at various homes which were listcd fur sale.
15, KATHLEEN M. NYE and Deanna L. Otto told HARRIET JENAKOVICH that they
wanted to avoid any home that had a history of problems with termites,
16. In late February or early March 1992, HARRIET JE~^KOVICH showed the house at
1937 Chatham Drive, Camp Hill, Cumberland County, Pennsylvania, (hereinafter the premises) to
KATHLEEN M, NYE and Deanna L. Ouo,
17. STEPHEN L. HESS and GAIL F. HESS were the uwners and occupiers of the
premises at 1937 Chatham Drive, Camp Hill. Cumberland Cuunt}'. Pennsylvania, 17011. at the time
that KATHLEEN M. NYE and Deanna L. Otto luoked at the property as prospective purchasers,
and Mr. and Mrs. Hess remained in ueeupancy until mid.June 1992,

111. STEPHEN L. /IESS amI GAIL F, HESS had listed the premises for sale and the listing
agency was BEN BRENEMAN & ASSOC/A TES, and the listing agent was LYLE FORER.
19. During this transaction LYLE FORER served as selling agent for STEPHEN L. HESS
and GAIL F. HESS,
20. At all times referenced herein between January 1992 and settlement on June 9, /992,
LYLE FORER was a licensed real estille sales agent and associated with BEN BRENEMAN &
ASSOCIATES, BEN L. BRENEMAN, registered broker.
21. At the time that KATHLEEN M. NYE and Deanna L. Otto first looked at the property
at 1937 Chatham Drive, Camp Hill, Pennsylvania, the property was infested with termites, the
property was aetively being treated by TERMINIX. and there was termite damage within the
property .
22. On Mareh 6, 19Y2, KATHLEEN M, NYE and Deanna L. alto signed an Agreement of
Sale to purchase 1937 Chatham Dri\'e, Camp Hill, Pennsylvania. from STEPHEN L. HESS and
GAIL F, HESS, (A copy of the Agreement of Sale is attached hereto as Exhibit 1.)
23, There was no disclosure to KATHLEEN M, NYE or Deanna L. Otto by STEPHEN L.
HESS, GAIL F. HESS, LYLE FORER, or HARRIET JENAKOVICH, or any other individual
before the time that the Agreement of Sale was executed on March 6, 1992, that the premises at
1937 Chatham Drive was infested with termites, was actively being treated for termites by
TERMINIX, or that there was damage within the property caused by the teilnites.
24, KATIiLEEN M, NYE and Deanna L. altO relied upon their concerns about termite
infestation communicated to HARRIET JENAKOVICH and the absence of any disclosure
regarding a termite problem with the property at 1937 Chatham Drive, Camp Hill, Pennsylvania,
and they signed the Agreement of Sale.
25. KATIiLEEN M, NYE and Deanna L. Otto also relied upon the wood infestation
addendum which was part of the Agreement of Sale and which is attached as part of Exhibit 1
referenced above.
26. The carpeting and placement of furniture within the premises at 1937 Chatham Drive
concealed the facts that the premises was infested with termites, that the premises was under
treatment for termite control, and that there was damage within the property caused by termites.
27. There werc no disclosures to KATHLEEN M, NYE or Deanna L. alto regarding
termite treatment, the presence of termites, or termite damage at the premises al 1937 Chatham
Drive, Camp Hill, Pennsylvania, between March 6, 1992, and the date of settlement on June 9,
1992.
28, Settlement on the above-referenced Agreement of Sale occurred on June 9. 1992, in the
office of WILLIAM D. SCHRACK III, ESQ. in Dillsburg, Pcnnsylvania,
29. WILLIAM D. SCHRACK III, ESQ, represented the purehascrs, KATHLEEN M, NYE
and Deanna L. Otto, at the settlement,
30. At settlement on June: 9, 1992, an inspection report from TERMINIX was produced by
either LYLE FORER, HARRIET JENAKOVICH, or the settlement agent for CENTURY 21
BRENEMAN & ASSOCIATES and delivcred to WILLIAM D, SCHRACK III, ESO. on behalf of
KATHLEEN M. NYE and Deanna L. Otto, The four-page inspection report is attachcd hereto as
Exhibit 2.
31. KATHLEEN M. NYE and Deanna L Otto did not receive the inspection report
referenced above or any of the information disellm'd on the report until settlement on June Ii. 1992.
32. When KATHLEEN M. NYE and Deanna L. Otto saw the comments reported in Block
10 on the inspection rcport, they express cd wncern at settlcment rcgarding termitc damage to the
premises and the possibility of an ongoing problcm,
33. KATHLEEN M. NYE and Deanna L Otto received verbal assurances from WILLIAM
D. SCHRACK IIl, ESQ., LYLE FORER and HARRIET JENAKOVICH thatthc treatment was
six years prior to inspection, that the disclaimer regarding possible hidden damage was standard, and
that there was no problem with termitcs at the premises. STEPHEN L HESS and GAIL F. HESS
remained silent.
34. In rcliance on the inspection rcport and these assurances and the lack of disclosure by
any individual to them regarding ongoing termitc infestation, trealment, and damage, KATHLEEN
M. NYE and Deanna L. Otto complcted settlement on Junc 9. 1992, by paying STEPHEN L. HESS
and GAIL F. HESS the sum of Seventy-Five Thousand One Hundred Fifty Dollars ($75,150.00) in
exchange for title to the premises at 1937 Chatham Drivc, Camp Hill, Pennsylvania, 17011.
35. STEPHEN L. HESS and GAIL F. HESS remained in possession of the premises at
1937 Chatham Drivc, Camp Hill, Penns}'lvania, for approximately one week after settlement. and
KATHLEEN M. NYE and Deanna L. Otto did not obtain possession of the premises until mid-
June 1992.

36. Deanna L. Otto and KATHLEEN M, NYE received title to the premises as joint
tenants with the right of sUlVivorship. A copy of the Deed dated June 9, 1992, is attachcd hereto as
Exhibit 3.
37. Deanna L. Otto died on July 29, 1992, and her interest in the premises passed as a
matter of law to the remaining owner, Plaintiff, KATHLEEN M, NYE.
DAMAGES
38. Soon after obtaining possession in mid.June 1992, KATHLEEN M, NYE and Deanna
L. Otto discovered that termites were prl'sent and active within the premises.
39. Soon after they occupied Ihe premises in June 1992, KATHLEEN M. NYE and Deanna
L, Otto discovered that the premises was under a treatment contract with TERMINIX and Ihat the
premises had been treated for termite control on March 3, 1992, three days prior to the execution
of the Agreement of Sale.
40, Soon after occupying the prl'mises, KATHLEEN M, NYE and Deanna L. Otto
discovered that there was termite damage to the llooring in one of the two second.story rooms,
41. Despite continuing efforts to control termite infestation within the premises, termites
remain active within the premises and continue to calise damage.
42. The construction of thc prcmises prevents the effective control of termite infestation
and destruction within the premises,
43. Substantial future damage of lhe premises by termites cannot be prevented and the
premises has been rendered unmarketable and of no economic value to the Plaintiff.
44. As a result of the fraudulent misrepresentations referenced above, KATHLEEN M.
NYE has suffered the expense of the termite control treatment for the premises, the inspection and
evaluation of the premises for termite control and effective termite treatment, and the repair of
damage within the premises due to termites.
CAUSES OF ACTION
COUNT I
KATHLEEN M. NYE V. STEPHEN L. HESS and GAIL F. HESS
45. Paragraphs 1 through 44 of this Complaint arc incorporated herein by reference.
46. STEPHEN L. HESS and GAIL F. HESS had a duty to disclose to the Plaintiff the
active infestation of the premises with termites. the ongoing treatment of the prcmises for termite
control by TERMlNIX, and the fact that thc termites had caused damage within the premises.
47. STEPHEN L. HESS and GAil F. HESS did not disclose to thc Plaintiff the active
infestation of the premises with termites, the ongoing treatment of the premiscs for termite control
by TERMINIX, and the fact that the termites had caused dnmage within the premises.
48. STEPHEN L. HESS and GAll F. HESS concealed the evidclll'e of treatment of the
premises for termite control by the placement of rugs over the holes cut in the second-story floors
for termite control purposes, and by the placement of furniture over flooring thill was damaged by
termites.
49. At settlement on June 9. 1992. STEPHEN L. HESS and GAIL r:. HESS knew that the
termite inspection report from TERMINI X was a misrepresentation and likely to be relied upon by
the Plaintiff, and STEPHEN L. HESS and GAIL F. HESS failed to correct the misrepresentation.
50, The eoncealment and fraudulent misrepresentation by failure ll' disclose by STEPHEN
L. HESS and GAIL F. HESS referenced ahove was done intentionally and in had faith and
constitutes outrageous conduct.
WHEREFORE, Plaintiff prays your Honorable Court to enter judgment against STEPHEN
L, HESS and GAIL F. HESS for compensatory damages in an amount which exceeds the
Cumberland County arbitration limit. and for punitive damages.
COUNT II
KATHLEEN M. NYE V, LYLE FORER
51. Paragraphs 1 through 44 of this Complaint arc incorporatl'd herein hy reference,
52. LYLE FORER had knowledge that the premises was subject to ongoing treatment for
termite control, and he knew or had reason to know that the premises was infested with termites
and that there was likely termite damage within the premises, and LYLE FORER had this
information before the Agreement of Sale was signed and also before settlemcnt.
53. LYLE FORER had a duty to disclose to the Plaintiff the active infestation of the
premises with termites, the ongoing treatment of the premises for termitc control by TERMINIX.
and the fact that the termites had caused damage within the premises,
54. LYLE FORER did not disclm~ to the Plnintiff the activc infestation of the premises
with termites, the ongoing treatment of thc prcmiscs Ibr termitc control hy TERMINIX, and the
fact that the termites had caused damage within the premises,
55, At seulement on June 9, 1992, L Yl.E FORER kncw that the termite inspcction report
from TERMINIX was a misreprescntation and likely to he relied upon hy thc Plaintiff, and LYLE
FORER failed to corrcct the misreprescnliltion,
56, The fraudulent misrepresentation by failure to disclose by LYLE FORER referenced
above was done intentionally and in bad faith and constitutes outrageous conduct.
WHEREFORE, Plaintiff prays your Ilonorable Court to enter judgment against LYLE
FORER for compensatory damages in an amount which exceeds the Cumberland County arbitration
limit, and for punitive damages.

67. As their agent, HARRIET JENAKOYICH had a duty to KATHLEEN M, NYE and
Deanna L. OltO to use utmost care, integrity. honesty and loyalty in her dealings,
68, HARRIET JENAKOYICH violated her duty to KATHLEEN M. NYE and Dcanna L.
OltO by the following acts or omissions:
A. She failed to make inquiry of thc owners or the listing broker as (() the
experience of the owner with regard to termites in the premises.
B. She failed to disclose information to KATHLEEN M. NYE or Deanna L. Otto
regarding the presence of termites, the existence of a termite control treatment program. or
the presence of damage caused by termites in the premises,
C. She failed to recommend the home warranty plan to KATHLEEN M. NYE and
Deanna L, Olto, and she relied unreasonably upon the termite inspection conducted in
satisfaction of the wood infestation addendum to the Agreement of Sale (See Exhibit 1) and
the lender's requirements.
69. The failure of HARRIET JENAKOYICH to use care to protect the Plaintiff caused the
Plaintiff to suffer the damages referenced above in paragraphs numbered 43 and 44,
WHEREFORE, Plaintiff prays your Honorahle Court to enter judgment against HARRIET
JENAKOVICH for compensatory damages in an amount which exceeds the Cumberland County

71. HARRIET JENAKOVICH had knowledge that the premises was subject to ongoing
treatment for termite control, and she knew or had reason to know that the premiscs was infestcd
with termites and that there was likely termite damage within the premises, and LYLE FORER had
this information before the Agreement of Sale was signed and also before settlement.
72, HARRIET JENAKOVICH had a duty to disclose to the Plaintiff the activc infestation
of the premises with termites, the ongoing treatment of the premises for termite control by
TERMINIX, and the fact that the termites had caused damage within the premises.
73. HARRIET JENAKOVlCH did not disclose to the Plaintiff the active infestation of the
premises with termites, the ongoing treatment of the premises for termite control by TERMINIX,
and the fact that the termites had caused damage within the premises.
74. At settlement on June 9, 1992, HARRIET JENAKOVICH knew that the termite
inspection report from TERMINIX was a misrepresentation and likely to be relied upon by the
Plaintiff, and HARRIET JENAKOVICH failed to correct the misrepresentation.
75. The fraudulent misrepresentation by failure to disclose by HARRIET JENAKOVlCH
referenced above was done intentionally and in bad faith and constitutes outrageous conduct.

termites at the premises when KATHLEEN M, NYE and Deanna L. OltO expressed
concern regarding the 1986 termlle malmenl of the premises by TERMINIX,
C. WILLIAM D. SCHRACK Ill. ESQ, assured the Plaintiff that the inspection
report showed that there was no problem at the premises with termites.
98. The failure of WILLIAM D, SCHRACK III, ESQ. to exercise ordinary skill, knowledge
and judgment caused the Plaintiff, KATHLEEN M. NYE, to conclude the real estate purchase
referenced in this Complaint w~ich has C,lllsed the Plaintiff the damagcs referenced in this
Complaint.

4014 of the Pennsylvania Rules of civil Procedure and request
that Plaintiff respond to the same within the applicable
. period of time as provided by the Pennsylvania Rules of civil
Procedure.
1. Attached hereto, incorporated herein and marked
Exhibit "A" is a true and correct copy of the contract entered
into between Ronald Y. Eyler and Terminix International, Inc.
entitled Termite Service Plan No. 864100116.
Admitted. However, the handwritten name Kathleen Nye on the back side of
this ~:xhibit was not part of the original service plan. It is also not
admitted that this is the entire contract as it refers to an inspection graph
which is not included.
2. The Termite Service Plan, identified as Exhibit "A",
provides, in part, as follows:
". . . Due to the nature of the construction and/or
the extent of existing damage of the identified
property, this agreement does not guarantee against
present or future damage to property or contents,
nor provide for repairs or compensation thereof."

3. The Termite service Plan, Exhibit "A", provides, in
part, as follows:
"1. PUTURB DAMAGB, LDlITATIOB 01' LIABILITY. Due
to the nature of the construction of the identified
property, Terminix does not guarantee against
future damage to the property or contents, nor
provide for repairs or compensation thereof.
Terminix's liability under its Guarantee is limited
to re-treatment only."

4. The Termite Service Plan, Exhibit "A", provides, in
part, as follows:
"1. EXISTIHG DAMAGB. Terminix is not responsible
for the repair of either visible damage (noted on
the attached Inspection Graph) or hidden damage
existing as of the date of this agreement. Because
damage may be present in areas which are
inaccessible to visual inspection, Terminix does
not guarantee that the damage disclosed on the
Inspection Graph represents all of the existing
damage as of the date of this agreement."

5. plaintiff assumed this service Plan when she
purchased the residence.
Denied. It was not until some time after the date of settlement when
Plaintiff discovered evidence of termites and records of the service
plan that Plaintiff contacted Terminix. She was told that the
service plan automatically transferred to the new owner.
6. Plaintiff did not assume this Service Plan when she
purchased the residence.
Admitted. Plaintiff assumed the service plan some time after
settlement.
7. An inspection of the residence was conducted by
Joseph Holtzinger on April 28, 1992.
It is admitted that Joseph Holtzinger prepared an inspection report dated
April 28, 1992. Plaintiff was not present and does not know whether Joseph
Holtzinger actually inspected the residence on that date, or any other date.
Therefore, this averment of an inspection on April 28, 1992, is denied.

Exhibit "B" is a true and correct copy of the Wood Destroying
Insect Information Report prepared by Terminix as a result of
its April 28, 1992 inspection of the home.

9. The Wood Destroying Insect Information Report,
