The undersigned contractor, materialman or other entity or
person furnishing services, labor or materials, known as McCoy
Brothers, Inc., a Pennsylvania corporation (the "Contractor")
intending to be legally bound, and in consideration of the sum of
ONF. AND NO/100 POLL~RS ($1.00) to it in hand paid by PRH
Properties, a Pennsylvania General Partnership ("Owner") the
receipt whereof is hereby acknowledged, for itself and any
subcontractors, materialmen, laborers or anyone else acting
through or under it, covenants and agrees that no mechanics or
materialmen's liens or claims shall be filed or maintained by it,
them or any of them, against the real estate described in
Schedule "~", attached hereto and made a part hereof, or against
any buildings or other improvements thereon (jointly and
severally, the "Real Estate"), for 01' on account of any work to
be done or materials furnished under the ~rincipal contract
between Owner and Contractor, dated July diJ_~ 1994, or under any
supplemental contract, verbal or written, or contract for extra
work or materials relating to and work to be done or material
furnished under said principal cont~act. The undersign~d, for
itself, its subcontractors, materialmen, laborers and anyone else
acting or claiming through or under it, hereby waives and
relinquishes all right to file a mechanics' lien, claim or notice
of intention to file any lien or claim against the Real Estate.
The undersigned, for itself, its subcontractors,
materialmen, laborers and anyone else acting under or through it,
hereby irrevocably authorizes and empowers any attorney of any
court of competent jurisdiction of the Commonwealth of
Pennsylvania, or elsewhere, to appear as attorney for it, them or
any of them, in any such court and, in ita or their name or
names, mark satisfied of record at the cost and expense of the
undersigned, any and all claims, liens, any pleading or
instrument, or any amendment to any pleading or instrument
previously filed by it or them, to incorporate therein as part of
the record this waiver and for such act or acts chis waiver shall
be good and sufficient warrant and authority, and the undersigned

ALL THAT CERTAIN lot or parcel of unimproved real prope~ty
situate in South Middleton Townehip, Cumber~and county,
Pennsylvania, described as Lot No. 5-A on a Subdivision Plan
prepared by Statler-Brehm, Engineering and Planning Consultants,
dated November 26, 1990, as recorded in the Cumberland County
Recorder of Deeds Office in Plan Book 62, Page 17, to wit;
BEGINNING at a point on the northet'n right -of -way line of
Commerce Avenue, a 50 foot right-of-way, at a point common to Lot
5 and Lot 5-A of the aforesaid Plan, thence along said Lot 5
North 13 degrees 20 minutes 27 seconds West, a distance of 417.02
feet to a point along the southern right-of-way line of
Interstate 811 thence along said right-of-way line the following
four courses and distances; (i) along a curve to the right
having a radius of 3,729.83 feet, an arc length of 253.22 feet, a
chord bearing of North 83 degrees 13 minutes 47 seconds East, and
a chord distance of 253.17 feet to a pointl (ii) North 85 degrees
09 minutes 35 seconds East, a distance of 380.65 feet to a pointl
(iii) South 89 degrees 09 minutes 35 seconds East, a distance of
150.78 feet to a pointl and (iv) North 85 degrees 09 minutes 47
seconds East, a distance of 104.30 feet to a point at lands now
or formerly of McCoy Business Centerl thence along said lands now
or formerly of McCoy Business Center South 18 degrees 30 minutes
17 seconds East, a distance of 260.74 feet to a point on the
northern right-of-way line of Commerce Avenue I thence along the
northern right-of-way-line of Commerce Avenue, South 75 degrees
19 minutes 13 seconds West, a distance of 816.11 to a point;
thence continuing along the same, South 76 degrees 12 minutes 12
seconds West, a distance of 84.89 feet to the point and place of
BEGINNING.
CONTAINING 7.063 acres or 30'7,686.60 square feet (exclusive of
Commerce Drive), more or less.
IT BEING a portion of the same property which Dickinson Estates,
by its Deedjl' dated September 20, 1982, ';11.8. 'larch iJ6, 1B<l, as
recorded in the Office of the Recorder of Deeds in and for
Cumberland County at Deed Book Y, Volume 29, Page 7, granted and
conveyed unto pine Road Company, Grantor herein.
UNDER AND SUBJECT, nevertheless, to all existing building
restrictions, ordinances, Basements or roads, privileges or
rights of public service companies, if any, and easements,
conditions or restrictions of record or visible upon the ground.
