Defendant
'10MPLAINT
plaintiff, NAPA Transportation, Ino., by its undersigned
counsel, files this Complaint and in support states as follows'
1. Plaintiff ill NAPA Transportation, Ino., a corporation
inoorporated in the stato of Pennsylvania, with its mailing addu..
at P.O. Box 145 Mechaniosburg Pennsylvania, 17055.
2. Defendant is First Lehigh Bank, a banking inetitution,
located at 500 Main Street, Walnutport, Pennsylvania, 18088.
3. Prior to Ootober 24, 1991, an entity named Ronson, Ino.
("Ronson") was in possenion of approximately 60 trailers whioh
were under lease purohase from an entity named Fleet Salee, Ino.
("Fleet"), who remained on the agreement as a guarantor of the
original debt to Defendant. It is believed, therefore, averred,
that Defendant either retained title or obtained a eecurity
intereat in the trailers.
4. During 1991, Ronson filed a petition for relief under the
u. S. Bankruptcy Code.
Ronald Accomando, an officer of Ronlon,
informed Fleet and Defendant that Ronson could no longer pay for
the trailers and voluntarily relinquished any and all righte to the
trailers whereby Defendant took construotive posseslion of the

trailere. Hr. Accomando further informed Defendant and Fleet that
Roneon wa. going out of bueinee. and that in the future he would be
working a. an employee of the Plaintiff.
!5. During Ootober, 1991, Bill Thayer ("Thayer" I, a
representative of Fleet, inquired Ron Accomando whether hia new
employer, the Plaintiff, would be interested in purchaaing some of
the aforementioned trailers from the Defendant.
6. It is believed and therefore averred that during this
time, Defendant was "floor-planning" Thayer's and/or Fleet' s
bUline.e operation of selling commercial trailers, and as a result
should have held or had access to titlo to trailers owned by Thayer
or Fleet at all times relevant to the instant action.
7. On or about October 24, 1991, Plaintiff agreed to
purchase thirty-four trailer~ from Defendant. A copy of the list of
trailers is attached hereto as Exhibit "A".
B. Based upon prior arrangemonts between Defendant and
Thayer, on or about October 24, 1991, Plaintiff and Defendant
entered into an agreemont evidenced by a commercial note in whioh
Plaintiff provided purchase money to purchase thirty-four (34)
trailers from plaintiff. A oopy of the "note" is attaohed hereto as
Exhibit "8".
9. Plaintiff took possession at that time of twenty-eight
(28) trailers, .ignified by numbers 1 through 28 on the
IIforementioned Exhibit "A".
10. In the Spring of 1992, Plaintiff hired James Brandt a.
ita controller, who upon examination of the Plaintiff's recorda and

inventory of trailere, dieoovered that only 28 of the 34 trailerl
had been delivered, and that none of the titl.e to tho.e trailer.
had been provided by the Defendant.
11. To date, no other trailere have been delivered to or
reoeived by plaintiff.
12. Title for trailer .34 wae eent to Continental Amerioan
Inluranoe Company, where the eame person aigned the title for both
Fleet Sale. and Defendant, and both eignaturee were notarized by A~
Klan, a Fleet Sale. employee. It ie believed and therefore averred
that Defendant received a payment for that trailer.
13. On or about Maroh 1, 1993/ Mr. Brandt talked via
telephone with Larry n. ZiegenfuBB, loan officer for Defendant
Firet Lehigh Bank, to discuBB the failure of the Defendant to
.eoure the titles for the trailers as per the agreement.
a) At that meeting, Mr. Ziegenfuee indicated that he
was not sure that the Defendant would be able to secure all of
the titles for the trailers.
b) At that meeting, Mr. Ziegenfuss indicated that it
wa. po.sible that some or all of the trailers at ieeue were
pledged ae collateral by Thayer for loane at another
institution.
14. On or about August 5/ 1993/ Mr. Brandt met with Mr.
Zeigenfuss and Mr. Thayer at Fleet Sales' office, at whioh time Mr.
Ziegenfuss told Mr. Brandt that the Defendant had bought out
Thayer'e debt from Northeast Dank in Scranton, Penneylvania.
Mr. Ziegenfuee eaid that at leaet one of the tit lee might be held

by Northealt Bank.
15. From the inoeption of the loan until April, 1993, when
it becue apparent that the Defendant could not or would not
deliver the titlea to the trailen, or the remaining trailen,
PlaintiU had be.n making monthly payment. to Defendant in the
amount of $6995.62 pur.uant to the term. of the note.
16. Sub.equent to determining that Defendant could not or
would not deliver the remaining trailere nor any of the trailer.'
titl.., on or about April 26, 1993, Plaintiff placed its monthly
payment in escrow, while it has been renewing its demand for the
titlel to the trailers and the undelivered trailers, that it had
purchased from plaintiff.
17. Defendant commenced an action on September 16, 1993 by
"Complaint to Confess Judgment" against plaintiff, and executed
upon the judgment by levying upon the plaintiff's bank aocount..
At all times, Defendant knew that its judgment was invalid and
acted knowingly, willfully, and with reckless disregard for the
rights of the Plaintiff, causing irreparable harm to Plaintiff.
(See Bxhibit "E".)
18. On or about September 28, 1993 Plaintiff and Defendant
entered into a stipulation agreement, hereto inoluded as Exhibit
..cn.
19. On or about December 17, 1993, Defendant requested by
letter, Power. of Attorney for six trailers, ostensibly for the
purpole of tran.ferring title to the Plaintiff.
20. On or about Deoember 29, 1993, Plaintiff .ent only four

of the dx Powers of Attorney requested by Defendant sinoe the
other two requested by Defendant, for trailers 132 and 133 were for
trailers that the Plaintiff never possessed.
21. Despite the Plaintiff's withholding of the.e two powers
of attorney, trailer *33 named in the Deoember 17, 1993 letter wal
sub.equently titled in the Plaintiff's name.
a) It is believed and therefore averred that Defendant
or Defendant's agents have altered powers of attornoy after
they had been exeouted by the plaintiff and notarized by
adding vehiole identifioation numbers without authorization,
to obtain titles in a fraudulant mannar.
22. On or about Maroh 15, 1994, Defendant notified
Plaintiff's counsel that five Utles had been transferred into
Plaintiffs name, for trailers 11, 13, 18, 110 and 132.
23. On or about April 12, 1994 Defendant was again
mysteriously able to obtain title for trailer 132 (Exhibit nDn)
although Plaintiff never submitted a power of attorney for that
unit, knowing that Plaintiff did not have that unit in their
poslession at that time.
24. On April 21, 1994, powers of attorney for trailers 119
and 121 were released to Defendant, however, one title sent by
Defendant to be signed, designated for trailer 130, was for a
trailer which the plaintiff never had in itll posseesi.on.
25. On or about January 10, 1994 Plaintiff sent to Defendant
a good faith payment of $20,000 pursuant to the stipulation entered
into by the parties.

26. By the t.rm. of the .tipulation, Bxhibit "C", D.fend.nt

27. SUb.equ.ntly, .ft.r D.fendant'a failure to p.rform ite
obligation., Def.ndant improperly filed for .xecution upon ite
jUdg.m.nt on or about July 20, 1994.
28. Thi. ha. cau.ed a levy to b~ placed upon all of
Plaintiff'. bank accounts preventing plaintiffe from continuing ite
normal bu.ines. operations.
COUNT I - BRIlACH or CONTRACT
29. Paragraphs 1 through 28 are incorporated herein as though
fully .et forth.
30. Defendant's failure to remit the trailers' titles to
Plaintiff pursuant to the terme of the parties' agreement hae
resulted in a breach of the parties' contract by the Defendant.
31. Defendant's failure to remit the remaining trailers to
Plaintiff pursuant to the terms of the parties' agreement hal
re.ulted in a breach of the parties' contract by the Defendant.
WHBREFORE, Plaintiff prays this honorable court to enter
Judgment in its favor against Defendant for a sum in excess of
$20,000, and for any other relief this court deems just and proper.
COUNT II - FRAUD
32. Paragraphs 1 through 31 are incorporated herein as though
fully ..t forth.
33. On or about October 24, 1991, Defendant offered to sell
Plaintiff 34 trailers, and, with intent to deceive and defraud
Plaintiff, the Defendant falsely and fraudulently represented to

plaintiff that the 34 traileu were t.he Defendallt' s property.
34. The PlaintiU, believing tl,nd relying upon thele
reprelentations, purohaeed the trailera from the Defendant, and
exeouted a note in favor of Dsfendant for Three Hundred Twenty-one
Thouland, Seven Hundred Fifty ($321,750.00) Dollars.
35. The Defendant hae not, to date, deliversd all of the
trailers due to plaintiff nor has Defendant been able to deliver
all of the titlel due to plaintiff.
36. Defendant has altered Powers of Attorney after they had
been exeuoted and notarized by Plaintiff, whioh has resulted in
titles to trailers being issued by PennDOT in Plaintiff'S name when
Plaintiff does not, nor never has, had possession of these units.
37. As a proximate result of plaintiff's oonduot, Defendant
has luffered damage in an amount in exoess of $108,000.00, which is
the amount that Plaintiff had paid Defendant according to the terms
of the note.
WHBREFORE, PlAintiff prays this honorable court to enter
Judgment in its favor against Defendant for a sum in excess of
$20,000, and for any other relief this oourt deems just and proper.
COUNT III - CONSPIRACY
38. Paragraphs 1 through 37 are incorporated herein as though
fully set forth.
39. The Defendant and Thayer (either individually or through
his many corporate entities), well knowing Plaintiff's desire to
obtain trailers to operate with, and for purchase money whioh would
not be readily available to plaintiff as a new business, and

'intending to injure the Plaintiff in it. businG", on or about
October 24, 1991, unlawfully conspired and agreed together to
injure and damage Plaintiff and subject Plaintiff to great loss, by
the following unlawful and malicious means, to witl Defendant and
Thayer caused Plaintiff to enter into an agreement to borrow money
to purchase trailers from Defendant that Defendant did not own, and
that were sold to, or pledged to, various third parties by Fleet.
This was money that the Defendnat had already lost and could not
reasonably expect to oollect from Thayer.
WHERBFORE, Plaintiff prays this honorable court to enter
Judgment in its favor against Defendant for a sum in exoess of
$20,000, and for any other relief this court deems just and proper.
COUNT IV - TORTIOUB INTIRPIRBNCI WITH BUBINIBS RBLATIONBBIP8
40. Paragraphs 1 through 39 are incorporated herein as though
fully eet forth.
41. By twice wrongfully oonfessing judgment and executing
upon the jUdgment, plaintiff's relationship with its banking
institutions and itll reputation in the oounununity have been
irreparably harmed
42. Plaintiff has been forced to borrow money at higher ratee
because it has been turned down for conventional loans after thele
incidents.
43. Plaintiff has been oallsed great embarrassment in the eyee
of its employees.
44. Plaintiff'l own account statement show that the balance
due to Defendant is $109,481.44, much 1e88 than the confessed

Defendant First Lehigh Bank ("First Lehigh"), by and through
it. undersigned counsel, Fellheimer Eichen Braverman , Kaskey,
P.C., hereby preliminarilY objects to the complaint ot plaintiff
Napa Transportation, Inc. ("Napa") and, in support thereot, avers
as follows:
HOTIOM TO ITRIKI OOH'LAIHT I. ITI IHTIRBTY
AI A RIBUL' 0' THI '.HOIMey or A 'RIOR ACTIO.
1. The present civil Action was commenced by Napa in the
Court ot Common Pleas at Cumberland county by a Complaint (the
"Complaint") filed on or about July 28, 1994. A true copy of the
Complaint is attached hereto as Exhibit "A".
2. The Complaint fails to state a claim on which relief can
b. granted due to the pendency of a prior action filed with this
court, captioned First Lehiah Bank v. Naca Transcortation. Inc.,
No. 2939 civil 1993 (the "Prior Action"). The Prior Action was
commenced by First Lehigh as a Complaint in confession ot Judgment
.
(the "Complaint in Confesdon"), in response to whioh Napa filed
itll p.tition to strike or open Confe..ed Judgment (the "Petition to
strike or op.n").
3. Eaoh of the counts in Napa's complaint asserts causes of
aotion whioh .tem from an alleged agreement between Fir.t Lehigh
and Napa. However, the subjeot of Napa's Complaint is preoisely
.et forth in the Prior Aotion ourrently pending before this court,
involving the identical parties, asserting the identical rights and
...king the identical relief. Aocordingly, Napa's Complaint mu.t
be strioken in its entirety.
WHEREFORE, First Lehigh prays that Napa'S Complaint be
stricken in its entirety as it is the subject of a prior pending
aotion before this Court.
DZMURRBR TO OOUNT I
4. Paragraphs 1 through 3 of these Preliminary Objections are
hereby incorporated by reference as if fully set forth herein.
5. Count I of the Complaint purports to state a claim again.t
First Lehigh for breach of contract.
6. The complaint alleges that First Lehigh is in breaoh of
contract for its failure to deliver certain trailers, as well as
titles to those trailers, to Napa.
7. The necessary elements of a valid claim for breach of
contract include the existence of a contract, a breach of that
contract and actual harm resulting from the breach.
8. The Complaint fails to allege the existence of a contract
or an agreement between First Lehigh and Napa, which would obligate
a

Fir.t Lehigh to provide Napa with certain trailers and title.
thereto.
9. The exhibit. attached to the complaint fail to e.tabli.h
a oontract obligating Fir.t Lehigh to provide Napa with trailer.

10. Napa fail. to plead any facts demon.trating that Fir.t
Lehigh wu under any obligation to obtain and transfer title. to
Napa or that First Lehigh ever agreed to deliver any trailers, or
to en.ure their delivery, to Napa. To the contrary, the
stipulation states that in the e"ent Napa is unable to obtain
titles to any of the trailers by January 31, 1994, Napa is required
to deliver to First Lehigh the trailers for which it has not
obtained titles.
WHEREFORE, First Lehigh prays that Court I of the Complaint be
stricken and dismissed for failure to state a cause of action for
breach of contract.
DBKURRBa AND NOTION TO ITaIX. COUNT II
11. Paragraphs 1 through 10 of these preliminary Objections
are hereby inoorporated by reference as if fully set forth herein.
12. Count II of the complaint purports to state a claim
against First Lehigh for fraud.
13. In Pennsylvania, averments of fraud must be made with
particularity. Pa.R.civ.P. 1019(b).
14. The necessary elements of a valid claim for fraud include
the existence of a misrepresentation, a fraudulent utterance,

thereot / an inhntion by the maker that the reoipient will be
induced to .ct/ justifiable relianoe upon the misrepre.entation and
damage to the reoipient a. the proximate re.ult.
15. In Count II ot the Complaint, Napa states that First
Lehigh ottered to 8ell trailers to Napa and "with intent to deoeive
and detraud [Napa], ... talsely and fraudulently represented to
[Napa] that the ... trailers were [First Lehigh/s] property"
(Complaint, , 33); that Napa relied upon "these representations"
(Complaint, , 34); and that "as a proximate result ot [First
Lehigh'S] oonduct, [Napa] has suftered damage in an amount in
excess ot $108,000.00..." (Complaint, , 37).
16. Napa fails to set forth any facts necessary to plead a
cause ot action for fraud in Pennsylvania, but merely alleges legal
conolusions.
17. The Complaint fails to state with requisite particularity,
the nature of alleged fraudulent representations made by First
Lehigh, the time these alleged representations were made, or to
whom. Further, the Complaint fails to allege any facts showing
that Napa justifiably relied upon any misrepresentations. On the
contrary/ the Complaint merely asserts the conclusory allogation
that Napa was "relying upon these representations" and fails to
aver that Napa "justifiably relied" upon certain representations.
In sum, the Complaint fails to state any necessary information that
would support Napa/s charge of fraud.
18. As a result of Napa's failure to allege fraud with the
requisite particularity, Napa/s Complaint tails adequately to plead

a cau.e ot action in fraud.
WHEREFORE, First Lehigh pray. that Count II ot the Complaint
be .tricken and dismi.sed for failure to state a cause ot action
or, in the alternative, that Count II of the Complaint be .tricken
tor lack ot oonformity to the rules of court.
DIMURaB. AND KOTIOK TO aTRIKB aoUKT III
19. Paragraphs 1 through 18 ot these Preliminary Objections
are hereby incorporated by reference as if fully set torth herein.
20. Count III of the complaint purports to state a olaim
against First Lehigh for civil conspiracy.
21. To plead a valid claim ot civil conspiracy in
Pennsylvania, a party must set forth, with particularity and in a
concise and summary form, an agreement between two or more persons
to commit an unlawful act, or to commit a lawful act by unlawful
means.
22. In the present case, Napa makes conclusory statements that
First Lehigh and William Thayer ("Thayer") unlawfully conspired and
agreed to injure and damage Napa.
23. Napa fails to state with the requisite particularity the
alleged agreement between First Lehigh and Thayer, including any
dupporting facts such as meetinga, conferences, telephone calls or
writings between the alleged conspirators that would support a
claim of conspiracy.
24. As a result of Napa's failure to allege civil conspiracy
with the requisite particularity, Napa's Complaint fail. to
adequately plead a cause of action in civil conspiracy.

WHEREFORE, Fir.t Lehigh prays that Count III of the Complaint
be stricken and dismi.sod for failure to state a cause of action
or, in the alternative, that Count III of the Complaint be stricken
for lack of conformity to the rules of court.
DaKURRIR TO OOUMT IV
25. Paragraphs 1 through 24 of these Preliminary Objections
are hereby incorporated by reference as if fully set forth herein.
26. Count IV of the Complaint purports to state a claim
against First Lehigh for interference with prospective business
relations.
27. To state a cause of action for interference with
prospective business relations, a complaint must allege a
prospective business relationship between the plaintiff and a third
party, a purpose or intention to harm the plaintiff by preventing
the relationship from occurring, the absence of privilege or
justification with respect to the defendant's conduct, and the
occurrence of actual harm or damage to the plaintiff as a result of
the defendant's conduct.
28. In Count IV of the complaint, Napa purports to allege that
First Lehigh wrongfully confessed judgment and, as a result
thereof, Napa's relationship with certain banks as well as its
reputation in the community have been irreparably harmed and that
it was forced to borrow money at higher interest rates.
29. Napa fails to plead SUfficient facts to support its claim
for tortious interference with proepnctive business relations.

31. Napa does not plead II purpose or intention on the part of
First Lehigh to harm Napa and thus to prevent Napa from maintaining
future economio viability.
32. Napa fails to allege circumstances which e.tabli.h that
Fir.t Lehigh's actions were unprivileged or improper.
WHEREFORE, First Lehigh prays that Count IV ot the Complaint

39. Napa's causes of action are vague, indefinite and
ambiguou. and are asserted with such a lack of precision as to
.eriou.ly hinder First Lehigh'S ability to prepare and assert a
re.ponso.
WHEREFORE, First Lehigh prays that the Complaint be stricken,
or, in the alternative, that Napa be ordered to tile a more
.peoific pleading setting forth with particularity the tects giving
ri.e to it. alleged causes of action.
NOTION TO STRIII RIOUISTID RILl I'
40. Paragraphs 1 through 39 of these Preliminary Obj$ctions
are hereby incorporated by reterence as if fully set forth herein.
41. In addition to seeking damages in an amount "in excess ot
$20,000", Napa seeks punitive damages in an amount ot $1,000,000,

yet Napa fails to all.g. any culpabl. conduct on the part of Fir.t
Lehigh, much le.s any wanton or malicious conduct to support an
award of punitive damage..
42. To the extent Napa has plead any cause of action against
Fir.t Lehigh, such cause of action is for a simple breach of
contract, for which punitive damages may not be awarded.
43. Napa turther requests attorneys fees plus cost ot suit,
yet fail. to allege any oonduct on the part ot First Lehigh to
warrant a grant ot such damages, or any other basis on which it.
olaim is made. Rather, the baseless nature of the Complaint and
the specious counts which comprise the Complaint, warrant an award
of attorneys' tees and costs to First Lehigh incurred in the
defense of this suit.
WHEREFORE, First Lehigh requests that this Court strike the
requested relief of punitive damages, attorneys fees and cost of
suit.

or CONFORMITY TO RULIS or COURT
44. Paragraphs 1 through 43 of these Preliminary Objections
are he~eby incorporated by reference as if fully set forth herein.
45. Counts I, II and III of Napa's Complaint, i.e. breach of
contract, fraud and civil conspiracy, respectively, were plead by
Napa in its Petition to strike or Open in the Prior Action. Count
IV of Napa's Complaint, i.e. tortious interference with bus in...
relations, was not plead in the Prior Action and has been ..t forth
by Napa in the Complaint for the first time.

46. Pursuant to Pa.R.civ.p. 2959 (a) all grounds for relief
from a jUdqment by confession must be asserted in a single petition
to .trike and/or open a judgment. A party waives all defenses and
objeotions whioh it does not include in it. petition. So long as
the defenses are known to the party at the time the petition to
open or strike a jUdgment by confe.sion is filed, that party's
failure to inclu1e these defenses in its petition will result in a
waiver thereof.
47. The factual averments set forth in Count IV of the
Complaint were known to Napa at the time it filed the Petition to
strike or Open and, therefor$, could have been alleged therein.
Accordingly, Napa's failure to raise the defense of tortious
interference with bUlliness relations has resulted in a waiver
thereof, pursuant to Pa.R.civ.p. 2959(c).
WHEREFORE, First Lehigh prays that Count IV of the Complaint be
stricken and dismissed.

4. Durinq 1991, Ronlon tiled a petition for relief under the
U.S. B.nkruptcy Code. Ronald Aacollllondo, an offic.r of Ronlon,
informed Fleet and Defendant that Ron.on could no longer pay for
the trail.r. and voluntarily relinqui.hed any and .11 right. to the
traileu whereby Defendant took con.tructiv. po....Bion of the

trailer.. Hr. AcooMando further inforMed Defendant and fleet that
Ron.on wa. 90in9 out of budne.. and that in the future h. would be
workin9 a. an ..ployee of the Plaintiff.
15. Dudn9 October, 1991, Bill Thayer ("Thay.r"" a

7. On or about October 24, 1991, Plaintiff agreed to
purcha.. thirty-four trailer. from Defendant. A copy of the li.t of

8. Ba.ed upon prior arrangement. between Defendallt and
Thayer, on or about October 24.. 1991, Plaintiff and Dehndant
enter.d into an agreement evidenced by a commercial not. in which
Plaintiff provided purcha.. money to purcha.e thirty-fcur (34)
trailer. from plaintiff. A copy of the "note" 18 attach.d hereto ..

9. Plaintiff took po.....ion at that time of twenty-.ight
(28) trail.r., .ignified by number. 1 through 28 on the

10. In the spring of 1992, Plaintiff hired J.... Brandt a.
it. controll.r, who upon .xamination of the Plaintiff'. record. and

inventory of trailer., dilcovered, that only 28 of the 34 trailer.
had been delivered, and that none of the title. to thole trailerl
had been provided by the Defendant.
11. '1'0 date, no other trailers have been delivered to or
reoeived by plaintiff.

12. Title for trailer .34 wa. lent to Continental Amerioan
In.uranoft Co=pany, where the .ame perlon .igned the title for both
rleet Sale. and Defendant, and both lignature. were notariled by Al
Kla., a Pleet Sale. employee. It i. believed and therefore averred
that Defendant reoeived a payment for that trailer.
13. On or about Maroh 1, 1993, Mr. Brandt talked via
telephone with Larry R. Ziegenfuu, loan officer for Defendant
Fir.t Lehigh Bank, to dilcuu the failure at: the Ddendant to
.eoure the title. for the trailerl a. per the agreement.
a) At that meeting, Mr. Ziegenfu.. indicated that he
wa. not lure that the Defendant would be able to .ecure all of
the title. for the trailerl.
b) At that meeting, Mr. ziegenfuI. indicated that it
wa. pOllible that lame or all of the trailer. at i..ue were
pledged a. collateral by Thayer for loan. at another
in.titution.
14. On or about Auqu.t 5, 1993, Mr. Brandt met with Mr.
Zeiqenfu.. and Mr. Thayer at Fleet Salel' offioe, at whioh time Mr.
Ziegenfue. told Mr. Brandt that the Ddendant had bouqht out
Thayer'. debt from Northea.t Bank in Scranton, Penn.ylvania.
Mr. ziegenfuI. .aid that at lealt one of the titlee might be held

by Northea.t Bank.
15. rrom the inception ot the loan until AprU, 1993, when
it; bea... apparent that the Defendant oould not or would not
deliver the title. to the traUers, or the ramaininq trailers,

17. Defendant commenced an aotion on September 16, 1993 by
"Colllplaint to Confe.. Judqment" again.t plaintiff, and exeouted
upon the jUdqment by levying upon the plaintiff'. bank aocount..
At all time., Defendant knew that it. judqment WaR invalid and
aoted knowingly, willfully, and with raoklan dbragard for the
right. of the Plaintiff, oau.ing irreparable harm to Plaintiff.
