AND NOW, comes Defendant, Motor Truck Equipment Company, by
its attcrncys, Caldwell &. Kearns, and does respond to the Complaint
of Allerion, Inc. by filing the fcllowing Answcr With New Matter
stating in support thereof as follows, to witl
ANSWER
1. Denied in part and admJ,tted in part. The identity and
address of Plaint iff are admitted. As to the relationship between
Allerion, Inc. and The Ultimate Corporation, Defendant, after
reasonable investigation, is wJ.thout knowledge or information
sufficient to form a belief as to the truth thereof, proof therfilof
is demanded and such averment is, therefore, denied.
2. Denied as stated. In further response, it is admitted
that in conjunction with the purchase of certain equipment from The
Ultimate Corporation, Motor Truck required that the seller, The
Ultimate Corporation, also agree to n~intain same and The Ultimate
Corporation did so agree and the par.ties executed a certain

Maintenance Servioe Agreement on or about October 30, 1985, a copy
of which is attached to Plaintiff I s complaint as Exhibit "A".
3 . Denied. It is sped fically denied that the prices
charged under said Agreement were just and reasonable, and to the
contrary, it is averred that said prices were unreasonable and
excellsive. In further response, it is acknowledged that Defendant
agreed to pay The Ult iml.lte corporat ion charges that were reasonable
and fair for said maintenance work, but it was determined in 1993
that such pI'ices were continued to be charged by The Ultimate
Corporation at that time were unfair, unreasonable and excessive.
In further response, as to Plaintiff's statement of Defendant's
account, after reasonable investJ.gation, Defendant has no knowledge
or information sufficient to form a belief as to the identity or
accuracy thereof, proof thereof is demanded and all averments
relating thereto are denied.
4. Admitted J.n part and denied in part. It is admitted that
Defendant and The Ultimate Corporation entered into the Maintenance
Service Agreement as identified in Plaintiff's Exhibit "A". In
further response, it is denied that Exhibit "B" truly, correctly or
accurately reflects any amount which Defendant may owe Plaintiff
for the reasons set forth in Defendant / s New Matter, which is
incorporated herein by reference thereto.

5. Oenied. The averments of Paragraph 5 appear to set forth
a oonolusion of law to which no further response is required or
appropriate. To the extent any or all of the allagat ions contained
in Paragraph 5 are not found to be conclus ions of law, same are
denied. It is specif ically and categorically denied that Defendant
owea Plaintiff any sum whataoever for the reasons Bet forth in this
Answer and the following New Matter, which is incorporated herein
by r.eference thereto.
6. Denied. The averments of Paragraph 6 appear to aet forth

Defendant has refused to pay any further eum to Plaintiff for the

9. Denied. Defendant has paid for all goods, wares,
merchandise and services for which it has received and through the
date of cancellation. The Ultimate Corporation has not provided
any services whatsoever for which it has not received adequate, ir
not excessive, compensation and proof to the contrary is strictly
demanded.
10. Denied. It is denied that Plaintiff was providing any
goods, wares, merchandise or services to Defendant whatsoever. In
further response, Defendant has fully compensated The Ultimate
Corporation for all goods, wares, merchandise and service provided
and proof to the contrary is demanded.
11. The averments of Paragraph 11 appear to set forth a
conclusion of law to which no further response is required or
appropriate. In the event and to the extent any or all of the
averments of Paragraph 11 are found not to be conclusions of law,
same are denied. It if! specifically and categorically denied that
Plaintiff provided any goods, wares, services or merchandise and/or
incurred damages. Strict proof to the contrary is demanded. In
further response, Defendant has paid The Ultimate Corporation for

all goods, wares, merohandise and/or servioes rendered and proof to
the contrary is demanded. It is specHically denied that. Plaintiff
provided any goods, wares, merchandise or services to Defendant
and/or incurred danmges. Alternatively, and in further response,
with regard to Plaintiff's providing of goods, wares, merchandise
or service and incurring damages, Defendant, after reasonable
investigation, is without knowledge or information sufficient to
fOlm a belief as to the truth of same and proof thereof is
demanded.
12. The averments of Paragraph 12 set forth a conclusion of
law to which no further response is required or appropriate. In
the event and to the extent any or all of the averments of
Paragraph 12 are found not to be conclusions of law, same are
denied and Defendant incorporates herein its responses to

HIW KATTBR
14. Defendant Motor Truck Equipment Company had no
contractual relationship with Plaintiff Allerion, Inc.
15. At all relevant times, Allerion, Inc. was not legally
authorized to conduct business in the COIlU110nwealth of Pennsylvania.
16. Motor Truck contracted wIth The Ultimate Corporation in
said Agreement attached to Plaintiff.' s Complaint and it
specifically prohibited assignment of same without Motor Truck
Equipment Company's consent. Motor Truck Equipment Company has
given no consent to assignment of the contract.
),7. The costs for goods and services supplied by The Ultimate
Corporation were unreasonable and The Ultimate Corporation did
breach its implied covenant with Motor Truck Equipment Company to
charge charges only that were fair and reasonable.
18. Plaintiff Allerion, Inc. provided no goods or services to
Defendant Motor Truck Equipment Company.
19. The Complaint fails to state a cause of action for
unjustly enrichment/quantum meruit.

20. At no time did Motor Truok Equipment company agree with
The Ultimate Corporation or otherwise to any liability for
oollection fees and Motor 'rrur.k Equipment Company has no obligation
thet'efor.
21. Defendant Motor 'rruclt Bquipment Company did cancel its
relationship with Tho Ultinmta Corporation by letter of April 7,
1993, at which time it did pay a portion of the last invoice of The
Ultimate Corporation. Said invoice was for the period from April
1, 1993 through June 30, 1993, and Motor Truck Equipment Company
did pay for the service contract from April 1, 1993 through the
termination date of May 15, 1993, in the amount of $3,117.99, which
payment was accepted by The Ultimate Corporation. A true and
correct copy of said correspondence nnd last invoice f.rom The
Ultimate Corporation to Motor Truck Equipment Company is attached
hereto, marked Exhibit "A" and nmde a part hereof by reference
thereto.
22. There, therefore, occurred an off.er and acceptance of any
and all sums due The Ultimate Corporation by Motor Truck Equipment
Company for the maintenance service contract.
23. Absolutely no services were provided to Motor Truck
Equipment Company after May 15, 1994, and as previously stated,
Motor Truck Equipment Company f.ully paid for services rendered
through said date to The Ultimate Corporation.
