6, On April 19, 1995, counsel for the Plaintiff directed correspondence (a
copy of which Is attached hereto as Exhibit "C" and Incorporated herein by reference) to
counsel for Defendants requesting that they supplement, within ten (10) days of the
date of said letter, their Answers to Interrogatory Nos. 1, 5,6, 7, 6 and 11 as well as
their responses to Request for Production of Documents. To date, there has been no
response to said correspondence.
7, Defendants' counsel responded by letter dated April 27, 1995 which Is
attached hereto as Exhibit "0" providing a "privilege log" and refusing to properly
supplement Defendants' discovery responses as requested by Plaintiff,
8, The Information sought by Plaintiff In the aforesaid Interrogatories Is
discoverable and reasonably calculated to lead to the discovery of admissible evidence,
and addresses ~ alia bases for Defendants' business dealings and decisions relating
to Plaintiff, identity of all of Defend~nts' employees, officers and agents Involved in the
matters related in the Complaint and information necessary to evaluate the credibility
and legality of Defendants' inducements, negotiations and other busine!ls dealings with
Plaintiff.
WHEREFORE, Plaintiff, Kuhns-Harnish Ford, Inc. prays that this Court will enter
an Order directing Defendants to supplement their answers to Plaintiff's Interrogatories
and Requests for Production of Documents (First Set) by a date certain providing the
information requested in Interrogatory Nos. 1,5, 6, 7, 8 and 11 and appropriate
documents in response to Request for Production, or suffer appropriate sanctions,

K&H first contracted with CDS In 1988 for a five-year data processing hardware
and software purchase end maintenance and support agreement. During the term of
the original contract, CDS was succeeded by COIN, In November 1992, K&H
contracted with COIN (Exhibit "A" to Plaintiffs Complaint) for the purchase of computer
services Including hardware, software, maintenance and licensing agreements
Incorporating the "Prophet" system,
Prior to contracting with COIN in November 1992, K&H had considered
supplementing its existing CDS system which, at that time, was being maintained and
serviced by COIN as the successor to CDS, COIN employees and agents, many of
whom have been previously employed with CDS represented to K&H that conversion to
and Investment In the "new generation" UNIX-based Prophet computer system was
preferable to a mere expansion of the existing CDS computer.
Prophet, K&H was told, was a system on which COIN would be concentrating
significant development and expansion resources,
Computer systems of the type developed and marketed by COIN and their
competitors, which Included at that time, Reynolds are In the estimation of K&H
management, vital to the operation of auto dealerships which rely almost exclusively
upon such computer systems to support the most basic operations of their businesses,
K&H specifically inquired during negotiations for purchase of Prophet whether COIN

would persist.. an Independent enllty, remain In business and continue to develop and
expand the utility and application of the Prophet system at least throughout the
anticipated four-year term of the K&H COIN contract. COIN's ropresentatlves and
agents assured K&H that Prophet, within the four-year K&H contract term, would allow
for full Integration of all computer applications within the dealership Including
accounting, parts management, service, sales and finance, and Insurance,
These representations, assurances and promises were made to K&H by COIN's
representatives and agents to Induce K&H to contract and were material and vital to
K&H's decision to enter Into the contract.
During contract negotiations, COIN represented to K&H that dealership
accounting software was available In the Prophet format and that software for parts
management would be released and available on or about January 1994 at the NADA
Convention. COIN also represented to K&H that software for service, sales and
finance, and Insurance would also be developed and made available to K&H In return
for appropriate licensing fees. All representations and Inducements to K&H by COIN
were consistent with the pattern and history of previous contractual relationships
between K&H and COIN and/or its predecessor CDS and their agents,
Shortly after installation of Prophet in 1993, K&H experienced consistent
operating problems with the system, COIN representatives worked with K&H to "debug"

the operating system until approximately June 1993, At that time, K&H became aware
that a merger of COIN and Reynolds or purchase by Reynolds of COIN or Its alSlets
had occurred, Immediately after the acqulslllon of COIN, many former employees who
serviced the K&H contract and who Initially became Reynolds employees were
transferred off the K&H account.
Several months after the acquisition and In response to repeated and
unanswered requests from K&H for clarlficallon of Its Intentions, ReynoldS finally
admitted that It has no Intention to continue to develop the Prophet system, By this
time, Reynolds was having difficulty supporting the software and hardware on which the
Prophet system depended,
Reynolds then engaged In a course of conduct which made It quite clear to K&H
that Reynolds had no Intention of fulfilling its contractual obligation to K&H or In
proposing any workable and financially reasonable remedy for the dilemma in which It
had placed K&H.
K&H filed Its equity suit seeking rescission of the contract. Subsequent to filing
suit, K&H has found It necessary to completely replace the COIN system at
considerable expense and investment In new equipment.

Those files have been examined by Plaintiff and Its counsel and, In fact, there are
several persons who should be Identified and of whom Plaintiff and its counsel are
oware, who are in no way Identified, mentioned or Included within the documentation
presented by Defendants.
Plaintiff therefore requests that the Court order Defendants to comply fully with its
response to PlalntiffG Interrogatory No.1, whether that is with a specific listing and
identification of all persons with knowledge of all facts relevant to or likely to lead to the
discovery of admissible evidence In this action, or the additional files In which those
persons appear.
Reynolds objects to Interrogatory No.3, seeking the names, residence and
business addresses of employers of each person whom Reynolds will call to testify and
to briefly state the subject matter of their testimony, on the grounds that it Improperly
seeks to elicit the thought processes and mental impressions of counsel. This objection
Is misplaced because the Interrogatory seeks the identity of those that Reynolds will call
and not those that Reynolds ~ call. Defendants go on to state that it ~ call as

witnesses any personsldentlfted In any dlscov.ry or depositions. The Inference Is that
Defendlnt does not Intend at any time to Identify Its trial witnesses.
Plaintiff requests that the Court direct Defendants to timely supplement It$
answers to these ongoing Interrogatories Identifying those witnesses which It will call at
trial In accordance with state and local rules.
Interrogatory Nos. 5 and 6 were objected to by Defendants on the grounds that
they seek Information neither relevant to nor likely to lead to the discovery of admissible
evidence and further abrogate Pa.R.C.P. 4011 (b).
Interrogatory NO.5 seeks all litigation In federal, state or alternate dispute
resolution forums in specifiC years of 1992 through 1995 In which Defendants are
parties, seeking only the docket number, nature of the Incident, Identity of counsel
representing all parties and the current status of the action.
From this basic Information. which Is not Intrusive Into the particulars of each suit
and does not seek Information that would not be of public record, Plaintiff would be able
to Identify any suits relating to similar disputes that Defendants had or have with other
dealers.

Similarly, Interrogatory No.6 specifically seeks the Identity of all settlements that
Defendants Individually or In concert have entered Into with auto dealers to resolve
disputes arising from disputes similar to the case at bar.
There Is no Pennsylvania law which provides that documents related to
settlement are not discoverable. What remains Is whether the Information sought will
qualify under Pa.R.C.P. 4003. 1(b) as reasonably calculated to lead to the discovery of
admissible evidence. .l::l.an:istown Development COrD. v. Industrial Risk Insurers, 114
Dauphin 225, 228 (1994).
In Harrlstown, the court held that settlement related documents relevant to the
Issues Involving liability and defenses pleaded is discoverable, denying only those
requests from which admissible evidence would not normally follow. Harrlstown at 230.
Again, the information sought by Plaintiff Is basic and allows a narrow focus to
the specific matters relevant and parallel to that Involving the case at bar and as such,
discovery of any such settlements and the parties to those settlements is appropriate.
Interrogatory No. 7 seeks specific basis for Reynolds' counterclaim of $2,455.88.
Reynolds replies, incredibly. that the burden of ascertaining the basis of their own
counterclaim Is equal between them and K&H. Reynolds then forwards, In response to
the Request for Production, several hundred pages of Invoice sheets (at the cost of 259l

per photocopy). These documents duplicate invoices already In K&H's control and do
not Identify any specific delinquency on the part of K&H.
Plaintiff requests that the Court direct, Reynolds to specifically Identify those
services and/or goods which It alleges were provided and remain unpaid so that K&H
may review the validity and ba31s for Reynolds' claim and prepare, if necessary, a
defense.
Finally, Interrogatory NO.8 seeks the identity of all current and former
employees, officers, consultants, agents, Independent contractors and consultants of
Defendants with personal knowiedge of the events described In Plaintiff's Complaint and
Defendants' Answer with New Matter. Reynolds again asserts that the same files
identified In response to Interrogatory No.1 are provided In lieu of response and that
those files adequately respond to the Inquiry. Again, K&H Is aware through personal
contact during the course of the contract of additional employees, representatives and
agents of COIN and Reynolds familiar with the facts Involved in this case. Those
individuals have not been identified In Reynolds' response. The omission of information
identifying those Individuals known to K&H to leads to the reasonable conclusion.
Plaintiff requests the Court will direct Defendants to supplement the discovery by
providing either specifically the identifying Information requested in Interrogatory NO.8
for all Individuals, etc. whose identity is responsive to that inquiry or to supplement Its

hardware or sollware. Reynolds' support. or its development of computer
systems.
Reynolds timely objected to such interrogatories and. when 0 demand for
supplementation was requested by Plaintitl', Reynolds requested on exphmation as to the basis
upon whieh Plaintill' believed such information to be relevant. ~ Ex. D to Motion to Compel.
Apparently in response to Reynolds' request for on explanation of the relevance of Plaintiff's
interrogatories, Plaintiff tiled its Motion to Compel Discovery.
ARGUMENT
While the scope of discovery under the Pa.R.C.P. is broad, Pa.R.C.P. 4003.1 does not
grant 0 litigant an unfellered right to inquire of any maller, but limits discovery requests only to
those relevant to, or reasonably calculated to lead to the discovery of admissible evidence in, the
eause of action before the court.
The interrogatories and responses at issue in Plaintiff's Motion to Compel are as follows.
Interroglltory No, 5
Identify all litigation filed in Federal or State Courts or with alternative
dispute resolution organizations in 1992, 1993, 1994 and 1995 in whieh
any Defendant(s) are party(ies) by providing the following:
(a) The captioned docket number of any such suit.
(b) The nature of the incident giving rise to such suit.
(e) Identify counsel representing all parties to the suit.
(d) Describe the current status of the action.
Response
Reynolds objects to this interrogatory on the grounds that it seeks
information which is neither relevant to, nor likely to lead to the diseovery
of admissible evidence in, this action. Reynolds further c' jects to this
interrogatory on the grounds that it abrogates Pa. RC.P. * 4011(b).

Accordingly, as the Information sought in Plalntill's Motion to Compel relating to past
lawsuits/alternativc dispute resolution proccedings is neither relevant to, nor likely to lead to the
discovery of admissible evidence in, the action as framed by the pleadings, discovery relating to
such Information is impermissible. Zimmerman v. Berrie, 10 D. & C. 3d 110 (Cumb.
1979)(discovcry relating to violations of Pennsylvania Unfair Insurance Practices Act not
pennissible In a subrogation action involving a motor accident); Snyder v. CNA Ins. Co., 6 D. &
C. 4th 549 (York 1990)(dlscovery seeking information relating to other individuals not relevant
until court certifics action to proceed as class action including such Individuals); Hartman v.
Enlline Specialties. Inc., 49 D. & C. 2d 348 (Mont. 1970)(dlscovery regarding dealerships
outside areas other than those assigned to plaintiff is not relevant); Northumberland County v.
Gl\P Coal Co., 13 D. & C. 2d 778 (Northumbcrland 1957)(discovery relating to organization,
location, structure, nature, financial condition and mode of operation of defendant's business not
relevant in dispute rcgarding authority of plaintiff to enter into lease). Accordingly, Plaintiffs
Motion to Compel Discovery Responses should be denied.
For the same reasons, Plaintiffs request for infonnation relating to settlements to which
Reynolds, or any of its predecessors in interest, were a party is also improper, despite Plaintiffs
limiting its request to disputes concerning the acquisition of hardware or sotlware, Reynolds'
support, or its development of computer systems. Notwithstanding such limitation, Plaintiffs
discovery regarding settlements is even broader than the litigation-related requests as the
settlement request seeks information relating to disputes for the well-over twenty (20) years
which Reynolds has been in business. without respect to (I) the nature/type of computer system

2. Defendant COIN Dealership Systems, Inc. ("COIN") is a
corporation incorporated under the laws of Delaware with a
principle place of business at Executive Plaza IV, Hunt Valley,
Maryland 21031.
3. COIN's Resident Agent or Registrar in the State of
Maryland is Corporation Trust, Inc., 32 South Street,
Baltimore, MD.
4. Defendant Reynolds & Reynolds ("Reynolds") is a
corporation incorporated under the laws of the State of Ohio

5. At all times relevant to this suit, Plaintiff was
engaged as a licensed Pennsylvania new and used car automobile
dealer; selling, leasing and servicing new Ford automobiles,
selling and buying used cars and operating a rental agency.
6. At sll cimes relevant to this suit, Defendant COIN was
engaged in the business of selling to dealerships such as K&H
computer systems designed specifically for the business
operations of automobile dealerships. This business includes
design and sale of hardware systems and software programs for
Auto dealerships and the licensing and maintenance of those
systems.
7. At all times relevant to this suit, Defendant Reynolds
was engaged in the business of selling to dealerships such 6S
K&H =omputer systems designed specifically for the business
operations of automobile dealerships. This business includes
design and sale of hardware systems and software programs for
auto dealerships and the licensing and maintenance of those
systems.

Exhibit "A" and incorporated herein by reference) for the
~urchase of certain computer services, including hardware,
suftware, maintenance and licensing agreements incorporating
the Prophet system.
14. The aforesaid Contract contemplates a four-year term
with a total anticipated cost to K&H in excess of $71,000.00
with monthly maintenance and licensing fees of $2,017.90 plus
tax, and with annua~ increases in maintenance and licensing for
months 25 through 48 to be limited to no more than five percent
(5\) .
15. The K&H/COIN Contract (Exhibit "A") was negotiated
with the mutual intent and purpose of enhancing and expanding
K&H's existing dealership computer system through utilization
of the prophet system.
16. Prior to November 20, 19912, K&H's data processing
system (the "K&H CDS system") was supported by a 1988 5-year
term Contract with Convergent Dealership Systems ("CDS").
17. CDS was a predecessor to and succeeded by COIN during
the term of the original 5-year Contract referenced in the
preceding paragraph.

27. During contract negotiations, COIN represented to K&H
that the dealership accounting software was available in the
prophet format.
28. DU1'ing contract negotiations, COIN represented to K&H
that software for parts management would be released and
available on or about January 1994 at the 1994 NADA Convention.
29. During contract negotiations, COIN represented to K&H
that software for Service, Sales and Finance & Insurance would
also be developed and made available to K&H in return for
appropriate licensing fees.
30. During contract negotiations, COIN representatives and
agents represented to K&H that the ongoing development of
COIN's new "Prophet" software for all dealership applications
would be completed during the term of K&H and COIN's contract
and that K&H would participate as a pilot installation as the
various applications became available.
31. Tho representations and inducements to K&H by COIN are
consistent with the pattern and history of previous contracts
and relations between K&H and COIN and/or its predecessor CDS
and their various agents.

32. The promises, assurances and representations to K&H by
COIN representatives and agents were made to induce K&H to
contract, were material to K&H's decision to enter into the
contract, and did in fact induce ~&H to enter into the contract.
33. During the preceeding 5-year contract between CDS and
K&H, each party had mutually benefited from the business and
professional relationship. Consequently, it was mutually
agreed that K&H would participate as a "pilot" site as new CDS
applications would become available. CDS recognized the
competency of K&H's dealership staff in the employment of new
applications and would benefit from their input on such pilot
applications.
34. During the preceeding four year contract term between
CDS and K&H, several dealerships were introduced to CDS through
"open house" hosted by K&H, and referrals by K&H.
35. After the purchase of CDS by COIN, many of the CDS
representatives who worked with K&H stayed on as COIN
employees, K&H continued to be contacted and serviced by some
of the same representatives, and there was no appreciable
change in the relationship betw~en CDS/COIN and K&H.

AND NOW COMES Coin Systems, Inc., f/k/a Coin Dealership
Systems, Inc., ("Coin") and The Reynolds and Reynolds Company
("Reynolds") hereby filing this their Answer, New Matter and
Counterclaim.
ANSWER
Coin and Reynolds respond to the individually numbered
averments and allegations contained within the Complaint filed by
Plaintiff Kuhns-Harnish Ford, Inc. ("K&H") as follows.
1. Coin and Reynolds are without information and knowledge
sufficient to form a belief as to the truth of the averments
contained within Paragraph 1 of the Complaint, and therefore deny
the same.
2. Coin and Reynolds deny the averments contained within
Paragraph 2 of the Complaint, as written, and respond that Coin
Dealership Systems, Inc. is no longer in existence, having been
merged into Coin Systems, Inc., a wholly owned subsidiary
corporation of Reynolds.
3. Coin and Reynolds deny the averments contained within
Paragraph 3 of the Complaint, as written, and further respond
that, while in existence, Coin's registered agent for service of
process in Maryland was CT Corporation.
4. Coin and Reynolds deny the averments contained within
Paragraph 4 of the Complaint, as written, and further respond
that Reynolds corporate name is "The Reynolds and Reynolds
Company" and its principal place of business is the address
listed in this Paragraph.
5. Coin and Reynolds are without information and knowledge
sufficient to form a belief as to the truth of the averments
contained within Paragraph 5 of the Complaint, and therefore deny
the same,

Paragraph 6 of the CClmplaint, as written, and further respond
that Coin Dealership Systems, Inc., while in existence, was in
the business of providing computer systems and related services
to the retail automotive industy.y.

that Reynolds is in the business of providing computer systems
and related products and services to the retail automotive
industry.

contained within Paragraph 8 of the Complaint, and therefore deny

that, prior to the acquisition of Coin Dealership Systems, Inc.
by Coin Systems, Inc., Coin and Reynolds were competitors in the
provision of cumputer systems and relat~d services to the
automotive market.
10. Coin and Reynolds deny the averments contained within
Paragraph 10 of the Complaint, as written, and further respond
that the contracts at issue in this action have been assumed by
Reynolds.
11. Coin and Reynolds deny the averments contained within
Paragraph 11 of the Complaint, as written, and further respond
that Coin did market and license a software program known as
"Prophet" prior to Coin/s acquisition by Reynolds.
12. Coin and Reynolds admit the averments contained within
Paragraph 12 of the Complaint.
13. Coin and Reynolds admit that Coin and K&H entered into
Sales, Licensing and Maintenance Agreements on or about November
20,1990 (the "Agreements.") Coin and Reynolds furt.her respond
that the Agreements speak for themselves with respect to their

terms and deny the remaining averments of Paragraph 13 to the
extent that the averments differ from such terms.
14. Coin and Reynolds respond that the Agreements speak for
themselves with respect to their terms and deny the averments of
Paragraph 14 to the extent that the averments differ from such

15. Coin and Reynolds are without information and knowledge
sufficient to form a belief as to the truth of the averments
contained within Paragraph 15 of the Complaint, and therefore
deny the same. Coin and Reynolds further respond that Exhibit
"A" attached to the Complaint appears to be incomplete copies of
the Agreements, as well as copies of promotional literature
delivered to K&H prior to its entering into the Agreements.
16. Coin and Reynolds deny the averments contained within
Paragraph 16 of the Complaint, as written, and further respond
that K&H and Convergent Dealership Systems, Inc. ("CDS") had
entered into a Sales, License and Maintenance Agreement which
agreement speaks for itself with respect to its terms.
17. Coin and Reynolds deny the averments contained within
Paragraph 17 of the Complaint, as written, and further respond
that Coin acquired CDS in 1990.
18. Coin and Reynolds deny the averments contained within
Paragraph 18 of the Complaint, as written, and further respond

that Coin provided service and support to K&H's CDS equipment
after Coin's acquisition of CDS.

that K&H and Coin discussed the relative merits of converting to
Prophet, as well as the merits of expanding K&H's CDS system.

that the Agreements speak for themselves with respect to their
terms and specifically represent and warrant that no repre-
sentations, warranties, covenants, or obligations not reflected
in the Agreements are being relied upon by the parties. Further,
the Agreements specifically state that they "supersede all prior
and contemporaneous agreements, understandings, negotiations,
discussions, written or oral, of the parties . . , relating to
any transaction contemplated by the Agreement[s]."
23. Coin and Reynolds deny the averments contained within
Paragraph 23 of the Complaint, as written, and further respond
that while computer systems provide the most efficient and cost-

effective method for conducting many operations of an automobile
dealership, such systems are not "vital."
24. Coin and Reynolds deny the averments contained within

that while data disruptions may prove to be inconvenient, such
disruptions rarely "cause significant, irreparable harm to the
dealership."

and that no grounds exist for the voiding of the Agreements.

69. Coin and Reynolds deny that K&H is entitled to any of
the relief sought in the ad damnum clause of the Complaint.
WHEREFORE, Defendants request that judgment be entered in
their favor and against Plaintiff, and that they be awarded costs
of this suit.
NEW MATTER
70. The Agreements speak for themselves with respect to
their terms and specifically represent and warrant that no
representations, warranties, covenants, or obligations not
reflected in the Agreements are being relied upon by the parties.

Further, the Agreements specifically state that they "supersede
all prior and contemporaneous agreements, understandings,
negotiations, discussions, written or oral, of the parties . ,
relating to any transaction contemplated by the Agreement [s] ."
Accordingly, Plaintiff's Complaint which seeks rescission based
upon superseded negotiations fails to state a claim upon which
relief may be granted.
71. As Plaintiff has specifically warranted that no
representations, warranties, covenants, or obligations not
reflected i~ the Agreements are being relied upon by the parties
thereto, Plaintiff's complaint is oarred by waiver, and/or
estoppel.
72. Reynolds or Coin did not make the representations upon
which Plaintiff bases its claims.
73. Even if Reynolds or Coin had made the representations,
Plaintiff has not reasonably relied upon such representations and
has not been harmed by any reliance.
74. The Agreements speak for themselves with respect to
their terms and specifically represent and warrant that no
representations, warranties, covenants, or obligations not
reflected in the Agreements are being relied upon by the parties.
Further, the Agreements specifically state that they "supersede
all prior and contemporaneous agreements, understandings,
negotiations, discussions, written or oral, of the parties

relating to any transaction contemplated by the Agreement [s] . II
Accordingly, Plaintiff's claims are barred by the doctrine of
merger and the entire agreement provision of the Agreements,
75. Plaintiff has failed to plead misrepresentation with the
requisite particularity and. accordingly, their Complaint should
be dismissed.
76. Reynolds and Coin have acted in good faith at all times
pertinent hereto and have performed all of their obligations
under the agreements at issue.
77. As set forth in the Counterclaim, Plaintiff's claims are
subject to set-off for Coin and Reynolds' damages arising from
K&H's breach of contract and Quantum Meruit.
WHEREFORE, Defendants request that judgment be entered in
their favor and against Plaintiff, and that they be awarded costs
of this suit.
COUNTERCLAIM
Coin hereby files this its counterclaim showing the Court as
follows.
78. Counterclaim Plaintiff Coin Systems, Inc., f/k/a,Coin
Dealership Systems, Inc., ("Coin") is a Delaware corporation and
a wholly-owned subsidiary of The Reynolds and Reynolds Company
( "Reynolds") .
79. Upon information and belief, Counterclaim Defendant
Kuhns-Harnish Ford, Inc. ("K&H") is a Delaware corporation with

its principal place of business in cumberland county,
Pennsylvania.
80. By filing ita claims in this court, Counterclaim
Defendant has subjected itself to the jurisdiction and venue of
thi.s Counterclaim.
81. Coin is engaged in the business of, inter alia,
providing computer hardware and software and related services.
82. Upon information and belief, K&H is engaged in the
business of retai.ling and repair of new and used automobiles.
83. On or about November 20, 1992, K&H and Coin entered into
Sales, License and Maintenance Agreements (the "Agreements") and
various related agreements for the provision of a computer system
and related services.
84. Under the Agreements, K&H acquired and Coin agreed to
provide software support and maintenance services on certain
components of the computer system in exchange for a monthly
service fee, The charges for the monthly service fee, as well as
any additional equipment or services acquired by K&H, were
submitted to K&H on monthly invoices.
85. K&H has failed to make payments for its monthly service
fees and its account is past due. During this time, K&H
continued to make calls, request service and accept service from
the Coin service staff.

86. In accordance with the Agreement, Coin continued to bill
K&H for support and maintenance services on a monthly basis.
87. As of September 22, 1994, K&H has failed to pay for
equipment, support and maintenance services in the amount of
$2,485.88.
COUNT I-BREACH OF AGREEMENT
88. Coin incorporates verbatim herein by reference the
averments contained within Paragraphs 78-87, above.
89. Coin entered into the Agreement with K&H under which
contract Coin agreed to provide support and maintenance services
for K&H's computer system, and under which contract K&H agreed to
pay for the same.
90. K&H has breached its contract with Coin by failing or
refusing to pay for the support and maintenance services rendered
under the contract.
91. Coin has demanded payment of the amount due under the
contract, but K&H has failed and refused to pay for the same.
92. All conditions precedent to the bringing of this
Counterclaim Count I have been satisfied or waived.
WHEREFORE, Coin requests judgment against K&H on its
Counterclaim as follows:
(a) Judgment on breach of contract against K&H in the
principal amount of $2,485.88, plus interest;

(b) Judgment against K&H awarding coin all costs and
expenses of this Counterclaim, in~luding reasonable attorneys'
fees;
(c) Pre-judgment and post-judgment interest; and
(d) All other and further relief which this Court finds just

QQUNT II-QUANTUM MERUIT
93. Coin incorporates verbatim herein by reference the
averments contained within Paragraphs 78-87, above.
94. Coin furnished equipment, support, and maintenance
services at the request of, on behalf of, and for the benefit of
K&H. K&H received and accepted the full benefit of such
equipment, support, and maintenance services. Coin provided such
support and maintenance services with the expectation of
receiving compensation for such support services.
95. Coin is entitled to recover from K&H in quantum meruit
for the reasonable value of such equipment, support, and
maintenance services.
96. The reasonable value of such products and support and
maintenance services is at least $2,485.88, plus interest.

counterclaim Count II have been satisfied or waived.
WHEREFORE, Coin requests judgmAnt against K&H on its
Counterclaim as follows:
(a) Judgment on Quantum meruit against K&H in the principal

payment to COIN per invoice on a timely basis and further, K&H
is unaware of any invoice or charge which is currently owed or
overdue. By way of further response, it is specifically denied
that as averred in Paragraph 85 of the New Matter, "during this
time", K&H continued to make calls to request service and
accept service from the COIN service staff. "This time" is
unspecified in the Counterclaim and further detailed response
is not possible. By way of further response, K&H has not to
its knowledge been made aware by COIN or Reynolds of any
invoice which remains unpaid.
86. Denied. The averments of Paragraph 86 constitute
conclusions of law to which no responsive pleading is required
by the Pa.R.C.P. To the extent a response is deemed required,
upon reasonable investigation, Defendant is without knowledge
or information sufficient to form a belief as to the truth of
the averments of Paragraph 86. Said averments therefore are
denied and strict proof thereof is demanded at trial.
87. Denied. It is specifically denied that as of
September 22, 1994, K&H failed to pay for equipment, support

and maintenance services in the amount of $2,485.88. To the
contrary, K&H is unaware of any such an amount due and as of
the date of this writing is unaware of having been invoiced for
such charges.
c.mJNT I - BREACH OF AGREEMENT
88. K&H incorporates herein by reference the averments
contained within Paragraphs 78 through 87 above in addition to
the averments of its Complaint which are incorporated herein by
reference and reasserted as if fully set forth.
89. Denied. Any inference that the averments of Paragraph
89 of New Matter accurately describe the entire agreement
between COIN and K&H is denied. To the contrary, please refer
to the averments of the Complaint which are incorporated herein
by reference and reasserted as if fully set forth. It is
admitted only that K&H agreed to pay for support and
maintenance services which were actually provided and
appropriately invoiced.
90. Denied. The averments of Paragraph 90 constitute
conclusions of law to which no responsive pleading is required
by the Pa.R.C.P. To the extent a response is deemed required,

failing or refusing to pay for support and maintenance services

and unpaid invoices.
91. Denied. It is specifically denied that COIN has
demanded payment of the amount due under the Contract and that
K&H has failed and refused to pay for the same. To the
contrary, K&H is not aware of having been invoiced for support
and maintenance services in the amount of $2,485.88 which COIN
claims is delinquent. Further, K&H has not baen made aware of
any notice to the effect that invoices were received and remain
unpaid.
92. Denied. The averments of Paragraph 92 constitute
conclusions of law to which no responsive pleading is required
by the Pa.R.C.P. To the extent a response is deemed required,
it is specifically denied that all conditions precedent to the
bringing of this counterclaim COUNT I have been satisfied or
waived. To the contrary, K&H to its knowledge, has not

received an invoice for any such services and consequently is
not able to answer whether the services were received and
strictly denies receipt of such with strict proof thereof
demanded at trial. Further, K&H has not been made aware of any

Kuhns-Harnish Ford, Inc., respectfully requests that this Court
dismiss Defendants/Counterclaim Plaintiffs' Counterclaim with
prejudice and enter judgment in its favor and against the

costs, interest and such other relief as the Court deems just
and reasonable.
COUNT 11- QUANTUM MERUIT

that COIN furnished equipment, support and maintenance services
