RELEASE AND DISCHARGE FROM PERSONAL LIABILITY APRIL THIS INSTRUMENT executed this _,!t~__ of Anll, 1995 by PA Department of Revenue by ilnd through the Office of the Attorney General of Pennsylvania (hereinafter called the "Commonwealth") to be legally bound in which is hereby acknowledged NOW, THEREFORE, with intent consideration of $29,000 receipt of the Commonwealth agrees as follows: 1. Commonwealth hereby fully releases The Mattress Factory Direct, Inc. a Pennsylvania corporation (SUT 1121-553659, ErN 1125- 1706272), its officers I agents, successors and assigns (collectively referred to hereinafter as "Releasees"). fl.om all rights or claims that Commonwealth has or may have against Releasees arising out of the failure ':0 make payment of the following taxes due for the following taxable periods: Taxable Per iod lS.iru1 0 f 'I' all Total Tax Liability for Period 3rd Quarter 1993 - 3rd Quarter 1994 Sales, Use and Hotel Occupancy $33,397.24 4th Quarter 1993 - 3rd Quarter 1994 Payroll 3,322.82 2. This Release acknowledges that for the consideration stated above, Commonwealth further releases all claims to withheld taxes, employer matching taxes and all statutory additions, penalties and interest. 3. This Release is intended to serve as a final determination of tax liability for The Mattress Factory Direct, Inc., which corporation has ceased to conduct business. The above consideration represents payment of trust fund liabilities. Accordingly, the Commonwealth discharges Releasees from personal liability for all above-referenced taxes, except in the event of fraud, malfeasance or misrepresentation of material fact by Releasees. 4. The agent of the Commonwealth executing this Release is fully authorized to sign it on behalf of the Commonwealth, and so executes in his/her official capacity.
