1. Ce!initions. The followina te~5 shall have the
assigned meaninga for the purposes of this agree~ent:
Section 1.1 Contract Cocump.nt.s. The contract docump.r.ts
consist of this Agreement (including specific and general condi-
tions hereto). any drawin~s, spllci!ications, plans, Amen~~ents,
and change orders relating to this Agreement. These afor~said
documents constit~te the entire ccntract between the partift5,
and shall not be modified except by written ar:lenC::lent to the said
contract documents. The contract documents do nc: include, and

to both Buyer and Contractor pursuant to this Aqree~ent. In con-
sideration for the work to be perfor.ned under this ccntrac:, Buyers

3. 'Obliaations nf Buver.
3.1. Prior to the cc~encemene of const.ruc:ion,
Buy.r .hall obtain and deliver to Contractor an attorney'm cer-
tificate of title to the proper:y, which ce~ific3te shall be
in proper form, or other proof of Buyer's own~rship of ~'e
pramis,s which is latisfactory to cont:actor and its counsel.
3.2. Buyer .hall fu~ish to cont:actor all
necessary surveys describinq the physicd characteristics, soils,
reports and subsurface investigations, res::ictive covenanes,
building restrictions, leqal limitations, utility locations, and
. leqal description ot ~'e building sitA. Buyer shall review tbe
plans and specifications submitted by Contractor and ahall give
prompt written notice to the Contractor of any fault or dfttect in
the said plans and specifications.
3.3. Buyer shall se~~re and pa~ for necessarr.
qovernmental appro7als or per=its, easements, assessmenr.s and
charges required for the cons~-uc:ion, use, or oC~Jpancy nt per-
manent st=uct~res or for pe~nen: changes in existing facilities.
Buyer shall furnish to Contractor reasonable evidence satis!actor!
to t~e Contrac:or, prior to signing this Aqreement, ~'at sutti-
cient funds are available and co~itted to pay tcr ~'e work to be
performed under ~'is Agreement.
3.4. ~uyer shall be respcn~i~le for obtaining all
permits relating to contruction o! the afnresaid building and fcr
dete~ininq how, if at all, the bUilding lot upon wh~ch ,aid cnn-
struction is to occur~ encumbered by restrict~on', condit~ons
and/or limitations af.ectinq such cons~~~ct~on.' Contractor shall
not be responsible for dete~ining how, i~ at all, any laws or
ordinances dealing with subdivision, zcninq and the like might
a~~ect the lot upon which ~'e contrac: work is to be per!o~ed.

4. Obliaations of Contractor.
4.1. Contractor will provide all construction
supervision, inspection, la~or, materials, tools, equipment, and

the contract work.
4.2. Contractor w~ll pay all sales, use, gross
receipt3 and similar taxes related to the contract work to be

4.3. The Contr~ctor shall .uper,ise .nd direct

all materials and equipment incorporated into the ccnt=lIc: work

5. A Complaint was filed In the Cumberland County Court on August 30,
1994.
6, Service was made by certified mall and accepted on behalf of Defendant
by Defendant's counsel on September 1, 1994, A copy of the letter of counsel for S&A
to Defendant's counsel dated September 1, 1994 confirming service and an extension
until October 28, 1994 to answer Is attached hereto as Exhlblt"A,"
7, On October 31, 1994 Plaintiff's counsel wrote to Defendant's counsel
advising of the expiration of the sixty day deadline and reminding counsel that ten day
notice was not required, a copy of the letter is allached hereto as Exhibit "B",
6, By leller dated December 16, 1994 (a copy of which Is attached hereto as
Exhibit "C") Plaintiff's counseledvised Defendant's counsel, ~~, that Plaintiff

7. The letters referenced above and attached to Exhibit "A"
herein were not qiven to Defendant by Attorney Wiley nor was
Defendant aware of them until receivinq the Praecipe in the mail.
8. Defendant expected Attorney Wiley to represent his inter..t
and protect his riqhts during the pendency of the action.
~. On the same day as the Praecipe to Enter Default Judqement
wu filed (January 4, 1995), Attorney Wiley sent a letter to
Defendant withdrawing as Defendant's attorney.
10. Attorney wiley took no steps to defend the action and allowed
the judgement to be entered.
11. Defendant was not aware that a default judgement was about to
be taken by Plaintiff against him.
12. Had Defendant known of the immediacy of the filing of the
Praecipe to Enter Default Judqement, he would immediately have
taken action to file an Answer to the complaint either directing
Attorney Wiley to file said Answer or securing the services of
another attorney to do so.
13. Defendant has a meritorious defense to the Complaint filed by
Plaintiff. A copy of the Answer that Defendant would file if
permitted to do so is attached hereto marked Exhibit "B" and
incorporated herein by reference thereto.
14. Unless Defendant is allowed to interpose his defense, a great
injustice will result insomuch as Defendant has a valid and
effective defense to the claim, had always intended to defend the
claim, and was only prevented from doing so by the lack of
diligence on the part of his previous attorney.

his attorney, William C. Dissinger, and responds as follows:

8. Admitted in part; denied in part. It is admitted that
Defendant requested and approved several changes to the
construction. No written change orders were ever made or signed by
Defendant as required by 55.4 of the contract. Defendant is
without sufficient information to form a belief as to the
truthfulness of Plaintiff's assertion that the value and/or cost
of the changes amounted to $43,303.27. The same is therefore
denied and proof thereof demanded at trial.
9. Denied. The home is not "completed to scheduled draw number
4". Such work as is done was not completed in a workman-like
manner, contains many inadequacies and deficiencies, and was not
completed in a timely manner nor in accord with the provisions of
the contract.
10. Admitted in part; denied in part. It is admitted that some
additional items beyond that specified for "draw number 4" were
completed. It is denied that the full contract price plus change
order work is due to Plaintiff. To the contrary, the work
performed was not completed in a workman-like manner, contains
many inadequacies and deficiencies, and was not completed in a
timely manner nor in accord with the provisions of the contract.

(20%) percent of the contract price is due upon completion of the
foundation. It is denied that the first draw was due on June 16,
1992. To the contrary, the work performed was not completed in a
workman-like manner, contains many inadequacies and deficiencies,
and was not completed in a timely manner nor in accord with the
provisions of the contract.
12. Admitted in part; denied in part. It is admitted that the
contract calls for a progress payment of twenty (20%) percent upon
completion of the roof framing, sheathing, and installation of the
windows. It is denied that said draw was due and owing on July
23, 1992. To the contrary, the work performed was not completed
in a workman-like manner, contains many inadequacies and
deficiencies, and was not completed in a timely manne,r nor in
accord with the provisions of the contract.
13. Admitted in part; denied in part. It is admitted that the
contract calls for a progress payment of twenty (20%) percent upon
installation of electrical and plumbing systems in rough form. I It
is denied that said draw was due and owing on october 21, 1992.
