LONG, tIN THE counT OF COMMON PLBAS OF Plaintiff tCUMBERLAND COUNry, PENNSYLVANIA t V tNO, 94-5257 - CIVIL TERM t STERLING REALTY GROUP, INC" t Defendant tCIVIL ACTION - LAW ANSWER TO CCHPLAINT The Defendant, Sterling Realty Group, Inc., by its attorneys, Broujos, Gilroy & Houston, P.C., sets forth the following in response to the Complaint filed in the above matter: 1. Admitted. 2. Admitted. 3. Admitted. 4. Denied in part and admitted in part. Denied that Plaintiff would be compensated for 'procuring an Agreement for Sale and Purchase". The oral agre~ment between Plaintiff and Defendant was that Plaintiff would be entitled to a commission only in those circumstances where Plaintiff, through her own individual efforts, procured a ready, willing and able Buyer for the purchase of real estate and the purchase of real estate subsequently did in fact occur. There was no oral agreement that Plaintiff would receive any compensation for merely "procuring an Agreement for Sale". The mere ministerial action of writing an Agreement of Sale on the part of the Plaintiff would not generate a commission owing to the Plaintiff by Defendant. Plaintiff's aotions would require the Plaintiff herself to aotually prooure t.he Buyer. 5. Admitted. 6. Admitted in part and denied in part. Admitted that Defendant had a listing agreement with the owners/sellers. The oommission under the listing agreement between Defendant and the owners/sellers provided a 6 peroent oommission if a real estate agent other than J. Miohael Adler handled the transaotion and a 5 percent commission if J. Miohael Adler himself sold the property, 7, Denied. The allegations set forth in Paragraph 6 above are inoorporated herein by reference thereto, 8. Admitted. 9. Denied. Plaintiff did not in any way "cause an agreement for the sale" of the subjeot property to be executed. On the oontrary, the owner, Norman Elam negotiated with the buyer, Jason P. Fox, with no involvement of the Plaintiff. The owner and Mr. Fox consummated the agreement verbally, after which time Plaintiff presented herself to the owner and Mr. Fox and suggested that she would "prepare the paperwork" and "only get a few bucks for preparing the paperwork". At that time, the owner, Norman Elam, advised the Plaintiff that this was a sale for J. Michael Adler and that Plaintiff was not involved in this sale. NO, STERLING REALTY GROUP, INC., Defendant CIVIL ACTION - LAW COMPLAINT AND NOW comes the Plaintiff by and through her attorneys, Friedman and Friedman, P.c" and brings this cause of action against the Defendant and avers as follows: 1. The Plaintiff, Donna B. Long, is an adult individual residing at 36 strayer Dr.~ Carlisle, Cumberland County, Pennsylvania 17013. 2. The Defendant, Sterling Realty Group, Inc., is a licensed real estate brokerage firm duly incorporated under the laws of the Commonwealth of Pennsylvania and validly existing, with a registered principal address of 3438 Trindle Rd., Camp Hill, Cumberland county, Pennsylvania 17011. 3. At all times relevant hereto, Donna B. Long, was a licensed real estate agent with the Defendant corporation. 4. Under the terms of an express oral agreement between the Plaintiff and the Defendant, in instances in which the Defendant corporation or any othe! agent was the listing agent for a given residential property, the Plaintiff would be compensated for procuring an agreement for sale and purchase of the given residential property, said compensation to be equal to the selling agent commission in the original listing agreement, 5, On or about April 17, 1994, the Defendant, Sterling Realty Group, Inc., had listed for sale a residential property known as 54 Pin Oak Drive S., Boiling springs, Cumberland County, Pennsylvania 17007. 6. It is believed, and therefore averred, that the Defendant entered into an exclusive real estate listing contract with the owners/sellers of the above-referenced residential property, under which terms the owners/sellers agreed to pay the Defendant a commission of 6% if Defendant was able to obtain a ready, willing and able buyer for the residential property in question. . 7. It is believed, and therefore averred, that the Defendant did list this property with the 6% sales commission to be split 3% to the listing agent, and 3% to the selling agent. 8. The registered Chief Executive Officer of the Defendant, Sterling Realty Group, Inc., is Michael J. Adler, and Michael J. Adler was, on or about April 17, 1994, identified by the Defendant corporation as the listing agent of the above- referenced residential property. 9. On or about April 17, 1994, the Plaintiff did cause an agreement for the sale and purchase of real estate of the above-referenced residential property to be executed between the owners/sellers, Norman and Betty J. Elam, husband and wife, and the buyer, Jason P. Fox, A copy of the agreement for the sale and purchase of real estate is attached hereto, marked Exhibit "A"/ and incorporated herein by reference. 10. It is believed, and therefore averred, that the above-referenced residential property was sold by the owners/sellera, Norman and Betty J. Elam, to Jason P. Fox for the amount agreed to in the agreement for the sale and purchase of real estate executed by the Plaintiff between the parties, that amount being $179/000.00. 11. The Plaintiff was a 100% commission agent of the Defendant, and the Plaintiff was due the 3% selling agent commission, pursuant to the terms of her aforementioned agreement with the Defendant. 12. Despite demands by the Plaintiff, the Defendant has refused, and continues to refuse, to compensate the Plaintiff, under the terms of the aforementioned agreement between the Plaintiff and the Defendant, the 3% s~ller's commission allowed for in the Defendant's listing agreement for the above-referenced residential property. !.
