havIng an aggregate unpaId OutstandIng Balance on the Cut-off Date In an

at Purchaser's expense, Loan documentutlon or other Informiltlon relating
to the Loans as Is reasonably required by Purchaser, Seller \1111 promptly
provide such documentatIon on a best efforts basis at Purchilser's expense,
such expenses to Include Seller's manpower costs to compIle such
documentatIon at an hourly rute to be mutually determined by Seller and

any orIginal Loan documentation Hhlch It Is required to retaIn by law or

4. RepresentatIons, Hilrrantles and Repurchase.
Purchaser and Seller agree and acknowledge that they shall, as a condition
to the consummatIon of the transaction contemplated hereby. make the
following representations and \lMrantles, Purchaser and Seller further
warrant that no broker, Investment banker, agent, or other pel-son shall be
entItled to any commission- or compensation In connection \11th the sale of
the Loans,
