BEAR, KERMIT FULMER, JOHN HAWBAKER. RANDAL B. HAMMOND. AND GERALD CHRISTOPHER Defendent South Middleton Township Municipal Authority, through their undersigned counsel, moves this Court pursuant to Pa.R.C.P. Nos. 4012(a)(1) and 4013 for a Protective Order and Stay as to the depositions of Arthur E. Bear, Kermit Fulmer, John Hawbaker, Randal B. Hammond and Gerald Christopher which have been noticed by Plaintiff for e deposition, end in support represents as follows: 1. Plaintiff G.L. Marks Contracting, Inc., is a Pennsylvania corporation with a registered place of business at 171 B Grace Road. Lebanon. Lebanon County, Pennsylvania, who commenced this civil action against Defendant by a Writ of Summons on October 5, 1994. 2. Defendant South Middleton Township Municipal Authority is a municipal authority created and existing under the laws of the Commonwealth of Pennsylvania with its principal place of business in Boiling Springs, Cumberland County. Pennsylvenia. 3. Plaintiff through its counselor. or about October 6, 1994, issued Subpoenas and Notices of Depositions to Arthur E. Bear. Operations Manager of South Middleton Township Municipal Authority, and Authority members Kermit Fulmer, John Hawbaker, Randal B. Hammond and Gerald Christopher directing each to appear at depositions to be held on October 19. 1994. Attached hereto as Exhibit "A" please find a copy of correspondence from Plaintiff's eounsel. Subpoena, Attachment to Subpoena. and Notiee of Deposition including e brief Statement of Nature of Cause of Action pursuant to Rule 4007.1. 005n+OOI12lNovcmbcr l. 199-IIDWDIMHIl9l56 4. On or about October 14, 1994, the undersigned was retained to represent South Middleton Township Municipal Authority in this case and contacted Plaintiff's counsel who agreed to continue the depositions. Attached hereto as Exhibit "B" is e copy of correspondence from the undersillned to Plaintiff's counsel confirming said arrangement. 5. Plaintiff through its counsel has indicated to counsel for De fondant that it still desires to depose the individuals previously noticed. 6. While no Complaint has been filed. Plaintiff stated that "This cause of action lies in contract and tort since G.L. Marks Contracting. Inc. was the low bidder relative to the Boiling Springs water line raplacement project." See the Statement of Nature of Cause of Aetion set forth by the Plaintiff in the Notice of Deposition attached as part of Exhibit" A". 7. A disappointed bidder on a public contract sustains no injury which entitles that entity to redress in court. even if the public official or body who refuses to award the contract has a statutory obligation to award it to the lowest bidder. See J.P. Mascaro & Sons. Inc. v. Townshio of Bristol. 95 Pa. Cmwlth. Ct. 376, 505 A.2d 1071 {19861 and Hiahwav Exoress.lnc. v. Winter, 414 Pa. 340, 200 A.2d 300 (1964). 8. A disappointed public bidder has no standing to challenge the award of a public contract based on the requirement that the contract be awarded to the lowest responsible bidder, since in Pennsylvania. that ehallenge is solely for a taxpayer of the entity. See J.P. Mascaro & Sons. Inc. v. TOIVnshio of Bristol. 497 F. Supp. 625 (19801 and The General Crushed Stone Camoanv v. Caemarvon Townshio. 146 Pa. Cmwlth. Ct. 306,605 A.2d 472 (1992). 9. Plaintiff does not have legal standing to pursue the claims set forth in its Statement of Nature of Cause of Action and therefore. the depositions of the Authority Operations Manager end the individual Authority members will serve no purpose in this litigation and should be prohibited pursuant to Pa.R,C.P. By way of further averlllent, the Plaintiff stated in ita Notice that it potentially had the followin9 /lctions: a) contract; b) Tort; c) There may have been an interference with contractual rights. 7. Oenied. The statements are conclusions of law and the cases cited speak for themselves. However, by way of further averment, plaintiff believes that he has a claim a9ainst South Middleton Township Municipal Authority and potentially other parties related to the decision to deny the bid for the followin9 reasons: a) Attached and marked Exhibit "A" to this Answer are the minutes of the South Middleton Township Municipal Authority which contain no reason for the denial except a conclusionary statement unsupported by any facts; b) Attached to this Answer and marked Exhibits "B" and "C" ar~ letters dated May 16, 1994, from Kermit Fullmer to Marks and a letter dated May 17, 1994, by counsel for Mark. seeking further information which was not supplied by th4l Authority, and the Authority would not send the minutes to Marks but required him to travel to its office to obtain thell; c) The action of the Authority, without substantiating justification, has effectively resulted in Marks being "black-listed. as a contractor who does substantial public bidding on sewer and water projects and the Authority's action will severely handicap Marks and make it very difficult and/~r make it impossible for him to engage in public contracting because of the stigma other public bodies will attach to the actions of the Authority without explanation; d) The action of the Authority will make it difficult or impossible for Marks to freely engage in competitive bidding and take advantage of other opportunities, and thus Marks has be3n deprived of its Fourteenth Amendment liberty interest. Perrivavtch, 724 F2d 362, 367 (3rd circuit 1983); alde Dominion Dairv Products. Inc. v. Secretarv of Defense, 631 F2d 953 (1980); e) At a minimum, notice and opportunity for Marks to respond should have been provided as a pUbli,c contractor before Marks can be stripped of its "responsible bidder. status. Berlanti v. Bodman, 780 F2d 296 (3rd circuit 1985); f) Marks believes that the parties advising the Bo~rd 3 intertered with the contractual relationship ot the Board and Marks for reasons which have no relationship to Marks' competency, tinancial ability, insurability or reputation and, in fact, Marks supplied the authority with reference. and names ot other public bodies which confirmed that Marks was a responsible bidder. It the tacts are developed through discovery, Marks may have the basis tor a due process denial under the Pennsylvania and U.S. Constitution, a Federal 1983 action, and tort action for interterence with contractual rights. 8. Denied. The statement is a conclusion ot law and the cases cited speak tor themselves. For the reasons stated above, Plaintiff's due process rights have been violated and Plaintiff has standing to protect those rights. In addition, the is.ue. ot malicious interference with the business relationship have not been addressed in the cases cited nor have the due process issues. 9. Denied.
