Note executed on January 27, 1994 in the original principal
amount of $228,500.00 plus interest thereon at the rate provided
in the Mortgage Note with other charges as provided therein
(hereinafter the 'Note'). A true and correct copy of the Note is
attached hereto as Exhibit "A' and made a part hereof.
4. The Mortgage was recorded on February 2, 1994 in
the Office of the Recorder of Deeds of Cumberland County, in
Mortgage Book 1194, Page 977 ~~. (hereinafter the
'Mortgage"). A true and correct copy of the Mortgage is attached
hereto as Exhibit "B" and made a part hereof.
5. The property which is the subject of this action
and subject to the Mortgage, described with particularity
therein, is known as Lot 1-13 as shown on final subdivision plan
of Floribunda Heights. phase I. Section IV and recorded in the
Cumberland County Recorder of Deeds Office in Plan Book 67,
Page 54, and includes all improvements thereon.
6. Commerce has not assigned the Note or the
Mortgage, either in whole or in part.

7. No judgment has been entered on the Note or the
Mortgage in any jurisdiction. The Note and Mortgage are less
than twenty (20) years old.
8. The Note and Mortgage are in default because
Defendant failed to make its monthly payments when due on
September 28 and October 28, 1994. Such defaults are continuing.
9. The entire indebtedness represented by the Note
and secured by the Mortgage is now due and payable in full by
Defendant to Commerce under the terms of the Note. Such
indebtedness includes principal, interest at the ~ ~ rate of
$61.89, late fees, costs and attorneys' fees incurred in
collection of the debt and other charges as provided in the Note
and the Mortgage.
10. Through October 30, 1994, Defendant is indebted to
Commerce in the amount of $232,593.23, computed as follows:

Your Honorable Court enter Judgment in Mortgage Foreclosure in
its favor tlnd against Defendant in the amolmt of $232,593.23 plus
interest thereon at the ~ ~ rate of $61.89 from October 19,
1994, late fees, attorneys' fees computed at hourly rates, costs,
and all other charges as provided in the Note and Mortgage;
directing foreclosure and sale of the mortgaged properties; and
awarding Commerce such other relief as is just under the
circumstances.

If at any time the Undersigned ahall fail to pay any

The term "Collateral" means the following property in which

in the mortgage of this lame date.
3. The personal guaranty and luretyship of stephan R. and
Krista Y. Johansen, husband and wif..

"Liabilities"). If any Liabilitiea are in .x .tence when this
Note is paid, Bank may retain the Collateral and .hall retain eny
rights and remedies, granted herein with respect to the
Collateral, aven if this Note is surrendered. Bank is grantsd a

from time to time by Bank to the under.igned, or anr of them, in
any capacity as security for repayment of the Liabi itie.. Thi.

which Bank mar have. The Undersigned as.umes full re.pon.ibility
for pre.ervat on of the Collateral, including the pre.ervation of
any right of undersigned or Bank in it against any and all third
partie.. If Bank is in posses. ion of the Collateral it haa no
responsibility with respect thereto except the exercise of
reasonable care, but no omission to comply with any request of the
Undersigned shall of itself be deemed a failure to exercise
reasonable care.
If the face amount of this Note is not advanced on the date
hereof or if this Note evidences a line of credit the
underalgned may draw the unadvanced amounts from time to time upon
written request of the Undersigned up to the face amount hereof.
Notwithstanding anything herein to the contrary, Bank'S records
shall be conclusive as to the balance due.
Bank shall have, without limitation, the following rights,
each of which may be exercised at any time: (i) to pledge or
transfer this Note together with any of Bank'S interest in anr of
the collateral, and any all renewals, extensions or modificat ons
(upon transfer of any of Bank's interest in anr of the collateral,
Bank shall be relieved of all responsibility w th respect
thereto); (ii) to transfer any of the Bank's interest in any of
the Collateral into its name or a nominee's name; (iii) to vote
the Collateral after default hereunder; (iv) to notify the
Obligor. of any Collateral to make payment to Bank of any amounts
due thereon, and (v) to take control of any proceeds of ~he
Collateral.
A carbon, photographic, other reproduction of this Note or
any financing statement relating hereto, shall be sufficient as
financing statement and may be filed in any office in lieu
thereof. The undersigned appoint Bank as attorney-in-fact for the
undersigned (without requiring Bank to act as .uch) to execute any
financing statements in the name (s) of the undersigned.
The occurrence of any of the following shall be a default
hereunder: (a) the nonpayment 15 days after the date due of any
amount (a) payable on any of the Liabilitie. or Prior Loan.; (b)
failure of the Undersigned to perform any agreement hereunder 1 (c)
the death of both of the undersigned hereof; (d) the filing of any
petition under any bankruptcy or insolvency laws, .tate or
federal, by or against any obligorl (e) an application for the
appointment of a custodian, receiver, trustee, seque.trator,

incomplete, incorrect or ineffective. No waiver by Bank of any
default .hall be effective unless given in writing by an
authorized officer, nor shall such waiver be a waiver of any other
default or any future defaults.
Upon the occurrence of a default: (i) all Liabiliti.. .hall,
at the option of the holder of this Note, b. immediatelY due and
payable without notice or.demand on any Obligor .nd without
requiring any recourse against any person or prop.rty liabls for
or .ecuring any of the Liabilities, (ii) Bank shall have the
immediate right of setoff again.t the Liabilitie. of any
ind.bt.dne.. owed by Bank to each Obligor, 'whether or not due, and
Bank .hall be deemed to have exercised such right and charged each
obligor'. indebtedness immediately upon the occurrence of .uch
detault even if Bank does not enter .uch charge on its books

under any other documents now or hereafter executed, or under any
laws shall be cumulative and .ay deem appropriate, (iv) Bank may
exerei.e all rights and remedies available to it as a secured
party under the laws of Pennsylvania or otherwise available to it,
including without limitation, the right to dispose ot the
collaterai under the Pennsylvania Uniform commercial Code. Each
Obligor .hal1 be liable for any deficiency on any of the
Liabilities remaining after disposition of the Collateral.
Time is of the essence.
The Obligors waive presentment, demand, notice of dishonor,
protest and notice of ~rotest. The liability of the Obligors
shall be unconditional and absolute without regard to the
liability of any other party, and stall not be affected by
additions to, exchanges of or substitutions for the Collateral nor
any indulgence granted or consented to by Bank, including, without
limitation, and rolease of any party or release of any Collateral,
extension of time, renewal, waiver or other modification. Any
failure of Bank to exercise the same right at any time and from
time to time thereafter.
Tho Obligors waive and release their rights under any and
all appraisement, stay or exemption laws, existing now or
hereafter and agree that Pennsylvania law shall govern any issue
arising hereunder. The Undersigned intend this to be a sealed
instrument and to be legally bound hereby.
The Obligors each irrevocably consent to the exclusive
jurisdiction of the Courts of Common Pleas in the Commonwealth of
Pennsylvania or the United States District Court of the Middle of
Pennsylvania in any and all actions and proceedings, whether
arising hereunder or under any other agreement or undertaking and

4. It Commerce requires we shall make monthly payments ot
1/12 of the yearly real estate taxes and 1/12 of the yearly hazard
insurance premiums, to Commerce.
These payments shall be held in escrow by Commerce. They
.hall be ueed by Commerce to pay the taxee and the ineurance
premiume when due. Commerce may adjust the.e amounts troa time to
time to retlect changes in the taxes and insurance premium.. No
interest shall be paid on this account.
5. We have not treat~d, stored, recycled, disposed ot or
discharged any hazardousl toxic or polluting .ubstances on or into
the Property and we, hav ng made reasonable inquiries and/or
inveatigation, have no knowledge ot any other person or entity,
inClUding, without limitationi any previous owner of the Property,

No notitication has been tiled with regard to the discharge of

under the Federal Comprehensive Environmental Response, Compensation

pennsylvania Clean streams Law (PCSL), or under any other tederal or
state law pertaininq to protection of the environment. No notice

that the Property is subject to investigation or clean-up

their attorneys, Stone, LaFaver & Stone, and Commerce
Sank/Harrisburg, N.A. ("Commerce"), by its attorneys, hereby
agree and stipulate as follows:
1. The Gettys, adult individuals and husband and
wife, are mortgage-holders and parties in interest with respect
to a Sheriff's Sale of the real estate scheduled to be sold in
the Office of the Sheriff of Cumberland County on March 8, 1995
at 10:00 a.m. (the "Sheriff's Sale") pursuant to a writ of
execution filed by Commerce,
2. The Gettys and Commerce by their attorneys hereby
stipulate and agree that the Gettys received timely, adequate
notice of the Sheriff's Sale, as required by Pa. R.C.P. Rule
No. 3129.2.
3. The Gettys, by their attorneys, hereby waive the
right to object to the Sheriff's Sale by reason of untimely,
improper or inadequate notice.

to law, says on January 6, 1995 at 1.26 o'clock P.M., E.S.T., he
posted the property of Gettys Builders Inc. at 5 Spartan Circle,
Camp Hill, Cumberland County, Pennsylvania with a copy of Real
Estate Writ, Notice Poster and Description according to law.
Jody Smith, Deputy Sheriff, who being duly sworn according to
law, says on January 9, 1995 at 1.16 o'clock P.M., E.S.T., she
served Real Estate Writ, Notice Poster and Description, in the
ab~ve entitled action upon the within named defendant., to wit, Gettys
Builders Inc. by making known unto Steven Johansen President of
Gettys Builders Inc. at the Cumberland County Sheriff's office,
Courthouse Carlisle, Cumberland County, Pennsylvania its contents and at
the same time handing to him personally the said true and attested
copies of the same.
R. Thomas Kline, Sheriff, who being duly sworn according to law,
says that he served Real Estate Writ, Notice ~oster and Description in
the following manner. The Sheriff mailed the within named defendant
to wit. Getty's Builders Inc. a notice of the pendency of the action
by regular mail to there last known address at 688 Yorktwon Road
Stuit G, Lewisberry Pennsylvania. This letter was mailed under the
date of January 12, 1995 and was never returned to the Sheriff's office.
R. Thomas Kline, Sheriff, who being duly sworn according to law,
says that afteerdue !nd legal notice had been given according to law,
exposed the within described premises at public venue or outcry at the
Court House, Carlisle, Cumberland County, Pennsylvania on March 8,1995 at
10.00 o'clock A.M., E.S.T., and sold the same for the sum of $763,061.05
to Attorney Mark Silver for Konstantinos Giannaris and Tina Giannaris
their heirs and assigns. It being the hig~est bid and the best price
received for the same Konstantinos Giannaris and Tina Giannaris of
