COMPLAINT
1. Plaintiff SCHWALM & FASOLT, INC., is a Pennsylvania
corporation with its main place of business located at 1649 Bobali
Drive, Harrisburg, Pennsylvania 17104, and is engaged in the
business of manufacturing and installing custom cabinetry.
2. Defendant Gale Lytle is an adult individual residing at
'910 Hummel Avenue, Lemoyne, Pennsylvania 17043.
3. On or about November 10, 1993, based upon an Order made
by defendant, plaintiff manufactured and delivered to defendant
certain custom cabinetry. A true and correct copy of Invoice No.
108602 issued to defendant is attached hereto, marked as Exhibit
"A", and made a part hereof.
4. On or about November 17, 1993, at the defendant' s
request, plaintiff manufactured and delivered to defendant
additional custom cabinets as set forth on plaintiff's Invoice
No. 108603 to defendant dated November 17, 1994, a true and correct
copy of which is attached hereto, marked as Exhibit "B", and made
a part hereof.
5. On or about December 28, 1993, at the defendant's
request, plaintiff manufactured and delivered to defendant
additional custom cabinets as set forth on plaintiff's Invoice No.
108604 to defendant dated December 28, 1993, a true and correct
copy of which is attached hereto, marked as Exhibit "C", and made
a part hereof.
6. Defendant received and accepted the goods and merchandise
described in Exhibits "A", "B" and "C".
7. The prices set forth in Exhibits "A", "B" and "C" were
the fair, reasonable and market pricee for the goods and
merchandise at the time they were sold to defendant and are the
prices which defendant agreed to pay.

You are hereby notified to plead to the enclosed New Matter
within Twenty (20) days from se~vice hereof or a default judgment
may be entered against you.

was delivered to Defendant. Rather, it was delivered to a job
site of Hearthstone Remodelin~.

admitted that Plaintiff manufactured and delivered certain
additional cabinets. However, it is denied that Defendant
requested the additional cabinetry on behalf of herself. Rather,
the request was made by Defendant, on behalf of Hearthstone
Remodeling. Further, it is denied that the additional cabinetry
was delivered to Defendant. Rather, it was delivered to a job
site of Hearthstone Remodeling.
6. Admitted in part and Denied in part. It is
admitted that the goods were received and accepted. However, it
is denied that they were received and accepted by Defenant acting
on her own behalf. Rather, the goods were received and accepted
by Defendant acting on behalf of Hearthstone Remodeling.
7. Denied. After reasonable investigation Defendant
is without knowledge or information sufficient to form a belief
as to the truth of the averments made by Plaintiff in paragraph 7
of its complaint.
8. Denied. It is denied that Defendant owes any
amount on account of the invoices attached to Plaintiff's
complaint and it is further denied that Defendant or Hearthstone

Hearthstone Remodeling.
6. Admitted in part and Denied in part. It is
admitted that the goods were received and accepted. However, it
is denied that they were received and accepted by Defenant acting
on her own behalf. Rather, the goods were received and accepted
by Defendant acting on behalf of Hearthstone Remodeling.
7. Denied. After reasonable investigation Defendant
is without knowledge or information sufficient to form a belief
as to the truth of the averments made by Plaintiff in paragraph 7
of its complaint.
8. Denied. It is denied that Defendant owes any
amount on account of the invoices attached to Plaintiff's
complaint and it is further denied that Defendant or Hearthstone

Remodeling had ever agreed to or owe any service charges related
to said invoices.
9. Denied. It is denied that Defendant made any
payments on account of the balance due and owing. Rather, the
payment '-las made by Hearthstone Remodeling.
10. Admitted in part and Denied in part. It is
admitted that Plaintiff has made demand for payment. However, it
is denied that any amount is due and owing by Defendant to
plaintiff.
WHEREFORE Defendant demands that the within action
be dismissed, together with costs of suit.
NEW HATTER
11. Paragraphs 1 through 10 of this Defendant's Answer
are incorporated herein by reference and are made a part hereof.
12. At all times prior to the manufacture and delivery
of all of the cabinetry for which Plaintiff demands payment,
plaintiff knew that Defendant was acting as an agent for
Hearthstone Remodeling and not on her own behalf.
13. Al~ correspondence related to the orders for the
cabinetry and the instellation thereof sent by Defendant clearly
indicates on its face that the work was being performed for

Hearthstone Remodeling. Copies of all correspondence from
Defendant to Plaintiff related to said cabinetry are attached
hereto as Exhibit "A" and made a part hereof.
14. On at least two occasions prior to the manufacture
and delivery of the cabinetry in question, Plaintiff acknowledged
in writing that the cabinetry work was being performed for
Hearthstone Remodeling when Plaintiff's employee sent telecopied
messages to the attention of Defendant which were addressed to
Hearthstone Remodeling. Copies of the telecopied messages are
attached hereto as Exhibit "B" and made a part hereof.
15. All payments made on account of the cabinetry were
made by Hearthstone Remodeling and not by Defendant. Copies of
all applicable cancelled checks are attached hereto as Exhibit
"c" and made a part hereof.
16. Defendant does not have, nor at any time did she
have any ownership interest in Hearthstone Remodeling and
therefore she is not responsible for its debts.
17. At no time did Defendant agree with Plaintiff to
act as a guarantor of Hearthstone Remodeling's debts.

lUlD NOW, cernes the Plaintiff, by and through its attorney,
MICHAEL CHEREWKA, ESQ., and files this Reply to New Matter, of
which the following is a statement:
11. Denied. Paragraphs 1 through 10 of plaintiff's Complaint
are incorporated herein by reference and are made a part hereof.
12. Denied. Plaintiff at all times dealt solely with
defendant with regards to the cabinetry and installation thereof.
All phone calls were from defendant, and all ccrrespondence,
including plaintiff's Invoices, were addressed to defendant
personally. Defendant never questioned the fact that the Invoices
were addressed to her personally until after defendant's husband
declared bankruptcy.
13. Denied. All correspondence sent by defendant clearly
states that it came frcm defendant. There is nc ether individual
listed on such correspondence, and nowhere on such correspondence
does defendant identify herself as an "agent for" Hearthstone
Remodeling.
In further reply, if defendant did indeed act on behalf of
Hearthstone Remcdeling, then defendant was acting as a principal
of, or partner in, Hearthstone Remcdeling, and as such is
personally liable for the debt owed to plaintiff.
14. Denied. The correspondence included as Exhibit "B" in
defendant's New Matter is clearly addressed to defendant. The fact
that "Hearthstone Remodeling" is included on a telecopier cover
sheet is irrelevant and of no consequence.
15. Admitted in part, denied in part. While it is admitted
that the checks included as Exhibit "C" in defendant's New Matter
are from Hearthstone Remcdeling, it is clear that all three checks
submitted by defendant were signed by defendant, net by defendant's
husband who defendant claims is the sole owner of Hearthstone
Remodeling.
