DEFENDANT'S PRELIMINARY OBJECTIONS
TO PLAINTIFF'S COMPLAINT
The Defendant, G. M. McCrossin, Inc. by its undersigned
counsel, preliminarily objects to Plaintiff's Complaint as follows:
PRELIMINARY OBJECTIONS RAISING IMPROPER VENUB
1. This action has been instituted in Cumberland County
by the filing of a Complaint.
2. The Defendant G. M. McCrossin, Inc., is incorporated
under laws of the Commonwealth of Pennsylvania with a registered
office at Benner Pike, Benner Township, pennsylvania.
3. The Defendant Mccrossin does not have an office or
place of business in Cumberland county.
4. The Defendant G.M. Mccrossin does not and has not
conducted any business in Cumberland County.
5. No transaction or occurrence related to this action
took place in Cumberland County:
(a) At all times relevant to Plaintiff's
cause of action the Defendant was a contractor
with the Commonwealth of Pennsylvania,
Department of General services for infirmary
renovations at the state Correctional
Institution at Huntingdon, smithfield
Township, Huntingdon County, Pennsylvania.
(b) As part of the specifications for the
Defendant I s contract with the Commonwealth,
there was a requirement for the purchase and
installation of water source heat pumps.
(c) On August 19, 1991, the Plaintiff
submitted a bid to the Defendant, at its place
of business at Centre county, pennsylvania for
the sale of the water source heat pump units
brand-named Carrier. The Defendant accepted
the bid by issuance of a purchase order on
January 28, 1992 at Centre county,
Pennsylvania.
(d) The Plaintiff caused the Carrier water
source heat pump units to be shipped directly
from the manufacturer's office located in
Syracuse, New York to the State correctional
Institution at Huntingdon County,
Pennsylvania.
(e) All performance for the installation of
the Carrier water source heat pumps was
performed and incorporated in the infirmary
~enovations at the state Correctional
Institution at Huntingdon County,
pennsylvania.
6. The Plaintiff's Complaint alleges a cause of action
and has invoices attached as Exhibit "A" which indicate that the
equipment was sold to the Defendant for installation in a
construction project at the state correctional Institution at
Huntingdon, Pennsylvania.
7. The Defendant Mccrossin was not personally served in
Cumberland county.
8. The Defendant was served with a copy of the
Complaint by the Sheriff of Centre county who was deputized by the
Sheriff of Cumberland county.
9. The venue of this action is improper in Cumberland,
since under Pennsylvania Rule of civil Procedure 2179 the Plaintiff
may only bring an action against a Detendant corporation in a
county where the cause of action arose, or a Detendant's registered
otfice or principal place of business located, where it regularly
conducts business or where a transaction or occurrence took place
out of which the cause of action arose.
10. Venue in Cumberland county is improper since none of
the requirements ot the Pennsylvania Rule of civil Procedure 2179
are met in this case.
WHEREFORE, Defendant requests that Plaintiff's Complaint
be dismissed for improper venue, and that the matter be transferred
to the County of Huntingdon, Pennsylvania.

PLAIRTIFF'S RESPONSE TO DEFENDANT'S PRELIMINARY OBJECTIONS
AND NOW COMES Peirce-Phelps, Inc., Plaintiff, by its
attorneys, Knupp and Kodak, P.C., and offers the following response
to Defendant's 'Preliminary Objections:
1. Admitted.
2. Admitted. More specifically, the Defendant's address is P.O.
Box 299, Benner Pike, Bellefonte, Centre County, Pennsylvania
16823.

Denied.
After reasonable investigation, plaintiff lacks
information necessary to determine the truthfulness of this
averment. If material, strict proof thereof is demanded.

Denied.
This averment is a conclusion of law to which no
response is required. To the extent that a response is required,
the averment is denied in that Defendant conducted business in
Cumberland County with Plaintiff, as will be described below, and
in Plaintiff's Brief in Opposition to Defendant's Preliminary
Objections.

Denied.
Regardless of the factual accuracy of the
subparagraphs of this averment, the averment states a legal
conclusion to which no response is required. Further, it is an
incorrect legal conclusion in that transactions or occurrences

related to this action did occur in Cumberland County, consistent
with the manner in which the appellate courts have interpreted
Pa.R.Civ.P. 2179.
6. Admitted in part and denied in part. It is admitted that the
Plaintiff's Complaint alleges a cause of action and has invoices
attached, and that the cause of action relates to the invoices
attached. The remainder of the averment is denied in that
Plaintiff's Complaint does not contain the additional material
articulated in the averment.
7. Admitted. By way of explanation, service on the Defendant by
which the Sheriff of Cumberland County deputized the Sheriff of
Centre County, was valid, and the Defendant does not raise a
preliminary objection thereto.
8. Admitted.
9. Denied. This averment is a conclusion of law to which no
response is required.
10. Denied. This averment is a conclusion of law to which no
response is required.
WHEREFORE, Plaintiff requests this Honorable Court to enter an
order dismissing the Defendant's preliminary Objections, and
requiring the Defendant to plead to the Plaintiff's Complaint
within twenty (20) days from the date of said order.

NEW HATTER
11. The captioned action is an action in assumpsit, a contract
action in which the controversy is the amount that Defendant owes
plaintiff on an open account.
12. Defendant placed its order for the project that is the subject
of this action at Plaintiff's headquarters in Camp Hill, Cumberland
County and Plaintiff accepted Defendant's offer, at Plaintiff's
headquarters in Camp Hill, Cumberland County, thereby forming the
contract in Camp Hill, Cumberland County.
13. Additionally, all goods that Defendant ordered were shipped
from Plaintiff's headquarters in Camp Hill, Cumberland County.
14. The fact that the contract was formed in Cumberland County,
and that all goods that are the subject of the captioned case were
shipped from Cumberland County, makes Cumberland County a proper
venue for this action.
WHEREFORE, Plaintiff requests this Honorable Court to enter an
order dismissing the Defendant's preliminary Objections, and
requiring the Defendant to plead to the PlaintJ.ff's Complaint

Paragraph 13 hereof and failure to repair the same at the
Huntingdon county construction site.
12. Denied. To the contrary, Defendant had entered into a
contract with the Commonwealth of Pennsylvania for the installation
of water source heat pumps at the Huntingdon state correction
Institution, and plaintiff, with knowledge of Defendant's contract,
on or about August 19, 1991, faxed a bid (or offer) to the
Defendant at Defendant's plaoe of business in Centre county I
Pennsylvania for the sale of water source heat pumps which were to
be used and installed by Defendant at the construction site located
at the state correotional Institution in Huntingdon, Huntingdon
County, Pennsylvania. Defendant accepted Plaintiff's bid by a
virtue of the issuance, from its Centre County, pennsylvania
business address, of a purchase order on January 28, 1992. A true
and correct copy of Defendant's acceptance of plaintiff's offer is
attached hereto as Exhibit "A" and is incorporated herein by
reference.
13. Denied. To the contrary, the water source heat pump
units involved in the parties' agreement, which was made in Centre
county, were assembled and manufactured by carrier corporation at
syracuse, New York, and shipped, in an assembled and manufactured
state, from Syracuse directly to the job site at the state
correctional Institution in Huntingdon where the contract was
exclusively performed.
14. Denied. paragraph 14 states conclusions of law to which
no responsive pleading is required. The same are therefore denied
