Plaintiff, EDWARD P. MEYER, by his attorneys, Andrews &. JohlUOn and Taylor P.
Andrews, E'qulre, of Andrews &. Johnson, respectfully represents:
1. Plaintiff Is EDWARD P. MEYER, an adultlndlvldual who re~ldes at 314 Juniper Street,
Carlisle, Cumberland County, Pennsylvania, 17013.
2. Defendant ACCORD REAL TV, INC., Is a Pennsylvania corporation with a previous
place of business at 920 Linda Lane, Camp HfIl, Pennsylvania, 17011, and also at 4076 Market
Street, Camp Hill, Pennsylvania, 17011.
3. LARRY L. HAlTER is an adult individual who resides at 3205 Pinetown Road,
Lewlsberry, Pennsylvania, 17039.
4. From March 1993 through March 1994, Plaintiff, EDWARD P. MEYER, was a
salesperson for the Defendants, ACCORD REALTY, INC. and LARRY L. HA'ITER. A copy of
the Independent Contractor Agreement Is allached hereto as Exhibit 1.
5. While serving as a salesperson for the Defendants, Plaintiff served as selling agent and
listing agent for the sale of a certain lot in Shippensburg, Pennsylvania, from Steven B. Van Scyoc
and Sallie B. Van Scyoc to Michael L. Craig and Tina L. Craig.
6. Settlement on the above-referenced transaction occurred on May 31, 1994, in the Office
of Robert J. Mulderig. Esquire. A copy of the settlement sheet Is attached hereto as Exhibit B.
7. In accordance with the terms of his employment agreement, Edward P. Meyer was
entitled 10 receive payment of $1,186.50 from the total commission of $1,695.00.

RECITALS
BROKER is engaged in busincss as a general real estate broker in Camp Hill, State of Pennsylvania,
among other places, and Is qualified to and does operate a general real estate business and Is duly qualified
to and does procure the listings of real estate for sale, lease or rental, and prospective purchasers, lessees
and renters thereof and has and does enjoy the good will of, and a reputation for fair dcaling with the
public; and
BROKER maintains an office in Camp Hill, Stalc of Pennsylvania properly equippcd with
furnishing! and other equipment necessary and incidental to the proper operation of its business, and staffed
with individuals capable of serving the public as a real estate broker; and
SALESPERSON is engaged In business as a Iiccnsed real estate salesperson and has enjoyed and
does enjoy a reputation for fair and honest dealing with the public as sllch; and
It is deemed 10 be the mutual advantage of BROKER and SALESPERSON to form the association
as set forth in this agreement.
IT IS AGREED:
I. Listings and Cooperation. BROKER shall make available to SALESPERSON all cllnentlistings
of the office except such as BROKER for valid and usual business rcasons may place exclusively in the
temporary possession of some other salesperson. BROKER may, upon rcquest, assist SALESPERSON in
his or her work by advice and instruction. BROKER shall provide to SALESPERSON fuli cooperation in
every way possible. Nothing herein shall be construed to require that SALESPERSON accept or service
any particular listing or prospective listing offered by BROKER; nor shall BROKER have any right or
authority to direct that SALESPERSON see or service particular parties, or restrict SALESPERSON'S
activities to particular areas. BROKER SHALL have no right except to the extent required by law, to
direct or limit SALESPERSON'S activities as to hours, leads, open houses, opportunity or noor time,
production, prospects, reports, sales, sales meetings, schedulcs, serviccs, inventory, time off, training,
vacation, or other similar activities.
2. U$e of Facilities. SALESPERSON may share with olher salcspeople all the facilities of the
office now operated by BROKER at 920 Linda Lane, Camp Hill, PA in carrying oulthis agrecmcnt.

3. Efforts by Salesperson . SALESPEI~SON shall work diligclllly and witli his or Iier best efforts to
sell, lu~e or rent any alid all real est"te listeu with BROKER, to solidt additiollalli:ilillgs ilnd customers
for BROKER, and otherwise promote the business of serving the publk in rc<\1 estate transactions to the
end that each of the parties to this agreement may uerive the greatest prolit possible. BROKER agrees that
thereby BROKER obtains no authority or right to uirect or control SALESPERSON'S activities, except as
may be required by the statute of the State of Pennsylvania and the rules and regulations or the
Pennsylvania Real Estate Commission, anu SALESPERSON assumes allll retains discretion ror methods,
techniques and procedures in soliciting anu obtaining listings and sllles, rentah. or leases or listed property.
4. Conduct or Business' SALESPERSON shall conuuct his or her business in such a manner so as
to maintain and to increase the good will anu reputation or BROKER and SALESPERSON and shall
conform to end shall abide by all laws, rules and regolations anu codes of ethics that are binuing upon or
applicable to real estate brokers and real estate salespeople.
S. Compensation of Salespersons. The compensation of the SA LESPERSON shall be based upon a
proportionate share of the commissions charged by the BROKER for services renuered in real estate
transactions in which the salesperson may be involved. When SALESPERSON shall perform any service
pursuant to this agreement, whereby a commission is earned, the commission shall be payable to the
BROKER, when collected and be divided between BROKER Hnd SALESPERSON pursuant to the schedule
set out in Exhibit A, a copy or which is attached hereto anu incorporated herein by this rererence, and
which SALESPERSON acknowledges he or she has received. llROKEI~ shall advise SALESPERSON of
any special contract relating to any particular transaction which SALESPERSON may undertake to handle
In the event of special arrangements with any client of BROKER or SA LESPERSON on property listed
with BROKER or controlled by SALESPERSON, a special division of commis~ion may apply, such rate of
division to be agreed upon in advance by BROKER anu SALESPERSON. In the event that two or more
salespeople participate in such a service, or claim to have uone so, the amount or commission over that
accruing to BROKER shall be divided between the participating salespeuple according to agreement
between them, or In the absence of an agreeme:1t, in accoruance with the Uniform Arbitration Act. When
the commission shall have been collecteu from the party or parties for whom the services were performed,
BROKER shall hold it in trust for SALESPERSON and BROKER to be divided according to the terms of
this agreement.
6. Payment of Commissions. The division and distribution of earned commission as set out in
paragraph 5 of this agreement, shall take place as soon as practicable after collection of such commission
from the party or parties for whom the services may have been performed.
7. Expenses" BROKER shall not be liable to SALESPERSON for any expenses incurred by
SALESPERSON or for any of his or her acts. SALESPERSON shall have no authority to bind BROKER
unless specifically authorized in a particular transaction. The expenses of attorney's fees, multiple listing
fees, costs, title expenses and similar fees or expenses which must, by reason or necessity, be paid from
the commission, or are incurred in the collection of or the attempt to clllleetthe commission, shall be paid
by the parties as provided for in this agreement in the divisiun of the commission or as otherwise agreed to
by the parties. Suits for cOlllmission shall be mailltaineu only in the name of the BROKER.
8. Termination. This agreement and the association created hereby may be terminated by either
party at any time, upon written notice given to the other, but the rights of SALESPERSON to any
commission which accrued prior to such notice shall not be divested by the termination of this agreement,
but may incur an additional fee to reach the successful culmination thereof. Upon termination, all listings
and prospects shall be those of BROKER as its sole properly, and SALESPERSON shall return all listings,
manuals and materials, forms and sales literature loaned to SALESPERSON by BROKER.
. 9. Unfalr Advantage. SALESPERSON shall nut, aner the termination of this a~reelT1ent, use to his
or her advantage, or the advantage of any olher person, linn or corporation any information gained for or
from the Illes or business of BROKER.
10. Legal Sllltus and Responsibllilies . II is intended lhatlhe relationship established hereby is one
of independent contractor and notlhat of servant, employee, jolllt venturer, agency or partnership. It is
understood as follows:
(a) The BROKER has the right to control the result of the work and not the means or methods for
accomplishing the result.
(b) The SALESPERSON shall pay any amounts due as a result of the Federal Insurance
Contributions Act (FICA), the Federal Unemployment Act (FUTA), and federal or state income tax in
Rgard to the SALESPERSON'S earnings and to furnish proof of said payment in a form reasonably
requested by BROKER.
(c) The SALESPERSON shall not be required to meet any sales quota.
(d) The SALESPERSON may hire olher people to assist with clerical Ilnd accounting work as
needed.
(e) The company manual does not contain any mandatory rules.
(I) The BROKER shall not make appointments for SALESPERSONS or determine whether
appointments are kept.
(g) No draw or other form of minimum income shall be provided by BROKER to the
SALESPERSON.
(h) SALESPERSON shall not be treated as an employee with respect to the services performed
hereunder for federal tax purposes.
(i) The SALESPERSON will not be treated as an employee with respect to the services performed
by such SALESPERSON as a real estate agent for all Pennsylvania lax purposes, including, but not limited
to, income tax, unemployment insurance tax, and workman's compensation.
0) All of the SALESPERSON'S remuneration (whether or not paid in cash) for the services
performed as a real estate agent will be directly related to sales or other output rather than to the number of
hours worked.

ANSWER AND NEW MATTER TO PLAINTIFF I S COMPLAINT
AND NOW, comes Defendants, Accord Realty, Inc. and Larry L.
Hatter, by and through their attorney, Thomas M. Devlin, and
responds to ~laintiff's Complaint as follows:
1. Admitted.
2. Admitted in part, denied in part. It is admitted that
Accord Realty, Inc. had a previous place of business at 4076
Market Street, Camp Hill, Pennsylvania 17011; however, it is
specifically denied that it also had a place of business at 920
Linda Lane, Camp Hill, Pennsylvania 17011.

4. Denied. From March 1993 through March 1994, Plaintiff
Edward P. Meyer was a salesperson for the Defendant Accord
Realty, Inc. It is expressly denied that Edward P. Meyer was a
real estate agent directly for Larry L. Hatter in his individual
capacity, but rather at all times Edward P. Meyer was a sales
agent for Accord Realty, Inc. t/d/b/a ERA Accord Realty whose
president and broker was Larry L. Hatter.

7. Admitted in part, denied in part. Although it is
admitted that under the terms of his employment, an independent
contractor agreement, Edward P. Meyer was to receive payment on a
percentage basis of property which he sold as either listing or
selling agent. However, it is expressly denied that a so called
"employment agreement" existed between Accord Realty, Inc. and
Edward P. Meyer or between Larry L. Hatter and Edward P. Meyer.
Moreover, to the extent that averment 7 refers to the above
referenced transaction which occurred on May 31, 1994, no
commission was due Edward P. Meyer, because he owed an
outstanding balance of commissions advanced by Accord Realty,
Inc. t/d/b/a ERA Accord Realty.

11. Admitted in part, denied in part. It is admitted that
Edward P. Meyer has made demand for payment to Accord Realty,
Inc. and Larry L. Hatter who have refused to pay said demand.
However, it is expressly denied that the demanded commission is
due to Edward P. Meyer in the amount of $1,186.50.
WHEREFORE, Defendants Accord Realty, Inc. and Larry L.
Hatter pray this Honorable Court to enter judgment in their favor
and against Plaintiff, dismissing Plaintiff's Complaint with
prejudice and without cost to them.
NEW MATTER
12. Defendants herein incorporate by reference their
answers to paragraphs 1 through 11 inclusive as if fully set
forth herein at length.
13. On or about January 14, 1994, Accord Realty, Inc.
t/d/b/a ERA Accord Realty advanced commission funds beyond the
allowable percentage payments attributable to Edward P. Meyer on
a previous sale. That previous sale which occurred early in 1994
did bring Edward P. Meyer to the higher percentage level scale
under the arrangement all the salespersons had with Accord
Realty, Inc. t/d/b/a ERA Accord Realty.
14. Nevertheless, to encourage his productivity and with
the understanding that he would remain with Accord Realty, Inc.
t/d/b/a ERA Accord Realty, the corporation advanced him an amount
based on the higher percentage rate which he was not yet entitled
to receive.
15. The excess amount of that payment as the future
advanced earnings was in the amount of $3,250.00.
16. Payment has already been made to Edward P. Meyer by way
of the aforementioned advancement; and, therefore, no amounts are
due and owing him.
17. At all Urnes, Edward P. Meyer was an independent
contractor for the corporate entity Accord Realty, Inc. t/d/b/a
ERA Accord Realty, but at no time had he independently contracted
with Larry L. Hatter in his personal capacity.

WHEREFORE, Defendants respectfully request judgment in their
favor and against Plaintiff, dismissing Plaintiff I s Complaint
with prejudice and without cost to Defendants.
CROSSCLAIM
ACCOlU> REALTY, INC. AND LARRY L. HA'rTER V. EDWARD P. MEYER
COUNT I - SETOFF
16. Crossclaim Plaintiffs herein incorporate by reference
their answers to paragraph 1 through 17 inclusive as if fully set
forth herein at length.
19. Defendants Accord Realty, Inc. and Larry L Hatter are
entitled to a setoff in the amount of $3,250.00 against whatever
amounts are owed to Edward P. Meyer, if any.
WHEREFORE, Crossclaim Plaintiffs respectfully request that
judgment be entered in their favor for setoff against Edward P.
Meyer.
ACCOfID REALTY, INC. AND LARRY L. HATTER V. EDWARD P. MEYER
COUNT II
COUNTERCLAIM FOR PAYMENT OF MONIES ADVANCED, BUT NOT EARNED
20. Counterclaim Plaintiffs herein incorporate by reference
their answers to paragraphs 1 through 19 inclusive a8 if fully
set forth herein at length.
21. The amount of $3,250.00 is due and owing Accord Realty,
Inc. t/d/b/a ERA Accord Realty due to the prior advances on
commissions unearned by Edward P. Meyer.
22. No consideration was given by Edward P. Meyer for the
additional future advance of commissions which are now due and
owing to Accord Realty, Inc.
WHEREFORE, Counterclaim Plaintiff Accord Realty, Inc.
respectfully requests judgment in its favor and against Edward P.
Meyer in the full amount of $3,250.00, plus interest and costs.
