COMPLAINT
1. plaintiff, Harbold's Ford, Inc., is a corporation
existing under the laws of the Commonwealth of Pennsylvania, with
a business address of Route 15 North, Dillsburg, pennsylvania
17019-0446.
2. Defendant, Barry Wintermyer, is an adult individual,
with a mailing address of 5515 Creekview Road, Mechanicsburg,
pennsylvania 17055.
3. Plaintiff is engaged in the business of selling new
motor vehicles manufactured by Ford Motor Company.
4. On or about September 27, 1994, plaintiff, at the
special instance and request of Defendant, agreed to sell
Defendant a certain new and unused 1994 Ford Aerostar EXT XLT,
having a vehicle identification number of lFMDA41XORZB36988
("Vehicle"), pursuant to the terms of a certain purchase
agreement ("Agreement") execut..J by the Plaintiff and Defendant.
A true and correct copy of the Agreement is attached hereto and
marked ae Exhibit "A".
5. Pursuant to the terms of the Agreement, Defendant
agreed to pay Plaintiff Twenty-two Thousand Seven Hundred sixty-
seven Dollars ($22,767.00) (the "Sale Price") for the Vehicle.
6. On september 27, 1994, Defendant provided Plaintiff
with a check from Harris savings Bank, check number 101, in the
amount of One Thousand Dollars ($1,000.00) (the "Deposit") to
have plaintiff "hold" the Vehicle until september 29, 1994 (the
"Delivery Date").
7. On september 27, 1994, Plaintiff and Defendant agreed
that Defendant would pick up the Vehicle on the Delivery Date,
and at that time, Defendant would make payment to plaintiff for
the Sale Price, less the Deposit.
8. Later in the evening of september 27, 1994, Defendant
contacted Plaintiff, and Defendant advised Plaintiff that he was
no longer interested in purchasing the Vehicle from Plaintiff.
9. Plaintiff believes, and therefore avers, that as a
result of Defendant's conversation with Plaintiff on September
27, 1994, on september 28, 1994, Defendant stopped payment of the
Deposit.
10. Defendant did not inform the Plaintiff that he had
stopped payment of the Deposit.
11. On october 11, 1994, the Deposit was returned to
plaintiff by Harris savings Bank, marked "stopped payment".

12. After notification by Plaintiff, Defendant, on or about
October 21, 1994, delivered funds to Defendant to cover the
dishonored Deposit.
13. On September 29, 1994, Defendant contacted Plaintiff
and advised Plaintiff that he was again interested in purchasing
the Vehicle, pursuant to the terms of the Agreement.
14. On September 29, 1994, Defendant, pursuant to the terms
of the Agreement, agreed to provide to Plaintiff the Sale Price,
less the Deposit ("Balance Due"), in cash, in exchange for the
Vehicle.
15. On September 29, 1994, Plaintiff delivered the Vehicle
to Defendant as agreed, and pursuant to the terms of the
Agreement.
16. Defendant failed to deliver the Balance Due, or Twenty-
one Thousand Seven Hundred sixty-seven Dollars ($21,767.00) to
Plaintiff as agreed, and pursuant to the terms of the Agreement.
17. Defendant has defaulted on his obligations under the
Agreement by failing and refusing to make payment of the Balance
Due.
18. The Plaintiff notified the Defendant of his default,
aforesaid, and Defendant has failed and refused to make payment
of the Balance Due.
19. As a result of the Defendant's default, aforesaid,
Defendant is obligated to pay the Plaintiff the Balance Due.

WHEREFORE, Plaintiff requests this Honorable Court to enter
a judgment against Defendant in the amount of Twenty-one Thousand
Seven Hundred Sixty-seven Dollars ($21,767.00), plus cost of suit
and interest from the date of the judgment.
COUNT II
In the event that this Honorable Court finds that no express
contract existed between the parties, which is expressly denied,
the Plaintiff, in the alternative, pleads the following count in
auantum meruit.
20. Paragraphs 1 through 3 are hereby incorporated by
reference thereto and as though set forth at length herein.
21. Having requested that Plaintiff deliver the Vehicle to
Defendant, and Plaintiff having done so to the benefit of
Defendant, Defendant became liable to pay Plaintiff for the fair
market value of the Vehicle.
22. Defendant has been unjustly enriched by accepting the
Vehicle without making payment for the Vehicle.
23. The fair market value of the Vehicle as of September
29, 1994, the Delivery Date, was Twenty-two Thousand Seven
Hundred Sixty-seven Dollars ($22,767.00).
24. Defendant has received all credits to which he is
entitled, specifically the payment of the Deposit to the
Plaintiff in the amount of One Thousand Dollars ($1,000.00).

that the Defendant did not inform the Plaintiff that he had
stopped payment on the deposit; however, it is averred that
the Defendant informed the Plaintiff on september 27, 1994,
in the evening, that he was stopping payment on the check.

15. It is admitted in paragraph Fifteen (15) that on September

however, it is denied that the Plaintiff delivered the vehicle
to the Defendant and to the contrary, it is averred that the
Defendant appeared at the business location of the Plaintiff
to pick up the vehicle, and said vehicle was given to the
Defendant at that time.

16. Paragraph Sixteen (16) is denied. It is denied that the
Defendant failed to deliver the balance due of $21,767.00 to
the Plaintiff. To the contrary, it is averred that the Defendant
gave the salesman, Jeff Enders, two hundred one hundred dollar
bills and $1,767.00 in other denominations, said payment was
made in cash to the Plaintiff's agent, Jeff Enders. See
Defendant's Exhibit "A" attached hereto being a copy of the
sales invoice showing that there is no balance due.
17. Paragraph Seventeen (17) is denied. It is denied that
Defendant has defaulted on his obligation under the agreement
by failing and refusing tla:le make payment of the balance due
and it is specifically averred that the Defendant has paid the
Plaintiff in full by rendering a cash payment to the agent for
the Plaintiff, Jeff Enders. See Defendant's Exhibit "A" attached
hereto.
18. It is admitted that the Plaintiff notified the Defendant
of his alleged default by letter dated December 2, 1994 and
received from the Attorney for the Defendant; however, it is
denied that the Defendant has failed to make payment of the
balance due.

22. Paragraph Twenty-two (22) is denied. It is denied the
Defendant has been unjustly enriched by accepting the vehicle
and it is specifically denied the Defendant has not made payment
on the vehicle. It is averred to the contrary that the Defendant
has rendered payment in full to the Plaintiff.
23. Paragraph Twenty-three (23) is admitted. It is admitted
that the fair market value of the vehicle as of September 29,
1994 was $22,767.00.
24. Paragraph Twenty-four (24) is denied. It is denied that
the Defendant has received all credits to which he is entitled,
in that the Defendant has rendered payment to the Plaintiff
in the amount of $21,767.00 in addition to the credit which
he is receiving in the amount of $1,000.00, and it is
specifically averred that the Defendant has paid the full amount
of $22,767.00 to the Plaintiff pursuant to the contract between
the parties.
25. Paragraph Twenty-five (25) is denied. It is denied that
the Defendant owes the Plaintiff $21,767.00 and proof is demanded
for this allegation, as said allegation is within the exclusive
knowledge and control of the Plaintiff, and after reasonable
investigation, the Defendant is without knowledge of the same.

26. It is admitted in Paragraph Twenty-six (26) that the
plaintiff has demanded Defendant pay the sum of $21,767.00;
however, it is specifically denied that the Defendant owes said
sum and further, it is specifically denied that the Defendant
has failed to render payment of the same.
WHEREFORE, Defendant demands the Complaint filed against
him be dismissed.
NEW MATTER
27. Attached hereto as Defendant's Exhibit "A" is a copy of
vehicle invoice 25941 dated september 29, 1994, wherein it is
indicated that the balance is, "n.a".
28. Said vehicle invoice is dated September 29, 1994, which
is the date which the Defendant rendered payment to the Plaintiff
in the amount of $21,767.00 in cash and received the 1954
Aerostar vehicle.
29. The Defendant rendered payment of two hundred one hundred
dollar bills to Jeff Enders, the salesman and agent for the

PRE-TRIAL MEMORANDUM ON BEHALF OF DEFENDANT, BARRY WINTERMYER,
PURSUANT TO CUMBERLAND COUNTY RULES OF COURT, 212.4
I. FACTS
On September 27, 1994, Barry Wintermyer purchased a 1994
Aerostar Ford vehicle from Harbold's Ford, Inc. The Defendant,
Barry Wintermyer, was charged $21,900.00 for the van and given
a factory rebate of $500.00.
He also was charged for sales
tax, document preparation, and title and transfer costs. See
Exhibit "A" attached to Plaintiff's Complaint.
Harbold's Ford,
Inc., issued a receipt or vehicle invoice dated September 29,
1994 indicating that all transfer fees, taxes and the total
cost of the vehicle were payable on delivery and that delivery
was made and no additional sums were due.
See Exhibit "A"
attached to the Defendant's Answer.
On October 21, 1994, Barry Wintermyer, the Defendant, made
a payment of $1,020.00 to Harbold's Ford, Inc., to replace a
III. ISSUES OF LIABILITY
Plaintiff sues in assumpsit because they had no claim or
right to sue in replevin. Defendant is not liable to the
Plaintiff because he made payment to the Plaintiff; all records
so indicate that payment was made; several months elapsed from
the time of the sale until the time of the claim by the
plaintiff.
IV. LEGAL ISSUES
Whether the Plaintiff is estopped from alleging
any nonpayment in that Plaintiff's records indicate there
was payment; they have produced no record or evidence that
there was no nonpayment (the Plaintiff has only made a mere
assertion of nonpayment) and by the Plaintiff processing the
title, transferring the vehicle registration and title and
delivering the title and the vehicle to the Defendant evidencing
that they had been paid, the Plaintiff is now barred from coming
to Court and asserting its claim.

VII. SETTLEMENT NEGOTIATIONS
The Plaintiff has demanded return of the vehicle; Defendant
refuses because he paid for same.

I. SUMMARY OF CASE I
On or about September 27, 1994, Plaintiff and Defendant
executed a purchase agreement (the "Purchase Agreement") whereby
Defendant agreed to pay to Plaintiff $22,767.00 (the "Sale
Price") for a new 1994 Ford Aerostar EXT XLT, vehicle
identification number lFMDA41XORZB36986 (the "Vehicle").
Defendant provided a check in the amount of $1,000.00 as a
deposit (the "Deposit Check"), so that the Plaintiff would "hold"
the Vehicle until September 29. 1994. Pursuant to the Purchase
Agreement, Defendant was required to deliver the balance of the
Sale Price or $21,767.00, to Plaintiff on September 29, 1994.
After the Purchase Agreement was executed by all parties, in the
early evening of September 27, 1994, Defendant contacted
Plaintiff indicating that he was no longer interested in
purchasing the vehicle. Defendant stopped payment of the Deposit
Check and failed to notify the Plaintiff of the same.
Thereafter, Defendant contacted Plaintiff indicating
that he had changed his mind regarding his purchase of the
Vehicle. Defendant agreed on September 29, 1994 to take
possession of the Vehicle pursuant to the terms of the Purchase
Agreement. As per the Purchase Agreement, the Defendant was
required to deliver the balance of the Sale Price or $21,767.00.
Plaintiff delivered the vehicle to Defendant as agreed, however
Defendant did not deliver the balance of the Sale Price.
On or about November 21, 1995, Plaintiff discovered
after an audit that Defendant had failed to provide payment to
Plaintiff on September 29, 1994, for the Vehicle.
II. STATEMENT OF ISSUES
1. Whether Defendant defaulted under the terms of the
Purchase Agreement?
2. Whether Defendant made payment for the Vehicle?
III. ARGUMENT
The Defendant is indebted to the Plaintiff pursuant to
an express agreement between the parties (the "Purchase
Agreement"). The Purchase Agreement clearly evidences an
obligation of the Defendant to deliver the Sale Price to the
Plaintiff in consideration for the Vehicle. The Defendant has
received the Vehicle, thus the Plaintiff has met its obligation
pursuant to the Purchase Agreement. Since the Defendant has
failed to make payment pursuant to the terms of the Purchase
Agreement, the Defendant has defaulted under the terms of the
Purchase Agreement.
Alternatively, if this court should find that no
expressed agreement existed between the Plaintiff and Defendant,

which is expressly denied, the Plaintiff requests that this court
impose liability for payment of the Vehicle on the Defendant
under a theory of unjust enrichment.
under Pennsylvania law, when a person receives a
benefit from another, and it would be unconscionable for the
recipient of the benefit to retain the benefit, the doctrine of
unjust enrichment requires a party to make restitution. The
equitable doctrine further imposes an obligation in the nature of
quasi contract on the recipient of the benefit. Peterson v.
Crown Financial Corooration, 661 F.2d 287 (3rd. Cir. 1961).
Quasi contracts may be found in absence of any expression of
assent by a party. Liability may be imposed in spite of the
party's intention. Martin v. Little Brown and Comoanv, 340 Pa.
Super. 424, 450 A.2d 1984 (1981).
The elements of unjust enrichment are: a benefit
conferred by Defendant; acceptance and retention of the benefit;
under such circumstances that it would be inequitable for the
Defendant to retain the benefit without payment of its value.
Wolf v. Wolf, 356 Pa. Super. 365, 514 A.2d 901 (1986).
In the case at bar, the Defendant has derived a
substantial benefit from the use of the Vehicle without providing
full compensation for the Vehicle to the Plaintiff. Since the
Defendant has received a benefit which Defendant has not
completely paid, equity dictates that the Defendant must make
payment for the Vehicle.

Gentlemen:
I am enclosing a copy of the Notice indicating that the arbitration hearing is
scheduled for Wednesday, January 24, 1995 at 9:30 a.m. and will take place in the 2nd
Floor Hearing Room of the Old Courthouse.
I have scheduled the hearing for 9:30 a.m. and reserved the hearing room for the
entire day, although I would not expect that the case will require a full day of testimony.
In reviewing the file, I note that in the Plaintiff's Pre.trial Memorandum, mention
was made of a legal issue regarding the admissibility of the results of the police
investigation, including lie detector tests. Judge Oler did not mention a resolution of the
issue in his Pre-Trial Order, so if this is going to be an issue at the arbitration hearing,
I would apprllciate it if both sides would provide briefs on the matter to the arbitrators
at least two days before the scheduled hearing.
In the event of bad weather, I would be inclined to continue the hearing upon the
request of either party, because it appears that many of the witnesses would have a
distance to travel. I believe that all three arbitrators reside in Carlisle, and therefore,
should be able to reach the hearing room without too much difficult. If you need to
request a continuance at the last minute, especially early on the hearing date because
of weather, please notify me and the other party as soon as possible. My home
