COMPLAINT
AND NOW, TO WIT, this.;l/>S::: day of February, 1995 comes the
Plaintiff, L. A. Freed Services, Inc. ("Freed") by and through
its attorneys MENGES & SNYDER, and files this Complaint and in
support thereof states as follows:
1. The Plaintiff, L. A. Freed Services, Inc. is a corpo-
ration duly authorized to conduct business under the law of this
Commonwealth whose business address is 309 Forge Court, Spring
Grove, York County, Pennsylvania, 17362.
2. The Defendant, McCoy Brothers, Inc., is a corporation
duly authorized to conduct business under the laws of this
Commonwealth and conducts business at P. O. Box "D", 217 pine
Road, Mt. Holly Springs, cumberland County, Pennsylvania, l7065.

3. On or about July 27, 1994 Plaintiff, Freed, entered
into a sub-contract with Defendant, McCoy Brothers, Inc., by and
through the signature of its agent, David H. Diehl, V.P. of
purchasing. A true and correct copy of said contract is at-
tached hereto, incorporated herein by reference, and marked
Exhibit "A."
4. Plaintiff, Freed, agreed to perform certain work set
forth in the sub-contract including, inter ~lia, to supply
materials and labor to install a roof.
5. Under the contract, Defendant, McCoy Brothers, Inc.,
agreed to pay Freed $37,900.00 for the performance of this work.
6. On or about September 30, 1994, Plaintiff, Freed, had
substantially completed performance under the terms of the
contract.
7. On or about November 1, 1994, Plaintiff, Freed, submit-
ted a change order to Defendant, McCoy Brothers, Inc., which
added $l,200.00 to the amount Defendant agreed to pay Plaintiff
under the contract. A true and correct copy of said Change
Order is attached hereto, incorporated by reference, and marked
Exhibit "B."

8. On or about December l, 1994, Defendant, McCoy
Brothers, Inc., informed the Plaintiff, Freed, of work Defendant
wanted Plaintiff to complete. A true and correct copy of this
letter is attached hereto, incorporated herein by reference, and
marked Exhibit "C."
9. Def~ndant, McCoy Brothers, Inc., informed Plaintiff,
Freed: "Fulfill your sub-contract and you will be paid." ~
Exhibit "C."
10. On or before December 20, 1994, plaintiff, Freed,
finished all four items addressed in Defendant, McCoy Brothers,
Inc., December 1, 1994 letter, attached hereto as Exhibit "C."
11. Defendant, McCoy Brothers, Inc., has paid Plaintiff,
Freed, $20,250.00.
l2. Defendant, McCoy Brothers, Inc., refused and continues
to refuse to pay Plaintiff, Freed, the balance owing under the
contract in the amount of $18,850.00.
COUNT I -- BREACH OF CONTRACT
13. Paragraphs 1 through l2 are incorporated herein as if
herein again set forth more fully hereinafter.
14. Plaintiff, Freed, has repeatedly demanded full payment
under the terms of the contract and for the work Plaintiff has
performed.

l5. Defendant, McCoy Brothers, Inc., continues to refuse
payment.
KBEREFORE, because of Defendant, McCoy'S, breach of con-
tract, the Plaintiff respectfully requests this Honorable Court
to enter judgment against the Defendant and for the Plaintiff as
follows:
l. $18,850.00;
2. Interest at the legal rate on the unpaid balance;
3. Attorney's fees; and
4. Costs incurred.
COUNT II BREACH OF CONTRACTOR AND SUBCONTRACTOR PAYMENT ACT
16. Paragraphs 1 through l5 are incorporated herein as if
herein again set forth more fully hereinafter.
17. Pursuant to the Contractor and Subcontractor Payment
Act, 73 P.S. section 505, Defendant, McCoy Brothers, Inc., as a
contractor, is required to pay Plaintiff, Freed, the subcontrac-
tor, for any items which have been satisfactorily completed.
18. Defendant, McCoy Brothers, Inc., failed to provide
timely and sufficient notice to both Plaintiff and the owner that
Plaintiff's, Freed, work was deficient and that Defendant, McCoy
Brothers, Inc., was withholding partial payment.

NOW COMES, McCOY BROS., INC., by its attorneys, Rhoads & Sinon, and files
the within Answer to Plaintiff's Complaint, as follows:
1. After reasonable investigation, McCoy Bros., Inc. Is without knowledge
or information sufficient to form a belief es to the truth of the averments of paragraph 1, and
proof thereof, If relevant, Is demanded at trial.
2. Admitted.
3. Admitted, except that the Subcontract Agreement incorporates by
reference all of the Contract Documents which are not attached to the Complaint as part of
Exhibit . A. .
4. Denied es stated. Pursuant to the Subcontract Agreement, Plaintiff
agraad:
To furnish all material, labor, aquipment and supervision to
complete Shingle Roof, Rubber Roof and Shaet Metal, per plans
and specifications....

6. Denied. To the contrary, Plaintiff has never substantially completed
performance under the contract plans and specifications.

8. Denlad as stated. It is admittad that McCoy wrote and sant the
Dacamber 1, 19941atter to Plaintiff. The letter is a written instrument which speaks for itself.
9. Admitted.
10. Denied. As set forth in the latter, Plaintiff is raquirad to supply McCoy
with "all bonds and warranties" as per the plans and specifications, and the specifications
provide that all Work must be approved by the Architect and accepted by tha Owner. In fact,
Plaintiff has not provldad McCoy with the bonds and warrantlas and the Work has been
rejected by the Architect as not conforming to the Plans and Specifications.

meterlals which met the requirements of the Plens end Specifications and that its failure to do
so would result In rejection of the Work.

WHEREFORE. Defendant, McCoy Bros., Inc., demands Judgment In Its favor.
dismissing the Complaint with prejudice, together with costs.

20. Plaintiff's Complaint falls to state a claim upon which relief cen be
grented.
21. Plaintiff failed to furnish all material. labor, equipment and supervision
to complete the Work In accordance with the Plens and Specifications.
22. Plaintiff has failed to provide bonds and warranties as required by the
Contract Documents.
23. Plaintiff's work was nonconforming and was rejected by the Architect.
24. Plaintiff used fastening and sealing materials which were not approved
equals.

25. Plaintiff fallad to provide experienced and skillad labor as required by the
Contract Documents.
COUNTERCLAIM
26. The averments of paragraphs 1 . 25 are incorporated herein.
27. In the performance of the Work. Plaintiff. Freed. used fastening and
sealing materials which were not equal to the materials required by the Plans and
Specifications and thase materials were not and will not be accepted by the Architect.
28. The fastaning and sealing matarials are of important and vital significance
i~ the installation of rubbar roofs. because use of inferior or unapproved materials can laad to
laaking conditions and watar infiltration into the structure.
29. Tha Contract Documents also require the installer to provide a specific
bond and warranty.
30. The failura on the part of Freed to use materials which meet the Plans
and Specifications. and the failure to provide the appropriate bond and warranty constitute
substantial and material breaches of the Contract Documents,
31. McCoy. as general contractor, will incur substantial cost and expense to
rectify the deficienclas in Freed's Work, for which cost and expense Freed is liable to McCoy.
The exact amount of McCoy's damages is not presently known.

WHEREFORE. McCoy Bros.. Inc. demends judgment in its favor and against
L.A.Fraed Services, Inc. for an amount in excess of Ten Thousand Dollars ($10,000.001
togathar with interest, costs and attorneys fees.

PLAINTIFF'S ANSWER TO NEW MATTER AND COUNTERCLAIM
AND NOW, TO WIT, this~~ay of March, 1995, comes the
Plaintiff, L.A. Freed Services, Inc. ("Freed") by and through its
attorneys, MENGES & SNYDER, and files this Answer to New Matter
and Counterclaim. Plaintiff incorporates herein the averments
contained in the Complaint and, furthermore, states as follows:
20. No response required as this is a conclusion of law.
2l. Denied. By way of further response, Plaintiff provided
all material, labor, equipment and supervision in accordance with
the Plans and Specifications.
22. Admitted in part and denied in part. It is admitted
that Plaintiff has not provided a warranty to the Defendant. It
is specifically denied that Plaintiff is responsible to provide
any bond or bonds under the contract. It is further denied that
Plaintiff is entitled to any warranty at this time.
23. Denied. By way of further response, Architect did
render approval to material installed by Plaintiff. Furthermore,

Plaintiff's work did substantially conform to the contract and
otherwise is acceptable in the particular trade and industry.
24. Denied. Plaintiff used materials as required by the
contract specifications.
25. Denied. By way of further response, work performed by
Plaintiff and/or Plaintiff's employees was of a quality
sufficient to receive an indication of "acceptable" from the
manufacturer, and was otherwise acceptable within standards of
the given trade and industry.
COUNTERCLAIM
26. The averments of the Complaint and paragraphs 20 - 25
herein are incorporated by reference as if more fully set forth
"
hereinafter.
27. Denied.
2B. Admitted in part and denied in part. It ie admitted
that fastening and sealing materials are important and
significant in the installation of rubber roofs. It is denied
that this averment contains material facts regarding Plaintiff,
Plaintiff's performance, or the reeult of Plaintiff's work.
29. Denied. The contract is a document with legal
significance and, therefore, speaks for itself.
30. No response required as averments of contract breaches
are legal averments. To the extent that these averments are
deemed factual, however, they are specifically denied.
