COMPLAINT
l. Plaintiff, CONCORD FINANCIAL SERVICES, INC., is a corporation
organized and existing under the laws of the State of New York and doing
business at P.O. BOX 9002, MELVILLE, NY.
2. Defendants, JAMES AND DELLA BENSON, are believed and therefore
averred to be individual domiciliaries of the Commonwealth of Pennsylvania,
and residing at 38 CARDINAL DRIVE, CARLISLE, PA 17013.
3. At the special instance and request of Defendants, Plaintiff sold
and delivered to Defendants goods as set forth in the Contract and Customer
Receipt between Colorado Prime Corporation and Defendants, and the ledger
records of Plaintiff. True and correct copies of which are attached hereto,
incorporated herein by reference and designated Exhibit "1".
4. Said contract was assigned to Concord Financial Services, Inc.,
Plaintiff herein, on or about January 22, 1993. A true and correct copy of
said assignment is attached hereto, incorporated herein by reference, and
designated Exhibit "2".
5. Defendants received and accepted the goods described in Exhibit" 1".
6. The prices set forth in Exhibit "1" are the fair, reasonable and
market prices for said goods, and the prices which Defendants agreed to pay.
7. All credits, if any, to which Defendants are entitled, are set
