COMPLAINT
NOW comes the plaintiff, by its attorneys, Harold S. Irwin, III, Esquire, and files this
complaint, representing as follows:
I. The plaintiff is Adam Wholesalers of Carlisle, Inc., Pennsylvania corporation with
principal offices located at 1627 Ritner Highway, Carlisle, Cumberland County, Pennsylvania
17013,
2. The defendant Allegheny Millwork, Inc., is a Pennsylvania corporation with
principal offices located at 1001 Muriel Street, Pittsburgh, Pennsylvania 15203.
3. The defendant Mistick, Inc., is a Pennsylvania Corporation with principal offices
located at
4. The defendant D. Thomas Mislick, is an adult individual with a business address at
1001 Muriel Street, Pittsburgh, Pennsylvania 15203.
5. On the dates indicated on the statement of account attached hereto as Exhibit "A"
and incorporated herein by reference, defendants ordered and plaintiff delivered to defendants
various building materials as indicated on the statement.
6. The prices charged for said building materials were the usual and ordinary prices
therefor and the prices which defendants agreed to pay.
7. The tenus of sale to which defendants agreed were, and the invoices forwarded to
defendants by the plaintiff provided that, payment was to be made by defendants to plaintiff within
forty-five (45) days and that service charges at the rate of2% per month would be charged on the
unpaid balance after forty-five (45) days. A copy of plaintiff's tenus and conditions of sale is
incorporated herein by reference and attached hereto as Exhibit "B".
7. Defendant Mistick, Inc. guaranteed payments for all materials purchased by
defendant Allegheny Millwork, Inc. and defendant D. Thomas Mistick personally guaranteed such
payments as shown on the guaranty agreement, a copy of which is incorporated herein by
reference and attached hereto as Exhibit "C".
8. The aforementioned personal guarantee also provided that defendants agreed that
any suit to collect unpaid amounts on this account may be brought in the county of domicile of the
plaintiff and defendants also agreed therein to pay all collection costs, attorney fees and court
costs, as reference to Exhibit "c" will show.
9. There remains a balance due of $6,696.13, plus service charges of2% per month
on the unpaid balance from the date of tile last invoice until the date of full payment.
VERIFICATION
I hereby verifY that I am the manager of the credit department of the plaintiff in this action,
that I am authorized to execute this affidavit and that the facts in stated in the above amended
complaint are true and correct. I understand that false statements herein are made subject to the
penalties ofPa.C.S. Section 4904, relating to unsworn falsification to authorities.

DEFENDANT'S NEW MATTER AND COUNTERCLAIM
NOW, comes the plaintiff, Adam Wholesalers of Carlisle, Inc., by its attorney, Harold S.
Irwin, III. Esquire. and resJlonds to the defendant's new matter and counterclaim as follows:
NEW MATTER
II. The averments offact contained in paragraph eleven of the defendants' new matter
are conclusions of law to which no response is required. However, to the extent that a response
may be required, these averments are specifically denied as a blatant abuse of the processes of this
Court and a knowing and outright misapplication of the law to the facts as averred in the
complaint. Plaintiff has averred that it shipped certain goods and materials to defendants pursuant
to their specific order and request and in accordance with certain specific terms, conditions and
guaranties. Plaintiff has further averred that defendants, after numerous request from plaintiff,
have refused to pay for said items and that a balance therefor remains due and owing to plaintiff.
Accordingly, contrary to the averments of this paragraph of defendants' new matter, plaintiff has
fully stated a claim upon which relief may be granted.
12. The averments of fact contained in paragraph twelve of the defendants' new matter
are specifically denied. To the contrary. defendants ordered all of the goods and materials which
plaintiff shipped to defendants, which goods and materials were custom made to defen(lants'
specifications and were acceptable and satisfactory to defendants upon delivery. By way of
further response, plaintiff avers that after receipt and acceptance of such goods and materials,
defendants discovered that they had ordered more goods and materials than needed and requested
that they be permitted to return various items. Plaintiff denied this request as the goods and
materials were custom made and not suitable for resale to other customers of plaintiff.
13. The averments of fact contained in paragraph thirteen of the defendants' new
matter are specifically denied. To the contrary. all goods and materials delivered by plaintiff to
defendants were custom made to defendants' specifications and were acceptable and satisfactory
to defendants upon delivery. By way of further response, plaintiff avers that after receipt and
acceptance of such goods and materials, defendants discovered that they had ordered more goods
and materials than needed and requested that they be permitted to return various items. Plaintiff
denied this request as the goods and materials were custom made and not suitable for resale to
other customers of plaintiff.
14. The averments of fact contained in paragraph fourteen of the defendants' new
matter are specifically denied. Plaintiff had no duty to pick up any of the goods or materials
shipped to defendants. To the contrary, all goods and materials delivered by plaintiff to
defendants were custom made to defendants' specifications and were acceptable and satisfactory
to defendants upon delivery. By way of further response, plaintiff avers that after receipt and
acceptance of such goods and materials, defendants discovered that they had ordered more goods
and materials than needed and requested that they be pennitted to return various items. Plaintiff
denied this request as the goods and materials were custom made and not suitable for resale to
other customers of plaintiff.
15. The avennents offact contained in paragraph fifteen of the defendants' new matter
are specifically denied. To the contrary, all goods and materials delivered by plaintiff to
defendants were custom made to defendants' specifications and were acceptable and satisfactory
to defendants upon delivery. By way of further response, plaintiff avers that after receipt and
acceptance of such goods and materials, defendants discovered that they had ordered more goods
and materials than needed and requested that they be permitted to return various items. Plaintiff
denied this request as the goods and materials were custom made and not suitable for resale to
other customers of plaintiff. Accordingly, no credit is due to defendants for such goods except as
hereinafter described in plaintil1's responses to defendants new maller, paragraphs seventeen
through nineteen, inclusive, and to defendants' counterclaim, paragraph twenty.
16. The averments of fact contained in paragraph sixteen of the defendants' new
mailer are specifically denied, To the contrary, defendants do owe certain monies to plaintiff as
set forth in plaintil1's complaint and as modified by plaintil1's responses to defendants new matter,
paragraphs seventeen through nineteen, inclusive, and to defendants' counterclaim, paragraph
twenty,
17. The avenuents of fact contained in paragraph seventeen of the defendants' new
mailer are admilled in part and denied in part. It is admilled that plaintiff does owe to defendants
certain credits as set forth in plaintil1's responses to defendants new matter, paragraphs eighteen
and nineteen, and to defendants' counterclaim, paragraph twenty. It is denied that defendants'
credits set-off all ofplainti!rs present claim as set forth in plaintil1's complaint and as modified by
plaintiff's responses to defendants new maller, paragraphs eighteen and nineteen, and to
defendants' counterclaim, paragraph twenty.
18. The averments of fact contained in paragraph eighteen of the defendants' new
mailer are admitted in part and denied in part. It is denied that plaintiff has waived all interest
charges claimed. To the contrary, plaintiff has agreed to waive only 50% of the total of
$ 1,782.50 in interest charges owed by defendants to plaintiff, for a total credit as to interest
charges in the sum of $891.25. plus one-half of the interest charges that have been accumulating
and which shall continue to accumulate since the date of the last invoice.
19. The averments of fact contained in paragraph nineteen of the defendants' new
matter are admitted.
WHEREFORE, plaintiff demands judgment against the defendants in the sum of
$6,696.13, as demanded in plaintiffs complaint, less a credit of $891.25 for one-half of the
interest charges, as stated in plaintiffs response to defendants' new matter. paragraph eighteen
above, and a credit of $2,221.49, as stated in plaintiffs response to defendants' new matter,
paragraph nineteen above. for a total balance remaining due of$3,583.39, plus interest charges of
1% per month from the date of the last invoice,
COUNTERCLAIM
20. The averments of paragraph twenty of defendants' counterclaim are specifically
denied. To the contral)', the total credits due to defendants amount to $3,112.74, leaving a total
balance due of$3,583.39, plus interest charges of 1% per month from the date of the last invoice,
as demanded in plaintiffs complaint, as modified by plaintiffs responses to defendants new
matter, paragraphs seventeen through nineteen, above.

5. Denied as stated. Exhibit "A" is an invoice
referencing a sale of various building materials to Allegheny
Millwork, Inc. ("Allegheny Millwork"). Such materials were ordered by
Allegheny Millwork and delivered to Allegheny Millwork by Plaintiff.
6. Denied as stated. Allegheny Millwork agreed to pay for
the building materials delivered in accordance with the parties'
agreement which included credits for returned materials. Defendants
presently lack information or knowledge eufficient to form a belief as
to the truth of the averment that the prices charged by Plaintiff
"were the usual and ordinary prices therefor."
7. Denied. Defendants did not agree to Plaintiff's terms
and conditions of sale as attached to the Complaint as Exhibit "B" and
described in Paragraph 7 of the Complaint.
7. (sic) Admitted in part and denied in part. Admitted
that a true and correct copy of the referenced guaranty is attached to
the Complaint as Exhibit "C." All other allegatione contained in
duplicate Paragraph 7 of the Complaint are denied by reason of the
fact that the Guaranty is a legal document that speaks for itself.
All characterizations, interpretations and implications made by
Plaintiff are denied.
B. Admitted in part and denied in part. Admitted that a
true and correct copy of the referenced guaranty is attached to the

Complaint as Exhibit "C." All other allegations contained in
Paragraph 8 of the Complaint are denied by reason of the fact that the
Guaranty ie a legal document that speaks for itself. All
characterizations, interpretations and implications made by Plaintiff
are denied.
9. Denied. Denied that there is any amount due and owing
to Plaintiffs. Defendants had accumulated credits due and owing from
Plaintiff in excess of the Six Thousand Six Hundred Ninety-six and
13/100 ($6,696.13) Dollars now claimed by Plaintiff.
10. Admitted in part and denied in part. Admitted that
Plaintiff has demanded that Defendants pay the Six Thousand Six
Hundred Ninety-six and 13/100 ($6,696.13) Dollars. Denied that such
amount is due and owing and/or that Defendants have wrongfully refused
or neglected to pay the said amount. To the contrary, no amount is
due and owing to Plaintiff by reason of the accumulated credits owed
to Defendants by Plaintiff for returned goods.
WHEREPORE, Defendants, having fully answered Plaintiff's
Complaint, demand that Plaintiff's Complaint be dismissed and that
judgment be entered in favor of Defendants and against Plaintiff,
together with costs and such other relief that the Court deems just
and equitable.

11. Plaintiff's Complaint fails to state a claim upon which
relief can be granted.
12. Defendant Allegheny Millwork has ordered goods and
materials from Plaintiff in excess of the amount of Plaintiff's claim.
These goods were not acceptable and/or satisfactory to Defendant
Allegheny Millwork and pursuant to the terms of the sale, Defendant
Allegheny Millwork was due and owing a credit from Plaintiff.
13. Defendants notified Plaintiff of such deficiencies and
requested that Plaintiff pick up the goods referenced in Paragraph 12,
SUDra.
14. Notwithstanding such request, Plaintiff wrongfully and
improperly refused and failed to pick up the deficient goods.
15. Defendant Allegheny Millwork is due and owing a credit
from Plaintiff in excess of the amount of Plaintiff's claim.
16. Consequently, Defendants do not owe Plaintiff any
amount for the goods referenced in the invoice attached as Exhibit "A"
to Plaintiff's Complaint.

17. The credit amount owed to Plaintiff by Defendant
Allegheny Millwork acts as a set-off against Plaintiff's present
claim.
18. plaintiff has waived any and all interest charges
claimed.
19. Defendant Allegheny Millwork made payment to Plaintiff
on February 17, 1995, in the amount of Two Thousand Two Hundred
Twenty-one and 49/100 ($2,221.49) Dollars.
COUNTERCLAIM
20. As a result of total credits due for returns and
finance charges, Plaintiff owes Defendant Allegheny Millwork the sum
of Nine Hundred Fifty-six and 53/100 ($956.53) Dollars. See Exhibit
IlA.1I
WHEREPORE, Defendants, having fully answered Plaintiff's
Complaint, demand that Plaintiff's Complaint be dismissed and that
judgment be entered in favor of Defendants and against Plaintiff,
