PLAINTIFF'S MOTION TO MAKE RULE TO SHOW CAUSE ABSOLUTE
3. On March 17, 1995. this Court issued a rule on
Resolution Trust Corporation, receiver for Homestead
Federal Savings Association, successor in interest to Homestead
Savings Association (hereafter "Plaintiff"), by its counsel,
respectfully moves this Court to make absolute the Rule to Show
Cause which was issued in the above-captioned matter on March 17,
1995, and in support states the following:
1. Plaintiff filed a Complaint For Confession of
Judgment Under PA. R. civ. P. 2951 on March 16, 1995.
2. Pursuant to the foregoing Complaint, Judgment was
entered in favor of Plaintiff on March 16, 1995.
Oefendants Cumberland Business Park Associates and Winding Hill,
Inc. and Homestead Service Corporation, general partners
(hereafter "Oefendants"). to show cause why Plaintiff should not

be entitled to commence execution on the Judgment, returnable 10
days from the date of service.
4. Counsel for Plaintiff caused a copy of the rule to
be served on Oefendants by certified mail return receipt
requested, Cumberland Business Park Associates and Winding Hill,
Inc" received the rule on March 27, 1995, and Homestead Service
Corporation received the rule on April 6, 1995. True and correct
copies of the return receipts are attached as Exhibit "A",
5. Defendants have failed to answer the motion of the
Plaintiff.
WHEREFORE, Resolution Trust Corporation, receiver for
Homestead Federal Savings Association, successor in interest to
Homestead Savings Aesociation, requests that this Court make the
Rule to Show Cause absolute and grant the Motion confirming the
right of the Resolution Trust Corporation, receiver for Homestead
Federal Savings Association, successor in interest to Homestead
Savings Association, to commence execution on the Judgment.

Resolution Trust Corporation, receiver for Homestead
Federal Savings Association, successor in interest to Homestead
Savings Association, by and through its counsel Reed Smith Shaw
and McClay, submits this complaint in confession of judgment, and
avers in support thereof as follows:
PARTIES
1, Plaintiff is the Resolution Trust Corporation, a
corporation organized and existing under the laws of the United
States, in its capacity as receiver for Homestead Federal Savings
Association, successor in interest to Homestead Savings
Association.
2. Oefendant Cumberland Business Park Associates is a
Pennsylvania general partnership comprised of two general
partners: Oefendant Winding Hill, Inc. and Oefendant Homestead
Service Corporation, Cumberland Business Park Associates has an
office and principal place of business at 6570 Carlisle Pike,
Mechanicsburg, PA 17055.
3, Oefendant Winding Hill, Inc. is a Pennsylvania
corporation with principal place of business located at 6570
Carlisle Pike, Mechanicsburg, Pennsylvania 17055.
4. Oefendant Homestead Service Corporation is a
Pennsylvania corporation with principal place of business located
at 120 South Union Street, Middletown, Pennsylvania 17057,
FACTUAL AVERMENTS
5, On or about Oecember 17, 1990, Defendant Cumberland
Business Park Associates and its general partners Winding Hill,
Inc, and Homestead Service Corporation, entered into and executed
a mortgage note (the "Note") in favor of Homestead Savings
Association in the original principal amount of $4,110,000. A
true and correct copy of the Note is attached hereto as Exhibit
"A" and is made a part hereof.
6, The Note contains the warrant of attorney upon which
the judgment is confessed.
7. The Note provides for confession of judgment against
Oefendants in any court in the Commonwealth of Pennsylvania or
elsewhere,

8. The obligations of the Note are secured by a mortgage
(hereinafter referred to as the "Mortgage") dated Oecember 17,
1990 executed by Oefendants Winding Hill, Inc. and Homestead
Service Corporation as general partners in Oefenda~t Cumberland
Business Park Aesociates in favor of Homestead Savings
Association, which was recorded on Oecember 18, 1990 by the
Recorder of Oeeds of Cumberland County at Mortgage Book No. 999,
Page 394. A true and correct copy of the Mortgage, which contains
a .property description of the real estate which secures the
obligations of the Note, is attached hereto as Exhibit "B" and
incorporated herein by this reference.
9. By Order No. 91-520 dated August 30, 1991 (the "OTS
Order"), the Director of the Office of Thrift Supervision,
Oepartment of the Treasury (the "OTS"), closed Homestead Savings
Association.
10, By the OTS Order, the Resolution Trust Corporation
("RTC") was appointed as Receiver of Homestead Savings Association
(in such capacity, the "Receiver"),
11. The Receiver took possession of Homestead Savings
Association on August 30, 1991 and succeeded to all the rights,
titles, powers and privileges of Homestead Savings Association
pursuant to 12 U,S.C, ~1821(4) (2) by reference through 12 U.S.C.
U441a (b) (4) .
12. By the OTS Order, Homestead Federal Savings
Association, a federally chartered mutual savings association, was
organized to take over such assets or such liabilities of

Homestead Savings Association as the Receiver determined to be
appropriate.
13. On August 30, 1991, the Receiver and Homestead
Federal Savings Association entered into a Purchase and Assumption
Agreement whereby Homestead Federal Savings Association accepted
from the Receiver an assignment and the Receiver sold, assigned,
transferred, conveyed and delivered to Homestead Federal Savings
Association without recourse the right, title and interest of the
Receiver in and to certain assets of Homestead Savings
Association, including all assets and claims possessed by
Homestead Savings Association regarding Winding Hill, Inc. and
Homestead Service corporation trading as Cumberland Business Park
Associates, the Note and the Mortgage.
14, By OTS Order, the director of the OTS appointed RTC
as Conservator of Homestead Federal Savings Association, successor
to Homestead Savings Association (in such capacity, the
"Conservator"). The Conservator took possession and charge of
Homestead Federal Savings Association on August 30, 1991.
15. By OTS Order, the director of the OTS appointed RTC
as Receiver of Homestead Federal Savings Association, successor to
Homestead Savings Association.
16. Oefendants have defaulted on their obligations to
make payments due pursuant to the Note and Mortgage by their
failure to make the monthly payments of principal and interest in
accordance with the Note and Mortgage.
17. By letter dated September 30, 1994 Christopher
Zettlemoyer, acting on behalf of and as agent for the Plaintiff,

notified Defendants Cumberland Business Park Associates, Winding
Hill, Inc, and Homestead Service Corporation that they were in
default under the terms of the Note and Mortgage. In the letter,
the Oefendants Cumberland Business Park Associates, Winding Hill,
Inc, and Homestead Service Corporation were advised of Plaintiff's
intention to accelerate the loan if it did not receive payment of
$3,905,391.63, the amount then due and owing, by September 30,
1994. A true and correct copy of the letters are attached hereto
as Exhibit "C",
18. Defendants Cumberland Business Park Associates,
Winding Hill, Inc. and Homestead Service Corporation have failed
to make payment as demanded in Exhibit "C".
19. Pursuant to the terms of the warrant of attorney
contained in the Note, judgment may be entered by confession
against Defendants for all monies due pursuant to the Note and
Mortgage,
20, Pursuant to the terms of the Note, upon default,
Plaintiff is entitled to an attorney's commission of 10% of the
total amount due.
21, Pursuant to the terms of the Note, if any payment due
under the Note is not received when due, the outstanding principal
amount of the Note will bear interest at a rate of 20% per year
from the date of default,
22, As a result of the default of Oefendants, the full
amount of Defendants' obligations under the terms of the Note and
Mortgage are due currently to Plaintiff.

This Note, the Mortgage and any Security Agreement between Maker and
Payee, ara somatimes referred to herein collectively as the "Loan Documents.,

any term, and therein to confess or enter judgment against Maker for the
entire unpaid principal of this Note and all other sums paid by Payee to or on
behalf of Maker pursuant to the terms of the Loan Documents, and all arrear-

secured by the Loan Documents, attorney's commission of ten percent (10') for

MOTION FOR ORDER CONFIRMING EXECUTION
ON CONFESSED JUDGEMENT
Plaintiff, Resolution Trust Corporation, receiver for
Homestead Federal Association, successor in interest to Homestead
Savings Association (the "RTC"), by its attorneys, Reed Smith Shaw
& McClay, hereby moves this court for the entry of an Order
confirming that the RTC is entitled to commence execution on the
Judgement entered in this case, and assigns therefore the
following reasons:
1. On March /6, 1995, the RTC, as plaintiff,
commenced this action by filing a Complaint In Confession of
Judgment under Pa. R.C.P. 2951 (the "Complaint"), requesting
judgment against Defendants in the amount of $4,295,930.79 p]us
interest of $1,426.63 per diem from September 30, 1994.
2. Pursuant to the Complaint, Entry of Appearance and
Confession of Judgment for damages, judgment was entered against
Defendants on March J~ 1995 in the aforementioned amount
requested (the "Judgment").
3. Plaintiff is entitled to commence execution upon the
Judgment pursuant to Pa. R.C.P. Nos. 3102 and 3103, and Plaintiff
wishes to commence such execution immediately. However, Plaintiff
seeks an Order of this Court, pursuant Pa. R.C.P. Nos. 3102 and
3118, confirming Plaintiff's authority to commence execution.
Plaintiff reserves the right to commence execution at any time
before or after the holding of any hearing or the entry of the
Order requested by Plaintiff herein. This Motion and the relief
requested herein shall in no way stay execution on the Judgment.
WHEREFORE, Plaintiff respectfully prays this Court for
an Order confirming that it is entitled to commence execution on
the Judgment, and granting such other relief as may be deemed

To satisfy the judgment, interest and costs against
Cumberland Business Park Associates, Winding Hill, Inc. and
Homestead Service Corporation (hereinafter sometimes collectively
referred to as "Defendants"),
(1) you are directed to levy upon the property of the
Defendants to sell their interest therein;
(2) you are also directed to attach the property of the
Defendants not levied upon in the possession of the Lawrence E.
Welker, prothonotary, cumberland County Courthouse, Carlisle,
Pennsylvania 17013 as garnishee, said property to include the
following:
All bank accounts, time deposits and accounts of any
kind whatsoever held for the benefit of or in the name:
or names of Cumberland Business Park Associates, Winding
Hill, Inc. and Homestead Service Corporation,
individually or jointly

and to notify the garnishee that
(a) an attachment has been issued;
(b) the garnishee is enjoined from paying any debt
to or for the account of the Defendants and from delivering any
property of the Defendants or otherwise disposing thereof;
(3) if property of the Defendants not levied upon and
subject to attachment is found in the possession of anyone other
than a named garnishee, you are directed to notify him that he has
been added as a garnishee and is enjoined as above stated.
