AND ANSWER TO COUNTERCLAIM
AND NOW, this ~c::;--tt.. day of July, 1995, comes Plaintiff,
Commercial Industrial Realty Co., by its attorneys, Knupp & Kodak,
P.C., and replies to Defendant's New Matter and answers Defendant's
Counterclaim as follows:
REPLY TO NEW MATTER
1. Admitted and denied. It is admitted that the Plaintiff
is a broker as defined in the referenced statute. It is denied
that the section referred to deals with licensing (See, 65 P.S.
S455.401).
2. Admitted and denied. It is admitted that Plaintiff is a
broker as defined in the referenced statute. It is denied that all
the services that were provided were services defined' by the
statute (63 P.S. S455.201 ("broker")).

3. Denied. Plaintiff has stated a legal conclusion which
needs no further response.
4. Denied as stated. Defendant I s attempt to summarize a
written exhibit is inherently misleading. The exhibit speaks for
itself. Further, the document attached to Defendant's Answer as
Defendant I s Exhibit "A" is nothing more than a first draft of a
document written by Defendant for Defendant's purposes; the
document was never signed by either party.
5. Denied. Plaintiff's contract with Defendant was based
upon an oral agreement and the confirmation of that Agreement by a
letter. Defendant I s listing agreement IDefendant I s Exhibit "A")
was not accepted by Plaintiff.
6. Denied. Plaintiff terminated its services for Defendant
for good cause before any condemnation appraisal was performed and
before any proceeding took place.
7. Denied. There is no Defendant's Exhibit "B" attached to
the Defendant I s pleading. Therefore, Plaintiff cannot further
respond to the allegation; if another response is required, by law,
Plaintiff denies that it terminated its relationship with Defendant
without justification or cause or before it fully performed any
contractual duties that are alleged to have been agreed to between
the parties.

8. Denied. Defendant has stated a legal conclusion which
requires no further answer. If a further answer is required, the
reply to paragraph 7 is incorporated herein by reference.
9. Denied. Defendant did not fully perform under the terms
of the parties' agreement. Defendant failed to pay Plaintiff for
its services.
10. Denied. Defendant could not have incurred an additional
cost if in fact the cost of obtaining an appraisal was a market
cost and a cost not billed by the Plaintiff to the Defendant.
11. Denied. Defendant has claimed set-offs without
specifying what set-offs might exist and without specifically
describing how those alleged set-offs affect Plaintiff's claim.
12. Denied. Defendant cannot enforce an arbitration clause
in a document, drafted by Defendant, that was not signed by the
Plaintiff or the Defendant.
13. Denied. The response to paragraph 12 is incorporated by
reference.
14. Denied. The response to paragraph 12 is incorporated by
reference.

WHEREFORE, plaintiff requests this Honorable Court to award
Plaintiff the compensation which it has earned.
COUNTERCLAIM - MISREPRESENTATION
15. Denied. Defendant has stated a legal conclusion without
providing any basis therefor. Plaintiff demands that Defendant
produce evidence at trial to prove its allegation which Plaintiff
denies.
16. Denied. Defendant I s assertion is based upon a legal
conclusion which requires no further response.
17. Admitted.
18. Admitted and denied. It is admitted that Plaintiff
recommended that Defendant meet with Joseph Klein, Esquire, an
attorney known throughout Central Pennsylvania for his expertise in
condemnation proceedings. By way of further answer, plaintiff has
no way of knowing what discussions ensued between Defendant and Mr.
Klein.
19. Denied. Plaintiff is in no position to know what
discussions ensued between Mr. Klein and the Defendant or any
representative of the Defendant since such discussions would be
confidential and a part of any attorney/client relationship.

20. Denied. Several weeks after Mr. Klein and the Defendant
met, to the best of Plaintiff's knowledge, Plaintiff learned that
Defendant wished to hire another attorney. Plaintiff did not sever
its relationship immediately but waited until Plaintiff learned of
the identity of the substituted attorney. At that time, Plaintiff
terminated its relationship with Defendant because Plaintiff felt
that it could not work in an expert witness capacity with a lawyer
less skilled in the field of condemnation law than Attorney Klein.

21. Denied.
Plaintiff did not disclose a business or
financial relationship with Attorney Klein because Plaintiff has no
business or financial relationships with Attorney Klein other than
the fact that one of Plaintiff I s representatives as an expert
witness in condemnation proceedings has, in the past, worked in
conjunction with Attorney Klein in certain condemnation cases.
Plaintiff simply recommended Attorney Klein to Defendant based upon
its knowledge that Attorney Klein is the best attorney in Central
Pennsylvania in the field of condemnation proceedings.
22. Denied.
The answers to Defendant's allegations in
paragraph 7 through 21 above are incorporated herein by reference.
In further response, Plaintiff had nothing to disclose to Defendant
as averred above.

COMPLAINT
1. Plaintiff is Commerical Industrial Realty Co., a Pennsylvania
corporation having its offices at 1015 Mumma Road, Wormleysburg, Pennsylvania
17043 (hereinafter "CIR").
2. Defendant is Shadrall Associates, a New York general partnership,
by Shadrall Corporation, its managing general partner, having an address at
372 Wash;;'ngton Street, Wellesley, Massachusetts 0218l
"Shadrall").

3. Shadrall is represented in this case by William D. GOldberg,
Esquire, who has appeared on behalf of Shadrall. Mr. Goldberg's address is
R.D. 2, Box 783G, Holtzschwamm Road, Thomasville, Pennsylvania 17364.
4. On or before October 6, 1994, a representative of Shadrall, Ben
Dulman, being authorized to contract for Shadrall, engaged CIR for consulting
work relating to a certain property owned or believed to be owned by Shadrall
in Harrisburg, Pennsylvania, known as the McCrory Store (hereinafter "McCrory
property" ) .

5. A true and correct copy of a letter of engagement dated October 7,
1994 is attached hereto and made a part hereof as Exhibit "A."
6. On or about October 27, 1994, pursuant to a additional
instructions, CIR rendered an hourly accounting of work that had been
performed on the McCrory property. A copy of the cover letter and billing is
attached hereto as Exhibit "B" and Exhibit "C."
7. The services that were rendered were performed at rates varying
between One Hundred Seventy-Five Dollars ($175.00) and Two Hundred Twenty-
Five Dollars ($225.00) per hour. A copy of the hand drafted accounting for
services is attached hereto as Exhibit "0" showing the total of services
performed in the sum of Two Thousand One Hundred Thirty-Seven Dollars and
Fifty Cents ($2,137.50).
8. After the internal preparation of Exhibit "0" took place, an
invoice dated October 28, 1994 was forwarded to Hr. Dulman, representative
for the Defendant. A copy of the invoice forwarded is attached hereto as
Exhibit "E."
9. The services that were rendered were reasonable and required by
Shadrall.
10. Demand has been made for payment by Shadrall and, at all times
heretofore, Shadrall has refused to make payment of the services rendered.

WHEREFORE, Plaintiff brings this suit for the sum of TWo Thousand One
Hundred Thirty-Seven Dollars and Fifty Cents ($2,l37.50) together with the
cost of this proceeding.

COMPLAINT
1. Plaintiff is Commerical Industrial Realty Co., a Pennsylvania
corporation having its offices at 1015 Mumma Road, Wormleysburg, Pennsylvania
17043 (hereinafter "CIR").
2. Defendant is Shadrall Associates, a New York general partnership,
by Shadrall Corporation, its managing general partner, having an address at
372 Washington Street, Wellesley, Massachusetts 02181
(hereinafter
"Shadrall").
3 . Shadrall is represented in this case by William D. GOldberg,
Esquire, who has appeared on behalf of Shadrall. Mr. Goldberg's address is
R.D. 2, Box 783G, Holtzschwamm Road, Thomasville, Pennsylvania 17364.
4. On or before October 6, 1994, a representative of Shadrall, Ben
DUlman, being authorized to contract for Shadrall, engaged CIR for consulting
work relating to a certain property owned or believed to be owned by Shadrall
in Harrisburg, Pennsylvania, known as the McCrory Store (hereinafter "MCCrory
property") .

5. A true and correct copy of a letter of engagement dated October 7,
1994 is attached hereto and made a part hereof as Exhibit "A."
6. On or about October 27, 1994, pursuant to a additional
instructions, CIR rendered an hourly accounting of work that had been
performed on the McCrory property. A copy of the cover letter and billing is
attached hereto as Exhibit "B" and Exhibit "C."
7. The services that were rendered were performed at rates varying
between One Hundred Seventy-Five Dollars ($175.00) and Two Hundred Twenty-
Five Dollars ($225.00) per hour. A copy of the hand drafted accounting for
services is attached hereto as Exhibit "0" showing the total of services
performed in the sum of Two Thousand One Hundred Thirty-Seven Dollars and
Fifty Cents ($2,137.50).
8. After the internal preparation of Exhibit "0" took place, an
invoice dated October 28, 1994 was forwarded to Mr. DUlman, representative
for the Defendant. A copy of the invoice forwarded is attached hereto as
Exhibit "E."
9. The services that were rendered were reasonable and required by
Shadrall.
10. Demand has been made for payment by Shadrall and, at all times
heretofore, Shadrall has refused to make payment of the services rendered.

WHEREFORE, Plaintiff brings this suit for the sum of Two Thousand One
Hundred Thirty-Seven Dollars and Fifty Cents ($2,137.50) together with the
cost of this proceeding.

undersigned, Samuel A. Gates, Esquire, 250 York Street,
Hanover, Pennsylvania 17331, is entering his appearance on
behalf of Defendant.

admitted that Ben Dulman is a representative of Shadrall
and is authorized to contract for Shadrall. It is further
admitted that Shadrall does own property in Harrisburg,

Pennsylvania, formerly occupied by a McCrory store. It is
denied that Ben Dulman engaged CIR for consulting work
relating to McCrory property. Any implication that Ben
Dulman contracted with CIR is specifically denied. It is
admitted that Shadrall and crR entered into negotiations
for brokerage services to be performed by CIR for the
McCrory property, but said negotiations never resulted into
the formation of a contract, either exprees, implicit or
otherwise.
5. Denied. Defendant denies that Exhibit A is a
letter of engagement but rather the letter expresses
Defendant's intent should Plaintiff execute the referenced
Listing Agreement. Plaintiff never executed the Listing
Agreement; therefore, the parties were never contractually
bound.

admitted that Plaintiff rendered an hourly accounting of
work allegedly performed by Plaintiff as evidenced by
Exhibits Band C. Any implication that any work performed
by Plaintiff was pursuant to a contract or that the work

condemnation appraisals. (See paragraph l(e) of Exhibit A).
6. As evidenced by Plaintiff's Exhibit C, Plaintiff
did not perform the services described in Paragraph 5 above
in that Plaintiff never provided a condemnation appraisal
nor provide expert testimony.
7. without justification or cause, Plaintiff
unilaterally and without cause terminated the parties'
relationship (See Defendant's Exhibit B) before fully
performing its duties as required under the contract.
8. Plaintiff's premature termination of the contract
was a material breach of the contract.
9. At all times relevant hereto, Defendant fully
performed under the terms of the parties' contract.
10. As a direct consequence of Plaintiff's breach,
Defendant was required to contract with weinstein Appraisal
Group at a cost of $2,500.00 to provide a condemnation
opinion on the McCrory property.
11. Any monies Plaintiff claims due and owing is
exceeded and set-off by the cost Defendant incurred to

13. This Court is without personal or subject matter
jurisdiction by virtue of the allegations in Paragraph 10

14. By virtue of the allegations in Paragraph 10
above, the thirty (30) day statute of limitations have
elapsed wherein Plaintiff can raise a dispute.
WHEREFORE, Defendant requests this Honorable Court
dismiss Plaintiff's cause of action with prejudice and
