4. On March II, 1994, John Harding, Defendant's husband, had out-patient
surgery at and received necessary medical products and professional services from
Grandview Surgery & Laser Center.
5. The total bill for services rendered by Plaintiff Grandview Surgery & Laser
Center on 3/11/94 was $2,772.00.
6. As of March II, 1994, Defendant Anne M. Harding was party to a health
insurance contract with Blue Cross/Blue Shield, which contract was identified as
Contract No. 202426097 and Group No. 025742000 ("the Blue Cross policy''). Plaintiff
doe not have access to the Blue Cross policy itself, the same being in the exclusive
control and possession of Defendant Anne M. Harding.
7. Pursuant to the terms of the Blue Cross policy, Blue Cross agreed to
compensate health care providers for major medical claims for services rendered not
only to Defendant Anne M. Huding but also to her husband John Harding.
8. Blue Cross/ Blue Shield recognized and acknowledged Plaintiff Grandview
Surgery & Laser Center as one of the health care providers for whose services it would
provide payment under the Blue Cross policy.
9. Blue Cross/Blue Shield recognized and ncknowledged the March 11,1994
procedure and services performed at and provided by Plaintiff Grandview Surgery &
Laser Center to John Harding as being among those services for which it would provide
payment under the Blue Cross policy.
10. Plaintiff is the third-party beneficiary of the Blue Cross/Blue Shield health

11. As of March 11,1994, John Harding also maintained health insurance
coverage with Mail Handlers, which paid $2,079.00 of the $2,772.00 bill from Grandvlew
Surgery & Laser Center.
12. Plaintiff then submitted the remaining portion of the unpaid bl11 to
Defendant's health Insurance provider, Blue Cross/Blue Shield, as per the terms of
Defendant's Blue Cross policy, and requested payment of the $693.00 balance owed. A
copy of the Major Medical Claim submitted to Blue Cross/ Blue Shield is attached hereto
and identified as Exhibit "A".
13. Blue Cross/Blue Shield paid the Plaintifrs claim of $693.00 on June 14,
1994, and, as part of the terms of the Blue Cross policy, forwarded the payment directly
to Defendant, together with an Explanation of Major Medical Benefits form. A copy of
the Explanation of Major Medical Benefits is attached hereto and identified as Exhibit
"8".
14. Defendant received this payment, Check No. 6941644 on or about June IS,
1994, endorsed the same, and deposited the funds into her personal account, thereafter
utilizing the funds for personal purposes. A copy of the endorsed check is attached
hereto and identified as Exhibit "C".
15. Despite Plaintifrs numerous attempts at collection of this amount,
Defendant has continuously refused to make payment to Plaintiff.

the balance ($693.00) to Blue Cross/ Blue Shield under Anne Harding's policy. At the time
of the surgery, John Harding was covered under Anne Harding's policy as a named insured.
In due course, Blue Crossl Blue Shield honored the claim and forwarded a check to
its policyholder, Anne Harding. The check included an "explanation of benefits" form
indicating the purpose of the check, the provider (i.e., Grandview), the date of service, the
type of service, etc.
Between the date of surgery and the date she received the Blue Cross check,
however, Anne Harding had separated from her husband, apparently under less-than-
amicable circumstances. So, when Ms. Harding received the check representing payment
of the balance due to Grandview for her estranged husband's surgery, she did not forward
it to Grandview Surgery. Instead she kept the money for herself. Despite demands from
Grandview Surgery to forward this insurance money, Anne Harding has refused to do so.
Grandview Surgery filed a complaint against Anne Harding before District Justice
Robert Manlove. Anne Harding appealed the District Justice's decision to the Court of
Common Pleas of Cumberland County. A Complaint was filed by Grandview Surgery.
Defendant filed Preliminary Objections to the Complaint which were denied by the Court.
Defendant then filed an Answer and the case was listed for this arbitration.
II. STATEMENT OF ISSUES.
Can Grandview Surgery & Laser Center recover directly against Anne M.
Harding, as a third-party beneficiary of the contract between Blue Cross/ Blue
Shield and Defendant?
Suggested Answer: Yes.

and not the provider or the named insured is a procedural nicety at best, and does not
change the fact that the insurance company intended the payment to cover the medical
services provided to Defendant's then-husband. Grandview Surgery is a third-party
beneficiary to the contract between Blue Cross/Blue Shield and Defendant.
An example of an analysis of third-party contract wording is found in Ludmer v. Erie
Insurance Exchange. 295 Pa. Super. 404, 441 A.2d 1295 (1982). In that case, a doctor had
provided medical services to a patient involved in an automobile accident. Apparently the
patient did not pay the doctor or submit the claim to the patient's own insurance company.
The doctor attempted to sue the insurance company for the insurance benefits due him as
a third-party beneficiary. The doctor's theory was that the No-Fault Motor Vehicle
Insurance Act obviated the need for the patient to submit the claim to the insurance
company since the Act specifically allowed for payment to the "service provider" directly.
The Superior Court disagreed and discussed the status of a service provider as a third-party
beneficiary to an insurance contract.
The Court distinguished the cases relied upon by the doctor which found that the
government, as a service provider, was a third-party beneficiary to insurance contracts
between servicemen and their insurance companies. See, United States v. AutomobUe Club
Insurance Co., 522 F.2d 1 (5th Cir. 1975) and United States v. Government Employees
Insurance Co., 461 F.2d 58 (4th Cir. 1972) as cited in Ludmer at 408. The Court
distinguished these cases by noting the difference between the insurance contract language.

Although not quoting the language of the contracts directly, the Court indicated that the
contracts involved in the government cases indicated an insurance obligation for more than
just the "covered person." In contrast, the insurance contract in question in Ludmer
obligated the insurance company only to the "covered person."
After finding that the insurance contract of the patient obligates payment to a
"covered person," the court determined that "[tJhere is no wording implying an obligation
on the part of the insurance company to payout any monies to a third party." Ludmer at
408. Instead, the Court recommended that service providers obtain a judgment against the
patient and garnish the insurance payments. Id. at 407.
Obviously, the facts of this case differ significantly from the Ludmer case. Here, the
insurance company has already satisfied its obligations under the contract. Grandview Is
suing the other party to that contract, Anne Harding. This fact is significant because it
demonstrates that the insurance company has already agreed to the validity of the medical
cost and has agreed that John Harding is a covered person under the insurance contract.
A recent Dauphin County case somewhat parallels this one. In Caremarlc. Inc. v.
Rothstein, 114 Dauph. 474 (1995) (copy attached), Plaintiff Caremark, a medical service
provider like Grandview Surgery, sought payment for services rendered to one John
Rothstein, a minor. The minor's father, Arlan (then divorced from the minor's mother and
since remarried), had previously agreed with his ex-wife to endorse over to her any and all
insurance benefits paid to him as an insured. He later received such benefits from the

insurer for services that Care mark had provided to is minor son. Like Anne Harding, he
did not turn the monies over to Care mark or to his ex-spouse; he deposited them.
Caremark sued him, and then sought to join his new wife as an additional defendant,
since she was a signatory on the credit union account into which he had deposited
Caremark's payment. The new wife argued, in part, that she had no obligation to inquire
as to the source of payments for treatments rendered to her stepson. The Court,
nevertheless, granted Care mark's motion to add her as an additional defendant.
More significantly, the Court ~ranted summary judgment in Caremark's favor against
the original defendants, including Arlan Rothstein who, in many respects, stood in the same
position as Anne Harding does in this case. For the same reasons, judgment should be
entered in Grandview's favor here.
Finally, with respect to Defendant's Counterclaim, seeking to impose liability against
Grandview Surgery under the Debt Collection Practices Act, 15 U's.C.S. f 1692 et seq., that
claim is as flawed as her defense of the case in chief. Not only are her allegations of false
representations untrue, the Debt Collection Practices Act defines as "debt collectors"(whose
actions it controls) those who regularly collect debts for others and D.2l. creditors of
consumers. 15 U .S.C.S. f 1692a(6). See, Kizer v. Finance America Credit Corp.. 454 F'supp.
937 (N.D. Miss. 1978); Howe v. Readers' Digest Assoc.. 686 F.Supp. 461 (S.D. N.Y. 1988).
Grandview Surgery is the creditor here, not a debt collector as that term is defined by the
statute. Additionally, of course, the fact remains that Anne Harding ~a debtor, vis-a-vis
Grandview's third-party beneficiary claim, and so there were no "false" representations as

MEMORANDUM OPINION
This mailer is before us on plaintifrs molion 10 join an addilional par-
Iy and plainlifrs motion for summary judgment. The underlying action
is brought by plainliff Caremark. Inc. requesting paymenl for products
provided and services rendered 10 defendant, John Rothstein. Defendant
Josephine Allen, mother of John Rothstein, executed a Patient Agree-
mentlo pay for Ihe services provided 10 her son. Defendant Arlan Rolh-
stein executed an Assignment of Benefits clause agreeing to endorse OYer
10 plaintiff any and all insurance benefits paid direclly to him as insured.
Arlan Rothslein admits Ihal he did receive paymcnts from his insurance
carrier allhough he specifically denies Ihal the amount received was
$40,351.47 as claimed by the plaintiff.
Arlan Rolhslein is currently married 10 Alyce Suzanne Rolhstein,' Ihe
party whom plainliff seeks 10 join as a defendanl. The basis for this mo-
lion is plainlifrs assertion thal Alyce Rolhstein is a signalory and joinl
owner of a credit union accounllilled in the name of Arlan Rolhslein.

Accordingly, in view of the admined joint ownership of the credit union
account and the uncontesled avennent thai Mrs. Rothstein has access 10
and control of Ihe depositc:d funds, we find that the action against Mrs.
Rothstcin arises out of a commonalily of facts and the same transaction
as that averred agalnsl the named defendants. Thus, the requirements of
Rule 2229(b) are satisfied and joinder of Mrs. Rothsleln is pennissible.
Plalntirrs mOlion for summary judgment asscns that there are no
genuine issues of material faCI pertaining 10 the liabililY issue in this mat-
ter. Specifically, plainliff contends that defendants admit the following:
(I) that services were rendered by plaintiff 10 John Rothstein; (2) that
payments were made by the insurer to Arlan Rothstein; (3) that Arlan
Rothstein failed to remit 10 plaintiff the money he received from his in-
surer for services and products rendered 10 John Rothstein; and (4) that
in excess of 50% of the amount claimed due 10 plainliff can be directly
traced to the credit union account jointly owned by Arlan and Alyce .
Rothstein.
Rule 1035(b) of the Pennsylvania Rules of Ci.1I Procedure provide for
summary judgmenl "if thc pleadings, depositions, answers 10 inter-
rogalories, and admissions on file, togethcr with the affidavits, if any,
show that there is no genuinc issue as to any material faet and the l\1OYing
pany is entitled 10 a judgmenl as a mailer of law." Upon examination
of defendants' Answer we are unable to find any specific denials of the
material facts placed at issue as Slaled above. Paragraph 10 of the Answer
does allempl a gencral denial of all subsequent allegallons in the com-
plaint. Rulc 1029(b) of Ihe Pennsylvania Rules of Civil Procedure pro-
vides thai allegalions are decmed admined when not specifically denied.
Pursuanllo this analysis. then. we conc1udc that all material facts as to
Iiabilily are admilled and the mailer is ripe for entry of summary judg-
menl as against derendants Arlan Rolhslein, Josephine A. Allen, and John
Rolhslein.'

17. Denied as stated. On or about October 21,1994, Grandview reported to the
Credit Bureau that Anne M. Harding had willfully retained, misappropriated and failed to
deliver over to it the insurance proceeds delivered to her by Blue Cross/Blue Shield in
payment of medical services provided to Harding's husband by Grandview.

This letter is in response to your certified letter to me
dated July 28, 1994.
First let me say that I am in no way responsible for any
debt incurred by John Harding. I did not have any knowledge
of the services that your office preformed on March 11, 19~4.
It should have been John Harding'a responsibility to know
that your office is a NON-Participating office.
My experience wiah Non Par offices is a8 follows:
When I 8ee a Non Par office and I 8ee only one, I pay at
time of services and they send in the bill or I do myself.
Any payment is then sent to ms directly.
When thie check was sent to me this is exactly what I ass~med:
That thie bill had be paid and then sent by John Harding to
Major Medical for reimbursement to him - However, this cheek
came to me, Based on his record of paying my support I kept
this check. It was in fact, made out to me - Nothing on that
notification indicates that the check was to be forwarded to
your office.
I signed no promissory note - John's signature makes him
solely responsible to you.
At present, I am getting one child ready to start college. My
credit rating has been hard earned. Therefore, If you in any way
try to discredit me 1 will have no recourse but to take legal
action.
This problem is between you and John Harding.

or control of Defendant Anne M. Harding. It is further denied
that the Plaintiff does not have access to said policy, in that
the Plaintiff has access to the Blue Cross policy through a
subpoena duces tecum, By way of further answer, the plaintiff
has as much access to the Blue Cross policy as does Defendant
Anne M. Harding,
7. Denied as stated. The Blue Cross policy speaks for
itself. By way of further answer, Blue Cross provides payments
only to participating health care providers, plaintiff is a non-
participating health care provider. It is admitted that John
Harding was an insured under the Blue Cross policy,

reported to the Credit Bureau of Greater Harrisburg that
Defendant Anne M. Harding owed the debt referred to in the
Plaintiff's Complaint,

report regarding this debt is attached hereto as Exhibit "A" and
incorporated herein by reference,
19. Plaintiff Grandview Surgery & Laser Center
intentionally, recklessly and/or negligently provided false and
misleading information to the Credit Bureau of Greater Harrisburg
regarding the alleged debt owed by Defendant.
20, The Plaintiff's conduct constitutes a violation of
the Fair Debt Collection Practices Act, 15 U,S.C. S1692-1692(m),
21. The Plaintiff's conduct constitutes a violation of
the Unfair Trade Practices Act and Consumer Protection Law, 73

Dcfcndant Anne Harding has raiscd prcliminary objcctions to thc complaint of plaintiff
Grandvicw Surgcry & Loscr Ccntcr (Grandvicw). On March 11, 1994, thc plaintiff providcd
mcdical services to John Harding, husband of thc dcfcndant, totaling $2,722.00. Aftcr Grandvicw
receivcd partial paymcnt of thc bill from Mr. Harding's primary insurer, Grandvicw submitted
the balance of $693.00 to Bluc CrosslBluc Shicld undcr Mrs. Harding's policy, which also covcred
Mr. Harding. Blue CrosslBluc Shicld honorcd thc claim and rcmittcd paymcnt dircctly to Annc
Harding on Junc 14, 1994. Bctwcen March 11 and Junc 14, howcvcr, thc Hardings apparcntly
scparatcd. Dcfcndant Annc Harding allcgcdly dcpositcd thc check into hcr pcrsonal account and
utilizcd thc funds for personal usc. Plaintiff initiatcd this suit against dcfcndant for thc
outstanding sum, claiming third-party bcncficiary status in the insurancc contract bctwccn Mrs,
Harding and Bluc CrosslBluc Shicld. Thc contract itsclf, however, is not part of thc rccord,
allegcdly bccausc "Plaintiff doc [sic) not havc access to thc Bluc Cross policy itsclf, thc samc
bcing in thc cxclusivc control and posscssion of dcfcndant Annc M. Harding." (Complaint at
para. 6.)
Dcfcndant's prcliminary objcction is in thc naturc of a dcmurrcr, claiming that the facts

as allcgcd in thc complaint fail to statc a causc of action for which thc plaintiff is cntitlcd to
rclicf. Spccifically, dcfcndant Harding objccts that Grandvicw cannot statc a claim as a third-
party bencficiary. Whcn rcvicwing prcliminary objcctions in thc naturc of a dcmurrcr, all
matcrial facts sct forth in thc complaint as well as all infercnccs rcasonably dcduciblc thcrcfrom
arc admittcd as truc for thc purposcs of rcvicw. Jackson v. Garland, 424 Pa.Supcr. 378, 381, 622
A.2d 969, 970 (1993). A dcmurrcr should bc sustaincd only in cascs that arc clcar and frcc from
doubt that thc law will not permit recovcry by thc plaintiff. Id.
Pcnnsylvania Rulc of Proccdurc 2002 providcs that "all actions shall bc prosccuted by and
in thc name of thc rcal party in intcrcst." A rcal party in intcrcst "must not mcrcly havc an
intcrcst in thc result of thc action, but must bc in such command of thc action as to bc Icgally
cntitlcd to givc a complctc acquittancc or dischargc to the othcr party upon performance."
3 Standard Pcnnsvlvania Practice 2d scction 14:51. A third-party bcncficiary is cntitled to
cnforce its rights undcr thc contract as a rcal party in intcrcst. Id. at scction 14:51. To bc a
third-party bcneficiary cntitlcd to rccovcr on a contract, a pcrson must show that thc intention of
both partics to thc contract to confcr bcncfits upon that third party affirmativcly appcars in thc
contract itscif. Guv v. Licdcrbach, 501 Pa. 47, 459 A.2d 744, 750-51 (1983); Hall v. Goodman
Co., 310 Pa.Supcr. 465,456 A.2d 1029 (1983); Rcstatcmcnt Sccond of Contracts scction 302.
For plaintiff Grandvicw to statc a claim as a third-party beneficiary, it must aver that both Annc
Harding nnd Bluc CrosslBluc Shicld affirmativcly intcndcd to bcncfit Grandvicw in thc insurance
contract. Thc plaintiff, howcvcr, allcgcs that it docs not havc acccss to thc Bluc Cross Policy.
In the abscnce of thc contract, wc rcvicw gcncrally thc law of the Commonwealth
applicablc to thc instant mattcr. Wc havc found no other Pcnnsylvania casc whcrc a third party
sucd an insurcd claiming it was a bcncficiary to thc insurcd's contract with the insurcr. On thc

othcr hand, in Hilzh-Tcch-Entcroriscs. Inc. v. Gcncral Accidcnt Ins. Co., 430 Pa.Supcr. 605, 635
A.2d 639 (1993), thc court considcrcd a third-party bcncficiary claim madc not against an
insurcd, but rathcr against the insurcr. Thc Supcrior Court affirmcd thc sustaining of a
prcliminary objcction of thc dcfcndant insurer, finding that a corporation could not maintain an
action against an insurer as a "forcsccablc, vcstcd third-party bcncficiary to the insurancc
contract." Id. at 610, 635 A.2d at 642. Thc court found "no cxprcsscd intcntion on thc part of
both contracting partics that [thc third party) bcncfit from thc insurancc contract," and thus held

1. Plaintiff, Grandview Surgery and Laser Center allegedly
performed surgery on John Harding,
2, John Harding is not a party to this case,
3. The Plaintiff's complaint alleges that Defendant, Anne M.
Harding was at all times relevant to this action, the spouse of
John Harding.
4. The Plaintiff's Complaint alleges that Grandview Surgery
and Laser Center is a third party beneficiary to a Blue Cross/Blue
Shield contract between Defendant, Anne M. Harding and Blue
cross/Blue Shield.
5. The Plaintiff's Complaint alleges that the Defendant is
liable to the Plaintiff as a result of a check that was issued by
Capitol Blue Cross/Pennsylvania Blue Shield to Anne M. Harding in
the amount of Six Hundred Ninety-three ($693,00) Dollars,
