installation of the ceramic tile was in fact commercially
acceptable or that said installation was acceptable to Defendant,
or the owner of the premises where the work was performed. On
the contrary, Defendant's work was substandard and unworkmanlike,
and unacceptable to Defendant and the owner of the premises.

The averments of paragraph 5 of the complaint are admitted
in part and denied in part. It is admitted that a check in the
amount of $1,590.00, dated January 30, 1995, was sent to
Plaintiff by Defendant. It is denied that said payment was a
partial payment, and it is further denied that the sum of
$2,735.00, or any amount, remains due and owing. On the
contrary, said payment of January 30, 1995 was a final payment
and no balance remains due and owing to Plaintiff.

The averments of paragraph 6 of the Complaint are admitted
in part and denied in part. It is admitted that Defendant has
refused to pay Plaintiff the sum of $2,735.00. It is denied that
said amount is the full amount due and owing. On the contrary,
there is nothing due and owing to Plaintiff by Defendant.
NEW MATTER
ACCORD AND SATISFACTION

Plaintiff's claim for the full contract price for
Plaintiff's work was disputed by Defendant, due to the
substandard nature of the work performed by Plaintiff.

The check from Defendant to plaintiff dated January 30, 1995
in the amount of $1,590.00 contained a notation on the face of
said check as follows: "Final payment for contracted work for
C.V. Hose Company job in accordance with our letter dated
12/9/94", A copy of said check is attached hereto, made a part
hereof, and marked Exhibit "A".

Defendant's payment of the check marked Exhibit "A" to
Plaintiff constituted a conditional tender of said funds as
payment in full for Plaintiff's work on the project.

Plaintiff accepted Defendant's tender of the payment in the
amount of $1,590.00 by depositing said check in Plaintiff's
account.
11.
Plaintiff's acceptance of the check marked Exhibit "A"
constituted an accord and satisfaction of the dispute between the
parties over the quality of Plaintiff's work, and the amount due
for said work.
WHEREFORE, the Defendant respectfully requests that this
Honorable Court enter judgment in its favor and against the
Plaintiff.

RESPONSE TO NEW MATTER
COMES NOW, the Plaintiff, Standard Acoustical Products,
Inc., by and through its attorney, Timothy S. Gordon, in Response
to New Matter filed by the Defendant, Geesaman-Rock Construction,
Inc., and would state in response thereto:
1. Plaintiff admits that the Defendant disputed its claim
for the full amount due under the contract, but denies that the
said work was of substandard nature.
2. Plaintiff admits that a check was received as outlined,
but denies that there was accord and satisfaction between the
parties. The Plaintiff would further state that the Defendant
was placed on immediate notice that the amount tendered was not
based upon an accord and not in satisfaction of the debt claimed,
but instead would be accepted as a partial payment on the amounts
due and owing under the terms of the contract. Attached hereto
and made a part hereof is Exhibit No. 1 to this New Matter is a
letter from the Plaintiff to the Defendant outlining said lack of
accord and satisfaction.
3. The plaintiff denies that the payment of check marked as
Exhibit A to the New Matter constitutes a conditional tender of
funds, and would further state that the Plaintiff promptly
conullunicated the refusal to accept the compromised amount and
prOpel" credit was given for partial payment.

Defendant filed a timely appeal from said District Justice
judgment on April 13, 1995.

Plaintiff then filed a Complaint before this Honorable Court
on June 1, 1995, to which a timely Answer was filed by the
Defendant.

Plaintiff's principal place of business is located in
Hagerstown, Washington county, Maryland.
6.
Defendant's principal place of business is located in
Zullinger, Franklin county, Pennsylvania.
7.
Both Plaintiff and Defendant agree that it would be more
convenient for both parties, and the majority of witnesses who are
likely to testify, if this action were transferred to the Court of
Common Pleas of Franklin county, pennsylvania.
8.
A change of venue under the circumstances is authorized by Pa.
R.C.P. 1006(d) (1).
9.
Plaintiff and Defendant stipulate to the averments set forth
herein, and agree to the entry of an order of this Honorable court
transferring this action to the Court of Common Pleas of Franklin
