1, Plaintiff. BBCH CORPORATION. is a business incorporated
under the laws of the Commonwealth of Pennsylvania. and has its
principal place of business at Lemoyne. Cumberland County, pennsyl-
vania 17043 (hereinafter referred to as "Plaintiff BBCH") .
2. Defendant. JAMES B. McNEARNEY. is an adult individual who
resides at J.6 Hampden Road, Wichita. Kansas (hereinafter referred
to as "Defendant McNearney") .
3. This Court has jurisdiction over Defendant McNearney
under 42 pa.C.S.A. ~ 5322(a) (1) (iv). by engaging in a business
within the Commonwealth of Pennsylvania and 42 Pa.C.S.A. ~
5322(a) (1) (v). by owning real property situated within the
commonwealth of Pennsylvania. In the alternative. this Court has
jurisdiction over Defendant McNearney under 42 Pa.C.S.A. ~
5322(a) (5), because Defendant McNearney has an interest in and
possesses real property in the Commonwealth of Pennsylvania.
4. At all times relative hereto, Defendant McNearney was and
still is the owner in fee of certain real estate situate at 2025
Carlisle Road, camp Hill, Cumberland County. Pennsylvania
(hereinafter referred to as "Property"),

5, On or about December 20, 1994, Plaintiff, by and through
its officers and directors, and Defendant McNearney entered into a
written contract whereby Defendant agreed to grant and convey the
property to Plaintiff, their heirs and assigns in fee simple, and
Plaintiff agreed to pay the purchase price of $125,000.00, as
follows:
Two Thousand ($2,000.00) Dollars upon execution of the
Agreement, and the balance upon the execution and delivery of a
proper deed of conveyance. A true and correct copy of the written
agreement dated December 20, 1994, is attached hereto as Exhibit
flAil.
6. On the above date, Plaintiff paid Defendant the sum of
$2,000,00 upon execution of the written Agreement,
7. The time and place for final settlement in accordance
with the provisions of the Agreement was to take place on or before
March 1, 1995, (see Exhibit "A" attached.)
8. During the time period between the execution of the
written contract and March 1, 1995, Plaintiff made all preparations
necessary for the execution of the sale, Said preparation includes
but is not limited to obtaining financing, title work,
environmental audit, and obtaining a variance in order to make
modifications to the property,
9. On or about February 13, 1995, the building on the
Property was destroyed by fire,

10, According to Paragraph 12(c) of the written contract,
Defendant McNearney (as the seller) was to bear the risk of loss
from fire until the time of settlement. In the event the property
was damaged, Plaintiff, as the buyer, had the option of acr.epting
the Property in its then condition, together with the proceeds of
any insurance recovery obtainable by Defendant McNearney (see
Exhibit "A" attached).
11. Although the property was damaged by the February 13,
1995 fire, Plaintiff intended to proceed with the transaction by
exercising the above mentioned option, Plaintiff notified
Defendant McNearney of its intention by way of a letter dated
February 24, 1995, which is attached hereto as Exhibit "B",
12, As evidenced by Plaintiff's Exhibit "B", the availability
of information necessary to exercise Plaintiff's option would not
be available until after March 1, 1995, the termination date of the
contract. As such, Plaintiff requested a thirty (30) day extension
to the sales contract. (See Exhibit "B" attached.)
13, On March 1, 1995, Defendant, through its agent, forwarded
an extension agreement to Plaintiff. A copy of the extension
agreement is attached hereto as Exhibit He".
14, On March 2, 1995, Plaintiff, through their attorney,
forwarded a revised extension agreement to Defendant's agent which
would extend the sales agreement until April 1, 1995, A copy of
the revised extension agreement is attached hereto as Exhibit "D".
