12. Denied. Plaintiff has been paid all that he is due and owed.
13. Admitted in part and denied in part. It is admitted that the
Pennsylvania Wage Payment and Collection Law is set forth, in part,
accurately. It is specifically denied that Plaintiff is entitled to
any liquidated damages.
14. Denied. It is specifically denied that Plaintiff is entitled to
any sums for attorney's fees. In addition, Defcndants have no way
of knowing how much timc Plaintiff's counsel accrued in this case
and specific proof is dcmandcd, if relevant.
15. Admitted.
16. Admitted in part and denied in part. It is admitted that Mr.
Olshefski is Prcsident of the Defendant corporation. It is
spccifically dcnied that he is personally liable for any wages found
to be due to the Plaintiff.
Wherefore, Uefendants, Quality Builders Warranty Corporation and
Joseph M. Olshefski, rcspectfully request that Plaintiff's Complaint
be di smi ssed.

17. Defendants i ncorporatc herei n by reference thei r answers to
Paragraphs 1-16 of the within Answer to Plaintiff's Complaint.
lB. Plaintiff was employed as a Sales Ilepresentative for QBW
commencing on May 9. 1994.
19. In connection with his employment Plaintiff executed an
Employmcnt Contract, a truc and correct copy of which is attached to
Plaintiff's Complaint as Exhibit A.
29. On February H, 1995 Mr. IIftst informed QIJW that Plaintiff
returned all milterials which he had hut, in fftct, Mr. Nast had
additional QBW materials fn his automohile while making such
representation.
30. The remaining QBW materials, exclusive of the telephone
purchased by QllW, was returned to OBW on May 17. 1995 duri ng a
District Justice Hearing.
31. At all times prior to the District Justice Hearing Plaintiff ~Ias
informed by QBW that he would receive all compensation due him when
QBW's materials were returned.
32. Plainti ff has yet to return the telephone purchased by QIJW which
is QBW's property.
33. Under cover of letter dated July 14, 1995, QBW forwarded to
Plaintiff a check in the sIRn of $1,456.04 representing payment for
any and all compensation due Plaintiff. A true and correct copy of
the transmittal letter and a copy of the check forwarded to
Plaintiff are attached hereto, incorporated herein and marked as
Exhibit C.
34. In late July 1995 Plaintiff submitted an expense report. On
July 28. 1995 QIJW forwarded Plaintiff a check In the sum of $7Bl.26
represent i ng rei mbursement tor leg it ima te expenses. A true and
correct copy of the transmittal letter and a copy of the check are
attached hereto, incorporated herein and Marked as Exhihit D.
35. One of the grounds for discharge of Plaintiff on the basis of
willful misconduct involved Plafnt1ff's discussion of salary with
another employee which Is a violation of written company policy
attached as [xhlhit A. "s a result of the discussions which ~'r.
Steele had with other employees, the hase salary of two sales people
had to be increased.
43. By reason of Plaintiff's breach of his Employment Contract and
Office Rules and Guidelines, QBW has sustained the following
damages:
A. Loss of business from
representatives who quit $B6,663.75
B. Replacement of
representatives who quit 7,078.44
C. Phone not returned 39.99

44. In addition to the above damages QBH has sustained unliquidated
damages in excess of $20,OOD.OO for failure of Plaintiff to return
materials in his possession in a timely fashion as required by
contract.
IIherefore, Qua 1 ity Buil ders lIarranty Corporation, demands juogment
against Sherman Steele in the liquidated amount of $93.782.18 and,
in addition. an unliquidated amount in excess of $20,000.00 plus
costs and such other relief as this Court deems appropriate.

Sherman had a conversation with Mr. Olshefski this morning concerning
the return of the phone which Sherman purchased and was reimbursed for
by the company. Sherman indicated he would not return the phone since
it was his. but when confronted with the fact that the company paid
for it, he indicated that he would return the same. \~hen we spoke,
you indicated that he "forgot" the phone. which is hard for me to
believe given the conversation a few hours earlier. I believe the
convenient memory exp 1 a ins much of Sherman I s tenure whl1 e in the
company's employ.
In any event, we expect our property returned within 72 hours or suit
will be instituted without further notice. Until we receive the
property, Sherman will not receive any compensation since he is not
entitled to the same until such property is returned. Upon return
Sherman will be paid his salary, authorized expenses and vacation pay.

I think that once you question Sherman concerning hfs actions while
here, you will find the above more than fair. Sherman acknowledged as
late as last Wednesday that he was treated more than fairly by the
company. We have every intention of concluding the relationship on

Dear Sherman:
As you know, your step-father appealed Judge Clement's decision, and
we filed a counterappea1. I recently had an opportunity to review
the file and, from your perspective. I do not see much at issue.
Since you have now returned your materials, I think it is tirr.e to
put our differences behind us. I reviewed your claim which I think
you agree is overstated given your estimated commissions as opposed
to actual commissions of S299.14 for January and S7.50 for February.
As stated at the heari ng, our records show that you are owed
$1,456.04. The figure is arrived at by calculatin9 your salary, one
week's vacation, January and February commissions. The itemization
was provided to you at the hearing.
Keep in mind your step-father contended that you were owed two weeks
vacation on the basis of the contract language. I think if you
search your heart you know what our arrangement was. I twas
specifically agreed that if you left before a full year of
employment you would only receive one week IS paid vacation. I will
leave that determination to your morals and not legalities.
The only thing that appears at issue is your expenses. As stated
previously, we did not receive any itemization of expenses totaling
$815.58. If you have an itemization, send them to us and we will
review them.
At this point, in order to resolve all outstanding issues, I have
enclosed our check in the sum of SI,456.04. If this is not
acceptable, return the check and you will leave us no choice but to
proceed as adversaries.

Dear Sherman:
I have reviewed the expenses which you submitted and am enclosing a
check in the sum of $181.26. Your requested amount was reduced
because of expenses for weekend ca 115 to Ca 1 Hornia, etc. and
addition errors. The other matters set forth in your stepfather's
letter are absurd at best.
Keep in mind I always told you that upon return of your materials
you would be paid what you were o\oled. When you arrived at our
office with your stepfather. you returned a portion of the materials
and indicated that was all you had. As we know, you actually had
additional materials in your trunk while you denied havin9 any
additional materials. You attempted to hold these materials as
leverage thinking that it would, in some way, help you receive your
last paycheck although I told you you would receive it when all
materia 1& were returned. I am, 11 kewi se, fo 11 owi ng through wi th my
commitment that upon submission of legitimate expenses, you would be
paid. I have enclosed that check as promised.
When you resigned from our company, I thought we could in some way
salvage a portion of our relationship, but I believe that your
stepfather's involvement has and continues to make this an
impossibility, with his ridiculous and irrational advice to you and
his antagonistic approach to attempt to show his attorney prowess.
I assume he is the one who told you to withhold materials and 11e
about having them. Because you followed his advice, it necessitated
the institution of legal proceedings for which we in no way will
reimburse him for the cost of ei ther by way of court fees or his
time. He may view lying as legal posturing. but to me lying is just
tha t. Si nce he is the one who ga ve you the bad advi ce, let him
absorb the cost of litigation since he is the one that encouraged
it.
At this point, you have been paid everything you are owed.
as we 11 as I do our arrangement for vacation, and you
entitled to payment of an additional week nor sick pay.

In reference to the unemployment appeal. I will not direct Gill to
discontinue the appeal. We told our side of the story and yoU told
your side of the story. We will let the decision makers in New
Jersey decide whether you are levally entitled to unemployment. If
you get it, so be it. If you don t, you don't deserve it.
Your stepfather must enjoy the lit i gati on process because a 11 of
this was not necessary. His demands in his letters are unreasonable
and, if at this point you don't discontinue the action, we will, in
fact, have to pursue you for all damages which you caused. You know
my personality ana tenaciousness. and I am neither timid nor
intimidated by your stepfather I s tactics and threats of conflict.
I f he pers ists, you will be the one to have the Damascus Road
experience, not I.
Sherman, you are most definitely aware that your actions and
inactions have cost me a great deal of time and money as well as
most of my salesforce.
Therefore, we look forward to receiving a letter from your
stepfather indicating that your suit against us is dismissed, and I

September, 1994 as a sales representative pursuant to a written
contract dated May 9, 199', a correct copy of which is attached,
marked Exhibit "A" and incorporated herein as fully as though it
were set forth at length; in September, 1994 he was promoted to
Sales Manager with an increase in base salary from $30,000 to
$40,000 per year and a commission schedule different from that
contained in in Exhibit "A"; and he was demoted from this position
as sales manager on or about December 15, 1994 to his former
position as a sales representative with an oral understanding
between the parties that he would continue receiving a base salary
of $40,000 per year for an indef ini te time until he had an
opportunity to reorganize his sales territory.
6. Plaintiff was terminated from employment by the corporation on
February 7, 1995.
6. At the time of his termination there was owed to Plaintiff by
Defendant corporation earned base salary and commissions, acrued
vacation pay and reimbursement for expenses incurred on behalf of
the Defendant corporation.
7. Plaintiff's base salary for the bimonthly period ending
January 31, 1995 was arbitrarily reduced by Defendant corporation
through its President and agent, Defendant Joseph M. Olshefski,
from $1666.67 to $1250 without prior notice to Plaintiff, and
without his agreement; also he has received no base salary for the

period February 1 through February 7, 1995 (rive working days
representing one-half of the bimonthly pay period: five of the ten
working days in the first half of the month ending February 14,
1995); consequently Plaintiff is owed base salary in the amount of
$1250.02 ($1666.67 - $1250) i ($1666.67 divided by 2).
O. Plaintiff is ~ntitled to commissions earned for the month of
January and for the period through February 1 through February 7,
1995 in a total amount unknown to the Plaintiff at this time.
9. Plaintiff is entitled to two weeks vacation payor $1666.67.
10. Plaintiff submitted to Defendant corporation for
reimbursement itemized expenses with supporting documentation in a
total amount of $881.31.
11. Defendant Corporation has admitted that it owes Plaintiff for
compensation not paid, i.e. base salary, vacation - one week, and
commission for January and February 1 - 7, 1995, in the total
amount of $1456.04.
12. Defendant corporation has not paid any wages, including fringe
benefits, owed to Plaintiff despite his demand for payment.
13. The Pennsylvania Wage Payment and Collection Law (Act)
provides in Section 10 thereof, 43 P.S. Sec. 260.10, that an

employee is entitled to liquidated damages in the amount of
"twenty-five percent (25\) of the total wages due, or five hundred
dollars ($500), whichever is greater..." and wages are defined
by Section 2a, 43 ~ Sec.260.2a, to include salary, commissions
and fringe benefits, the latter being further defined to include
vacation pay and reimbursement of expenses.
14. The Act further provides in secion 9a(f), 43 ~
Sec.260.9a(f), for the allowance of "costs for reasonable
attorneys' fees of any nature to be paid by the defendant; to date
Plaintiff's counsel has accrued six hours of time on behalf of
Plaintiff; counsel's usual and customary fee is $125.00 per hour.
15. In addition to the costs of filing this action, Plain~iff has
incurred costs in the amount of $86.30 in the action brought
before the district justice court.
16. Defendant Joseph M. Olshefski, as President of the Defendant
corporation and the person who acted as the agent and officer
of the Defendant corporation with regard to all matters set forth
above relative to this course of action, is specifically made
personally liable by the Act for all wages, as that term is defined
in the Act, found to be due to Plaintiff; all of the foregoing
Paragraphs of this Complaint are hereby incorporated herein as
averments affecting the personal liability of Defendant Joseph M.
Olshefski, as fully as though they were set forth at length.
