provision of refuse services at the mobile homo park. A truo and
cort'ect copy of the Service Agreement is attached as "Exhibit A".
6. On April 28, 1991, the Defendant purchased the assets of
the mobile home park and began operating the mobile home park.
7. After acquiring the assets and bcginning operation of the
mobile home park, the Defendant continued to utilize Waste
Management for its refuse hauling services under the terms of the
Service Agreement attached and "Exhibit A".
8. By its terms, the Service Agreement renewed for a three-
year term at its first three year anniversary in September, 1993.
9. On May 20, 1994, the Defendant, by its president and
owner, Mahlon N. Zimmerman, directed that Waste Management
discontinue its service at the mobile home park effective June 30,
1994. A true and correct copy of the letter giving this direction
is attached as "Exhibit B".
10. Under the terms of the Service Agreement, early termina-
tion of a service agreement contract is permitted if the customer
pays to Waste Management, as liquidated damages, either the most
recent monthly charge multiplied by six if there is more than six
months remaining on the contract, or the most recent monthly charge
mUltiplied by the number of months remaining on the contract if
there are fewer than six months romaining on the contract. In this
case, thero were more than six months remaining on the contract, so
tho Defendant owes Waste Management a cancellation fee equal to six
times its most recent monthly charge.

11. lnunediately prior to the termination of the contract,
Waste Management was providing service for forty-four units in the
mobile home park, at $8.75 per unit for a total of $385.00 per
month. Therefore, under the terms of the contract, Waste Manage-
ment is entitled to liquidated damages from the Defendant in the
amount of $2,310.00.
12. The Defendant breached its agreement with Waste Manage-
ment by failing to pay the liquidated damages required under the
terms of the contract.
13. As a result of the Defendant's breach, Waste Management
is entitled to attorneys fees in addition to its other damages.
14. Waste Management is further entitled to interest at the
rate of one and one-half (li%) percent per month as a late fee.
Waste Management is further entitled to pre-judgment interest
because the amount due is a liquidated amount,
WHEREFORE, Waste Management respectfully requests your
Honorable Court to enter judgment in its favor and against the
Defendant in the amount of $2,310.00 plus interest from June 30,
1994 at the rate of one and one-half llt%1 percent per month, plus

attorney fees and court costs. This amount is not expected to
oxceed the applicable limits for arbitration.

17. If a contract existed between Plaintiff and country Side
Village Homes, Inc. trading as country Side Estates, as alleged by
Plaintiff, then it is to the former Country Side Village Homes,
Inc., not Defendant that Plaintiff shOUld be looking to tor
enforcement of its alleged contract.
18. Defendant paid Plaintiff the going price for trash
disposal by Plaintiff tor the actual time during which Plaintiff
disposed of trash from the mobile home park.
19. On or about August J, 1994, Plaintiff corresponded with
Mahlen zimmerman, principal of Defendant, regarding this matter.
With that correspondence, Plaintiff forwarded to Defendant a copy
ot the purported "Service Agreement." A copy of Plaintiff's letter
is attached hereto as Exhibit "B."
20. The purported service Agreement, "both sides" of which
w.r. provid.d to Defendant, is attached hereto as Exhibit "C."
21. Although the first page of the purported Service
Agr.ement match8B that attached by Plaintiff liS Exhibit "A" to its

22. Defendant believes and therefore avers that the terms and
oonditions alleged by Plaintiff to have been part of the servioe
Agreement attached as Exhibit "A" to Plaintiff's Complaint are in
fact different from those terms and conditions that had been part
of any agreement between the former Country side Village Homes,
Ino. and Plaintiff.
23. To the extent that an agreement existed between Plaintiff
and the former Country side village Homes, Inc. trading as country
side Estates, the agreement was for three lots, 3, 76, and 72, and
for $7.75 per unit, as set forth in Plaintiff's Exhibit "A" and
Exhibit "c" to Defendant's Answer and New Matter.
24. The Terms and conditions to the purported agreement
between the former Country Side Village Homes, Ino. and Plaintiff,
in oontrast to the Terms and conditions attached as Exhibit "A" to
Plaintiff's Complaint, do not provide that changes may be "agreed
to orally or in writing by the parties" or that "consent to oral
changes shall be evidenced by the actions and practices of the
parties."
25. If Defendant is deemed to have any liability under the
terms of a written contract with Plaintiff, the liability is
limited to the terms of the contract set forth in Exhibit "c"
hereto, the price per unit is limited to $7.75 and three lots only
are subject to the agreement.

THIS ASSET PURCHASE AGREEMENT ("Agreement") is made this
day of April, 1991, by and among LANCASTER SNACKS, INC., a
sylvania corporation having its principal place of business

Backqround of Aqreement
Seller owns cer~ain assets which it desires to sell and
which Buyer desires to purchase, which assets are used or useful
in the operation of the business of Seller. Buyer intends to
operate a ~cbile home park and a mobile home dealership on the
property ("Property") which is to be purchased pursuant to a
certain Real Estate Purchase Agreement dated the same date as
this Agreement, between H.B.A. Associates and Simon Ladder
Towers, Inc. ("Real Estate Agreement"). The parties are entering
~to this Agreement to set forth their understanding with respect
to the transactions described herein.

3. CLOSING DATE AND PLACE.
3.1 Closinq Date.
The consummation of the transactions referred to
in this Agreement ("Closing") shall occur on the Closing Date
("ClOSing Date"), which shall be within thirty (30) days after
fUlfillment of all contingencies stated in this Agreement but in
no event later than June 28, 1991. In the event all

4.2 The execution and delivery of this Agreement and
the performance by Seller ot its obligations hereunder have been

Seller is entitled to any fee or commission arising out of the
transactions contemplated herein other than professional fees for
the attorneys and accountants representing Seller, which
professional fees shall be paid solely by Seller.
4.8 There is currently in force fire, theft and
general casualty insurance covering the Home. Seller shall
..intain such insurance in force until the Closing Date, The
8ome, and all of its components, is currently in good order and
,\~ repair, excepting only ordinary wear and tear. Seller shall

operate the mobile home dealership and to set as a mobile home
dealer and installment seller, Seller shall accept from Buyer
consignment of mobile homes of Buyer for sale by Seller as
consignee and Seller shall attempt to sell such mobile homes of
Buyer as directed by Buyer and shall continue to conduct a mobile
bome sales and service business on the Property under the t.rms

consignee, of Buyer'S mobile homes, Buyer shall provide its
employees and shall make available to Seller all its equipment
and other facilities located at the Property and otherwise be
liable and responsible for paying all costs, losses, expens.s and

,;'j extent Seller deducts from gross selling proceeds amounts on
., account thereof, upon effecting the sale of a buyer's mobile

because the sale was made in violation of any applicable law
because of this consignment arrangement.
Dur~ng the pendenoy of this consignment arrangement, Buyer
lay ident~~y all mobile homes to be sold by Seller as being on
such cons~gnment and Seller shall execute such financing
statements as the Buyer shall reasonably request evidenoing
Buyer'S ownership of such mobile homes. Moreover, all risk of

amounts as Buyer deems appropriate.
6.3 Postconement of Transfer of Cer~ain of the
Acauired Assets.
As long as Seller is conducting business pursuant
to Section 6.2 hereof, it shall be entitled to use the Acquired
A.aeets as described in Sections 1.1.2 through 1.1.4 hereof as if
" closing did not Qccur: provided however, that upon the
termination of post closing operations under Section 6.2 because

INDEMNIFICATION.
7.1

any claim, action, loss, liability, damage, or cost and expense,

(hereinafter collectively referred to as "Losses"), resulting
from or arising out ofl (i) any breach or inaccuracy of any

representation or warranty, nonperformance of any agreement,
covenant, promise, undertaking or obligation, on the part of
seller contained in this Agreement; and (ii) all actions,
judgments, awards, claims, demands, causes of action, losses,

attorneys' fees and expenses) incident to any of the foregoing.
~All representations, warranties, agreements, covenants, promises,
, undertakings and obligations contained in this Agreement shalf'
, survive closing but shall expire and terminate t~o (2) years
after the closing Date except for the representation and warranty
of Seller relating to taxes, which representation and warranty

7,2 Manner of Indemnification.
All Losses shall be paid prcmptly in cash by
Seller upon demand by the Buyer,
7.3 Reauirement for Notice.
In the event that any claim is asserted or action,
suit, or proceeding is commenced against Buyer Which can
reasonably be expected to result in any liability or indemnity
being imposed on Seller, Buyer shall promptly give notice thereof
to Seller. Seller then shall have the opportunity to defend such
claim, action, suit or proceeding. Seller shall have control of
, any defense or settlement, and if Seller accepts and diligently
f defends or pursues a settlement and, thereafter, through
~. litigation or settlement, resolves the matter in a way which does
,~ not result in any liability to Buyer, then Seller shall not be
liable to Buyer for any of its attorneys' fees or other costs and

10.1 Deposit.

10.2 Failure to Close.
Should Buyer improperly fail to close the sale and

Ihall be forfeited and retained by Seller as liquidated damages,
and not as a penalty, which shall be Seller's exclusive remedy,
and whereupon Buyer shall be released from any further
Obligations hereunder and this Agreement thereupon shall be null
Ind void. Should Seller improperly fail to close the sale and

11. RISK OF LOSS.

Payable to seller as a result of such damage; or, of terminating
I tbis Agreement, whereupon the Deposit shall be returned to Buyer
and neither party shall have any further liability or obligation
bereunder.
12. ~:::SCELL\NEOt)S PROVISIONS,
12,1 Unsold Units,
Buyer acknowledges there are currently five (5)
manufactured homes on display for sale in the display area
("Display Area") 0 f the Property (individually, "Unsold Unit" I
collectively, "Unsold Units"). The Unsold Units are described in
Exhibit "A" attached to and made a part of this Agreement.
Seller shall be entitled to store on the Property, in the Display
Area, all Unsold Units remaining unsold on the Closing Date.
There shall be no storage charge to Seller with respect to the
Uneold Units remaining on the Property during the six-month
period following the Closing Date however, Seller shall remain
liable for and shall pay all other costs of maintaining the
'. Un.old Units and any advertising costs attributable to the Unsold
Units. Buyer shall be entitled to receive, and Seller shall pay
,I' to Buyer upon demand, a $500 commission with respect to each
.~ Un.old Unit the closing on the sale of which occurs after six (6)
lonths after the Closing Date. In addition, Seller shall pay to
Buyer upon demand a storage charge of $160 per month (prorated on
a daily basis with respect to any partial month) with respect to
each Unsold Unit remaining on the Property after one (1) year
after the Closing Date until such time as such Unsold Unit is
removed from the Display Area. All "hOOk-Up charges" for sewer,
Vater and other utilities with respect to the Unsold Units shall
. be borne solely by Seller. Buyer shall perform, at no charge to
\ Seller, the customary transfer of title services for each Unsold
! Unit which is sold. Buyer shall reserve a lot in the mobile home
park located on the Property for each Unsold Unit, and shall make
aUch lots available to the purchasers of the Unsold Units on a
first come, first serve basis. The risk of loss of any Unsold
~nits stored on the Property after the Closing Date shall be
orne solely by Seller.

Buyer shall direct its employees, in good faith, to attempt
to sellon Seller's behalf, the Unsold Units, and Buyer shall
provide,at no cost or expense to Seller, except as provided in
the first paragraph of this Section, the services of Buyer's
.ales and other personnel to effect such sales of the Unsold
units, t~e assignment cf the installment sales contracts '
applicable to such units to financing sources and titling and
transfer of ownership services relating to the Unsold Units when
lold and all other se~/ices reasonably necessary to complete
sales of such Unsold units, Further:nore, subj ect to the Buyer 's
right to the $500 commission, Buyer shall remit to Seller the
proceeds of sale when such Unsold Units are sold, less any sales
and use taxes, fees, payments to lenders holding a security
interest in such Unsold Units, charges assumed by or imposed on
seller in t~e first paragraph hereof, and other charges for which
seller is responsible. Buyer shall remit on behalf of Seller
such of t~ese amounts as are due to third parties, Until the
unsold Units are sold, Seller shall have access to the Unsold
Units from time to time and upon the sale of any Unsold Unit,
when requested by Seller, Buyer shall account fully to Seller for
the disposition of the entire proceeds of sale of all Unsold
Units.
12.2 Covenant Aqainst Competition,
Each Shareholder covenants that until the date two
(2) years after the Closing Date, such Shareholder shall not,
~" within cumberland County, Pennsylvania, in any manner or
, capacity, either directly or indirectly, (i) engage in any
/ activity which is similar to or competitive with any aspect of
~ Seller's business as currently conducted, or (ii) own, manage,
operate, control, be employed by, participate in, or be connected
in any manner with the ownership, management, operation, or
control of any business similar to or competitive with the type
of business currently conducted by Seller. The foregoing
notwithstanding, the sale of the Unsold Units listed in Exhibit A
by the Seller, or a Shareholder is not prohibited by the section
12.2, nor shall the sale by Seller of Buyer's mobile homes as
provided in Section 6.2 hereof be prohibited by this Section.
12,3 Notices,
Any notice or other communication required or
Which may be given hereunder shall be in writing and shall be
deemed duly given when delivered in person, or when mailed by
Certified (with the sender's receipt postmarked by a postal
employee) or registered mail (in either case, with a copy by
ordinary first-class mail) or express mail, or when sent by
Federal Express or similar overnight delivery service company,

12.6 Waivers and Amendments.
This Agreement may not be amended, moditied,
. perseded, cancelled, renewed or extended, nor may any term or
condition hereot be waived, except by a written instrument or
~ocument signed by all parties hereto or, in the case ot a
v.iver, signed by the party sought to be charged therewith. Wo
waiver by any party of the breach of any provision hereof shall
be deemed to constitute a waiver of any continuing or subsequent
breach of such provision or of any other provision hereof.
12,7 Uniform Tax Treatment.
Seller and Buyer agree that the allocation of
consideration set forth herein shall be used by them for all tax
purposes, including, but nct limited to, reporting pursuant to
Section 1060 of the Internal Revenue Code of 1986, as amended.
In preparing and filing IRS Fo= 8594 ("Asset Acquisition
statement Under Section 1060"), Seller and Buyer shall report
that the allocation of consideration set forth herein and the
fair market value of the assets to which such consideration is
allocated is the same,
12.8 Miscellaneous.
This Agreement shall be governed by and construed
in accordance with the laws of the commonwealth of Pennsylvania.
;', The captions of the various sections, subsections and clauses are
,t lolely for the convenience of the parties hereto and shall not
control or affect the meaning or construction of this Agreement.
Thi, Agreement may be executed in one or more counterparts, each
of which Ihall constitute an original agreement but all of which
together shall constitute one and the same instrument.
IN WITNESS WHEREOF, and intending to be legally bound
hereby, the parties have caused this Agreement to be duly
executed as of the date first abovs written.

with you regarding your less than favorable experience over four
years ago with a WASTE MANAGEMENT sales representative. But, that
was a long time ago and as you know, we have been providing COUNTRY
SIDE with timely and professional service for many, many years,
And, in compliance with the terms and conditions of the service
agreement signed by Mr. Hardy on 9/10/90, the service agreement
expires 9/10/96, Should cancellation be desired at that time, a
certified letter stating cancellation must be received by WASTE
MANAGEMENT no later than 7/10/96,

Your account is still active and still being billed. I have,
