Plaintiff, : IN THE COURT OF COMMON PLEAS : CUMBERLAND COUNTY, PENNSYLVANIA JOSEPH E. KUHN and DAWN L. KUHN, Defendants. CIVIL ACTION - EQUITY NO. COMPLAINT Plaintiff, Interstate Ford, Inc. ("Interstate Ford"), by and through its attorneys, Goldberg, Katzman & Shipman, P.C., allege the following in support of this Complaint: 1. Plaintiffis a Pennsylvania business corporation with a principal place of business at 196 Walnut Bottom Road, Shippensburg, PA 17257. 2. Interstate Ford is in the business of selling new and used vehicles. 3. Defendants, Joseph E. Kuhn and Dawn L. Kulm (together as "Defendants") are adult individuals with an address at 12014 Waltz Road, Hagerstown, MD, 21740. 4. This Court has jurisdiction in this matter as the contract giving rise to this complaint was negotiated and executed at the location of the Plaintiff which is within Cumberland County, Pennsylvania. 5. On or about February 26, 2002, Interstate Ford sold to Defendants a 1996 Dodge Caravan mini-van pursuant to the terms of a Sales Agreement and supporting documentation (the "Contract") which is attached hereto as Exhibit A. 6. As part of the sale, Defendants traded-in a 1998 Ford Contour VIN# 1FAFP653XWK216484 (the "Vehicle") and were given a trade-in allowance for such Vehicle. 7. At the time of sale, Defendants did not have with them the original title to the Vehicle. 8. In an attempt to accommodate the Defendants, Interstate Ford allowed them to take possession of the Dodge Caravan and asked that they bring the title to them the next day. 9. To date, Defendants have failed to produce the title to the Vehicle. 10. Interstate Ford has made numerous attempts to obtain the title to the Vehicle from the Defendants. 11. Without the title, Interstate Ford is unable to sell or transfer the Vehicle. 12. Accordingly, Interstate Ford suffers irreparable harm as it can not convert this asset into cash to run its business. 13. Since the contract date, the Vehicle has been in the possession and safekeeping of Interstate Ford. 14. The breach of the Contract constitutes irreparable injury to the Plaintiff and there is no adequate remedy at law, thus entitling Plaintiff to the injunctive relief requested herein. 2 15. Entering an injunction will maintain the status quo and the damage suffered will be less with the injunction than if the Defendants are permitted to continue their course of blatant disregard for the terms of the Contract. 16. In accordance with the Contract, Interstate Ford requests that the Defendants be Ordered to produce and turn over a lien-free title to the Vehicle. 17. Interstate Ford also demands that the Court enter judgment in favor of Plaintiff, and against Defendant, in an amount which represents the business that Interstate Ford has lost as a result of Defendant's breach of the Contract, which amount is in excess of $25,000.00, the arbitration limit in Cumberland County. WHEREFORE, Plaintiff, Interstate Ford, demands the following: a. The Court to Order the Defendants to produce and turn over a lien-free title to the Vehicle. b. A preliminary and permanent injunction be entered by the Court restraining Defendants from transferring title to the Vehicle to any party other than the Plaintiff; and b. The Court enter judgment against Defendant commensurate with the amount of business Defendants cost Plaintiffdue to their illegal breach of the Contract; and c. Reimbursement to Plaintiff of all costs and fees, including reasonable attorneys' fees, associated with enforcing the Contract; and d. Punitive award for the Defendant's conduct, including but not limited to reasonable attorneys' fees; and Dated: Whatever other remedy this court deems just and proper.
