COMPLAINT
1. Plaintiff
is Walkers
General
Contractors,
Inc.
(hereinafter Walkers), a corporation organized and existing under
the laws of the Commonwealth of Pennsylvania with offices located
at 15 Conifer Lane, Mechanicsburg, Cumberland County, Pennsylvania
17055.
2. Defendant Taco Bell Corporation (hereinafter "Taco
Bell"), is a corporation organized and existing under the laws of
the state of California with offices located at 11 Eves Drive,
Suite 170, Marlton, New Jersey 08053.
3. Defendant Construction Contractors Management, Inc. of
New Jersey (hereinafter "CCM"), is a corporation organized and
existing under the laws of the state of New Jersey with offices
located at 144 Goltra Drive, Basking Ridge, New Jersey 07920.
4. On or about June 2, 1993, Plaintiff Walkers and Defendant
CCM executed a written contract for the construction of concrete
curbing at Defendant Taco Bell's project #217 in York,
Pennsylvania.
A true and correct copy of the contract between
Plaintiff Walkers and Defendant CCM is attached hereto as Exhibit
"A" and incorporated herein by reference.
5. Defendant CCM acted as general contractor for Defendant
Taco Bellon the project which is the subject of the contract
between the parties.
6. On or about June lS, 1993, Plaintiff sUbstantially
completed performance under the contract.
7. During the week of July 12, 1993, Plaintiff received a
telephone call from a representative of Defendant CCM advising
Plaintiff that another contractor had hit and damaged some of the
curbing and that a small portion of curbing was unsatisfactory.
S. Pursuant to Defendant CCM's request, plaintiff repoured
the damaged portion of the curbing on or about July 12 and 13,
1993.
9. On or about July 19, 1993, Plaintiff received a telegram
from CCM advising Plaintiff that it had forty-eight (4S) hours to
correct the portion of curbing that ~ad been marked as
unsatisfactory by Defendants.
10. On or about July 23, 1993, plaintiff complied with
Defendant CCM's request and replaced the curbing marked
unsatisfactory by Defendants, and all work required by the contract
was completed.
11. The terms of the contract provided that nineteen thousand
five hundred dollars ($19,500.00) was to be paid to Plaintiff upon
the completion of its duties under the contract.
12. The Plaintiff received payment under the contract in the
amount of fourteen thousand three hundred dollars ($14,300.00).

13. To date, Oefendant CCM has failed to pay the balance of
five thousand two hundred dollars ($5,200.00) due and owing under
the contract.
14. On or about September 13, 1993, Plaintiff notified
Defendant CCM by certified mail and demanded the payment of the
balance due and owing under the contract.
15. Oespite Plaintiff's repeated demands made to CCM and Taco
Bell for payment, CCM and Taco Bell have refused and failed to pay
the balance due and owing under the contract.
16. The total amount in controversy in this action does not
exceed Twenty-Five Thousand Dollars ($25,000.00), therefore, this
case shall be submitted for compulsory arbitration.
WHEREFORE, it is respectfully requested that Your Honorable
Court find for Plaintiff, Walkers General contractors, Inc., and
against Defendants, and enter judgment in favor of Plaintiff in the
amount of $5,200.00 together with costs and expenses as allowed by
law, and grant such other relief as the Court deems just and
proper.

MUTUAL fllGIITS AND flESPONSIBILlTlES
2.1 The Contractor and SUbcontractor shall be mutually bound
by the terms of this Agreement and, to the extent tbat
provlstons of the PrIme Contract apply to the Work ot tbe
SUbcontractor, the contractor shall assume toward tbe
Subcontractor all obligatIons and responsIbIlIties that tbe
Owner, under the PrIme Contract, assumes toward tbe
Contraotor, and SUbcontractor shsll assume toward the
Contractor all oblIgatIons and rosponslbllltles wblob tbe
Contractor, under the Pr Ime Contract, assumes toward tbe

relmbursod by the Contractor.
3.1.3 Except as provided In Artlole 14, the Contraotor's
equipment wIll be available to tho Subcontractor only at tbe
Contractor'a discretion and on mutually satlafactory ter...
3.2 COMMUNICATIONS
3.2.1 The Contractor shall promptly make available to the
Suboontraotor Information which affects this Subcontraot and
whIch becomos available to tho Contractor subsequent to
execution of this Subcontract.

3.2.2 The Contractor shall not give tnstructlons or order.
directly to omployeos or workmen ot the SUbcuntraotor, exoept
to persons doslgnoted as authorlzod representatives of the
Subcontractor.
3.2.3 The Contractor ahall permit tho Subcontraotor to

ot Work dono by the SUbcontractor.
3.2.4 It hazardous substances ot a type of wbloh an e.ployer
Is required by law to notlty Its omployees are being used
on tbe site by tho Contractor, a subcontractor or anyone
directly or Indirectly employed by thom (other tban tbe
SUbcontractor), the Contrsctor shall, prior to barmful
exposure ot the Subcontractor's employees to such substanoe,
give written notice ot the chemical composition thereof to
the SUbcontractor In suttlclent detail and time to permit the
SUbcontractor's compllonoe with such laws.
3.3 CLAIMS BY TilE CONTIlACTOR
3.3.1 Liquidated damages tor delsy, It prOVided for In
Paragraph 9.3 of thla Agreement, shall be aasessed against
the Subcontractor only to the extent caused by the .
SUbcontractor, the Subcontractor's employees and agents, Sub-
SUbcontractors, suppliers or sny person ot entity for whose
acts the SUboontractor may bo liable, and In no oase for
delays or causes ariSing outside the scope of this
Subcontract.
3.3.2 Except as may be Indicated In this Agreement, the
Contractor agrees that no Claim for payment for servloes
rendered or materials and oqulpment turnlshed by the
Contractor to the SUbcontractor sholl be valid without prior
notice to the Suboontractor.
3,4 CONTRACTOR'S REMEDIES
3.4.1 If the SUbcontractor defaults or neglects to oarry out
the Work In accordance wllh this Agreement and falls within
two working days atter recolpt ot written notloe fro. the
Contractor to commence end continue correotlon of suoh
default or neglect with diligence and promptness, the
Contraotor may. after two days following reoelpt by the
Subcontractor of an additional wrltton notloo, and without

4,1 EXECUTION AND PROGRESS OF TilE WORK
4,1.1 The Subcontractor ahall cooperate with the Contractor

Contractor, other subcontractors or Owner's own forces.
4.1.2 The Subcontractor shall promptly submit Shop Drawlncs,
Product Dsta, Samples and similar submittals required by tbe
Subcontractor Documents with reasonable promptneas and In
such sequence as to cause no delay In the Work or In tbe
activities of the Contractor or other suboontraotors.
4,1.3 The Subcontractor shall submit to the Contraotor a
schedule of values allocated to the various parts of the Work
of this Subcontract, aggregating the Suboontract Sum, made
out In such detail as the Contrsctor and Subcontraotor .ay
agree upon or as required by the Owner, and aupported by luoh
evidence as the Contractor may direct, In applying for
payment, the Subcontractor sholl submit statement based upon
this schedule.
4.1.4 The Subcontractor shall furnish to the Contraotor
periodic progress reports on the Work of this Subcontraot as
mutuslly agreed, Including Information on the status of
materials and equipment which may be In tho course of
preparation or monuCacture.
4.1,5 The Subcontractor agrees that the Architect or Owner
will have the authority to reject Work which does not confor.

with the Intent expressed In the Prime Contract.
4.1.6 The Subcontractor shall pay for moterlala, equipment
and labor used In connection with the performance of this
Subcontract through the period covered by previous payments
received from the Contractor, and shall furnish satlsfaotory
evidence, when requested by the Contractor, to verify
compliance with the above requirements.
4.1.7 The Subcontractor shall take necessary precautions to
protect properly the Work of other subcontractors from damace
caused by operations under this Subcontrect.

4.2.2 The Subcontractor shall comply with Federal, atate and
local tax laws, social socurlty acts, unemployment
compensetlon ncts and workers or workmen's oompenaatlon aota
Insofar as applicable to tho performance of this Suboontraot.
4.3 SAFETY PRECAUTIONS AND PROCEDURES
4.3.1 The Subcontractor shall take roasonable safety
precautions with respect to porformance of this Suboontract,
shall oomply with safoty moasures Initiated by the
Contractor and with applicable laws, ordinances, rUlea,
regulations and orders of public authorities for tbe aafety
of persons or property In accordance with the requlre.enta of
the Prime Contract. Tho Subcontreotor shall report to tbe
Contraotor wIthin throe daya of on Injury to an employee or
aKent of tho Subcontractor which occurred at the site.
4.3,2 If hszordous substances of a typo of whlcb an e_ployer

expenses, Including bul not limited to attorneya' fees,
arising out ef or resulting from performanoe on tbe Work In
the affected sree If In fact the material Is asbestos or
polychlorlneted biphenyl (PCD) and has not been rendered
harmless, provided that such claim, damage, loss or expense
Is attributable to bodily Injury, sickness, disease or deatb,
or to Injury to or destruction of tangible property (otber
than the Work Itself) Including loss of use resulting
therefrom, but only 10 the extent caused In wbole or In part
by negligent acts or omissions of the Contractor, Aroblteot,
Owner, anyone directly or Indirectly employed by any 01 tbe.,
or anyone for whose acts any of them may be liable,
regardless of whether or not such claim, damage, loss or

4.4 CLEANING
4,4.1 The Subcontractor sholl keep the premises and
surrounding aree free frem occumulotlon of waste materials or
rubbish coused by operotlnna performed under tbls
Subcontract. Tbe Subcontractor shall not be held responsible
for unclean condlllona caused by other oontractors or
subcontractors.

(hereinafter Walkers), a corporation organized and eXisting under
the laws of the Commonwealth of Pennsylvania with offices located
at 15 Conifer Lane, Mechanicsburg, Cumberland County, Pennsylvania
2. Defendant Taco Bell Corporation (hereinafter "Taco
Bell"), is a corporation organized and eXisting under the laws of
the state of California with offices located at 11 Eves Drive,
Suite 170, Marlton, New Jersey 08053.
3. Defendant Construction Contractors Management, Inc. of
New Jersey (hereinafter "CCM"), is a corporation organized and
eXisting under the laws of the state of New Jersey with offices
located at 144 Goltra Drive, Basking Ridge, New Jersey 07920.
4. On or about June 2, 1993, Plaintiff Walkers and Defendant

CCM executed a written contract for the construction of concrete

curbing at Defendant Taco Bell's project #217 in York,
A true and correct copy of the contract between
Plaintiff Walkers and Defendant CCM is attached hereto as Exhibit
"A" and incorporated herein by reference.

5. Defendant CCM acted as general contractor for Defendant
Taco Bell on the project which is the subject of the contract
between the parties.
6. On or about June 18, 1993, Plaintiff SUbstantially
completed performance under the contract.
7. During the week of July 12, 1993, Plaintiff received a
telephone call from a representative of Defendant CCM advising
Plaintiff that another contractor had hit and damaged some of the
curbing and that a small portion of curbing was unsatisfactory.
8. Pursuant to Defendant CCM's request, Plaintiff repoured
the damaged portion of the curbing on or about July 12 and 13,
1993.
9. On or about July 19, 1993, Plaintiff received a telegram
from CCM advising Plaintiff that it had forty-eight (48) hours to
correct the portion of curbing that had been marked as
unsatisfactory by Defendants.
10. On or about July 23, 1993, Plaintiff complied with
Defendant CCM's request and replaced the curbing marked
unsatisfactory by Defendants, and all work required by the contract
was completed.
11. The terms of the contract provided that nineteen thousand
five hundred dollars ($19,500.00) was to be paid to Plaintiff upon
the completion of its duties under the contract.
12. The Plaintiff received payment under the contract in the
amount of fourteen thousand three hundred dollars ($14,300.00).
13. To date, Defendant CCM has failed to pay the balance of
five thousand two hundred dollars ($5,200.00) due and owing under
the contract.
14. On or about September 13, 1993, plaintiff notified
Defendant CCM by certified mail and demanded the payment of the
balance due and owing under the contract.
15. Despite Plaintiff's repeated demands made to CCM and Taco
Bell for payment, CCM and Taco Bell have refused and failed to pay
the balance due and owing under the contract.
16. The total amount in controversy in this action does not
exceed Twenty-Five Thousand Dollars ($25,000.00), therefore, this
case shall be submitted for compulsory arbitration.
WHEREFORE, it is respectfully requested that Your Honorable
Court find for Plaintiff, Walkers General Contractors, Inc., and
against Oefendants, and enter judgment in favor of Plaintiff in the
amount of $5,200.00 together with costs and expenses as allowed by
law, and grant such other relief as the Court deems just and
proper.
