GUARANTY AGRlINBHT
THIS GUARANTY of payment is given this 23rd day of November
1988, by COMPONENT BUILDING SYSTEMS, INC., Rt. 641, P.O. Box 109,
Newville, Pennsylvania, (hereinafter collectively called "Guarantor")
to FARMERS BANK AND TRUST COMPANY OF HANOVER, a Pennsylvania banking
corporation, having its principal place of business in the Borough of
Hanover, York County, Pennsylvania (hereinafter called "Bank").
WITNESSETH I
WHEREAS, the Bank has granted to COMPONENT BUILDING SYSTEMS RIAL
ESTATE, hereinafter called Borrower, a Commercial Mortgage in the
amount of FOUR HUNDRED THIRTY-FIVE THOUSAND AND 00/100 DOLLARS
('435,000.00) for the benefit of Guarantor evidenced by Promissory
Not.. of Borrower (hereinafter called the "Notes").
WHEREAS, Guarantor as an inducement to Bank to make said loan, h..
agreed to guarantee repayment to the Bank of the aforesaid loan or ~ny
addition Dr extension thereto from the date of said loan, it bsing
understood that notwithstanding the existence of the Promissory Notes,
lhe Bank would not make this,loan unless this Guaranty Agreement i.
executed.
In order to induce the Bank to make the loan, the Guarantor
covenants and agrees with the Bank as follows I
1. Guarantee. The Guarantor hereby unconditionally and irrevoca-
bly guarantees to the Bank the full and punctual payment of the Notes,
with interest accrued thereon, when and as the same shall become due
and payable (whether by acceleration, declaration, extension or other-
wise). Additionally, the Guarantor agrees to indemnify and pay to the
Bank, on demand, all costs and expenses (including, without limitation,
fees and expense.) incurred by or on behalf of the Bank in
endeavoring to collect or enforce the Notes or this Guaranty, all the
foregoing co.t. and expen.es hsrein collectively called the -collection
coat.-. In addition, Guarantor hereby agrees to indemnify and save
harml... the Bank from and against all obligations, demands, loss or
liability by whomsoever asserted, suffered, incurred Dr paid, ari.ing
out of Dr with reapect to the indebtedness evidenced by the Notes.
2. Representations and Warranties. The Guarantor represents and
warrants to the Bank thatl
(a) They are a corporation at Rt. 641, P.O. Box 109, Newville,
Penn.ylvania,
(b) They have full power and authority to execute and deliver thi.
Guaranty and to incur the obligations provided for herein,
(c) The execution and delivery of this Guaranty Dr of any related
documents, agreements and instruments, will not result in any violation
of, or be in conflict with, or constitute a default under, any mort-
gage, indenture, deed of trust, security agreement, lease, contract,
agreement, instrument, obligation, judgment, decree, order, .tatute,
regulation, or rule, applicable to the Guarantor,
(d) This Guaranty and any other documents, instruments or agree-
ments made by them with respect to this Guaranty are valid, enforceable
and binding upon them in accordance with the terms and covenants hsreof
and thereof. This Guaranty will not violate any applicable provisions
of law or judgment, order or regulation of any court or of any public
or governmental agency or authority nor conflict with or constitute a
breach of or a default under any instrument to which Guarantor is a
party or by which Guarantor or any of Guarantor's property is bound,
and this Agreement is a legal, valid and binding obligation of Guaran-
tor in accordance with its terms,

or to the knowledge of Guarantor, threatened against Guarantor, the
adverse result of which might in any material respect affect the
business, properties or financial condition or Guarantor or the perfor-
mance by Guarantor or Guarantor's obliqation hereunder, and Guarantor
is not in violation in any material respect of any statute, rule, order
or regulation of any governmental body applicable to Guarantor,
(g) Guarantor has filed all Federal, state and local tax returns
required to be filed (or has obtained valid extensions of the dates on
which .uch returns are required to be filed I and has paid all taxe. a.
shown on the said returns to be due.
3. Continuing Guaranty. This shall be a continuing Guaranty,
terminable only as hereinafter provided. Notice of intent to terminate
this Guaranty shall be sent to Bank at its principal office by cer-
tified or registered mail, return receipt requested. Such termination
shall not be effective to release the Guarantor from any liability a.
to any indebtedness or obliqation hereinbefore referred to which may be
held Dr owing to the Bank at the time of receipt of said notice, Dr as
to any renewal or renewals thereof.
Bank may at any time and from time to time without the consent of
or notice to Guarantor and without impairing or releasing the obliga-
tions of Guarantor hereunder (il exercise or refrain from exercising
any right or remedy aqainst Authority, Company or others, including
without limitation Guarantor, and (iil modify, amend, extend, supple-
ment or waive or consent to the breach of any provision of the Notes,
or any document delivered in connection therewith, to which instrumente

such modification., amendment., extensions, supplement., waivars
and con.ent. Guarantor hsreby as.ente.
The guaranty and eurety containsd in paragraph 1 hereof i. abeo-
lute and unconditional, primary, dirsct and immediate and .hall be
valid and binding upon Guarantor regardless of any invalidity, irregu-
larity, defect or unenforceability of Dr in the Notes, Dr any other
obligation or agreement of Borrower or Guarantor. Guarantor hereby
waivee any right to require Bank to proceed initially against Borrower
or any other person, upon any default in the payment or performance of
the Obligations. The obligations of Guarantor hereunder shall not be
eubject to any counterclaim, setoff, deduction or defense based upon
any claim Guarantor may have against Borrower or Bank, except payment
Dr performance of the Obligations.
4. Reliance. The indebtedness guaranteed hereby shall be deemed
to have been incurred upon the faith hereof and in reliance hereon, and
Guarantor hereby waives notice of acceptance of this Guaranty with
regard to all obligations of the Notes that may now exist or may
hereafter come into existence. Guarantor hereby waives presentmsnt,
demand, protest and all notices of any kind whatsoever, including, but
not limited to, notice of default in the payment of the Notes.
5. Waiver. Guarantor hereby waives notice of each and everyone
of the following acts, events and/or conditions and agrees that the
creation or existence of any such act, event or condition or the
performance thereof by Bank (in any number of instances I shall in no
way release or discharge Guarantor for liability hereunder, in whole or
in partl (al the renewal, extension, modification, refinancing or
granting of any indulgence of any nature whatsoever with respect to any
or all of the indebtedness and obligations guaranteed hereby, (bl the
addition of or partial or entire release of any guarantor, maker,
.urety, endor.er, indemnitor or other party Dr parties primarily Dr
eecondarily liable for the payment or performance of the indebtednese
Dr obligations guaranteed hereby, (c) assumption of any of the indebt-
edne.. by any other person, whether by assignment, sale, eubleaee,
conveyance Dr otherwise, Id) the institution of any suit or the obtain-
ing of any judgment against any guarantor, maker, surety, endoreer,
indemnitor or other party primarily or secondarily liable for the
payment and/or performance of the indebtedness or obligation guaranteed
hereby, Ie) the sale, exchange, pledge, release, disposition, surren-
der, loss, destruction, damage to, or impairment of any collateral now
or hereafter received to secure the indebtedness guaranteed hereby, Dr
If) the obtaining, perfection, continuation, amendment, release, waiver
Dr modification of any security interest or lien with respect to any of
the indebtedness guaranteed hereby or the settlement, subordination,
compromise Dr discharge of same, it being expressly agreed that Bank
shall have no obligation to obtain, perfect or continue in effect any
security interest or liens with respect to any of the indebtedness or
obligations guaranteed hereby and that the obligation of the Guarantor
.hall in no way be diminished, impaired, affected or released by any of
the above described acts or .conditions or by the invalidity,
unenforceability, or loss or change in priority of any security inter-
est or lien with respect to any of the indebtedness guaranteed hereby.
6. Waiver of Subrogation. In the event the Guarantor shall at
any time pay any sum or sums on account of the Notes or take any other
action in performance of its obligations and liabilities hereunder, the
Guarantor shall have no surogation or other rights against the Bank and
the Guarantor hereby waives all such rights of subrogation and all
rights of reimbursement or indemnity whatsoever or right of recourse to
any security and collateral covered by the Mortgage or any other

document. executed in connection with the aforesaid loan unle.. and
until the Nota. and all collection costs shall have been paid in full
to the Bank.
7. Events of Default. The occurrence of one or more of the
following events (herein referred to as "Events of Dsfault") .hall
constitute a default hereunder, and all such events are individually
and collectively included in the term "Default" as used herein, Ca) if
the Guarantor .hall fail to promptly pay to the Bank all sums due and
payable to the Bank by Guarantor under and by reason of thi. Guaranty,
(b) if the Guarantor shall fail to duly perform, observe or comply with
any of the terms and provisions of this Guaranty at the time or times
when performance, observance or compliance therewith is required by the
terms hereof, (c) if any representation or warranty contained herein Dr
made pursuant hereto shall prove to have been false or incorrect in any
material re.pect on the date as of which made, Cd) if a default as
defined in the Notes should occur, (e) the dissolution, consolidation
Dr reorganization of the Guarantor, or If) if the Guarantor .hall make
a general assignment for the benefit of creditors or shall admit in
writing its inability to pay debts as they become due, or shall file a
voluntary petition in bankruptcy, or shall be adjudicated a bankrupt Dr
insolvent, Dr shall file any petition or answer seeking for itself, or
consenting to, or acquiescing in, any reorganization, arrangement,
composition, readjustment, liquidation, dissolution or similar relief
under any present or future statute, law or regulation or shall file an
answer or other ple~ding admitting, or shall fail to deny, or contest,
the material allegations of a petition filed against it in any such
proceeding, or shall seek or consent to or acquiesce in the appointment
of any trustee, receiver or liquidator of the Guarantor or any part of
the property of the Guarantor.

B. Default. It anyone or more Events of Default ehall occur,
then in any euch case, the Bank may at any time thersatter, at ite
option (a) declare an amount equal to the then unpaid balance of the
Note. with intereet accrued thereon (whether then due or not) plus all
collection coets then incurred to be due and payable, whereupon the
.ame ehall become immediately due and payable by the Guarantor to the
Bank, and/or (b) exercise any rights, remedies and pcwers granted to it
hereunder, or by law.
9. Succeseors and Assigns. This Guaranty Agreement shall be
binding upon and inure to the benefit of the Bank, Borrower and Guaran-
tor and their respective successors and assigns.
10. If any provision hereof is found by a court of competent
juriadiction to be prohibitsd or unenforceable, it shall be ineffactive
only to the extent of such prohibition or unenforceability and such
prohibition or unenforceability shall not invalidate the balance of
,
auch provision to the extent it is not prohibited or unenforceable, nor
invalldate the other provisions hereof, all of which shall be liberally
construed in favor ot Bank in order to effect the provisions hereof.

duly executed on the day and year first above written,
