against the claims set forth in the following pages, you must take
action within twenty (20) days after this Complaint and Notice are
served, by entering a written appearance personally or by attorney

entered against you by the Court without further notice for any
money claimed in the Complaint or for any other claim or relief

Defendant agreed to indemnify Plaintiff for any loss related to
cardholder usage. The Agreement also provided chargeback features
whereby Defendant would be responsible for cardholder claims. A
copy of said Agreement is attached hereto and incorporated herein
as Exhibit "A".
5. Plaintiff has provided credit card related services
and the funding of cardholder indebtedness pursuant to cardholder's
purchase of products f.rom Defendant in reliance upon Defendant's
representation that sufficient funds existed on deposit or would be
transferred to Dauphin Deposit Bank to pay any cardholder
indebtedness, claims, chargebacks or related costs.
6. Plaintiff has received notice from the Office of
At torney General of the Commonweal th of Pennsylvania regarding
irregularities of Debtor's operator. Upon receipt of said notice,
certain accounts were frozen but credit card usage continued. A
copy of said notice is attached hereto and incorporated herein as
Exhibit "B".
7. After receipt of said notice, plaintiff attempted to
promptly contact Defendant to give notice of the termination of the
Agreement and to demand payment of all balances in full.
8. Defendant has willfully failed, neglected, and
refused to make good the cardholder indebtedness, to satisfy
cardholder complaints or claims or to settle all or any part of the
involved transactions as required.

9. Plaintiff now has in excess of $38,000 in
outstanding liabilities and/or chargebacks and expects that total
chargebacks and liabilities may exceed $50,000.
COUNT I
Fraud
Plaintiff v. Defendant
10. Plaintiff. incorporates by reference the allegations
contained in paragraphs 1 through 9 above as though set forth
herein at length.
11. At all times material hereto, Defendant intended to
deceive and defraud its customers, and by extension Plaintiff, out
of the cardholder indebtedness for the purchased products by
falsely and fraudulently representing that sufficient funds existed
or would be on deposit with Plaintiff to cover the cardholder
indebtedness, chargebacks and other costs and/or that it had
purchased the telephone services purported to be sold to
cardholders.
12. Plaintiff justifiably relied upon Defendant's
representations which were intended to induce, and did induce,
Plaintiff to give Defendant Merchant card services and the honoring
of cardholder indebtedness.
13. At the time that Defendant accepted card
indebtedness, the services to be sold by Defendant did not exist
and Defendant's account did not contain sufficient funds for

payment of all cardholder indebtedness, chargebacks and costs by
Plaintiff.
14. Defendant knew, or had reasonable cause to know,
that the account upon which the indebtedness, chargeba<::ks and costs
were to be paid had insufficient funds with which to make payment
and the related telephone services upon which its sale of debit
cards was based had not been purchased.
15. plaintiff was induced to comply with its obligations
under the Merchant Bank Card Contract and to deliver the purchased
services based upon Defendant's aforesaid misrepresentations.
16. plaintiff did not know, nor did ~t have reasonable
cause to know, that cardholder indebtedness, chargebacks and costs
would exceed available funds or that underlying services had not
been purchased.
17, As i1 result of Defendant's fraudulent conduct,
plaintiff sustained substantial monetary losses, including, but not
limited to, the loss of in excess of $38,000 and interest.
WHEREFORE, plaintiff demands judgment be entered in its
favor and against Defendant for its compensatory damages in an
amount in excess of $38,000, together with costs and applicable
interest.

COUNT II
Breach of Contract
18. Plaintiff incorporates by reference the allegations
contain~d in paragraphs 1 through 17 above as though set forth
herein at length.
l.9. Defendant has failed to maintain or place sufficient
funds on deposit with Plaintiff to cover cardholder indebtedness,
potential chargebacks and costs, as it was contractually required
to do.
20. Defendant has failed to settle all card transactions
within 24 hours and/or deposit funds within 7 days depending upon
the nature of the transaction.
WHEREFORE, Plaintiff demands judgment be entered in its
favor and against Defendant for damages in an amount in excess of
$38,000, together with costs and applicable interest.
COUNT III
Indemnification
21. Plaintiff incorporates by reference the allegations
contained in paragrap1-js 1 through 20 above as though set forth
herein at length.
22. Under the provisions of the Merchant Bank Card
contract at Exhibit "A", Defendant has agreed to indemnify and hold
harmless Plaintiff for any and all liabilities, losses, claims,

damages, and expenses for any claim made by a cardholder, including
mail and telephonic orders.
23. Plaintiff. has demanded indemnification but Defendant
has failed to indemnify and hold plaintiff harmless.
WHEREFORE, Plaintiff demands judgment be entered in its
favor and against Defendant for damages in an amount in excess of
$38,000, together with costs and applicable interest.
COUNT IV
Breach of Warranty
24. Plaintiff incorporates by reference the allegations
contained in paragraphs 1 through 23 above as though set forth
herein at length.
25. Defendant has warranted to Plaintiff, at paragraph
9 of the Merchant Bank Card Contract found at Exhibit A hereto,
that all cardholder indebtedness is genuine and arises from a bona
fide card purchase in the total amount(s) stated as a purchase by
Defendant.
26. Defendant has breached said warranty by failing to
provide telephone services purchased by cardholders from Defendant.
WHEREFORE, plaintiff demands judgment be entered in its
favor and against Defendant for damages in an amount in excess of
$38,000, together with costs and applicable interest.
