of Rule of Professional Conduct
The defendant argues that the plaintiff's claim for payment of his legal fees Is
barred by Pa. Rules of Professional Conduct \.5(b). The aforesaid rule stands
for the proposition that a written fee agreement Is required when the lawyer
has not regularly represented the client.
Prior to the work being done In this case, Mr, Shields had done work for Mr.
Mumma and was paid directly by Mr. Mumma for research In the amount of
$5,000,00. Following that work and payment, Mr. Mumma requested Mr,
Shields do work for him. Mr. Shields regularly communicated with Mr.
Mumma,and had numerous meetings with him to discuss the various legal
matters which he had asked Mr. Shields to look Into,
Mr. Shields submitted a bll1to Mr, Mumma and Mr, Mumma paid $30,000,00
of the bll1 and told Mr. Shields at the time he gave him the check that this
should hold him for a while and the big one would be coming soon. At no
time did Mr, Mumma complain about the amount of his bill. In fact, Mr,
Mumma requested Mr, Shields do additional work for him after he received
his first bll1,
The additional payment never came and Mr, Mumma ignored requests for
payment of the balance of Mr, Shield's bill.

I. PACTS
In May of 1990, Charles E. Shields, III beqan to perfora
leval e.rvicee for Robert M. Mumma, II. This was the firet time
that Mr. Shie1de had ever performed leqa1 work for Mr. Mu..a
althouih h. had previously done limited work for William
coetopouloe, laquire on a matter involvinq Mr. Mumma. A1thouqh Mr.
Shielda beqan workinq for Mr. Mumma in May of 1990, he failed to
co..unicate in writinq to Mr. Mumma the basis or rate of his fee
until February of 1992, by which time he claims to have performed
legal work with a value of $213,691.00. Mr. Shields admite that
much of the reaearch he performed which oontributed SUbstantially
to hie fee was never used. These facts are undisputed.

III. DISCUSSION
RUle 1. 5 (b) of the Pennsylvani.a Rules of Profe..iona1
Conduct .tata., in pertinent part, as follows I
(b) When the lawyer has not regularly
repre.ented the client, the ba.is or rate of
the fee .hal1 be communicated to the client,
in writinq, before or within a reasonable time
after commencing the representation.
Although there i. no applicable case law in Pennsylvania addre..inq
whether a failure to comply with Rule 1.5(b) placee in jeopardy an
attorney'. ability to later collect anything more than a rea.onable
fe. under quantum meruit theory, the proposition for which Rule 1.5
atand. haG been addressed by the Court in Feinao1d v. Pucello, 654
A.ad 1093 (pa. Super. 1995) and Eckell v. Wilson, 597 A.2d 696 (pa.
Super. 1991).
In Feinaold, the defendant had been involved in an
auto.obile accident and discussed with the plaintiff-attorney the
po..ibility of retaining the plaintiff in an action arising out of
the automobile accident. 14L at 1094. The parties discussed Bome
baaic information, but did not discuss a fee arrangement. IlL.
Without further contact with the client, the attorney beqan working
on the case by inspecting the accident site, takinq pictures,
obtaining a police report and securing an admission of liability

.qr....nt. 1.IL. The defendant was not satisfied with the f..
.qr....nt and found other counsel. IlL. The attorn.y su.d the
cli.nt for f... due and owinq under the theory of quantum ..ruit.
IlL. Th. .ttorn.y .rqued that the client orally aqreed to hev. the
.ttorn.y r.pr...nt him so that he was entitled to be paid for the
..rvic.s r.nd.r.d. IlL. The trial court determined that the
plaintiff-attorney, by workinq on the case without a written
aqr....nt, proceeded at hie own risk. IlL. The court went on to
d.t.nin. that there had never been a meetinq of the minds
rBlJ.rding r.pr.sentation and, accordingly, there was DQ contr.ct
.nd DR Obligation to reimburse the attorney for his work. 1.IL. at
10115. The court also noted that Rule 1.5 ie mandatorv, not
sspir.tional. 1.IL. at 1095, n. 3.
A .imi1ar issue was addressed in Eckell v. Wi1eon, 597 A.2d
696 (P.. super. 1991). In Eckell, the plaintiff-attorney, on
.pp..l to the Pennsylvania superior court, raised the que.tion of
wh.th.r . complaint seekinq recovery pureuant to an oral agreement
c.n be dismissed for lack of a writinq. The aqreement between the
parti.s was one in which the client orally agreed to pay to his
.ttornsy a fee based upon "the reaBonab1e value of the .ervice.
r.ndered". The Eckell court specifically stated that the failure
to put .uch aqreementB in writing could reBult in dispute.

F.ingold and Eck.1l, f.iled to obtain. written fee .gr....nt from
hi. client prior to b.ginning his represent.tion. Mor.ov.r, Mr.
Shi.ld. did not communicate in writing or otherwise di.cu.. the
ba.i. of his f.e with Mr. Mumm. until he h.d perfor.ed substanti.l
..rvice., .o.t of which were un.uthorized, over . period of 22
month. (M.y of 1990 through Febru.ry of 1992). Lik. the .ttorn.y.
in r.inaDld and Eck.ll, Mr. Shields proceeded .t his own risk wh.n
h. p.rform.d ..rvic.s between M.y of 1990 .nd February of 1992.
Hor.ov.r, .. in Feinao1d, there simply was no meetinq of the minds
for mo.t of the work performed by Mr. Shields, .nd bec.us. th.r.
wa. .l.o no written contr.ct, Mr. Shields' recovery, like AttDrn.y
Eck.l1's recovery, should be limited to the reasonable value of the
lAlthough the court noted in footnote 6 of its decision th.t
the Ru1.s of Professional Conduct only require that continq.ncy f..
.qr....nts be set forth in writing, this is clearly erroneous giv.n
the court's more recent holdinq in Feinaold making compliance with
Rul. 1.5, of which subsection 1.5(b) is a part, mandatory.

concept that no one who benefits by the labor and materials of
another should be unjustly enriched thereby. Denart.ent of

6. In or about early 1990, defendant hired and obtained the services of
attorney William C. COSlopoulos, a member In good standing of the Cumberland
County and Pennsylvania bars, who maintains his office at 831 Market Street,
Lemoyne, Cumberland County, Pennsylvania, in connection with defendant's
efforts 10 revoke a disclaimer that he had made regarding his share In his father's
estate.
7. In connection with the appropriate strategy to be used in such
endeavor, plaintiff was contacted by Nicholas Ressetar, law clerk and legal
researcher for William C. COSlopoulos.
8. Plaintiff freely furnished considerable advice to Nicholas Ressetar,
and even did some research of his own on the issue of disclaimers, without any
charge whatsoever to either William C. Costopoulos or defendant.
9. Defendant eventually prevailed on the disclaimer issue, thus
allowing him 10 maintain his standing, without which he could not have pursued
several legal avenues that would have otherwise been closed to him.
10. Plaintiff was also approached by Wtlliam C. Costopoulos to
prepare an extensive confidential report for him as to what would be prudent in
the handUng of several cases relating to the Mumma Estate and various
corporations related thereto as to potential strategies, Ukely outcomes and the
Itlce, and as to whether William C. Costopoulos should consider trying to take
over and manage the entire Mumma liligation .
11. William C. Costopoulos reviewed the confidential report with
plaintiff and then reviewed the same with defendant. Shortly thereafter a
meeting was held attended by WllIiam C. Costopoulos, Charles E. Shields, Ill,
and Robert M. Mumma, n.
12. Plaintiff was paid five thousand ($5,000.00) dollars for the
confidential report on or about April 25, 1990.
13. Defendant was impressed with the confidential report, especially
the overaD analysis of the complex litigation, and also a chart of the interlocking
relations among the various Mumma properties.

14. In or about May of 1990, defendant determined to hire plaintiff to
perform further services as researcher, adviser and local counsel. Pursuant to an
oral agreement made at that time, plaintiff was to perform such services at a rate
of one hundred ($100.00) per hour, although such hourly rate was less than that
being charged by all or most of the other attorneys employed by defendant.
15. Plaintiff proceeded to perform numerous services and duties for
defendant since May of 1990 until April of 1995, pursuant to said oral contract.
16. Additionally, plaintiff, with the full knowledge and approval of
defendant, in an effort to conserve defendant's resources as much as possible,
hired the services of Mark Pod via, a member In good standing of the
Pennsylvania bar, a former Judicial clerk, and then and now a law librarian at the
Dickinson School of Law.
17. Mr. Pod via's duties included researching and outlining various
items including what Is known as the "pay and divide rule" which related to
interpreting the nature of defendant's gift under his late father's wili.
18. Defendant stated to plaintiff that he was quite satisfied with the
quaUty of Mark Podvia's work.
19. Mark Podvia, upon the request of plaintiff, consented to render his
services at the exceptionally fair rate of only twenty-five ($25.00) per hour.
20. Mark Podvia tendered a bill to plaintiff for 167 hours at $25.00 per
hour for a total of $4,175.00, and for reimbursement for 1,446 photocopies at lOt
each or $144.60, for a total amount of $4,319.60. (A copy of a final bill from Mark
Podvia is attached hereto as Exhibit "A".)
21. Thus far, plaintiff has paid Podvla from his personal funds the
amount of $1,500.00. Defendant has paid plaintiff nothing specifically earmarked
toward the Povdia fee.
22. Flom May of 1990 through April of 1995, plaintiff spent 2,465.32
hours of billable time (not all time spent working for defendant was ever bll1ed
for), for a total due and owing of $246,532.00.
23. Plaintiff has received a payment of $1,000.00 from an opposing law
firm (Morgan, Lewis &it Bocklus of Philadelphia) In connection with a hearing
which the opposition forgot to attend, and has credited the same to defendant.
24, Plaintiff received a partial payment from defendant of $30,000,00 on
or about February 27, 1992.
25. Despite repeated efforts to communicate of late, both by plaintiff
and plaintiff's counsel, defendant falls or refuses to either communicate or to
make any effort to pay all or part of the monies due and owing to plaintiff,
26. Defendant Is thus currently Indebted to plaintiff as follows:

AND NOW comes the defendant, Robert M. Mumma II, by his
attorneys, Sherr, Joffe & Zuckerman, P.c., and files the following

Charles E. Shields III is the plaintiff and is an adult individual.
The balance of the allegations set forth in paragraph 1 of
plaintiff'S complaint are denied in that, despite rea.onable
investiqation, defendant is without sufficient knowledge or
information to admit or deny such allegations.

plaintiff has an office in the Mellon Bank Building at 2 W..t Main
street, in the Borough of Mechanicsburg, cumberland County,
Pennsylvania. The balance of the allegations are denied in that,
