Transit Lines, Inc., Plaintiff Allshouse Commodity Marketing, Defendant No. COMPLAINT AND NOW, comes the Plaintiff, R.A.M. Transit Lines, Inc., by its counsel, Reed Smith Shaw & McClay, and brings this action in assumpsit against the Defendant, upon causes of action of which the following is a statement: 1. Plaintiff, R.A.M. Transit Lines, Inc. (hereinafter referred to as "R.A.M. Transit") is a Pennsylvania corporation, having it principal place of business at 421 E. Mercer Street, Harrisville, PA 16038. 2. Defendant, Allshouse Commodity Marketing (hereinafter referred to as "Allshouse") is a Pennsylvania corporation having its principal place of business at 131 Holly Orive, Mechanicsburg, PA 17055. 3. Between February 1.4, 1995 and May 24, 1995, Allshouse entered into a contract for the purchase of certain transportation services from R.A.M. Transit. 4. These services required R.A.M. Transit to transport grain and other goods to destinations specified by Allshouse. 5. Allshouse agreed to pay R.A.M. Transit for said services the total amount of $11,541.30. . . . , , 6. Between February 14, 1995 and May 24, 1995, R.A.M. Transit transported thirty-one truckloads of grain and other goods at the request of Allshouse. 7. R.A.M. Transit at all times, performed its obligations, and conformed and complied with all required conditions under the bills of lading for the transportation services provided to Allshouse. B. True and correct copies of the original shipping invoices and bills of lading are attached hereto and marked as Exhibit A. 9. R.A.M. Transit repeatedly demanded payment of the shipping charges past due. A true and correct copy of the letter sent by R.A.M. Transit and received by Allshouse regarding past due charges owing to R.A.M. Transit under the shipping agreements is attached hereto and marked as Exhibit B. 10. To date, despite repeated requests for payment from Allshouse, R.A.M. Transit has not been paid any portion of the amount due pursuant to the bills of lading, namely the sum of $11,541.30. 11. As result of Allshouse's failure to pay the past due charges owing by Allshouse to R.A.M. Transit under the invoices and bills of lading, R.A.M. Transit has incurred and will continue to incur damages, counsel fees and expenses. -2- . . COUNT I BREACH OF CONTRACT 12. The averments of paragraphs 1 through 11 hereof are incorporated by reference as if set forth in their entirety. 13. By failing to pay the amounts owing by Allshouse to R.A.M. Transit under the bills of lading, Allshouse has breached the terms of the express contract between R.A.M. Transit and Allshouse. WHEREFORE, Plaintiff, R.A.M. Transit Lines, Inc., demands judgment against Defendant Allshouse Commodity Marketing in the amount of $11,541.30 together with the costs of this suit, including interest and counsel fees and expenses, as allowed by law and any other appropriate relief, such sum being less than the $25,000 limit for compulsory arbitration under Local Rule 1301-1. COUNT II QUANTUM MERUIT 14. The averments of paragraphs 1 through 13 above are incorporated herein by reference. 15. In the event that this Honorable Court should find that an express contract did not exist between the parties, which is denied, then, in the event, R.A.M. Transit pleads this alternative count in auantum meruit. 16. R.A.M. Transit provided valuable services to Allshouse under circumstances which the Allshouse should have reasonably expected to compensate R.A.M.
