AND HOW, comes Defendant, Michigan West, Inc" by and through

Preliminary Objections to Plaintiff's Complaint, and in support
thereof, states the following:
I. '.ILIIIIIWlY OBJlCTION 'URSUANT TO lULl 1028 (A) (4), LICIlL
IKSur'ICIIHCY 0' TBI 'LIADINO (DIllURRIR).
1. Plaintiff has again filed this civil action against
Defendant for alleged breach of contract for the delivery of a
vehicle owned by Plaintiff.
2. In Paragraph 5 of Plaintiff's Complaint, Plaintiff states
that Defendant was acting of behalf of Allstates Worldwide Delivery
Systems in transporting Plaintiff's vehicle from California to
Pennsylvania.

3. The facts alleged in Plaintiff's Complaint demonstrate
that Defendant was an agent of Allstates Worldwide Delivery
Systems, a disclosed principle, and that Defendant did not take
personal responsibility for the alleged contract.
4. Pursuant to Pa.R.c.p. 1028 (a) (4), a preliminary objection
may be filed by any party for "legal insufficiency of a pleading
(demurrer) . II
5. An agent for a disclosed principle, in the absence of
circumstances showing that personal responsibility was incurred, is
not personally liable to the other contracting party. Bash v. Bell
Telephone Co., 601 A.2d 825 (Pa.Super. 1992).
6. Plaintiff has not alleged any facts which indicate that
Defendant was anything other than an agent of All states Worldwide
Delivery Systems. Further, Plaintiff has not alleged any facts
which indicate that Defendant accepted personal responsibility for
the alleged contract.

PLAINTIFF COMPLAINT. CIVIL ACTION
I. This is an action resulting from an appeal by Defendant from a District Justice Judgment.
The date of Judgment was 09/18/95, The claim number was TA 19 CV.oOOO4 I 7-95 styled as
Jose Picart vs, Allstate Worldwide Deliverv Svstems et 01. Allstate Worldwide Delivery Systems
(hereafter referred to as A WDS) is not a party to this action since they did not appeal the District
Justice Judgment. Notice of JudgmentlTranscript is allached at Exhibit A.
2, On June 20, 1995, Plaintiff, LTC Jose Picart, entered into a contract with A WDS for door.to.
door pick.up and delivery ofa 1986 Nissan Stanza Wagon from Santa Cruz, California to 210
ShallO Drive, Carlisle, Pennsylvania. The contract consisted of a faxed domestic shipping order,
LTC Plcart slped the shipping order (Exhibit 0) and mailed it back to A WDS, with a 5200.00
Money Order, vi. Express Overnight mail (Exhibit C). The contract required that Allstate pick-
up LTC Picart's car within a three day period, 26-28 June 1995.
3, On June 28,1995, AWlJS failed to pickup the automobile owned by the LTC Picart as
required by contract. As a result ofthis failure, LTC Picart was required to pay $110.00 in
storage fees (Exhibit D) to a third party (Matos Automotive Enterprise, Inc.) not subject to this
action. This pick. up and storage was arranlled and coordinated by A WDS.
4, LTC Picort was compelled to store his automobile on June 28, 1995 (pending pick-up of his
automobile by A WDS) because LTC Picart and his family were required to depart Santa Cruz,
CA on June 29, 1995 pursuant to official military orders (Exhibit E). LTC Picart and his family
were traveling using government purchased (non-refundable) airline tickets (Exhibit F).
5, AWDS, acting os LTC Picart's agent and acting on his behalf placed the shipping order with 0
car carrier trucking company, named Michigan West, which they deemed iii to deliver LTC
Picort's automobile. Michigan West signed for and picked up I'laintlll's automobile from Matos
Automotive Enterprise, Inc. storage facility in Son Jose, CA,(Exhibit 0). A copy of the shipping
order contracting the shipment of LTC I'icart's automobile to Michigan West is alloched os

6. On June 30, 1995, LTC Picart called AWSD Customer Service Representative (Marie) to
conflnn when he could expect his automobile to be delivered in Carlisle, PA, Marie infonned
LTC Picart not to expeet delivery prior to 7 July 1995. LTC Picart then provided A WSD
Customer Service Representative, Marie, with 0 phone number where he could be reached
during the period 1 July. 6 July 1995. This phone conversation was witnessed by LTC Picart's
wife, who was present at the time of the phone conversation. A wrillen statement by LTC
Picart's wife testifying to the nature of this phone conversation is attached as Exhibit I.
7, On 3 July 1995, LTC Picart received delivery ofa shipment of household ll00ds from
California at 210 Shatto Drive, Carlisle PA and United Telephone of Pennsylvania establishes
phone service at 210 Shallo Drive at approximately 12:00 am. This is evidence that LTC Picart
could be contacted by phone during this period and also evidence that LTC Picart could be
available at his residence to receive delivery of his automobile.
8. On 3 July 1995 Michigan West allegedly allempted to contact LTC Picart by phone at 210
Shatto Drive to arranlle for delivery of LTC Picart's automobile. LTC Picart was not aware of
the alleged attempt to contact him despite the fact that he was at the place of contracted delivery.

goods from California. AllIched as Exhibit J is 0 copy of the Government Record of Shipment
Delively dated 3 July 1995.
9. From July 3 - July 5 1995, LTC Picart was away from 210 Shatto Drive, relying on the
contracted delivery date of no earlier than July 7,199'. On July 6, LTC Pi cart received a phone
cIII from the Defendant's representative, "Tom", who claimed that delivery ofL TC Picart's
lutomobile was attempted on July 5, 1995. The Defendant's representative demanded that a
check for $650.00 be sent to him prior to the delively of the automobile. On 7 July, "Tom"
requested and LTC Picart forwarded by express mail a personal check for the balance due to
Michigan West (Exhibit K). This check was immediately returned by the Defendant as an
inappropropriate fonn of payment. On the advice of a local lawyer, LTC Picart then refused to
pay the balance due until the automobile was delivered as contracted. The contract signed by
LTC Picart required that the balance due ($650.00) would be payable C.O.D. For 29 days, the
Defendants refused to deliver the automobile as stated under the terms of the contract causinll
LTC Picart and his family damage and emotional distress.
10. As a result of the actions by Defimdant's, LTC Picart was denied the use of his automobile
forthe period July 7. 1995- AUllust4, 1995. During this 29 day period, Defendant's kept LTC
J>jcart's automobile hidden in storage and reported falsely to LTC Picart, the Judlle Advocate
Geneml in Carlisle Barracks and the Carlisle Police that the vehicle was stored in Falls Church,
VA. In fact. LTC Picart's automobile had been stored in Steve's Repairs Unlimited, in Carlisle,
Pa. since 5 July 1995. Attached as Exhibit L is the automobile storage agreement between
Defendant and the owner of Steve's Repairs Unlimited. Defendant was uncooperative with
LTC Picart's shipping agent, A WDS, who contracted the shipment of LTC Picart's vehicle to
them and with police and government officials who allempted to negotioate a resolution to the
dispute. In addition to sending a personal check for the disputed amount, LTC Picart mode three
other allempts to pay Defendant for delivery of the automobile contingent only on having the
opportunity to view his automobile. These etTorts involved otTers by A WDS, a Carlisle Law
firm, and the Judlle Advocate General in Carlisle Barracks to hold the 5650.00 and guarantee
dclivery ofthe money to Defendant's after LTC Picart viewed the automobile and was assured
that his automobile was not damalled or lost. Defendant's refused all otTers for a mediated
resolution to the dispute, Consequently, LTC Picart was forced to rent an automobile, make
numerous long distance phone calls, incur express mail and bankinll expenses, and was
inconvenienced to his detriment. The automobile was ultimately recovered from the Defendant
with the assistance of the North Middleton Township, Carlisle, PA Police Chief JetTRudolph. A
statemcnt by Police Chief JetT Rudolph is attached os Exhibit M. A more detailed chronology
of events is attached as Exhibit N.
II. In the facts set out above, it is demonstrated that durinllthe period 5 July 1995 . 4 August
1995, the Defendant took actions in violation of the contract and these actions are the claim
upon which relief should be Ilranted. Specifically, the Defendant, Michillan West, was
obllpted by contract:
a. to obtain A WDS assistance when contacting LTC Picart to etTect delivery ofthe
vehicle and prior to placing the vehicle in storalle. Defendant violated the terms of the contract
by failing to contact LTC Picarts allent, A WDS for assistance in contacting LTC Picart.
b. to notifY ASWD prior to placinllthe Plaintift's automobile in storalle. Defendant
violated the terms of the contract by failing to do so without discretion from A WDS as required
by the contract (item 7 on page 2 of contract)
c. to dcliver LTC Picart's automobile C.o.D.. Defendant violated the contract by
refusing to deliver the automobile C.O.D, to LTC Picart as contracted;
d. to inform LTC Picart's allent, AWDS of the location of the vehicle at all times.
Defendant refused to inform A WDS of the location of the Plaintill's automobile as required by
thc contract.
e. to nellotiate throullh LTC Picart's allent, A WDS. Defendant violated the contract by
establishing a direct relationship with PlaintitT, and uncooperative with A WDS, by callinl! and
writing to PlaintitT directly. Letters from Defendant to LTC Picart are allached as Exhibit O.
Defendant further dealt directly with persons allempting to assist PlaintitT, specifically a
Detcctive (Ron Nester, Carlisle Police Department) contacted by PlaintitTto locate the
automobile; The Office of the StatT Judge Advocate (SJA) of Carlisle Barracks, PA (CPT
Armand Aithal); and the Police Chief of North Middleton Township (Chief JetTrey W. Rudolph)
also assisting LTC Picart in locatinl! PlaintiO's automobile, PlalntitT is willinl! to submit to the
Court Affidavits from these parties conlirminllthese facts. As evidence of Defendant's
independent actions attached as E"hibits M, 0 and P are copies of correspondences, FAX
records, and written statements from individuals contactcd.
12. Furthermore, A WDS, in 0 leller to this court (E"hibit 0), has claimed that it is "simply 0
broker and any liability should be taken up directly with the truckinll company that transported
the vehicle", as per item 1/ 8 on palle two of their contract. Michillan West has 0 history of
business with A WDS and is well aware that A WDS, actinll os on allent of LTC Picart contracted
Michigan West to pick.up and deliver his automobile. Therefore, Michigan West has 0 direct
personal responsibility for the terms of the contract. A WDS serves os on agent of Plaintilf to
exercise its effort on behalf of Plaintiff to contract with a trucking company. i.e, Michillan West.
The brokerage of LTC Picart's automobile by ASWD to Defendant, MichillBn West, was in
accordance with the contract. Upon allreeinllto accept the shippinll order (Exhibit H), the
Defendant, Michillln West, accepted personal responsibility lor Plaintill's automobile from
ASWD, an agent representinll LTC Picart. Delendants arc in a direct relationship with the
Pllintiff and therefore personslly responsible to the Plaintilf.
WHEREFORE, Plaintiff has shown that Defendant entered into an allreement with
AWDS, an agentlcting on behalf of the Plaintiff,thereby entering into a personal relationship
with the Plaintiff, As a result ofthe Defendant's actions in violation ofthe contract described
above, Plaintiff suffered damalles as claimed in this complaint and respectfully request the Court
to find for the Plaintiff and sustain the existinlljudgment against the Plaintiff. Plaintiff demands

Statement of Witness
On 30 June 1995, my spouse, LTC Jose A. Picart, made a phone call to Marie, the customer
service agent at Allstate Worldwide Delivery Systems (ASWD). I heard LTC Picart explicitly
ask Marie when was the earliest date he should expect delivery of his automobile. LTC Picart
then made the following statement: "Ifthe earliest we can expect delivery is Friday, 7 July, then
my family and I will be at West Point in New York until Thursday, 6 July to await delivery of the
car. Furthennore, we will be staying at the Palisades Motel in Highland Falls New York and the
number we can be reached at if there are any changes to the delivery date is (914) 446-9400." or

REI statement regarding events of August 3-4, 1995
On Thursday, August 3, 1995, I received a telephone call from a
Captain Arvin Aithal, U,S.A,W,C, Judge Advocates Office, who
advised me that a Lt,Col. Jose Picart wished to file a complaint
regarding the posaible theft of his motor vehicle, captain Aithal
related the following I Mr. Picart had moved from California
recently and had contracted a firm in California to transport hi.
vehicl., a 1986 Nis.an stanza. The naae of the firm in California
wa. All-states-Worldwide Delivery Systems. At some point, AII-
states-Worldwide had contacted another firm identified as Michigan
W..t to transport the vehicle to carlisle, When the vehicle
arrived in the Carlisle area, the company would not accept a
personal check from Mr, picart and demanded payment in cash or a
aoney order, The vehicle was not turned over to Mr, picart and its
wher.abouts had been unknown at that time,
I requested that Mr, Picart come to the North Middleton Township
Police Department to file a official complaint, Mr, Picart
r..ponded and arrived on station at approximately 3140 PM, August
3, 1995, Mr, Picart produced documente proving hie ownership of
the aforeaentioned vehicle, Mr, Picart further related that he has
a aoney order for the amount of $650,00 which is the balance due to
MiChigan Weat for transporting the vehicle.
Mr, Picart provided me with a telephone number of MiChigan West,
located at 5861 Ridgebrook, Kentwood, MiChigan, (616-249-9030), I
called the number and a Linda Amershek answered the telephone, I
explained the situation to Mrs, Amershek regarding Mr, Picarts'
vehiole and that he was on station to report it stolen, due to the
fact that he has proof of ownership and does not have the vehicle
in his possession, Mrs, Amershek stated that Michigan West needs
payment of $650,00 and a storage fee of $140,00. I advised her
that Mr, Picart had a money order for the amount of $650,00 and
further that this department was preparing to report this as a
stolen or missing vehicle due to the circumstances and that I would
be contacting the Law Enforcement Authorities in Kentwood,
MiChigan, to assist in our investigation. At that point, she
stated that she would call her husband and get back to me, I

advised Mr, Picart to return home and that I would contact him when
I had any further information regarding this matter.
Shortly thereafter, a Richard Amershek called me and stated that
all they want is their money and storage fee and Mr. Picart can
have the vehicle, I asked where the vehicle was and Mr. Amershek
stated that it was in storage in the Carlisle area, I pressed
further stating that we were willinq to consider thi8 a stolen
vehicle and are prepared to take further stepe in the
inveetiqation, I further atated to Mr. Amerahek that Mr, Picart
was willinq to pay the $650,00 and that he was the legal owner of
the vehiCle. Mr, Amershek asked about the $140,00 storage fee. I
advised him that I believe Mr, Picart would pay the storage fee,
Mr, Amershek stated that he would have his wife call me as to the
whereabouts of the vehicle,
I then called Mr, Picart and advised him that we were close to
.ecuring hie vehicle and that besides the $650.00, if he were
Willing to pay the storaqe fee we may be able to have his vehicle
returned to him, Our main goal was to locate and return the vehicle
to Mr, Picart and that in all eventuality, this may be conaidered
a civil matter, a matter in which police do not indulge themselves
in, Although reluctant, and understandably so, Mr, Picart agreed
to pay the storage fee,
Linda Amershek called and stated that the vehicle waa located at
Steves Body Shop, 1134 Harrisburg Pike, CarliSle. Hrs, Amershek
told me that she would be sending a Federal Express envelope to me
with a return envelope to enclose the money orders,
I called Mr. Picart and told him that his vehicle has been located
and that I would transport hilD to the location of his vehicle, Mr,
Picart and I arrived at steves Body Shop and Mr, Picart immediately
located hi. vehicle, Mr, picart retrieve the keys from the owner
and left the premises,
On Friday, Auquat 4, 1995, I received frolD Federal Express an
envelope addressed to me, A check for $13,00 was included for
payment for Shipment of the money orders from Mr, Picart, Mr,
Picart met .. on station and released two separate money ordere to
.., I placed the money orders in the envelope and proceeded to Th.
Mail ROOID, S, Hanover st" Carlisle, where the envelope was sealed
and placed for delivery,
I had contacted Hr, Michael SChworer, Assistant Distriot Attorney,
regarding the aforementioned inc dent, Mr, Schwoyer stated that
this was a civil matter and that he had been made aware of this
several days prior to my calling him. I informed Mr, Schwoyer of
my efforts in securing Mr, Picarts vehicle and questioned whether
or not Mr. Picart had an obliqation to pay the $140.00 storage fee
in lieu of all other expenses Mr. Picart has incurred during this
unfortunate situation. Mr, Schwoyer stated that payment of the
$140,00 storage fee would not prevent him from taking any type of
civil action against Michigan West. I believe that at some point,

ASWD foxes 0 one page Domestic Shipping Order( II 21539) to LTC
Picart (F.A.X II (408) 459-2098)
June 20:
LTC Picart forwards, by US Post Office Overnight Express, the signed
contract and 0 postal money order ($200,00) as required deposit. The
contract is a single page document and specifies 0 requested three day
window for pickup of LTC Picart's 1986 Nissan Stanza Wagon (26 . 28
June). (copy attached)
June 27:
LTC Pieart calls ASWD (not having heard anything from ASWD
concerning when his automobile would be picked up) and is informed
that the cor carrier assigned to pick-up his car had experienced engine
problems and was being repaired. ASWD advised LTC Picart that no car
carrier was available to pick-up the cor prior to 28 June os specified in
the contract. LTC Picart advised ASWD that he was obligated to depart
Santa Cruz on government orders using (non-refundable) airline tickets
on 29 June. ASWD suggests that LTC Picort leave the car with a friend
or in the parking lot with a key in the tailpipe for pick.up at a later date
when 0 carrier becomes available. LTC Picart informed ASWD that
neither of these arrangements was acceptable and requested that ASWD
arrange for the car to be picked-up, signed for by an ASWD agent and
placed in an AS\VD storage terminal within the contracted window, until
they were able to fulfill the terms of the contract. ASWD stated they
could not pick.up the vehicle, but that they would arrange for a third
party to plck.up and store the vehicle at LTC Picart's expense until
ASWD could arrange for pick.up. Hoving no other reasonable alternative
LTC Picart pays an additional $110.00 to Matos Automotive Enterprise,
Inc. of San Jose, CA to pick-up, sign for the cor and store it until ASWD
could arrange for the vehicle to be transported to Carlisle, P A.
June 28:
At 6:28 p.m. on agent of Matos Automotive Enterprise, Inc. arrives to
pick.up the cor and transports it to the Matos terminal in San Jose.
June 29:
LTC Picart and family depart at 6:30 om pursuant to military orders
(using non-refundable government airline tickets) to Carlisle, PA
June 30:
LTC Picart calls ASWD to conlirm that the car had been picked up from
the Matos terminal and was now on its way to Carlisle. LTC Picart asks
the ASWD customer service agent (Marie) when he should expect the
car to be delivered. The ASWD customer service agent replied that
delivery of the vehicle should not be expected any time before 7 July.
LTC Picart makes plans 10 visit West Point, NY with family and to
return to Carlisle on 3 July to receive 0 shipment of household goods
from California.

LTC Picart is at 210 Shatto Drive from 7:30
am 6:30 p.m, receiving a shipment of household goods from California.
Phone service was not available until 1200 am due to the phone
company's error, LTC Picart had requested phone service be started 011
30 June. The phone company claimed that the service was started on 30
June, but a subsequent visit to the house by a phone service repair
agent confirmed that the phone company hod foiled to start service on
30 June to 210 Shatto Drive as requested.
6 July
LTC Picart receives a phone call from Lindo Amershek of Michigan
West. She claims to have allempted to notify LTC Picart of delivery of
his automobile on 3 July, but could not get through on the phone, She
stated that the vehicle was in storage and requested that LTC Picart
send 0 check for $650.00 to Michigan West and upon receipt of the
check, arrangement would be made to deliver the car, I advise Lindo
that my contract is with ASWD, that ASWD had informed me not to
expect delivery prior to July 7, and that my contract was for C.O.D, I
informed her that I would make payment upon delivery and that I
would not send money to an unknown agent without the opportunity to
see my car, Lindo of MichigOR West informed me that not only would I
not see the cor but she could not even tell me where it was, unless I
sent her the money first.
7 July
Tom of Michigan West calls and states that ifl agree to send
Michigan West a "check" for $650.00,he would arrange for
immediate delivery of my car. LTC Picart sends Michigan West a
personal check for the agreed amount via FEDEX overnight delivery.
7 July
Susan Woontner (wife ofL TC Picart) consults with the member ofo
low firm in Carlisle and is advised nolto send any money until we hove
on opportunity to view the cor. This lawyer recommended the
establishment of on escrow account with the low firm for the disputed
amount, payable to Michigan West upon delivery of the automobile to
210 Shallo Drive.
8 July
Tom of Michigan West calls and states that 0 personal check is
unacceptable. I advise Tom that he hod not asked for 0 cashier's
check. In any case, I already hod the cosh available 10 make C.O.D.
when Ihe vehicle was delivered as Tom hod promised to arrange
immediately. Tom then revealed that he had not made arrangement
for delivery of the cor (as he had promised to do). Furthermore, the
cor was in Falls Church, VA and no delivery would be mode unlll he
received 0 cashier's check made out to Michigan West. Consistent
with the advice of the Carlisle lawyer consulted by Mrs. Picart on 7

July, and with renewed concern about the integrity and legitimacy of
Tom and Michigan West (and security of my car), I advise Tom that I
would not send cash until the cor is either delivered or I have had the
opportunity to view the car. LTC Picart otTers to establish an escrow
account with 0 respected Carlisle low firm, but Tom does not accept
this otTer.
10 July
LTC Picart calls directory assistance to confirm the existence of 0
company called Michigan West at the given address. The phone
company has no listing for Michigan West either at the given address
or any other address.
t 6 July
LTC Picart calls ASWD to inform them of the difficulties with
Michigan West and requests their assistance. Marie (customer service
agent at ASWD)expresses surprise at Michigan West's reluctance to
deliver the automobil~ or to allow LTC Picort to view the car. ASWD
Customer Service Representative Marie begins a series of etTorts to
contact Michigan West,locate the car and arrange for delivery of the
vehicle to 210 ShaUo drive, but is unsuccessful. LTC Picort calls ASWD
and proposes to Marie that ASWD pay Michigan West $650.00 to etTect
delivery of the car and LTC Picart agrees to then pay ASWD when the
automobile is delivered. Marie agrees to present this proposed
arrangement to the ASWD accountant and call me bock immediately.
20 July
LTC Picart calls ASWD and customer service agent Marie advises LTC
Picart that ASWD will notremitthe balance of the amount due to
Michigan and otTers no alternative resolution. It wasnow clear to LTC
Picart the ASWD was not committed to resolving the dispute and that he
would have to result to litigation. LTC Picort requests from ASWD an
alleged second page of the contract (which was not 0 part of the contract
signed by LTC Picart) that Marie of ASWD had referred to on several
occasions. ASWD customer service representative Marie agrees to
mail 0 copy of 0 complete contract to LTC Picart.
26 July
LTC Picart calls ASWD customer service agent, Marie,and requests that
she FEDEX 0 complete contract for next day delivery. ASWD agrees 10
mail the contract,but will arrange for FEDEX only at LTC Picart's
expense. LTC Picarl agrces, and provides 0 credit card account
number.
27 July
The complete copy ofa contract (with a previously unseen second page) is
received at 2 J 0 Sholto Drive via FEDEX at approximately II :30 om. LTC
Picarl contacts JAG, Carlisle,l'A and requests 0 consultation.
31 July
LTC Picarl consults with JAG, Carlisle Barracks (CPTAithal). JAG culls
and spcaks with Michigan West rcpresentatives, Linda Amershek and
Tom. JAG, Carlisle Barracks, follows these Iwo phone calls up with

1. Plaintiff has filed this civil action against Defendant
for alleged breach of contract for the delivery of a vehicle owned
by Plaintiff.
2, In Paragraph 2 of Plaintiff's Complaint, Plaintiff
alleges that the contract signed with Allstates Worldwide Delivery
Systems consisted of a domestic Shipping order.
Plaintiff,
however, did not attach this domestic shipping order to his
Complaint.

3. Pursuant to Pa.R,C,P. 1028(a) (2), a preliminary objection
may be filed by any party for "failure of a pleading to conform to
law or rule of court."
4, Pursuant to Pa,R.C, P. 1019 (h), a pleading must state
whether a claim is based on a writing and, if so, must attach a
copy of that writing to the pleading.
If the writing is
inaccessible, the pleading must state so, must state the substance
of the writing, and provide an adequate reason for not supplying
the writing.
5. In the present case, Plaintiff did not attach a copy of
the alleged contract to his Complaint, did not state the substance
of the alleged contract, and did not provide an adequate reason for
not supplying the writing, Therefore, Plaintiff's Complaint fails
to conform to Pa,R.C.P, 1019(h) ,
WBlRI'ORl, Defendant, Michigan West, Inc., respectfully
requests that Plaintiff's Complaint be stricken.
In the
alternative, Plaintiff should be required to amend his Complaint to
conform to the Pennsylvania Rules of Civil Procedure,

6. In Paragraph 5 of plaintiff's Complaint, Plaintiff states
that Defendant was acting of behalf of Allstates Worldwide Delivery
systems in transporting Plaintiff's vehicle from California to
Pennsylvania.
7. The facts alleged in Plaintiff's Complaint demonstrate
that Defendant was an agent of Allstates Worldwide Delivery
Systems, a disclosed principle, and that Defendant did not take
personal responsibility for the alleged contract,
9. An agent for a disclosed principle, in the absence of
circumstances showing that personal responsibility was incurred, is
not personally liable to the other contracting party. Bash v. Bell
TeleDhone Co., 601 A.2d 825 (Pa,Super. 1992),
10. Plaintiff has not alleged any facts which indicate that
Defendant was anything other than an agent of Allstates Worldwide
Delivery Systems. Further, Plaintiff has not alleged any facts

the alleged contract.

Plaintiff Is a Ueutenant Colonel In the Anny. He sues the defendant for
damages for breach of contract for delivery of hll car from the west coa.. to
Cartlll. Barracks. Plaintiff Is pro se.
On April 26, 1996, we sustained defendant'l preliminary objection to the
failure of plaintiff to attach the contract to the Complaint. We directed plaintiff to
enter the contract Into the record, By May 6, 1996, plaintiff had forwarded to the
Court Administrator papers alleged to be the contract, but the plaintiff never
properly filed them with the Prothonotary, To this day they have not been so filed,
On July 26, 1996, defendant filed a Motion with the Court asking the case
be dismissed because the April 26 order had never been complied with. Not being
officially aware of the documents because of the procedural Irregularity of their
arrival, the Court granted the motion and struck the Complaint on August 1, 1996,
On October 16, 1996, we received a letter from pro se plaintiff, claiming he
was away from home on extended duty, and only recently became aware of the

AND NOW, comes the Defendant, Michigan West, Inc" by and
through their attorneys, HANDLIR ~ WIINIR, and makes the within
Motion to Dismiss the Plaintiff's Complaint, and in support
thereof, avers as follows:
1, Plaintiff filed the Complaint in this civil action
against Defendant on November 3, 1995, for alleged breach of
contract for the delivery of a vehicle owned by Plaintiff,
2. Plaintiff's Complaint made several references to and
allegations about the written instrument of the contract that
Plaintiff and Defendant agreed to for the delivery of Plaintiff's
vehicle, The written instrument was referred to specifically in
paragraphs 2, 3, 7, and 6,
3. On November 22, 1995, Defendant filed Preliminary
Objections to Plaintiff's Complaint, based on Plaintiff's failure
to conform to law or rule of court by not including a copy of the
written instrument upon which this action is based and for lack of
legal sUfficiency pursuant to Pa,R,C,P, 1028(a) (4,)
4, On April 26, 1996, this Honorable Court granted the
Defendant's preliminary objections in part, The Court found that
Plaintiff had failed to provide the necessary accompanying written
instrument, but that the Court could not grant Defendant's other
preliminary objection without first reviewing the written
instrument, The Court gave the Plaintiff ten days from the date of
receiving the order to enter a copy of the written instrument into
the court record,
5. The Plaintiff failed to produce the aforementioned
written instrument within the time allowed him by the Court,
Furthermore, as of present, Plaintiff has yet to produce such
written instrument for the Court,
6. The Plaintiff's failure to comply with a court order has
delayed and denied justice to the Defendant in this case,

Comes now the plaintiff in the
the following response to the
Plaintiff's Complaint:
1. Itat...nt of ...ct..
1. plaintiff, LTC Jose picart, entered into a contract on
20 June 1995 with Allstates World-Wide Delivery Systems
(hereafter referred to as ASWD). It was agreed that ASWD would
serve as an agent for LTC picart to contract the shipment of LTC
Picart's automobile from Santa Cruz, California to Carlisle,
Pennsylvania with any automobile shipment company ASWD deemed
worthy. On 29 June 1995, ASWD acting as LTC picart's agent and
acting on his behalf placed the shipping order with a car carrier
trucking company, named Michigan West, which they deemed fit to
deliver LTC Picart' s automobile. Michigan West accepted the
contract from LTC picart's agent, ASWD, signed a domestic
shipping order, and picked-up LTC Picart's automobile from a
temporary storage facility in San Jose, California. Michigan
West transported the automobile to Carlisle, PA and on 5 July
1995, Michigan West placed LTC Picart's automobile in temporary
storage in Carlisle, PA. Michigan West failed to contact ASWD for
plaintiff's phone number to notify plaintiff prior to vehicle
delivery and prior to placing it in temporary storage as required
by the contract.
2. During the period 6 July - 3 August 1995, Michigan West
failed to deliver the vehicle to plaintiff and failed to inform
ASWD of its location as required by the contract. Furthermors,
Michigan West failed to cooperate with ASWD to arrange for the
delivery of the vehicle Cash-on-Delivery (C.O.D.). During this
period, ASWD was unable to locate the vehicle in any of its
approved terminal storage facilities, Furthermore "TomH, a
representative of Michigan West, falsely informed LTC picart on
several occasions that LTC picart's automobile was in a storage
facility in Falls Church, Virginia. LTC Picart's automobile was
finally recovered by North Middleton police Chief Jeff Rudolph
from Steve's Repairs Unlimited in Carlisle, PA on 3 August 1995.

9. As a result of the actions taken by Michigan West in
violation of the contract, LTC Picart was forced to rent an
automobile, make numerous long distance phone calls, incur
express mail expenses, and was inconvenienced to his detriment.
10. Defendant does not dispute these facts. Copies of the
contract and documentation along with written statements to
support these facts were attached to the Plaintiff's Complaint
filed with the Court on 7 November 1996.
II. Di8CU88ion:
A. 'LUHIrr'S RlS'OIlSI TO DJrIHD>>IT'S 'RlLIMIHARY OBJlC'l'IOII rOR

Defendant asks the Court to strike the Plaintiff's
Complaint because Defendant claims that Plaintiff has failed to
show "legal sUfficiency of a pleading (demurrer)." Defendant's
objection is based on an incorrect, inaccurate and in my view a
deliberately misleading presentation of Plaintiff's Complaint. In
paragraphs 2 and 3 of Defendant's preliminary objections to
Plaintiff's complaint, Defendant misrepresents to the court the
text of Plaintiff's Complaint by writing, and I quote directly
from Defendant's Objection:
" 2. In Paragraph 5 of Plaintiff's Complaint, Plaintiff
states that Defendant was acting of [sic] behalf of
Allstate Worldwide Delivery Systems in transporting
Plaintiff's vehicle from California to Pennsylvania.
3. The facts alleged in Plaintiff's Complaint demonstrate
that Defendant was an agent of Allstate Worldwide Delivery
Systems, a disclosed principle, and that Defendant did not
take personal responsibility for the alleged contract."
This quote is a deliberate misstatement and misrepresentation to
the Court of Plaintiff's Complaint.
Defendant's Attorney has
deliberately misrepresented Plaintiff's Complaint with the

intent, in my view, of deceiving the court on this matter. In
fact, Paragraph 5 of Plaintiff's complaint states very plainly
and very clearly, and I quote directly:
" 5. AWDS, acting as LTC Picart's agent and acting on his
behalf placed the shipping order with a car carrier
trucking company, named Michigan West, which they deemed
fit to deliver LTC Picart's automobile. Michigan West
signed for and picked up Plaintiff's automobile from Matos
Automotive Enterprise, Inc. storage facility in San Jose,
CA (Exhibit G). A copy of the shipping order contracting
the shipment of LTC Picart's automobile to Michigan West is
attached as Exhibit H."
Upon comparing the quote from Plaintiff's Complaint to
Defendant's Attorney representation of this paragraph it appears
that Defendant's Attorney has misstated and misrepresented the
above Paragraph 5 in Plaintiff's Complaint, in such a manner as
to appear to deceive the court. Furthermore, this
misrepresentation improperly forms the basis of their objections
to Plaintiff's Complaint. Paragraph 5 of Plaintiff's complaint
clearly does not state that Michigan West, Inc. was an agent of
Allstate Worldwide Delivery Systems as Defendant's Attorney
claims and would have the Court believe.
Defendant's Attorney goes on to further misrepresent
Plaintiff's Complaint in paragraph 6 of their Objections, and I
quote:
" 6. Plaintiff has not alleged any facts which indicate
that Defendant was anything other than an agent of
Allstates Worldwide Delivery Systems. Further, Plaintiff

has not alleged any facts which indicate that Defendant
accepted personal responsibility for the alleged contract."
This statement is not a subjective interpretation of
Plaintiff's Complaint, but again a false statement and deliberate
misrepresentation of Plaintiff's Complaint in an effort to
deceive the court. In this and the original complaint, Plaintiff
has presented numerous facts (documented by a contract and a
letter to the court from Allstate Worldwide Delivery Systems I
alleging that Allstate Worldwide Delivery Systems WAS Plaintiff's
agent, who then contracted the shipment of his automobile to

Furthermore, Plaintiff's
Complaint included several documents (shipping order, memorandum
of bill of laden, vehicle condition report, Defendant's letters
to Plaintiff seeking payment of delivery charges and storage
fees, etc.1 all signed by the Defendant that documents beyond any
question of interpretation, that Defendant assumed personal
responsibility for Plaintiff's automobile.
All of these
documents were available to Defendant's Attorney.
It is
improper, and in my view disingenuous, for Defendant's Attorney
to state that Plaintiff has not alleged any facts which indicate
Defendant accepted personal responsibility for the contract, when
in fact Plaintiff has alleged many facts (and attached numerous
documents in support of those facts) in his Complaint to show
that Defendant accepted personal responsibility for the vehicle.
Rather than dispute the facts alleged by Plaintiff,
Defendant's Attorney has misrepresented to the court that no
facts were alleged by Plaintiff in his Complaint.
This in my
view is a deliberate attempt by Plaintiff's attorney to deceive

the court and to take advantage of Plaintiff's status as an
Attorney Pro-Se, with little experience in these matters.
a. In response to the objections raised by the Defendant,
specifically that the Plaintiff failed to raise facts which
demonstrated that the Defendant was personally responsible for
their actions, the Plaintiff presents the following:
A. In the facts set out above in Paragraph 1 and
in Plaintiff's Complaint submitted to the Court on 7 November
1996, it is documented that on 5 July 1995, the Defendant took
actions in violation of the contract which breached their alleged
agency relationship and protection afforded the Defendant through
that alleged agency relationship. Specifically, Defendant was
obligated by contract to obtain ASWD assistance when contacting
the Plaintiff to effect delivery of the vehicle prior to placing
the vehicle in storage. Defendant violated the alleged agency
relationship by failing to do so. On 6 July 1996, Defendant
refused to deliver the LTC Picart's automobile "Cash-on-Delivery"
(C.O.D.) as specified in the contract, and demanded payment be
mailed to Michigan West, Inc.. This action by Defendant, was
independent from and uncooperative with ASWD, whom Defendant know
claim to be an agent for. This was one of many actions by
Defendant that violated the terms of the contract in such a way
as to take Defendant outside any alleged Agency protection. In
other words, Michigan West personally took action which was
outside the scope of the contract, violating any alleged Agency
relationship between Defendant and ASWD.
B. As demonstrated by the facts set out above:

C.O.D. to Plaintiff as contracted;
(21 Defendant refused to inform ASWD of the
location of the Plaintiff's automobile as required by the
contract (paragraph 7 of shipping order), thereby further
demonstrating the lack of a true agency relationship between
Defendant and ASWD;
(3) Defendant established a direct relationship
with Plaintiff, outside of any alleged agency relationship, and
uncooperative with, ASWD, by calling and wr\ting to Plaintiff
directly;
(4) Defendant further dealt directly with persons
attempting to assist Plaintiff, specifically - a Detective (Ron
Nester, Carlisle Police Department I contacted by Plaintiff to
locate the automobile; The Office of the Staff JUdge Advocate
(SJAI of Carlisle Barracks, PA (CPT Armand Aithall; and the
Police Chief of North Middleton Township (Chief Jeffrey W.
Rudolphl also assisting the Plaintiff in locating Plaintiff's
automobile. Plaintiff has submitted to the Court documents from
these parties confirming these facts.
(5) Plaintiff has attempted to resolve this
dispute through ASWD. Defendant has refused to cooperate with
ASWD in reSOlving this matter, further demonstrating that
Defendant is acting completely outside any alleged agency
relationship that Defendant is now attempting to raise as a
defense to their unwarranted and inappropriate actions in the
matter before the Court.

(61 Furthermore, ASWD, in a letter to this
court, has claimed that it is "simply a broker and any liability
should be taken up directly with the trucking company that
transported the vehicle", as per item '8 on page two (terms and
conditions for truckingl of the contract. Michigan West has a
history of business with ASWD and is well aware that ASWD, acting
as an agent of LTC Picart contracted Michigan West to pick-up and
deliver his automobile. Therefore, the relationship between
Michigan West and LTC Picart is more appropriately described as
one in which the Defendant has a direct personal responsibility
for the terms of the contract.
3. Therefore Michigan West is not an agent of ASWD at all,
but is, in fact, in a direct relationship with the Plaintiff by
the terms on the second page of the contract itself. As stated
in the contract, ASWD is simply a broker and agrees as stated on
the back of the contract, that it serves as an agent of Plaintiff
to exercise its effort on behalf of Plaintiff to contract with a
trucking company, i.e. Michigan West. The brokerage of
Plaintiff's automobile by ASWD to Defendant, Michigan West, was
in accordance with the contract. Upon agreeing to accept the
shipping order, the Defendant, Michigan West, accepted personal
responsibility for Plaintiff's automobile from ASWD, an agent
representing the Plaintiff, Defendant was in a direct
relationship with the Plaintiff and therefore personally
responsible to the Plaintiff. If the court finds that this is
the case, then the argument of Defendant in their Response to

1. This is an action resulting from an appeal by Defendant from
a District Justice Judgment. The date of Judgement was 09/16/95.
The claim number was TA 19 CV-0000417-95 styled as Jose Picart
vs. Allstates Worldwide Delivery Systems et a1. Allstates is not
a party to this action since they aid not appeal the District
Justice Judgement. Notice of Judgement/Transcript is attached as
Exhibit A.
2. On June 20,1995, Plaintiff entered into a contract with
Allstates for door to door pick-up and delivery of a 1986 Nissan
Stanza Wagon from Santa Cruz, California to 210 Shatto Drive,
Carlisle, Pennsylvania, The contract consisted of a faxed (one
page front side only) domestic shipping order, Plaintiff signed
the shipping order and mailed it back to Allstate, with a $200.00
Money Order, via Express Overnight mail, The contract required
that Allstate pick-up the car within a three day period, 26-28
June 1995.
3. On June 28, 1995, Allstate Worldwide Delivery Systems failed
to pickup the automobile owned by the plaintiff as required by
contract. As a result of this failure, plaintiff was required to
pay $110.00 in storage fees to a third party not subject to this
action.
4. Plaintiff and his family was required to depart Santa Cruz,
CA on June 29 1995 pursuant to official military orders using
government purchased (non-refundable) airline tickets.
5, Allstate contracted with Michigan West to transport the
automobile from California to Pennsylvania, On June 29th,
Michigan West signed for and picked up the Automobile from the
storage facility plaintiff hired to hold the car until pickup,
6, On June 30, 1995, plaintiff contacts Allstate to confirm the
delivery date in Pennsylvania of the auto, Plaintiff is informed
not to expect delivery by Michigan West prior to July 7th, 1995.
7. Michigan West allegedly attempted to deliver the automobile
on July 3, 1995. Plaintiff was not aware of the alleged attempt
despite the fact that he was at the place of contracted delivery,
210 Shatto Drive in Carlisle, (rom 0730 - 1600 hours.
8. From July 3 - July 5, Plaintiff was away from 210 Shatto
Drive, relying on the contracted delivery date of no earlier date
of July 7, 1995. On July 6 1995, plaintiff received a phone call
from the defendants representative who claimed that delivery was
attempted on July 3 1995, The defendants representative demanded
that a check for $650,00 be sent to them prior to the delivery of
the auto. The contract signed by the plaintiff stated that the
balance due would be payable C,O,D" not prior to delivery. The
defendants refused to deliver the auto as stated under the terms
of the contract causing plaintiff economic damage and emotional
distress.
9. As a result of the actions by defendants. plaintiff was
denied the use of his automobile for the period July 7, 1995 _
August 4, 1995. Plaintiff was forced to rent an automobile, make
numerous long distance phone calls, incur express mail and
banking expensive, and was inconvenienced to his detriment. The
automobile was ultimately recovered from the defendant with the
assistance of the North Middleton Township Police Chief Jeff
Rudolph. Therefore, on account of actions by the defendant the
plaintiff incurred costs in the amount of $1535.81,
WHEREFORE, plaintiff demands judgement against defendant in the
amount of $1535,81 with interest plus costs of this and the lower
court action.
