B. Alter reasonable investigation, Defendant is without sufficlent knowledge or information to form a belief as to whether the additional losses set forth in this paragraph were incurred by Plaintiff, 9, It Is admitted that Defendant has refused to pay Plaintiff's claim for lost revenue. NEW...MAIIE8 10. The contact provides that Defendant THERAKARE, INC., shall provide the servlcas of a licensed and competent physical therapist for the period of the contract. The contract does not epeclfy precisely which days the physical therapist Is to work. The contract further prOVides that It Is Plaintiff's responsibility to provide "general supervision' of the physical therapist, which by implication, Includes working with the physical therapist to determine which days he or she Is to work, and which hours are to be worked on said days. 11. It was not contemplated by the parties that the phYSical therapist was to work for thirty straight days from September 12, 1994, until October 12, 191M, but, on the 3 . c:'wplllJ4llnlo<:............ contrary, that the physical therapist would have appropriate time off, such as weekend time off, as was to be agreed from time to time between Plaintiff and the therapist. 12, The rates charged under the contract provide for Plaintiff to pay Defendant an hourly rate for each hour of service of the therapist. Under the contract, Plaintiff guarantees Defendant forty hours per week, but provides for work In eKC8SS of forty hours per week, at regular pay, and work on holidays at the rate of an additional Two ($2,00) Dollars per hour. The precise scheduling of the therapist's time was clearly a matter to be resolved between Plaintiff and the therapist. 13, As there Is no duty on the part of Defendant to schedule specific days for the therapist to work, such scheduling being between Plaintiff and the therapist, Defendant did not have the duty under the aforesaid Agreement to guarantee the therapist's presence on any specific day, and Is not responsible for the damages alleged by Plaintiff In Its Complaint. 14. The contract In question was formed as a resuh of correspondence and telephone calls between the State of Oklahoma and the Commonwealth of Pennsylvania. 15. The contract provides that It Is to be Interpreted, construed and governed according to the laws of the State of Oklahoma, 16. The Issues which arise from Plaintiff's Complaint, and Defendant's Answer, New Matter and Counterclaim, financially affect Defendant, an Oklahoma corporation. 17. Defendant believes, and therefore avers, that the State of Oklahoma hII jurisdiction over controversies arising out of an Interpretation of the Agreement between the 4 .:\wpllljMJ....._....... parties pursuant to "s "long arm" statute, which states that "A court of this state may exercise Jurisdiction on any basis consistent with tha Constitution of this state and the Constitution of the United States", 1 B. The laws of the State of Oklahoma also provide that If one party commences an action against a second party, and If the second party has a claim which arises out of the same transaction or occurrence that Is the subject matter of the first party's claim, the second party's claim may only be asserted as a counterclaim In the original suit. 19, On September 20, 1995, Defendant THERAKARE, INC. filed an action against Plaintiff REHAB MEDICINE ASSOCIATES, P.C., In the District Court of Tulsa County, In the State of Oklahoma, to Case No. CS.95.4273, A copy of said action Is attached hereto 81 exhibit "A", 20, The cause of action set forth In the aforesaid action arose from a breach of the same agreement which Plaintiff alleges Defendant has bra ached In this action, 21. Under Oklahoma's compulsory counterclaim statute, Plaintiff was required to assert the cause of action set forth In the Instant suit as a counterclaim In the aforesaid action which Defendant brought In Oklahoma, 22, Plaintiff failed to assert such a counterclaim, and, In fact, did not defend the aforesaid action In Oklahoma, After Petition, an Order waa entered on October 23, 1995, granting THERAKARE, INC. a default Judgment against REHAB MEDICINE ASSOCIATES, P.C., In the amount of Five Thousand Eight Hundred two and 50/100 ($5,802.50) Dollars, plus 5 . . The failure of Plaintiff REHAB MEDICINE ASSOCIATES, P.C. to assert the Instant cause of action as counterclaim In the aforesaid Oklahoma action constitutes a bar to the Instant action as contrary to the compulsory counterclaim statute of the State of Oklahoma, and under the doctrine of res ludlcata. WHEREFORE, Defendant requests that Plaintiff's Complaint be dismissed. ~ In the alternative, Defendant asserts the following counterclaim: 24, Defendant THERAKARE. INC. complied In all respects with Its ablIgatIonI under the contract between the parties attached to Plaintiff's Complaint. as exhibit "A". 25, Defendant THERAKARE, INC. supplied Plaintiff with a IIcInHd and competent physical therapist and charged Plaintiff In accordance with the rat..
