COMPLAINT
1. plaintiff, Kimco Development of Giants, Inc., is a New
York corporation, having its principal place of business at P.O.
Box C-1044, Northern Boulevard, Roslyn, New York 11576.
2. Defendants, Helen Klinger and Amedeo cumano, own and
manage -Pop's pizza,- a pennsylvania business located at 135
Gettysburg pike, Mechanicsburg, pennsylvania 17055.
3. plaintiff is the owner of a certain tract of land
situate in the Township of upper Allen, Cumberland county,
pennsylvania (-property-). A copy of the legal description of
the property is attached hereto, incorporated herein and marked
Exhibit -A.-
4. On or about July 2, 1986, Joseph Cumano entered into a
written Shopping Center Lease Agreement (-Lease-), whereby Joseph
Cumano agreed to rent the property. A copy of the Lease is
attached hereto, incorporated herein and marked Exhibit "B."

5. pursuant to the terms of the Lease, Joseph cumano was
obligated to pay, on a monthly basis, base rent in the amount of
Two Thousand Dollars ($2,000.00) through October 31, 1995 and Two
Thousand Five Hundred Dollars ($2,500.00) thereafter, common area
maintenance rent in the amount of One Hundred Fifty-eight and
40/100 Dollars ($158.40), tax rent not to be less than One
Hundred Ten Dollars ($110.00) and insurance rent. All sums were
to be paid on the first day of each calendar month during the
Lease term, which was to expire without prior notice on the last
day of the month next following the tenth anniversary of the
commencement date.
6. On or about February 6, 1991, Defendants Helen Klinger
and Amedeo Cumano entered into an Assumption Agreement, whereby
Defendants agreed, inter alia, to assume "the performance of all
of the terms, covenants and conditions of the Lease." A copy of
the Assumption Agreement is attached hereto, incorporated herein
and marked Exhibit "c."
COUNT I
EJECTMENT
7. paragraphs 1 through 6 are incorporated herein by
reference.
8. Defendants' current monthly rental obligations to
plaintiff under the Lease include base rent in the amount of Two
Thousand Dollars ($2,000.00) through October 31,1995 and Two
Thousand rive Hundred Dollars ($2,500.00) thereafter, common area

maintenance rent in the amount of One Hundred Fifty-eight and
40/100 Dollars ($158.40), tax rent in the amount of One Hundred
Twenty-three and 11/100 Dollars ($123.11) and insurance rent in
the amount of Twenty-two Dollars ($22.00).
9. Defendants have failed to pay in full their monthly
rental obligations described herein for October and November of
1995.
10. The Defendants owe the following:

11. Pursuant to paragraph 15(A) of the Lease, "If Tenant
fails to pay rent or other money, . . . Landlord shall have the
option to terminate this Lease and shall have the right,
immediately and without notice or demand, to enter the leased
premises and remove Tenant . .
"

12. Although Defendants have waived all rights to notice
under the Lease, on october 25, 1995, Defendants were sent a
notice of their rental arrearages and of their violation of the
Lease. A copy of the notice is attached hereto, incorporated

herein and marked Exhibit "D." Defendants have failed to pay the
outstanding rental obligation.
13. Defendants are presently in possession of the property.
WHEREFORE, plaintiff requests that this Court enter judgment
in favor of plaintiff and against Defendants, Helen Klinger and
Amedeo cumano, for possession of the premises owned by plaintiff
and located in Upper Allen, Cumberland County, more fully
described in Exhibit "A."
COUNT II
BREACH OF CONTRACT
14. paragraphs 1 through 13 are incorporated herein by
reference.
15. pursuant to the Lease, Defendants' rental obligation
for october and November of 1995, including base rent, common
area maintenance rent, tax rent and insurance rent, due and owing
plaintiff, is Nine Thousand Four Hundred Eighty three and 23/100
Dollars ($9,483.23).
16. pursuant to paragraph 5(F) of the Lease, any rent not
paid by Tenants/Defendants when due is subject to both interest
at 1-1/2' per month and a Twenty-five Dollar ($25.00) late charge
for each overdue payment.
17. In the event of default, Defendants further agreed to
be liable to plaintiff for, inter alia, "legal fees related to
obtaining possession and making any new lease with another
tenant; brokerage commission in obtaining another tenant;

expenses incurred in putting the leased premises in good order
and preparing for re-rentali (and] . . . all rents and other
charges required to be paid up to the time of such re-entry."
Defendants further agreed to pay any "deficiency between the
monthly installment of (rents] and all other (expenses] that
would have been payable for the month in question, less the net
amount, if any, of the rents actually collected by Landlord from
a new tenant."
18. The total amount currently due and owing Plaintiff by
Defendants is Nine Thousand Four Hundred Eighty three and 23/100
Dollars ($9,483.23) for rent, Sixty-eight and 14/100 Dollars
($68.14) interest and Fifty Dollars ($75.00) for late charges,
all of which Defendants, despite Plaintiff's demands, refuse to
pay.
WHEREFORE, plaintiff requests that this Court enter judgment
in its favor and against Defendants, jointly and severally, in
the amount of Nine Thousand Six Hundred Twenty six and 37/100
Dollars ($9,626.37), together with additional late charges,
interest and rents that have accrued as of the time of trial, as
well as legal fees, brokerage commissions and other interest and
costs required to be paid by Defendants pursuant to the Lease and
as allowed by law.

42, Notwithstanding anything provided herein. any discrepancy
between the printed form and this rider, the rider shall prevail.
43. (A) At its expense. within thirty (30) days after the date
of this Lease, Tenant shall submit for Landlord's written approval
detailed plans and specifications (hereinafter collectively referred
to as "Plans") for all the work to be done by Tenant to the Leased
premises. failing which Landlord has the right to terminate this
Le..e and entitling Landlord to retain the Tenant's entire security
deposit as liquidated damages.
(B) Landlord shall inform Tenant of any objections to said
Plans within thirty (30) days after receipt: then Tenant within
fifteen (l!S) days shall deliver to Landlord corrected plans, which
Landlord shall accept or reject wi thin the next fifteen (l!S) days.
Failure to inform Tenant of objections within said time periods
.hall be deemed Landlord's waiver of objections.
(C) If Tenant's plans are approved, it shall not be deemed
Landlord's undertaking that they conform to law or impose any
liability on Landlord Tenant shall immediately apply for all
governmental permits necessary for Tenant's work. After such
permits are issued and Landlord has completed the work, if any,
Landlord has agreed in this Lease to do, Tenant agrees to promptly
commence and complete Tenant's work in conformity with said Plans
and with all legal requirements and with the requirements of the
Building Department having jurisdiction, and before commencing
Tenant's work, Tenant will deliver to Landlord all of the
following: (1) A Contractor's completion bond to Landlord a.
obligee in form approved by Landlord issued by a surety company,
quaranteeing completion of Tenant's work in accordance with said
Plans free of liens and security agreements, and (2) comprehensive
general liability insurance insuring Landlord for at least
U,ooo.'ooo combined single limit for bodily injury and property
damage and (3) a statement from contractor that contractor agrees to
indemnify, save and hold harmless Landlord, its agents, employees
and assigns from all liabilities, claims, losses, liens. damages and
suits of whatsoever nature for personal injury, death or property
damage alleged to arise out of the work performed under the
contract, whether by the Contractor or by any subcontractor, and
whether asserted against Landlord or the contractor, and (4)
contractor's Workers' compen~ation and occupational Disease
insurance with statutory limits and employer's liability with a
limit of at least $100.000 for all damage from one or more claims.
(D) Tenant shall comply with all legal requirementG during
i t5 work l and when completed. Tenant's work shall comply with all
laws, ordinances, regulations or orders of public authority, and
with all Fire Insurance Rating organization (or similar body)
requirements and the liability insurance company's requirements
which insure against accidents connected with the Leased Premises,
and Tenant shall obtain and deliver to Landlord the certificate of
occupancy (or its local equivalent if the same are not issued in the
jurisdiction) for the Leased Premises.
(E) If Landlord or its representatives inspects the Leased
Premises and determines that Tenant's work is not being done in
accordance with the approved Plans, Tenant shall correct any
deficiencies or omissions immediately.

~SSUMPTIOM AGREEMENT
THIS ASSUMPTION AGREEMENT dated as of the 6th day of February. 1991 by and
between KIMCO DEVELOPMENT OF GIANTS. INC. (hereinafter ref~rred to as
"Llndlord") Ind MEOEO C!MANO Ind HELEN KLINGER (hereinafter referred to as
"Assi;nee"): which tenns "Landlord" and "Assignee" shall include the successors
Ind Issigns of the respective parties, '
WITNESSETH:
WHEREAS, by Lease Agreement dated July 2, 1986, Landlord did lease and
dellise unto Joseph Cumano d/b/a Two Guys Pizza' certain premises therein IIOre
p'articularly described in a ~hopping Center located at Upper Allen, Pennsylvnia
(said Lease Agreement is hereinater referred to as the "Lease"): and
WHEREAS, the parties hereto desire to amend the Lease.
NOW, THEREFORE, in consideration of Landlord consenting to the assiynment
Ind the sum of Ten and no/100 (SlO.OO) Dollars and other good and va uable
consideration, in hand, paid by Assignee to Landlord, the receipt and
sufficiency of which is hereby acknowledged, it is eutually agreed as follows:
1. The Assignee represents that by Sales AgrefllHnt dated May 2, 1989, it
is the successor to the interest of Joseph CUlIano as tenant in and to the
Lease,
2. The Ass i gnee hereby assumes the performance of all of the terms,
covenants and conditions of the Lease. agrees to pay the Rent reserved by the
LeISe as and when the same shall be or become due and payable, and agrees to
perfprm all of the terms, covenants and conditions of the Lease, in all
respects and with the same effect as though the Assignee had executed the Lease.
3. The Assignee further agrees that the obligations hereby assumed by it
shall inure jointly and severally to the Landlord under the Lease and to its
assignor.
4, To induce Landlord to grant its consent as provided herein, Assignee
hereby agrees I represents and warrants that it has no claim against Landlord in
law or in equlty as of the date hereof.
5. The Assignee represents to the Landlordh and Landlord has been induced
to execute the landlord's Consent contained ftrein, in reliance uron the
representation that no broker was instrumental in consu1llllating the ass gnment.
The Assignee hereby agrees to hold the Landlord harmless against any claims for
brokerage commissions arising out of the assignment,
6. Assignee'S address for notice purposes is Apt. 708 Lindall Court.
Mechanicsburg. Pennsylvania 17055.
7. In the event of a discrepancy between the Lease and this Assumption
Agreement, this Assumption Agreement shall prevail. It is mutually understood
and agreed that the Lease as assigned shall be and remain in full force and
effect and all covenants, terms, obligations and conditions of the Lease as
amend~d hereby, are hereby ratified and confirmed.
